The Trustees are pleased to present the annual report and financial statements of the charitable company for the year ended 31 March 2021. They have been prepared also to meet the requirements for a directors’ report and accounts for Companies Act purposes.

## **CHARITABLE OBJECTS** 

To relieve the needs of children suffering from cancer and their families through the provision of a co-ordinated support service including but not by way of limitation by offering practical and emotional support for families affected by a child's terminal diagnosis. 

## **The Impact of the pandemic on our organisation:** 

We experienced a huge surge in appeals for emotional support in Spring 2020, largely in relation to the distress caused by cancer treatments being cancelled, financial difficulties and the inability to secure support via the NHS.

## **Key sources of stress reported during lockdown:** 

1. Poor planning of medical needs services 

2. Children felt they had fallen even further behind with their education having missed so much due to their illness. 

3. Children are finding it difficult to be part of social groups and maintain friendships. 

4. Children are suffering huge levels of stress and anxiety. 

Regarding our work with returning to school our groups also identified an increasing number of children suffering from anxiety in September 2020. As part of our ‘common experience’ program we devised questionnaires and conducted interviews via Zoom/mobile to examine the experiences of these vulnerable children. We found increased levels of anxiety and associated stress symptoms of having to care for a vulnerable child without the usual support systems in place at schools. Especially affected were new cancer sufferers. Families reported their concerns not being giving thorough consideration during the decision making process and in the worst cases a low quality of EHC plans detailing children’s needs and care provisions. The impact appeared to be determined by factors such as age, levels of disability, pre-existing mental health and especially confinement due to fear of infection. For many families returning to school led to enhanced anxiety & heightened stress-related problems. The only silver lining was that vulnerable children, often the victims of school bullying had temporary relief whilst studying from home. We collated responses from August 2020 until January 2021 when the second national lockdown was imposed resulting in new school closures. We concluded that whilst the lockdown offered some ‘protection’ overall child cancer sufferers are more likely to have suffered negatively from the impact of the pandemic and their parents to have suffered enhanced parental distress. 

All of our planned events to raise funds were cancelled for the whole year. Annually, we secure significant funding via large events, corporate sponsorship contracts & ticket sales. We also secure further funds via live auctions. Our public donations decreased and we no longer seemed to 'fit' the criteria for funding from many large corporate foundations and charitable trusts. In summer 2020 many specified funding for the over 70's, for poverty and provisions of food. 

In May 2020, having been unable to secure income for several months we took the difficult decision to close to grant applications until our financial position improved. 

At July 2020 we had less than 6 months of funding available so we applied to Lloyds Bank regarding the government Bounce Back Loan Scheme. We received £15,853 of Bounce Back Loan plus a Covid-19 response grant of £10,004. This greatly relieved the pressure of ensuring that we did not run out of funds. 

## **The changes we made to our operating models:** 

With all of our events cancelled for the foreseeable future, we needed to consider other funding options. We therefore applied for Covid-19 support grants to replace our lost income and to many more Charitable Trusts and Foundations.

## **NEW SUPPORT SYSTEMS CREATED:** 

## 1. **Create online Services:** 

**Live Chat** - Created in September 2020 and accessed via our homepage. http://www.josssearchlight.org.uk. This service runs daily from 9.00am - 5.00pm however it is also installed via the Support Services Manager’s mobile phone for out of hours enquiries that are more urgent. 

**Chat Bot** - Initial model created which is currently being test piloted via our focus groups. 

2. **Psychosocial & Art Therapies:** We have an ongoing demand for these services. Art therapy sessions are focused on fine and gross motor skills. 

3. **Peer Support Group Sessions via Zoom:** The emphasis is on health issues impacted by the pandemic. 

## **SUMMARY OF FEEDBACK FROM BENEFICIARIES:** 

1. Relieves anxieties for children and their parents 

2. Gives the ability to express feelings & communicate with others 'who understand' 

3. Creates family links & develops better awareness 

4. Helps to build better relationships & bonds 

5. Gives families 'a voice' via our 'Common Experiences' program. 

6. Provides structure to the day for children 

7. Gives respite care to parents 

## **Public benefit:** 

The charity acknowledges its requirement to demonstrate clearly that it must have charitable purposes or ‘aims’ that are for the public benefit. Details of how the charity has achieved this are provided in the trustees' report. The trustees confirm that they have paid due regard to the Charity Commission guidance on public benefit before deciding what activities the charity should undertake. 

## **Financial sustainability:** 

In May 2020 we were concerned that with an uncertain year ahead we may be forced to make some tough funding choices and may have to restrict support services for those most in need, e.g. for children with severe disabilities who were unable to return to school. Due to successful raising of funds we fortunately did not have to implement those tough choices. 

Our work is sustainable as we have replaced our lost event income with Covid-19 support grants and with the Governments Bounce Back Loan of £15,853. We also replaced lost event income by applying to more Charitable Trusts & Foundations.

## **Financial review:** 

The charity received total income of £102,166, the cost of raising funds was £1,048. This was a good fundraising result, considering that we had no event income and had started the year with only £19,781 in the bank. 

## **Risk assessment:** 

The trustees actively review the major risks which the charity faces on a regular basis and believe that maintaining the free reserves stated, combined with the annual review of the controls over key financial systems carried out on an annual basis will provide sufficient resources in the event of adverse conditions. The trustees have also examined other operational and business risks which they face and confirm that they have established systems to mitigate the significant risks. 

## **Reserves policy:** 

The trustees have considered the level of reserves they wish to retain, appropriate to the charity's needs. This is based on the charity's size and the level of financial commitments held. The trustees aim to ensure the charity will be able to continue to fulfil its charitable objectives even if there is a temporary shortfall in income or unexpected expenditure. The trustees will endeavour not to set aside funds unnecessarily. 

The policy is to ensure free reserves for 6 months of expenditure. Joss Searchlight is very dependent on it’s own fundraising efforts. As we have been unable to stage any of our large fundraising events and live auctions for the past 2 years the trustees considered it prudent that a minimum of six months expenditure be held. The trustees ensure that the reserves are regularly checked and keep the reserves policy under quarterly review. 

At 1 April 2020 the trustees were unable to continue to designate reserve funds for the provision of respite breaks and holidays due to lack of funds. 

## **Governing document:** 

Joss Searchlight is a company limited by guarantee without share capital use of 'Limited' exemption, governed by its Memorandum and Articles of Association as amended on 3 November 2011. It is registered as a charity with the Charity Commission. Members of the charitable company guarantee to contribute amounts not exceeding £1 to the assets of the charitable company in the event of winding up. 

## **Recruiting & appointing trustees:** 

Trustees are known to us and have ‘lived’/direct experience of caring for a child with cancer. We recruited our most recent trustee, Tina Elder via Charity Mentors. Tina had previously worked as a business consultant at Macmillan Cancer Support and is therefore instrumental in helping us to position the charity

## **Volunteers:** 

We have a total of 44 wonderful volunteers who support the work of our charity, last year as all our events were cancelled our core 20 volunteers supported us. Volunteers contribute greatly to the charity by: 

1. Creating awareness of childhood cancer, e.g. delivering publications to treatment centres and promoting messages online. 

2. Support Services - organising activities, e.g. art therapy sessions, meeting with families to offer support, delivering toys, art materials, cleaning materials  and other support items. Creating and delivering small remembrance gifts, e.g. to families who lost a child to cancer. 

3. Working with our focus groups to establish ‘common experiences’ and what helps to build resilience. 

4. Evaluating how well health, education and social services listen to children with cancer and their families. 

5. Event planning and delivery, e.g. our annual Christmas Ball for 300 guests and our annual Festival of Light (last able to be staged in 2019). Volunteers are planning a big ‘come back’ in 2022. 

## **FUTURE PLANS:** 

By addressing the key learnings from the support sessions we’re able to create a strong foundation to develop future support services. 

Our initial focus group research and ‘common experience’ program suggests that adolescents who ‘feel better’ about their body image have been found to have better cancer journeys. Findings emerged that attitude about appearance is key to good mental health. It appears that improvement of body image is perceived to improve quality of life. Treatment with chemotherapy often results in hair loss (including eyelash/eye brow) and steroid-induced weight gain, which are particularly distressing to adolescents. Many have suffered social discrimination contributing to feelings of depression and low self esteem. Our future project work will address the emotional impact of these issues and will help prevent anxiety. Feedback suggests that these young patients have unique psychosocial problems and often require ongoing support following cancer treatments. 

In summary we need to highlight the multiple challenges following cancer treatments, promote positive self-image and the acceptance of a broad range of appearances.

## **Our project work will address:**

4. Finding and accepting help

6. Applying the skills to further develop 

As a direct result of the new digital solutions we now have new ideas, conversations and stories so that we can continue to enhance our emotional support work. With the support of our wider cancer family community we have plans to expand the project further to strengthen our emotional support services. 

## **The services we were able to provide:** 

We increased our psychosocial support services to fill the gaps in support via the NHS. We took our support sessions online and delivered via Zoom with the help of our wonderful volunteers. 

We introduce a new ‘Live Chat’ via our website which proved a popular new way for families to reach out for help. Understanding more about how families cope with cancer related stress is enabling us to develop needs driven support services. 

## **THE DIFFERENCE THE NEW RESOURCES ARE MAKING:** 

Generally families have described that the resources are helping to address the ‘common experiences’ outlined from the questionnaires. 

1. The project is being highly praised by our cancer family community for tackling the unmet emotional needs. 

2. Feedback illustrates that families have enjoyed the therapy activities and shared their enjoyment with others. 

3. Providing children & their families with ongoing personalised support packages & information is helping to improve the experience throughout their cancer journey.

## **RESPONSIBILITIES OF THE TRUSTEES** 

The trustees (who are also directors of Joss Searchlight for the purposes of company law) are responsible for preparing the Trustees’ Report and the financial statements in accordance with applicable law and United Kingdom Accounting Standards (United Kingdom Generally Accepted Accounting Practice). Company law requires the trustees to prepare financial statements for each financial year which give a true and fair view of the state of affairs of the charitable company and of the incoming resources and application of resources, including the income and expenditure of the charitable company for that period.  In preparing these financial statements, the trustees are required to: 

- select suitable accounting policies and apply them consistently; 

- observe the methods and principles in the Charities SORP; 

- make judgements and accounting estimates that are reasonable and prudent; 

- state whether applicable accounting standards have been followed, subject to any material departures 

- disclosed and explained in the financial statements; and 

- prepare the financial statements on the going concern basis unless it is inappropriate to assume that the 

- charitable company will continue in business. 

The trustees are responsible for keeping adequate accounting records that disclose with reasonable accuracy at any time the financial position of the charitable company and to enable them to ensure that the financial statements comply with the Companies Act 2006. They are also responsible for safeguarding the assets of the charitable company and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities. In so far as the trustees are aware, there is no relevant information of which the charitable company’s independent examiner is not aware; and the trustees have taken all steps that they ought to have taken to make themselves aware of any relevant information and to establish that the independent examiner is aware of that information.

I report to the charity trustees on my examination of the accounts of the charitable company for the year ended 31 March 2021, which are set out on pages 10 to 25. 

## **RESPONSIBILITIES AND BASIS OF REPORT** 

As the charity’s trustees of the charitable company (and also its directors for the purposes of company law) you are responsible for the preparation of the accounts in accordance with the requirements of the Companies Act 2006 (‘the 2006 Act’). 

Having satisfied myself that the accounts of the charitable company are not required to be audited under Part 16 of the 2006 Act and are eligible for independent examination, I report in respect of my examination of your charitable company’s accounts as carried out under section 145 of the Charities Act 2011 (the ‘2011 Act’). In carrying out my examination I have followed the Directions given by the Charity Commission under section 145(5)(b) of the 2011 Act. 

## **INDEPENDENT EXAMINER'S STATEMENT** 

I have completed my examination. I confirm that no matters have come to my attention in connection with the examination giving me cause to believe: 

- (1) accounting records were not kept in respect of the Company as required by section 386 of the 2006 Act; or 

- (2) the accounts do not accord with those records; or 

- (3) the accounts do not comply with the accounting requirements of section 396 of the 2006 Act other than any requirement that the accounts give a ‘true and fair view which is not a matter considered as part of an independent examination; or 

- (4) the accounts have not been prepared in accordance with the methods and principles of the Statement of Recommended Practice for accounting and reporting by charities [applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102)]. 

I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached. ## **1 GENERAL INFORMATION** 

Joss Searchlight is a registered charity and company limited by guarantee incorporated in England and Wales. Its registered office and principal place of business is:

The financial statements are presented in Sterling, which is the functional currency of the charity. 

The charity is a public benefit entity. 

## **2 SUMMARY OF SIGNIFICANT ACCOUNTING POLICIES** 

## **Basis of preparation of the financial statements** 

These financial statements have been prepared in accordance with the Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing accounts in accordance with the Financial Reporting Standard 102 Section 1A smaller entities, Financial Reporting Standard 102 Section 1A smaller entities 'The Financial Reporting Standard applicable in the UK and Republic of Ireland' ("FRS 102"), the Companies Act 2006 and the Charities Act 2011. 

## **Going concern** 

The accounts have been prepared on the going concern basis. The Trustees are of the view that the level of reserves will support the charity going forward. 

## **Income** 

## **Recognition of Income** 

This is included in the Statement of Financial Activities (SOFA) when: 

- the charity becomes entitled to the income; 

- it is more likely than not that the trustees will receive the resources; and 

- the monetary value can be measured with sufficient reliability 

## **Income with related expenditure** 

Where income has related expenditure (as with fundraising or contract income) the income and related expenditure are reported gross in the SOFA. 

## **Offsetting** 

There has been no offsetting of assets and liabilities, or income and expenses, unless required or permitted by the Charities SORP or FRS 102 1A.

## **Grants and Donations** 

Grants and donations are only included in the Statement of Financial Activities when the charity has unconditional entitlement to the resources and are treated as restricted or unrestricted income in line with the donor’s instructions. 

## **Contractual Income and Performance Related Grants** 

This is only included in the SOFA once the related goods or services have been delivered. 

## **Tax Reclaims on Donations and Gifts** 

Gift Aid receivable is included in income when there is a valid declaration from the donor. Any Gift Aid amount recovered on a donation is considered to be part of that gift and is treated as an addition to the same fund as the initial donation unless the donor or the terms of the appeal have specified otherwise. 

## **Gifts in Kind** 

Gifts in kind for use by the charity are included in the SOFA as income from donations when receivable. 

## **Volunteer Help** 

The value of any voluntary help received is not included in the accounts but is described in the Trustees' annual report. 

## **Expenditure and Liabilities** 

## **Liability Recognition** 

Liabilities are recognised where it is more likely than not that there is a legal or constructive obligation committing the charity to pay out resources and the amount of the obligation can be measured with reasonable certainty. 

## **Governance and Support Costs** 

Support costs represent the cost of central functions, for example governance costs, payroll administration, information technology. Governance costs are those support costs which relate to public accountability of the charity and its compliance with regulation and good practice. 

## **Grants with performance conditions** 

Where the charity gives a grant with conditions for its payment being a specific level of service or output to be provided, such grants are only recognised in the SOFA once the recipient of the grant has provided the specific service or output.

## **Grants payable without performance conditions** 

These are only recognised in the accounts when a commitment has been made and there are no conditions to be met relating to a grant which remains in control of the charity. 

## **Deferred income** 

No material item of deferred income has been included in the accounts. 

## **Tangible fixed assets** 

Tangible fixed assets for use by the charity are capitalised if they can be used for more than one year. They are valued at cost or, if gifted, at the value to the charity on receipt. 

Depreciation has been provided at the following rates so as to write off the cost less residual value of the assets over their estimated useful lives.

## **Leases** 

Rentals applicable to operating leases where substantially all of the benefits and risks of ownership remain with the lessor are charged to the income and expenditure account on a straight line basis over the lease term. 

## **Stock** 

Stock held represents gifts for distribution to beneficiaries and is valued at the Trustees' best estimate of market value as estimated at 31 March 2021.

## **Financial instruments** 

The charity only enters into basic financial instruments transactions that result in the recognition of financial assets and liabilities like trade and other accounts receivable and payable, loans from banks and other third parties, loans to related parties and investments in non-puttable ordinary shares. 

Financial assets are measured at cost and are assessed at the end of each reporting period for objective evidence of impairment.  Where objective evidence of impairment is found, an impairment loss is recognised in the statement of financial activities. 

The impairment loss for financial assets measured at cost is measured as the difference between an asset's carrying amount and the best estimate, which is an approximation, of the amount that the charity would receive for the asset if it were to be sold at the reporting date. 

Financial assets and liabilities are offset and the net amount reported in the balance sheet when there is an enforceable right to set off the recognised amount and there is an intention to settle on a net basis or to realise the asset and settle the liability simultaneously. 

## **Impairment of non-financial assets** 

At each reporting date non-financial assets not carried at fair value, like goodwill and plant, property and equipment, are reviewed to determine whether there is an indication that an asset may be impaired.  If there is an indication of possible impairment, the recoverable amount of any asset or group of related assets (which is the higher of value in use and the fair value less cost to sell) is estimated and compared with its carrying amount.  If the recoverable amount is lower, the carrying amount of the asset is reduced to its recoverable amount and an impairment loss is recognised immediately in the statment of financial activities. 

If an impairment loss is subsequently reversed, the carrying amount of the asset, or group of related assets, is increased to the revised estimate of its recoverable amount, but not to exceed the amount that would have been determined had no impairment loss been recognised for the asset, or group of related assets, in prior periods.  A reversal of an impairment loss is recognised immediately in the statement of financial activities. 

## **Debtors** 

Short term debtors are measured at transaction price, less any impairment. 

## **Creditors** 

Short term trade creditors are measured at the transaction price.  Other financial liabilities, including bank loans, are measured initially at fair value, net of transaction costs, and subsequently at amortised cost.

## **Funds** 

General funds are unrestricted funds which are available for use at the discretion of the trustees in furtherance of the general objectives of the charity and which have not been designated for other purposes. 

Restricted funds are funds which are to be used in accordance with specific restrictions imposed by the donors or which have been raised by the charity for particular purposes. 

## **Legal status of the charity** 

The charity is a company limited by guarantee and has no share capital. In the event of the charity being wound up, the liability in respect of the guarantee is limited to £1 per member of the charity.

## **16 TRANSACTIONS WITH DIRECTORS AND RELATED PARTIES** 

It was agreed at the charity's outset that Dianne Parkes, Director, would act as fundraiser due to her experience in fundraising and her knowledge of the organisation. 

This is considered to be a payment for provision of services and consent from the Charity Commission was obtained in 2013. 

During this financial year the amount of consultancy fees paid (via the company Absolute Works Ltd of which D Parkes is a director) was £25,200 inclusive of VAT (2019/20: £28,800 inclusive of VAT).

Note: the charity occupies a large 2 storey building owned by two of the Directors rent free. At the start of the year, there was an amount owing to the charity of £6,148 from two of the Directors. This amount was repaid to the charity in December 2020. At the start of the year the directors also held retained petty cash totalling £2,259. During the year, the charity advanced a sum of £12,000 to these Directors to cover charity spending as the charity does not have a debit or credit card facility. The Directors used their personal bank account and debit cards to make some purchases on behalf of the charity. These purchases totalled £10,758. The charity advanced a further amount to the directors of £6,852 which was paid in error. The Directors owed the charity £10,353 at 31st March 2021 and is shown as a debtor at the year end. The £6,852 paid in error is due to be repaid to the charity by the Directors by 31st December 2021. 

Apart from reimbursement of items purchased on behalf of the charity, no other payments were made to directors or any persons connected with them during this financial period. 

During the year, no stock was donated by the two directors. In 2020 the directors donated stock with a value of £4,492 to the charity. 

No other material transaction took place between the organisation and a trustee or any person connected with them.
