Northem Pride was formed in August 2007 after a brief gap In Pride artlvltles following the c105ure of Pride on the Tyne. A research project was commissioned and carried out by Ltd to estsblish what the North East LGBTQIA+ community would like from a Pride e¥tnt. These results were fed back into the communlty In Mav 2007 and frorn this feedback a group of volunteers came forward and fom)ed the first Northern Pride committee. Northern Pride was incorporated as a limited company in 2009 to give the organisatlon greater attountability and protertlon and Is a registered charity. The first of these pride festivals were held in July 2008 and was attended by oNpr 2,500 people. We were 5UPPOrted by the UK Pride Organisers Network and the member5 to delay the event until our first In person event since the pandemic whith was delivered in 2022. We introduced a new area in the Community Village. LGBT+ Northern Soual Group Zone. which provided space for those that needed neuro divergent support. stim space. and somewhere that was away from loud noise and alcohol. In the Family and Youth Zone we brou8ht in the Unfolding Theatre stage. tsking our stage count to 4 for the flrst tlme. We also ensured that all artists, creative and performers received paid work to recognise the impact the community had duri￿ the pandemic induding the loss of income. After 5uth a succe55 with our dl&tal content during the pandemic we took brought digital broadcasting to the festival for the first time. Our Live at Pride content was broadcasted backstage. covering off Interviews with members of the public. performers. artists. and activtsts. at Pride obtained over 275k impresslons with over 20k views. Our 2022 comm5 and marketing focus had an increased focus, with a new website that delivered 30k hits over the festlval weekend. With 81 pieces of press going out to promote the campaign, with 442m combined reach, 7.8m vIeV￿ of the PR storie5. Our brand continues to grow with 8k pieces of merchandise sold worldwide ralsin8 vltal funds for the thwitv. Publlt Benefft We continue to ￿kno￿edge that our core purpose 15 to deliver event-based campaigns for the Community and support the gr¢)wth ol LGBTQIA+ community allyship, empathy and activism. In 2022 we saw disappointing data including hate crlme rises, vlolence toward5 the community and rises in mental health issues. The festival and smaller events that we lead on, or support others with, are vital to foster a p05itlve, safe and inclusive environments to ensure the community can thrNe. Page 4

This can be as Itttle as being a march steward on the main day. helping with ollertions round the scene. arranging fundraising events or a more artNe role on the main committee as a co- ordinator or dirertor trustee. Northern Pride events are run by a team of volunteers with help from specialtst consultants and service providers. FINANaAL REVIEW Financial position Generol fund income in the period was £283.374. primarily from grants. event admissions or fees. donations and sponsorships. Expenditure was £348.704, resultin8 in a net loss of £65,33012022: net loss £11.5961. Reserves policy At 31 January 2023, reserves are-£29.91412022= £35.4161 due to the organisation running as a not for profit or8anisation whilst taking particular care to ensure the charity achieves in objertives and satisfies its creditors. Going toncern In 2022 we saw supporter and sponsor income change due to the financial clirnate and we fully understand that we must diversify our income to ensure sustainability. Since 2018 we've tried various types of Friday night ticketed fundrarsing events. In 2022 a 'Launch Partv wa5 delivered which had signifKant investment with the aim of raising funds through ticket sales. Production spend was increased to make sure the event would match similar ticketed pride festivals across the UK. Unfortunate￿, whilst the event delivered successfully and we received positive feedback from those in attendance, the income raised did not match or supersede the spend on the event. Thi5 has led to the charity carrying over a negative balance into the next financial period. For 2023's festwal, a ticketed entry was decided for part of the event where indNiduals required to a ticket to acce55 some of the attractions. Whil￿ elsewhere a significant grant from North of Tyne Combined Authority has been granted to ensure the event remains free at the point of entry. This mixed model is being monitored closely to ensure we minimise financial risk. whilst maintaining high standard of delivery. The board tontinue to work with experts to explo￿ options to ensure the chartty can reduce or remove risk based activity entirely* and focus on its activities that are fully funded and delNer the community Outreach work and objertives laid out in its constitution. e$￿iallY in the cuffent hostile envifonment for rnany within the community. Plans for future period5 The board of trustees and key advisory group parties cornpleted an in-depth review an investiEation into a paid vs free event status to learn from 2022 and ensure robust plans are in place. For 2023. the Friday event was removed from the program and paid ticket entry into the Festival Arena was introduced. The Community Village was relocated to be the first area on site. and access was kept free to ensu￿ the community still had a free to access pride festival in the northeast. Focus also moved from retying on commercial income and the charity was successful in a substantial grant from several partners includin8 North of Tyne Combined Authority. GOVERNAN￿ AND MANAGEMEKr Governlng document The charity is controlled by its governing document. a deed of trust. and constitutes a limited company, limited by guarantee. as defined by the Companies Art 21Th. The Directors of the Company are also Trustees of the Charity. Elrgibility for membership of the Charity and membership of the Board of Trustees is governed by the memorandum and article5 of association. There are no restricttons in the governing document on the operation of the charity or on its investment powers other that those Imposed by Charity law. The organisation is govemed by a Board of Direttors. which consists of nominated members. The Board is responsible for the management and control of the Charity and overall direction of its work. Risk management strategy The Trustees have assessed the major risks to which the Charity is exposed. and are satisfied that systems are in place to mitigate exposure to the major risks. The trustees regularly review risks and uncertainties. To ensure eady mitigation of risks the trustee5 continually monitor and review financial status and forward forecasts on a quarterly basis. In the event of the charity being wound up. the liability in respect of the guarantee is limited to £1 per member of the charity. The nature of the charitVs operation5 and principal activities are given on page of these financial statements. The charity constitutes a public benefit entity as defined by FRS 102. The financial statements have been prepared in accordance with AccountlllE and Reporting by Charities= Ststernent of Recommended Practice applicable to charities preparing their accounts in accordante wrth the Financial Reporting Standard applicable in the UK and Republit of Ireland issued in October 2019. the Financial Reporting Standard applicable in the United Kingdom and Republic of Ireland (FRS 102). the Charities Att 2011. the Companies Act 2006 and UK Generally Accepted Accounting Pratt￿.
