The Trustees present their report together with the financial statements of the charity for the year ending March 31, 2022. 

The Trustees confirm that the annual report and financial statements of the charity comply with current statutory requirements, the Memorandum and Articles of Association and the provisions of the Statement of Recommended Practice (SORP) Accounting and Reporting by Charities. 

## **Objectives and activities.** 

The board confirm that they have referred to the Charity Commission’s general guidance on public benefit when reviewing the charity’s aims and objectives and when planning projects. 

The Trustees confirm that the charity’s objectives are: 

- To promote art for the benefit of the public, in particular without limitation,  in the dramatic, musical, performance, literary and visual arts. 

- To advance the education of the public, in particular without limitation, in the dramatic, musical, performance, literary and visual arts. 

The charity can achieve these aims by raising funds from a range of sources including grants from public finding bodies, selling artefacts, earned box office income.  All funds raised contribute to the delivery of the projects and to further the aims of the charity.

## **Achievements and performances** 

The first performance of Le Pain was in October 2021 and the project was completed in November 2022.  The project continued to deliver the aims of the charity in particular supporting the performing arts. 

The charity to continues to facilitate the sale of the book Towards Re-enchantment. 

## **Financial Review** 

The charity had not produced a new project since the end of the Re-enchantment project in 2011.  Two of the artefacts from this project, a film Patience (Towards Sebald) and a book Towards Re-enchantment have continued throughout to sell copies over the ensuing years which have covered the costs of the charity. 

In 2021 the charity agreed to produce and deliver a new performance work Le Pain which explores the development of an LGBTQ performer.  This was funded by a grant from Arts Council England and fees from performances. 

The charity received £44,470 through an Arts Council England grant to produce this project and £2000 in performance fees was received in this financial year.  £14,405 was carried over in reserve from 2021/22 to 2022/23 to complete the project. The project was completed in October 2022. 

A full account of the finances of this project will be presented to the board at the AGM in 2023.  The project was delivered on budget. 

Other income, £1761, was received from royalties for international sales of the film Patience (After Sebald). A proportion of this income was distributed to the director and producer of the film and the balance supported the administration expenses to maintain the charity. 

## **Reserve Policy** 

The trustees recognise that the reserves carried forward from 2021/22 are to complete the Le Pain project in the fiscal year 2022/23.

## **Structure and Governance** 

## _Governing Document_ 

Artevets Limited is a charitable company limited by guarantee with no share capital, incorporated on 18 November 2004, and registered as a charity on 5 Janaury 2011.  The charity is governed by its Memorandum and Artocles of Association.  The Articles of Association were amended by special resolution on 1 December 2010 and registered at Companies House on 2 December 2011.  In the event of the charity being dissolved members are required to contribute an amount not exceeding £1. 

## _Management_ 

The day to day management is carried out y the principal executive office Di Robson. 

## _Recruitment and appointment of Trustees_ 

The charity’s policy to is to invite suitably qualified people to become Trustees of Artevents. They are elected at the Annual General Meeting. 

## **Organisation** 

The Trustees are responsible for the management of the charity’s business and have delegated the day to day management to its executive. The executive appoint specialist staff to support the development and delivery of projects. 

Strategy and future projects are conceived and designed by the Artistic director in consultation with the relevant sectors in the arts. Proposals are presented to the Trustees with budgets, who when appropriate approve projects for delivery. 

The charity begins a project inly when all requisite funding is in place. 

## **Future plans.** 

The charity aims to deliver a full financial report of the Le Pain project on completion. There are no further production plans at this point.

For the year ending 31 March 2022 the company was entitled to exemption under section 477 of the Companies Act 2006 relating to small companies. 

The members have not required the company to obtain an audit in accordance with section 476 of the Companies Act 2006. The directors acknowledge their responsibilities for complying with the requirements of the Companies Act 2006 with respect to accounting records and the preparation of accounts. 

The accounts have been prepared in accordance with the micro-entity provisions and delivered in accordance with the provisions applicable to companies subject to the small companies regime.

## Respective responsibilities of trustees and examiner 

The trustees (who are also directors of the company for the purposes of company law) are responsible for the preparation of the accounts. The trustees consider that an audit is not required for this year. Having been satisfied that the charity is not subject to audit under company law and is eligible for independent examination. 

Basis of independent examiner's report 

The examination includes a review of the accounting records kept by the charity and a comparison of the accounts presented with those records. It also includes consideration of any unusual items or disclosures in the accounts, and the seeking of explanations from you as trustees concerning any such matters. The procedures undertaken do not provide all the evidence that would be required in an audit and consequently no opinion is given as to whether the accounts present a 'true and fair view' and the report is limited to those matters set out in the statement below. 

Independent examiner's statement. 

In connection with my examination, no matter has come to my attention: 

(1) which gives me reasonable cause to believe that, in any material respect, the requirements: • to keep accounting records in accordance with section 386 of the Companies Act 2006; and • to prepare accounts which accord with the accounting records, comply with the accounting requirements of section 396 of the Companies Act 2006 and with the methods and principles of the Statement of Recommended Practice: Accounting and Reporting by Charities have not been met; or 

(2) to which, in my opinion, attention should be drawn in order to enable a proper understanding of the accounts to be reached.
