The trustees present their report and accounts for the year ended 31 December 2021 which also comprises the Directors' Report required by the Companies Act 2006.

It is constituted as a company limited by guarantee, registered under the Companies Act 2006 with company number 07379443 and its governing document is a Memorandum and Articles of Association, dated 17 September 2010, under company legislation.
By operation of law, all trustees are directors under the Companies Act 2006 and all directors are trustees under charities legislation, and therefore have responsibilities under both company and charity legislation.

Objectives and activities of the charity
Concerts in the West's objectives, as set out in its governing document, are to educate the public in the art of music in all its aspects through the presentation of professional public concerts, talks, workshops and masterclasses.
The trustees have had regard to the Charity Commission's guidance on public benefit in managing the activities of the charity.

Achievements and performance
Started in Ilminster and Lyme Regis in 2006, Concerts in the West has now blossomed into a series of nine or ten concert tours each year by outstanding young musicians. They perform in Devon, Dorset and Somerset over a period of three days. They are all trained to post-graduate level and plan to make classical performance their career. The tours give them the opportunities to perform for small audiences in intimate venues and to work on the same repertoire several times in a short period of time. They find it rewarding, challenging and productive. The audiences are privileged to hear such fine playing outside of London venues.
The 16th Season took place during the period 18 June to 21 November 2021 with the following performances. The late start to the season was due to the continued prevalence of Covid-19. Six tours brought live music back to the South West of England.

Structure, governance and management
The trustees contribute to the day-to-day running of the charity as there are no paid staff currently. The roles undertaken are:
Andrew Maddocks – Chairman and Education Advisor Catherine Maddocks – Executive Director and Artistic Director John Bartholomew – Secretary Peter Lansdown – Front of House
One third of the trustees is required to retire at the Annual General Meeting each year, although those trustees may offer themselves for reappointment. The board of trustees is keen to appoint new members and intends to concentrate on this in the future.

Financial review

Due to Covid-19 audience numbers in 2021 fluctuated and were generally down from previous years. This has affected income levels. Thanks to a generous grant the charity can still function. In addition, the reserves built up over previous years have enabled the charity to continue with its objectives in 2022-23.
The trustees have considered whether it is appropriate for these accounts to be prepared on a going concern basis, given the uncertainty over the next 12 months. Having reviewed the charity's activities since the year-end and its anticipated future operations, the trustees are satisfied that the going concern basis is appropriate.
The trustees consider that the reserves, which are unrestricted, are adequate to support the future needs of the charity and that the charity's assets are available and adequate to fulfil its obligations.

Statement of directors' and trustees' responsibilities
The charity's trustees (who are also directors for the purposes of company law) are responsible for the preparation of the financial statements in accordance with the terms of the Companies Act 2006, the Charities Act 2011 and Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS102) (SORP FRS102).
Company law requires the charity trustees to prepare financial statements for each year which give a true and fair view of the state of affairs of the charitable company and of the incoming resources and application of resources for that period. In preparing the financial statements, the trustees are required to:

select suitable accounting policies and then apply them consistently;
-
observe the methods and principles in the Charities SORP;
-
make judgements and estimates that are reasonable and prudent;
-
state whether applicable UK accounting standards have been followed, subject to any material departures disclosed and explained in the financial statements;
-
prepare the financial statements on the going concern basis unless it is inappropriate to presume that the charity will continue in business.
The trustees are responsible for keeping proper accounting records that disclose with reasonable accuracy at any time the financial position of the charity and to enable them to ensure that the financial statements comply with the Companies Act 2006. They are also responsible for safeguarding the assets of the charity and hence taking reasonable steps for the prevention and detection of fraud and other irregularities.
The trustees are satisfied that the charity is entitled to exemption from the requirement to obtain an audit under section 477 of the Companies Act 2006. The trustees also consider that the audit requirement of Section 144(1) of the Charities Act 2011 does not apply to the charity.
The trustees are also responsible for the contents of the trustees' report, and the statutory responsibility of the independent examiner in relation to the trustees' report is limited to examining the report and ensuring that, on the face of the report, there are no material inconsistencies with the figures disclosed in the financial statements.
This report has been prepared in accordance with the provisions in Part 15 of the Companies Act 2006 applicable to companies subject to the small companies regime.

Report of the independent examiner to the trustees of the charitable company on the accounts for the year ended 31 December 2021
I report on the financial statements of Concerts in the West on pages 6 to 12 for the year ended 31 December 2021.
Respective responsibilities of trustees and examiner
As described on page 4 the charitable company's trustees, who are also the directors of the company for the purposes of company law, are responsible for the preparation of the financial statements.
The trustees consider that the audit requirement of Section 144(1) of the Charities Act 2011 does not apply, and that there is no requirement in the memorandum and articles of the charity for the conducting of an audit, and that the accounts do not require an audit in accordance with Part 16 of the Companies Act 2006 and that no member or members have requested an audit pursuant to section 476 of the Companies Act 2006. As a consequence, the trustees have elected that the financial statements be subject to independent examination.
It is my responsibility to:
-
a) examine the accounts under section 145 of the Charities Act;
-
b) follow the procedures in the General Directions given by the Charity Commission under section 145(5)(b) of the Charities Act; and;
-
c) state whether particular matters have come to my attention.
Basis of independent examiner's statement
My examination was carried out in accordance with general Directions given by the Charity Commission. An examination includes a review of the accounting records kept by the charity and a comparison of the accounts presented with those records. It also includes consideration of any unusual items or disclosures in the accounts, and seeking explanations from the trustees concerning any such matters. The procedures undertaken do not provide all the evidence that would be required in an audit, and consequently no opinion is given as to whether the accounts present a ‘true and fair’ view and the report is limited to those matters set out in the statement below.
Independent examiner's statement
In connection with my examination, no material matter has come to my attention which gives me cause to believe that, in any material respect:

the accounting records were not kept in accordance with section 386 of the Companies Act 2006 and section 130 of the Charities Act 2011; or
-
the accounts did not accord with the accounting records; or
-
the accounts did not comply with the applicable requirements concerning the form and content of accounts set out in the Charities (Accounts and Reports) Regulations 2008 other than any requirement that the accounts give a 'true and fair' view which is not a matter considered part of an independent examination
I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in order to enable a proper understanding of the accounts to be reached.

The trustees are satisfied that the charity is entitled to exemption from the requirement to obtain an audit under section 477 of the Companies Act 2006.
The members have not required the company to obtain an audit in accordance with section 476 of the Act.
The trustees acknowledge their responsibilities for complying with the requirements of the Companies Act 2006 with respect to accounting records and the preparation of accounts.
The accounts have been prepared and delivered in accordance with the special provisions applicable to companies subject to the small companies regime and in accordance with FRS102 SORP.

1 Basis of accounting
The accounts have been prepared under the historical cost convention and in accordance with the Statement of Recommended Practice: Accounting and Reporting by Charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) updated in October 2018 and with the Charities Act 2011.
2 Accounting policies
Income
Income is included in the Statement of Financial Activities (SoFA) when:
-
the charity becomes entitled to the resources;
-
it is more likely than not that the trustees will receive the resources;
-
the monetary value can be measured with sufficient reliability.
There has been no offsetting of assets and liabilities, or income and expenses, unless required or permitted by the FRS 102 SORP or FRS 102.
Grants and donations are only included in the SoFA when the general income recognition criteria are met (5.10 to 5.12 FRS102 SORP).
Gift Aid receivable is included in income when there is a valid declaration from the donor and a claim has been submitted to HMRC by the charity. Any Gift Aid amount recovered on a donation is considered to be part of that gift and is treated as an addition to the same fund as the initial donation unless the donor or the terms of the appeal have specified otherwise.
The value of any voluntary help received is not included in the accounts but is described in the trustees’ annual report.
Membership subscriptions received in the nature of a gift are recognised in Donations and Legacies.
Expenditure and liabilities
Liabilities are recognised where it is more likely than not that there is a legal or constructive obligation committing the charity to pay out resources and the amount of the obligation can be measured with reasonable certainty.
Support costs have been allocated between governance costs and other support. Governance costs comprise all costs involving public accountability of the charity and its compliance with regulation and good practice. Support costs include central functions and have been allocated to activity cost categories on a basis consistent with the use of resources.
Tangible fixed assets
Tangible fixed assets are measured at cost less accumulative depreciation and any accumulative impairment losses. Depreciation is provided on all tangible fixed assets, other than freehold land, at rates calculated to write off the cost, less estimated residual value, of each asset evenly over its expected useful life, as follows:

Debtors
Debtors (including trade debtors and loans receivable) are measured on initial recognition at settlement amount after any trade discounts or amount advanced by the charity. Subsequently, they are measured at the cash or other consideration expected to be received.
Creditors
Short term creditors are measured at transaction price (which is usually the invoice price). Loans and other financial liabilities are initially recognised at transaction price net of any transaction costs and subsequently measured at amortised cost determined using the effective interest method.

The website was upgraded during the year to include a payment facility. The costs of doing so are being written off in equal annual instalments over the estimated economic life of 5 years.
