Trustees' Report for the Year Ended 31 August 2025

The financial statements have been prepared in accordance with the accounting policies set out in the accounts and comply with the charity’s governing document, the Charities Act 2011 and Accounting and Reporting by Charities: Statement of Recommended Practice applicable in the UK and Republic of Ireland.

Structure, Governance and Management

St Aidan’s Day Nursery is registered as a charity with the Charity Commission.

The charity is governed by its Trust Deed dated 20 August 2010.

Trustees from September 2024 to August 2025: Martin Murphy, Katherine Dalgliesh & Claire Inglis.

The trustees and management have reviewed the major risks to which the charity is exposed, and systems or procedures have been put in place to manage those risks, detailed in its mitigating action and status explanations in the minutes.

The day to day running of the nursery is delegated to one manager who splits their time between both sites; however the decisions regarding the overall direction of the charity are determined by the trustees.

Trustees’ recruitment & training

The trustees have the power to appoint new trustees and in the event of a new appointment, appropriate training and induction procedures are arranged.

Objectives and Activities

The charity's objectives are:

To advance the education of children below compulsory school age, by receiving and caring for such children in a day nursery and providing safe and satisfying group play and other activities;

To encourage other activities through which parents may help the children;

To do all such things as shall further the trust;

To carry out such other legal purposes for the advancement of education as the trustees shall from time to time by deed stated to be supplemental to this deed with their unanimous consent declare.

In determining these objectives the Trustees have paid due regard to the Charity Commission guidance on public benefit.

Activities

St Aidan’s Day Nursery now operates from the Harraby Community Campus site only.

With insurance premiums being untenable, staff recruitment/retention business critical, and the site losing money, the chair of trustees wrote to Cumberland Council to formally give notice on 12th February 2024, to terminate the lease and operations at the Victoria Place site from 31st August 2024. As well as notifying all affected parents in writing that same day, management took it upon themselves to individually telephone all parents and deliver this sensitive news as tactfully as possible.

Due to staffing issues, nursery attendance was terminated on 2nd August 2024; affected children continued to attend the Harraby site or relocated to alternative settings.

Achievements and Performance

The Harraby site continus to be recognised as “Outstanding” by Ofsted throughout this audit period.

Debtors continue to be assertively, but sensitively, minimised.

Over 90% of nursery fees are collected prior to the 5th of the following month.

The decision was taken to award a 10% pay rise to all staff in April 2024 to support staff retention, continuity, and morale.

To improve nursery/parental communications, engagement and management, St Aidan’s Day Nurseries committed to a monthly software subscription with Blossom, a renowned nursery software specialist in February 2023. After a successful trial period, this has now been introduced as a permanent feature for parents to access live updates on child learning, development, and welfare.

Fundraising standards information

The charity does not hold any agreements with professional fundraisers or commercial participators.

Risk management

The trustees have assessed the major risks to which the charity is exposed which includes the financing of the charity's operations. The trustees are satisfied that systems are in place to mitigate exposure to the major risks.

Plans for the Future

Since announcing the closure of Victoria Place nursery, efforts to buy land/property as a permanent replacement to the Harraby site have led to a potential site being identified. The trustees have entered into an agreement to purchase the site for a cost of £550,000.

Having outgrown the Harraby site, the new site offers increased revenue opportunities, as well as better office/administration, kitchen, staff room, restroom and outdoor facilities.

The current rent/lease arrangements at Harraby are still under review, following a request to increase the rent from £1,500 pcm to £2,000pcm, from September 2023, which was rejected. It is our understanding that the Harraby Community Centre still themselves don’t have a proper lease in place from their landlord, Cumberland Council, so can’t legally enforce a rent increase on us, as a sublease can't be legally issued to us.

The trustees are keen to be released from the shackles of a landlord and buy a permanent, purpose-built facility to secure the future legacy of St Aidan’s Day Nursery Trust.

Financial Review

The financial position of the charity remains robust, despite unprecedented operational costs.

A decision to add a 10% increase to nursery fees from September 2024 and a cost reduction review with current/new suppliers assisted effectively. Staff continuity, morale and promoting from within continue to play a major role in fulfilling the charity’s objectives; advance children’s education & safeguard their welfare.

The total unrestricted reserves at 31 August 2025 were £1,477,836 with free reserves of £1,417,602 due to £60,234 of reserves being held as tangible fixed assets. The total expenditure for the year was £966,261 which, when apportioned over 2 months, is £161,044 and therefore the charity’s free reserves exceeds the current reserves policy of holding 2 months of expenditure.

The charity is able, should it wish to do so, to deploy reserves to seek alternative or new premises to own, rather than lease, should a favourable location materialise. This continues to be reviewed by the trustees every 6 months.

There were no funds held on 31 August 2025 that were restricted and unavailable for general purposes.

The principal sources of funding for the charity are Government Education Grants and fees paid by parents of the children in the nursery.

Trustees’ Responsibilities in relation to the Financial Statements

The trustees are responsible for preparing the Trustees’ Report and the financial statements in accordance with applicable law and United Kingdom Accounting Standards.

The law applicable to charities in England and Wales requires the trustees to prepare financial statements for each financial year which give a true and fair view of the state of affairs of the charity and of the incoming resources and application of resources of the charity for that period. In preparing these financial statements, the trustees are required to:

The trustees are responsible for keeping proper accounting records that disclose with reasonable accuracy at any time the financial position of the charity and enable them to ensure that the financial statements comply with the Charities Act 2011 as amended by the Charities Act 2022, the Charity (Accounts and Reports) Regulations and the provisions of the trust deed. They are responsible for safeguarding the assets of the charity and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities.

Independent Auditors' Report to the Trustees of St Aidan's Day Nursery Trust

Opinion

We have audited the financial statements of St Aidan's Day Nursery Trust (the 'charity') for the year ended 31 August 2025, set out on pages 9 to 20 which comprise the Statement of Financial Activities, the Balance Sheet, the Statement of Cash Flows and the related notes. The financial reporting framework that has been applied in their preparation is applicable law and United Kingdom Accountign Standards, including Financial Reporting Standard 102 (FRS 102) The Financial Reporting Standard applicable in the UK and Republic of Ireland (United Kingdom Generally Accepted Accounting Practice).

In our opinion the financial statements:

Basis for opinion

We conducted our audit in accordance with International Standards on Auditing (UK) (ISAs (UK)) and applicable law. Our responsibilities under those standards are further described in the Auditor's responsibilities for the audit of the financial statements section of our report. We are independent of the charity in accordance with the ethical requirements that are relevant to our audit of the financial statements in the UK, including the FRC’s Ethical Standard and we have fulfilled our other ethical responsibilities in accordance with these requirements. We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our opinion.

Conclusions relating to going concern

In auditing the financial statements, we have concluded that the trustee’s use of the going concern basis of accounting in the preparation of the financial statements is appropriate.

Based on the work we have performed, we have not identified any material uncertainties relating to events or conditions that, individually or collectively, may cast significant doubt on the charity's ability to continue as a going concern for a period of at least 12 months from when the financial statements are authorised for issue.

Our responsibilities and the responsibilities of the trustees with respect to going concern are described in the relevant sections of this report.

Other information

The other information comprises the information included in the annual report, other than the financial statements and our auditor’s report thereon. The trustees are responsible for the other information. Our opinion on the financial statements does not cover the other information and we do not express any form of assurance conclusion thereon. In connection with our audit of the financial statements, our responsibility is to read the other information and, in doing so, consider whether the other information is materially inconsistent with the financial statements or our knowledge obtained in the audit or otherwise appears to be materially misstated. If we identify such material inconsistencies or apparent material misstatements, we are required to determine whether there is a material misstatement in the financial statements or a material misstatement of the other information. If, based on the work we have performed, we conclude that there is a material misstatement of this other information, we are required to report that fact.

We have nothing to report in this regard.

Matters on which we are required to report by exception

In the light of the knowledge and understanding of the Charity and its environment obtained in the course of the audit, we have not identified material misstatements in the Trustees’ Annual Report.

We have nothing to report in respect of the following matters where the Charities (Accounts and Reports) Regulations 2008 requires us to report to you if, in our opinion:

Our objectives are to obtain reasonable assurance about whether the financial statements as a whole are free from material misstatements, whether due to fraud or error, and to issue an auditor’s report that includes our opinion. Reasonable assurance is a high level of assurance but is not a guarantee that an audit conducted in accordance with ISAs (UK) will always detect a material misstatement when it exists. Misstatements can arise from fraud or error and are considered material, if individually or in aggregate, they could reasonably be expected to influence the economic decisions of users taken on the basis of these financial statements.

A further description of our responsibilities for the audit of the financial statements is located on the Financial Reporting Council’s website at www.frc.org.uk/auditresponsibilities. This description forms part of our auditor's report.

Responsibilities of trustees

As explained more fully in the Trustees' Responsibilities Statement set out on page 5, the trustees are responsible for the preparation of the Financial Statements which give a true and fair view, and for such internal control as the trustees determine is necessary to enable the preparation of Financial Statements that are free from material misstatement, whether due to fraud or error.

In preparing the financial statements, the trustees are responsible for assessing the charity's ability to continue as a going concern, disclosing, as applicable, matters related to going concern and using the going concern basis of accounting unless the trustees either intend to liquidate the company or to cease operations, or have no realistic alternative but to do so.

Our responsibilities for the audit of the financial statements

We identify and assess the risks of material misstatement of the financial statements, whether due to fraud or error, and then design and perform audit procedures responsive to those risks, including obtaining audit evidence that is sufficient and appropriate to provide a basis for our opinion.

In identifying and assessing risks of material misstatement in respect of irregularities, including fraud and non-compliance with laws and regulations, we considered the following:

Page 7

Independent Auditors’ Report to the Trustees of St Aidan's Day Nursery Trust

seseeeee CONtiINUCH

As a result of these procedures, we considered the opportunities and incentives that may exist within the organisation for fraud and identified the greatest potential for fraud to be in relation to revenue recognition and management override which, in common with all audits under ISAs (UK), we are required to perform specific procedures to respond to this risk.

We also obtained an understanding of the legal and regulatory framework that the charity operates in, focusing on provisions of those laws and regulations that had a direct effect on the determination of material amounts and disclosures in the financial statements. The key laws and regulations we considered in this context was the Charities Act.

As a result of performing the above, in response to the risks identified, we did not identify any key audit matters related to the potential risk of fraud or non-compliance with laws and regulations. In addition to the above, our procedures to respond to risks identified included the following:

We also communicated relevant identified laws and regulations and potential fraud risks to all engagement team members and remained alert to any indications of fraud or non-compliance with laws and regulations throughout the audit.

Use of our report

This report is made soley to the charity's trustees, in accordance with Part 4 of the Charities (Accounts and Reports) Regulations 2008. Our audit work has been undertaken so that we might state to the charity's trustees those matters we are required to state to them in an auditor's report and for no other purpose. To the fullest extent permitted by law, we do not accept or assume responsibility to anyone other than the charity and the charity's trustees , for our audit work, for this report, or for the opinions we have formed.

1 Accounting policies

Statement of compliance

The accounts (financial statements) have been prepared in accordance with the Statement of Recommended Practice: Accounting and Reporting by Charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) and the Financial Reporting Standard applicable in the United Kingdom and Republic of Ireland (FRS 102) and the Charities Act 2011 and UK Generally Accepted Practice as it applies from 1 January 2019. The accounts (financial statements) have been prepared to give a ‘true and fair’ view and have departed from the Charities (Accounts and Reports) Regulations 2008 only to the extent required to provide a ‘true and fair view’. This departure has involved following Accounting and Reporting by Charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) rather than the Accounting and Reporting by Charities:Statement of Recommended Practice effective from 1 April 2005 which has since been withdrawn.

Basis of preparation

The charity meets the definition of a public benefit entity under FRS 102. Assets and liabilities are initially recognised at historical cost or transaction value unless otherwise stated in the relevant accounting policy notes.

Going concern

These financial statements have been prepared on a going concern basis. The trustees assess whether the use of going concern is appropriate i.e. whether there are any material uncertainties related to events or conditions that may cast significant doubt on the ability of the Charity to continue as a going concern, The trustees make this assessment in respect of a period of one year from the date of approval of the financial statements.

Fund accounting policy

Unrestricted income funds are general funds that are available for use at the trustees’ discretion in furtherance of the objectives of the charity.

Further details of each fund are disclosed in note 18.

Income and endowments

Income derived from events is recognised as earned (that is, as the related goods or services are provided).

Investment income is recognised on a receivable basis.

Income from charitable activities includes income recognised as earned (as the related goods or services are provided) under contract or where entitlement to grant funding is subject to specific performance conditions.

Grants are recognised when the charity has an entitlement to the funds and any conditions linked to the grants have been met. Where performance conditions are attached to the grant and are yet to be met, the income is recognised asa liability and included on the balance sheet as deferred income to be released.

Income from Government and other grants, whether ‘capital’ grants or 'revenue' grants, is recognised when the charity has entitlement to the funds, any performance conditions attached to the grants have been met, it is probable that income will be received and the amount can be measured reliably and is not deferred.

Expenditure

Liabilities are recognised as soon as there is a legal or constructive obligation committing the charity to the expenditure. All expenditure is accounted for on an accruals basis and has been classified under headings that aggregate all costs related to the category.

Costs of raising funds are the costs of trading for fundraising purposes.

Charitable expenditure comprises those costs incurred by the charity in the delivery of its activities and services for its beneficiaries. It includes both costs that can be allocated directly to such activities and those costs of an indirect nature necessary to support them.

Support costs

Support costs include central functions and have been allocated to activity cost categories on a basis consistent with the use of resources, for example, allocating property costs by floor areas, or per capita, staff costs by the time spent and other costs by their usage.

Fixed assets

Individual fixed assets costing £100 or more are initially recorded at cost.

Depreciation

Depreciation is provided on tangible fixed assets so as to write off the cost or valuation, less any estimated residual value, over their expected useful economic life as follows:

Furniture and equipment 15% reducing balance basis Toys and playthings 33% reducing balance basis

Cash and Cash Equivalents

Cash and cash equivalents comprise cash on hand and call deposits, and other short-term highly liquid investments that are readily convertible to a known amount of cash and are subject to an insignificant risk of change in value.

Operating leases

Rentals payable under operating leases are charged in the statement of financial activities on a straight line basis over the lease term.

Pensions

The charity operates a defined contribution pension scheme. Contributions are charged in the statement of financial activities as they become payable in accordance with the rules of the scheme.
