The Trustees present their Annual Report and Financial Statements for the period ended 31 August 2024.
Annual Report- Summary Objertlves
The mission of Ribble Valley Jazz and Blues is to promote and develop the cultural, economic and social benefits of jazz
& blues music to individuals and communities in the North West from its base in Clitheroe and the Ribble Valley.
This long-term goal will be achieved by.. -
creating a thriving jazz & blues community, involving both musicians and fans in planning and developing jazz & blues
appreciation and participation;
ensuring the future of jazz and blues by prioritising the involvement of young people in performing and appreciating
jazz and blues music.
facilitating the enjoyment and appreciation of jazz and blues music by providing a variety of opportunities for the
performance of jazz and blues music primarily in Clitheroe & the Ribble Valley,.
encouraging the sharing of knowledge. information and skills in a stimulating and entertaining environment,. and
working collaboratively with voluntary, public and private sector organisations who have a mutual interest in
promoting the cultural, economic and social a55ets of Clitheroe & Ribble Valley.
Annual Report - Constitution and Organisational Structure
Ribble Valley Jazz & Blues IRVJ&BI is a registered charity and a company limited by guarantee. with directors of the
company also being trustees of the Charity. This forms the Board of Trustees. Charitable status was sought, and
obtained, to help R VJ&B fulfil its broad-based mission to further widespread interest and enthusiasm for jazz & blues
music. especially by young people.
The affairs ofthe charity are governed by its Memorandum & Articles of Association, which specify a minimum of three
operational trustee/director5. Additional directors, who must be at least 16 years old and must be members of RVJ&B,
are elected by the Board ofTrustees or by a General Meeting of the charitvs members. General Meetings ofthe
charit¢s members must be held annually, the first one having been held on 18th April 2012. A pre-determined number
of directors are required to retire. in rotation, before each Annual General Meeting of the charity, but these directors
may be immediately re-elected by the Meeting.
New directors are inducted into the legal structure, and the operational and financial management of RVJ&B as soon as
possible after their appointment. Other training is offered to directors as the need arises. Meetings of the Board of
Directors normally take place every two months, or more frequently if required. These Board meetings maintain
oversight of the charitls business and strategy. In addition, separate sub-committees handle the day to day finance.

Summary of activities for 2023124
All direttors are jointly responsible for submitting correct Company reports. There is now an independent minute
taker for all Trustee Board meeting5. While all directors are joint5y responsible for the charity's finances, the task
of detailed oversight is assigned to a Treasurer, who must be a director. Further professional advice on the legal
or financial aspects of the charity's operations is sought where required. RVJ&B has a reserves policy that
requires a f inancial reserve to be held which is sufficient to cover emergency expenditure that might arise,
currently set at £3,000. This. together with typical reserve5 in the current account. would normally be at a level of
approximately one third of the charitW5 annua5 financial turnover. The Directors continue to seek grant,
sponsorship and earned income to build the company reserves and help ensure long-term 5UStainability.
The Company has a number of formal written policies and procedures, covering such issues as Health and Safety,
and Safeguarding, Conflict of Interest, and Data Protection. These policies and procedure5 are reviewed regularlv
on an annual basis. Further policies and procedures are currently being written up, such as that of Financial
Procedures, Recruitment and Volunteer Management, to formalize existing Company practice.
A summary of the activities during the year and plans for the future are glven in Appendix A.
Annual Report- Flnancial Revlew
The Charity incorporated into a Company Limited by Guarantee on the 26 July 2010. The company has applied
appropriate financial management coritrol over its activities throughout the period, administered through the
Finance and General Purposes Committee of Trustees.
Overall the Charity generated income of £61,54312023 £49,737), including £19,250 from the first 50% of the Arts
Council Development Grant, and spent £59,30812023 £53,452), resulting in a surplus of £2,23512023 deficit of
£3,715). This surplus result5 from a net contribution from the Arts Council Fund of £ 6,500, which will be
restritted to undertake activitie5 Specified to the grant offer.
The 2024 Festival, although it was a great cultural success, made a significant deficit, which legitimately utilised
Arts Council funding to support band and venue costs, education workshops and marketing to move toward5
break-even. Ticket sales for the festival were down by over 40% from the previous year, which has resulted in a
review for 2025 in anticipation that sales will be restored to 2023 levels. The budget has been set with this in
mind. Other headline gigs at the Grand have also had to be subsidised from Arts Council funding, as we try to
develop audiences towards a younger and more diverse clientele, whi15t still retaining the integrity of the
artform. Nationally this is not an easy task outside of major population conurbations.
At 31 August 2024 total Funds were £16,98512023 £14,750) of which £6,500 was restricted to activities Specified
in the Arts Council grant offer, leaving £10.485 in unrestricted funds available to 5UPPOrt general attivities. A
further 40%1£15.4001 of the grant will be received in 2025 with the final IO% in 2026 on completion of the final
report, although these will a150 be restricted to activities specified in the grant offer. The Charity has sufficient
funds to ensure it is a going concern able to meet its commitments for the foreseeable future.

Responslbilities of the Board of Trustees
As Trustees and Directors, the Board of Trustees is required by charity and companylaws to prepare
financial Statements for each financial period which give a true and fair view of the state of affairs for
the Company (also the Charity) and of the surplus or deficit for that period.
In preparing those financial statements, the Board of Trustees is required to
select 5Ultable accounting policies and apply them consistently,.
• make judgements and estimates that are reasonable and prudent-
state whether applicable accounting standards have been followed, subject to any material
departures disclosed and explained in the financial statements;
prepare the financial statements on the going con￿rn basis unless it is inappropriate to presume
that the company will continue in business.

The Board of Trustees is responsible for keeping proper accounting records which disclose with reasonable
accuracy at any time, the financial position of the Company and ensuring that the financial statements
comply with the relevant Companies and Charities Acts. It is also responsible for safeguarding the assets of
the Company and hence for taking reasonable step5 for the prevention and detection of fraud and other
irregularities.
Tax Status
The Company is a Registered Charity and qualifies for corporation tax exemption.

Independent Examiner's Report to the Trustees of Ribble Valley Jazz And Blues Llmited
I report on the accounts of the Trust for the year ended 31 August 2024, which are set out on pages I to I
Respective responsibilities of Trustees and Examiner
The Trustees of the Charity (also Director5 of the Company) are responsible for the preparation of the
accounts. The Charity's Trustees consider that an audit is not required for this year under section 144 of tF
Charitie5 Act 2011 (the Charities Act) and that an independent examination 15 needed.
It is my responsibility to
examine the accounts (under section 145 of the Charities Act);
to follow the procedure5 laid down in the General Directions given by the Charity Commissioners
(under section 145 (5){bl of the Charities Act) and
to state whether particular matters have come to my attention.
Basis of Independent Examlner's report
My examination was carried out in accordance with the General Dirertions given by the Charity
Commissioners. An examination include5 a review of the accounting records kept by the charity and a
comparison of the accounts presented with those records. It also includes consideration of any unusual
items or disclosures in the accounts, and seeking explanations from you a5 trustees concerning any such
matters. The procedure5 undertaken do not provide all the evidence that would be required in an audit, a
consequently no opinion is given as to whetherthe accounts present a'true and fair view and the report
is limited to those matters set out in the statement below:

In connection with my examination, no matter ha5 come to my attention:
l) which gives me reasonable cause to believe that, in any material respect, the requirements
to keep accounting records in accordance with section 130 of the Act;

Directors Report on Activities
All of the activities of RVJ&B are only possible due to the enthusiasm and
hard work by the Club Trustees and a dedicated group of volunteers.
RVJ&B continues to support an ambitlous programme of charitable arts-based jazz
and blues activities through the year, prioritising these areas of activity.,
A yearly Jazz and Blues Festival over the early May Bank Holiday weekend
Events acr055 the Ribble Valley including jazz and blues performances in
villages and hospitality venues around the Ribble Valley.
Performance readiness by both community bands- Ribble Valley
Jazz Big Band; and Elbow Room
Increased participation by young people.
Increased diversity among musicians and audience as well as within RVJ&B
Increased education activities as we strengthen improvisation workshop5
A monthlyjazz jam welcoming new attendees.
Weekly radio shows in association with RibbleFM from a broad range of
Presenters.
The RVJ&B Festival was again a succes5 in terms of musicality and audience
numbers. However, for a number of reasons it was not a success financially
and lessons have been learned in relation to realistic pricing of headline event5.

The Club runs a monthly Jazz Jam and networking session for musicians once a month which is very
well attended by local and so local musicians. The Low Moor Club in Clitheroe hosts these jazz jam
sessions during the year with an average of about 15 musicians, the resident backing trio and a good
complement of regular listeners.
There are also improvisation tuition sessions at the Low Moor Club as well as the Elbow Room
rehearsals both which continue to encourage improvements in the standard of playing and
performance with an increasing number of players
joining in on the activities. Elbow Room, the group formed from Women in Jazz

have performed a number of times during the year. Both of these groups continue to be led by Trish
Ferrarin who does an amazing job supporting local music and musicians.
The Spread Eagle in Sawley has a bi-monthly Dinner Jazz event put on by RVJBC. These are very much
'Straight Ahead Jazz, and are always well attended. Many thanks to Geoff Jackson and now Ed Lomax
for organising these events.
Ribble Valley Jazz Big Band have had a very successful year. They now have a full complement of
musicians and have made a number of live performances during the year. This year, the band is
stepping up a gear by participating in a competition at the Great North Big Band Festival in Chester-le
Street, County Durham.
The Club has a weekly 5POt on Ribble FM where two hours of music every Wednesday evening is
hosted by a member of RVJ&B. Thanks to the hosts of these shows- Sue Bradley, Ivana Douglas, Phil
Lee and Alan Bramwell, Paul Rigby, Miles Peachey and David Walters.
The Club has established a Youth Group which regularly meet5 to discuss ways to encourage jazz and
blues music amongst the younger population of the Ribble Valley.
RVJ&B continues to support an ambitious programme of charitable arts-based
jazz and blues activities through the next year, prioritising these areas of activity:
The Club was successful in its bid to the Arts Council for £40k development
funding to enhance the Club's activitie5 and widening participation,
This bid is for a period of two years and many thanks to Kate Lowes
and Emily Lord of the Grand for undertaking the majority of the work in
submitting this bid. Funding will support audience
development and strengthen our network with input from Black Live5 in Music,
Attitude 15 Everything, Brighter Sounds and Julie's Bicycle.
RVJ&B Annual Report of Community Activities
The Ribble Valley Jazz Big Band had a successful year participating for the first time, in a big band
competition in Chester-le Street in the North East. With stiff competition from University Big Bands
from places like Edinburgh, Newcastle, Durham and Leeds, the band managed to acquit itself well
although it did not win a prize. Each band was allowed a 20 minute programme; in our case we played
quite a complex set of 5 pieces beginning with Charles Mingus, Pedal Point Blues and finishing with
the Maynard Ferguson version of Coconut Champagne. The feedback from the judges was positive
emphasi5ing our goods points rather than dwelling on the things which were not quite right. Having
performed to the expected standard, the band have been invited back this year. The band also played
at the Jazz Festival with a large audience turnout at the United Reform Church, The following day, the
band played a joint gig with the Bay Band from Morecambe at the quarterly big band event at the
Continental in Preston run by our band leader, Paul Rigby.
The Jazz Jam once a month at the Low Moor Club continues to go from strength to strength. On most
occasions at least 15 players turn up and are supported with a back line of keys, bass and drums led
by Trish Ferrarin. The back line always do a fantastic job having to play at sight anything that is thrown
at them during the evening without any previou5 knowledge of what tune might turn up. Besides
numerous tenor saxophones, alto sax, clarinet, flute, trumpet and trombone regularly feature in the
line-up a5 well as occasionally cello, violin and ukelele. Audience size has continued to grow over the
past year with over 50 people attending apart from the players. We are very fortunate to have a

venue like the Low Moor Club which is just fine for this type of event. Thanks must go as well to
Wayne and Sue who put in a lot of effort to set things up for the players as well as playing during the
evening themselves.
Jazz Improvisation Workshop once a month, Trish Ferrarin leads a jazz improvisation workshop at the
Club. Currently, there are around 12 participants in the group who attempt to get their heads around
the finer points of jazz theory. This enables players to develop their improvisation skills enabling them
to create and sustain more complex and more interesting solos not only for their own benefit but also
for the audiences who will subsequently hear them. The organisation of the workshops is such that
they take place normally a few days before the Jazz Jam. This gives the players a great opportunity to
analyse their 501os and experiment, building confidence in a way that allow them to perform at a
higher standard when the Jazz Jam takes place.
Elbow Room is a project which provides a regular rehearsal space and a supportive atmosphere
where women can make progress in playing jazz music. It's musical director is Trish Ferrarin. Whether
it'5 playing in an ensemble, improvising or taking a solo, Elbow Room's objective is to build the
confidence of women playing jazz wherever they want- whether in big bands or in the local jazzjam.
Elbow Room loves to develop new projects in collaboration with others, learning new music and
approache5 to exploring jazz. The group has developed a varied repertoire, this year enjoying working
with a vocalist and finalist in last yearfs Jackson J&B Awards, as well as holding joint rehearsals with
the Lancaster based world music big band Off the Rails. Elbow Room have worked with and supporter
headliners in the club's annual gig for International Women's Day for the last three years.
