The Trustees present their report with the financial statements of the charity for the year ended 31 March 2023.
The financial statements comply with the Charities Act 2011, the Constitution, and Charity Commission Guidance for Charities preparing their accounts on the Receipts and Payments basis.

Structure, Governance and Management
Governing Document:
Friends of Oakhill Goole started the year as a company limited by guarantee governed by its Memorandum and Articles of Association adopted on 19[th] March 2007 and amended on 25[th] August 2010.
During the year it used the conversion process to convert to a Charitable Incorporated Organisation (CIO) governed by a Constitution (foundation model) dated 18[th] October 2022 and amended on 10[th] June 2023.
The charity was originally incorporated as a company on 19[th] March 2007 and registered as a charity on 9[th] September 2010. The conversion process to change the structure from a Limited company to a CIO was completed on 18[th] October 2022.
All of the Trustees are members of the Charity. If the CIO is wound up, the members of the CIO have no liability to contribute to its assets and no personal responsibility for settling its debts and liabilities.

Governing Body:
The responsibility to ensure appropriate governance and management of the charity is vested in the trustees.
Appointment of Trustees:
The appointment of trustees is in accordance with the constitution. There must be at least 3 charity trustees and the maximum number of charity trustees is 12.
Every trustee must be appointed for a term of three years by a resolution passed at a properly convened meeting of the charity trustees.
In selecting individuals for appointment as charity trustees, the charity trustees must have regard to the skills, knowledge and experience needed for the effective administration of the CIO.
All Trustees are provided with a current copy of the Constitution and a copy of the CIO’s latest Trustees Annual Report and Financial Statements.
Objectives and Activities
The Charity’s objects as per the Constitution are:
To advance the education of the public in conservation, protection and improvement of the physical and natural environment.
The principal activities are to:

Protect and develop Oakhill for nature conservation, environmental education and public employment, both through its own initiatives and activities and in partnership with other bodies.

Develop facilities and services that support these aims.

Prevent abuse of Oakhill by working with Humberside Police and the East Riding of Yorkshire Council to, as far as practicable, secure and protect the site.
Public Benefit:
The trustees confirm that they have complied with the duty, contained in Section 17 of the Charities Act 2011, to have due regard to the guidance on public benefit issued by the Charity Commission. The charitable purpose of the charity within the meaning of the act is contained within its objectives stated above.

Achievements and Performance
This year, Trustees decided to convert Friends of Oakhill from a Company Ltd by Guarantee to a CIO (Charitable Incorporated Organisation). A new bespoke Constitution was prepared and accepted by the Charity Commission, and with all the relevant documentation forwarded, conversion completed in October 2022.
To coincide with the conversion, Trustees unanimously agreed to change our organisation's name to Friends of Oakhill Goole, reflecting and emphasising our local identity. This conversion removes a level of administration required by Companies House and new procedures are simplified.
Following the sad death of her Majesty in September 2022, in her honour, Trustees decided to create a wildflower meadow in the area known as The Meadow. Preparation commenced in early 2023 ready for sowing in Spring. It will be named "Queen Elizabeth Memorial Meadow". Tentative enquiries were made about a possible Royal Visit upon completion.
In memory of our devoted trustee, John Kay, who passed away in February 2022, it was decided to purchase a bench dedicated to him. Photographs have been sent to his family of suggested locations. An amount from his estate is available to contribute towards the cost.
From the Town Deal funding, direction markers have been installed on site. New benches and tables have also been positioned. The installation of Information Boards is imminent. This was managed by the Towns Board and the East Riding of Yorkshire Council Countryside Access Team on behalf of Friends of Oakhill Goole.
East Riding of Yorkshire Council Countryside Access Team have carried out essential site maintenance including treating Japanese Knotweed and removing Himalayan Balsam together with overgrown Willow. A dedicated band of volunteers have carried out litter pickings throughout the year and the site is relatively tidy.
There has been liaison with our MP's office regarding Network Rail restricting access on to Oakhill from the Rawcliffe area. Discussions are ongoing.
Friends of Oakhill Goole continue to be a partner on Together for Goole, a network of local voluntary organisations.

Future Plans
Following the receipt of extra funding, a programme of projects will be formulated and other funding sources will be sought for extra projects.
Trustees will seek to increase our volunteer base, which was greatly reduced during the Covid period, to perform necessary tasks on site thus protecting the natural habitat and enhancing visitors' experience.
A visitor centre is still an aspiration which will be a useful asset when facilitating educational visits by local schools.
Financial Review
Financial regulations:
The financial statements have been prepared on a Receipts and Payments basis in accordance with Charity Commission Guidance, the accounting policies are set out on page 12 and comply with the Charity’s Constitution.
Financial Results:
Income for the year was £696 (2022: £494), expenditure for the year was £721 (2022: £581). Total funds at 31 March 2023 amounted to £2,569 (2022: £2,594) of which £1,577 (2022: £1,589) was held in unrestricted funds and £992 (2022: £1,005) was held in restricted funds.
A breakdown of funds is shown at Note 2 to the Financial Statements on page 13.
Reserves Policy:
The Charity reviews the reserves on a regular basis and is satisfied with the level of reserves held to support the ongoing work of the Charity.

Statement of disclosure of information to Independent Examiner
We, the Trustees of the Charity who held office at the date of approval of these financial statements, each confirm so far as we are aware, that:

there is no relevant information of which the Charity’s Independent Examiner is unaware; and
-
we have taken all the steps that we ought to have taken as Trustees in order to make ourselves aware of any relevant information and to establish that the Charity’s independent examiners are aware of that information.
Statement of Trustees’ responsibilities
Charity law requires the trustees to prepare financial statements for each financial year which give a true picture of the transactions that have occurred in relation to the charity. The charity have prepared their accounts on the Receipts and Payments basis which is an acceptable format for a non-company charity with an income below £250,000.
The trustees are responsible for keeping proper accounting records which disclose with reasonable accuracy at any time the financial position of the Charity and to enable them to ensure that the financial statements comply with the Charities Act 2011. They are also responsible for safeguarding the assets of the charity and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities.

Independent Examiner’s Report to the Members of Friends of Oakhill Goole
I report on the accounts of Friends of Oakhill Goole for the year ended 31 March 2023, which are set out on pages 10 to 13.
Responsibilities and basis of report
The charity’s trustees are responsible for the preparation of the accounts in accordance with the requirements of the Charities Act 2011 (“the Act”).
I report in respect of my examination of the Trust’s accounts carried out under section 145 of the 2011 Act and in carrying out my examination, I have followed the applicable Directions given by the Charity Commission under section 145(5)(b) of the Act.
Independent Examiners Statement:
I have completed my examination. I confirm that no material matters have come to my attention in connection with the examination which gives me cause to believe that in, any material respect:

accounting records were not kept in accordance with section 130 of the Act or
-
the accounts do not accord with the accounting records
I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in order to enable a proper understanding of the accounts to be reached.

1. Accounting policies
1.1. Basis of Preparation
The charity have prepared their accounts on the Receipts and Payments basis in line with Charity Commission guidance. This is an acceptable format for a non-company charity with an income below £250,000.
During the year the Charity converted from a Charitable Limited Company to a Charitable Incorporated Organisation. Due to the different legal accounting requirements the accounts for the prior year have been restated from the accruals accounting format to the Receipts and Payments accounting format.

1.2. Going Concern
The Trustees consider the Charity to be a going concern. The accounts have been prepared on this basis.
1.3. Fund accounting
Restricted funds are funds which are to be used in accordance with specific restrictions imposed by donors. Restricted funds are accounted for separately to each other and to the core funding of the company.
General funds are unrestricted funds which are available for use at the discretion of the trustees in the furtherance of the general objectives of the charity and which have not been designated for other purposes.

2. Restricted funds (continued)
A brief description of each of the Restricted Funds is given below:
Rotary Club
Restricted donations were received in a prior year for wildflowers, trees and bulbs.
Goole Lottery Fund
Restricted funding was received for first aid equipment.
Goole in Bloom
Restricted funding was received for wildflowers, trees and bulbs.
TCV/TK Maxx
Restricted funding was received for site management, tree planting and litter management.
3. Trustees remuneration
No remuneration directly or indirectly out of the funds of the company was paid or payable for the year to any trustee.
There was no reimbursement of expenses amounting to trustee in respect of the year.
4. Going Concern
Trustees consider the Charity to be a going concern for a period of at least 12 months after the date on the Independent Examiners report as the Charity is volunteer-led and run.
Partnerships with East Riding of Yorkshire Council Countryside Access Team and Siemens are ongoing and have led to improvements of the Oakhill site.
