## **TRUSTEES’ REPORT** 

## _**for the year ended 31[st] December 2022**_

The Trustees are pleased to present their report and financial statements for the year ended 31[st] December 2022. 

The financial statements have been prepared in accordance with the accounting policies set out in note 1 to the accounts and comply with the organisation’s governing document, applicable law and the requirements of the Statement of Recommended Practice, “Accounting and Reporting by Charities” applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102). 

## **Structure, governance and management** 

The organisation was originally established by a committee meeting held on 20[th] January 2008. On 21[st] March 2010, an updated constitution was approved at the annual general meeting, leading to registration as a charity by the Charity Commission on 9[th] April 2010. 

## **Trustees** 

The trustees who served during the year to 31[st] December 2022 and to the date of this report were:

**Treasurer** : Originally recorded in last year’s accounts, with extreme sadness, was the death during the current year under review of Colin Pugh, our Treasurer.  Colin helped to set up _Just Springers Rescue_ in 2008, having previously worked for English Springer Spaniel Welfare as a home checker and dog assessor.  He guided _JSR_ to a solid financial state for which will always be grateful.  On 4[th] August 2022, Stuart Green was appointed as a Trustee and as Treasurer, and, as required, was reappointed at the first AGM thereafter (2022). 

Under the bye-laws Trustees are required to resign at the AGM held three years after their election. There being no Trustees that fulfil this criteria there will be no resignations at the next AGM.

Under the charity’s bye-laws, committee members are required to resign at the AGM held three years after their election but, if eligible, may offer themselves for re-election.  The members doing so under the bye-laws are Mr A Smith and Mr A P Trevan who, being eligible, offer themselves for re-election. 

## **Objectives and activities** 

The objectives of the organisation are: 

- For the benefit of the public, to relieve the suffering of springer spaniels in need of care and attention and, in particular, to provide and maintain rescue homes or other facilities for the reception, care and treatment of such animals; and 

- To promote humane behaviour towards springer spaniels by providing appropriate care, protection, treatment and security for those in need of care and attention by reason of sickness, maltreatment, poor circumstances or ill usage and to educate the public in matters pertaining to animal welfare in general and the prevention of cruelty and suffering among springer spaniels. 

At present, activities are principally, but not exclusively, limited to the counties of Surrey, Sussex, Kent, Hampshire, South East London and parts of Berkshire and Essex. 

## **Achievements and performance** 

_**Dogs Rehomed:**_ As the difficulties endured during the Covid 19 pandemic recede it is pleasing that 17 dogs had been rescued and successfully rehomed by the year-end (2021, ten). 

_**Donations:**_ Total donations and legacies amounted to £36,737 during the year, an improvement of £26,016 over the previous year’s income of £10,721. Two legacies were received of £10,000 and £14,000 each totalling £24,000. The charity also received £1,090 in memoriam of Colin Pugh, the charity’s late treasurer. 

_**Charitable status:** JSR_ continues to enjoy charity status; the two main benefits arising from this being that: donations may be made to _JSR_ under _Gift Aid_ , allowing _JSR_ to reclaim basic rate tax on the gifts; and no tax is due on any profits made by _JSR_ .  These accounts reflect both gift aid received, claimed and also due to be claimed. 

_**Website:**_ The website – _www.justspringersrescue.co.uk_ – continues to give an introduction to the work of _JSR_ , news, contact details and relevant links. 

## **Financial Review and Reserves Policy** 

Financially, the effects of the recent pandemic appear to be receding and this resulted in a surplus of income over expenditure of £15,179 in the year as opposed to a deficit of £2,952 in 2021. Details of all sources of income and expenditure are given within the accounts that follow. 

It is the policy of the trustees that unrestricted funds which have not been designated for a specific use should be maintained at a level equivalent to around nine months’ expenditure. The trustees consider that reserves at this level will ensure that, in the event of a significant drop in funding, they will be able to continue the organisation’s current activities, while consideration is given to ways in which additional funds may be raised.  This level of reserves was achieved within six months of the organisation being set up and has been maintained since then.

## **Risk Policy** 

The trustees have assessed the major risks to which the organisation is exposed as being: an accident or series of accidents arising from the activities of the organisation.  Insurance cover has therefore been taken out of £2.5 million in respect of public liability, £2.5 million re memberto-member liability and £2.5 million in respect of members’ personal liability.  Covers apply while rescuing, temporarily accommodating and rehoming up to 100 dogs per year.  The premium also includes cover for the _JSR_ Show and property ie kennels, gazebos etc. 

## **Plans for Future Periods** 

The future plans for the organisation include: 

- Continuing the work of rehoming dogs and ensuring that rehoming is actually in the best interests of the dog; alternatively, counselling the existing owner, resulting in the owner retaining the dog.

I report on the accounts of the organisation for the year ended 31[st] December 2022, which are set out on pages 7 to 12. 

## **Respective responsibilities of trustees and examiner** 

As the trustees of _Just Springers Rescue_ , you are responsible for the preparation of the accounts; you consider that the audit requirement of section 43(2) of the Charities Act 1993 (the Act) does not apply.  It is my responsibility to state, on the basis of procedures specified in the General Directions given by the Charity Commissioners under section 43(7)(b) of the Act, whether particular matters have come to my attention. 

## **Basis of independent examiner’s report** 

My examination was carried out in accordance with the General Directions given by the Charity Commissioners.  An examination includes a review of the accounting records kept by the charity and a comparison of the accounts presented with those records.  It also includes consideration of any unusual items or disclosures in the accounts, and seeking explanations from you as trustees concerning any such matters.  The procedures undertaken do not provide all the evidence that would be required in an audit, and, consequently, I do not express an audit opinion on the view given by the accounts. 

## **Independent examiner’s statement** 

In connection with my examination, no matter has come to my attention: 

- (a) which gives me reasonable cause to believe that, in any material respect, the requirements: 

   - (i) to keep accounting records in accordance with section 41 of the Act; and 

   - (ii) to prepare accounts which accord with the accounting records and to comply with the accounting requirements of the Act; 

have not been met; or 

- (b)   to which, in my opinion, attention should be drawn, in order to enable a proper understanding of the accounts to be reached.

## **1.1 Basis of preparation** 

The financial statements have been prepared in accordance with Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102). Assets and liabilities are initially recognised at historical cost or transaction value unless otherwise stated in the relevant accounting policy note(s). 

Under FRS 102, the Charity is exempt from the requirement to prepare a cash flow statement on the grounds of its size. 

## **1.2 Incoming resources** 

Income is comprised of donations, fundraising activities (including sales of cards, calendars etc), accounted for when received.  An income accrual is only made in respect of any gift aid claim outstanding. 

## **1.3 Resources expended** 

Expenditure is accounted for on an accruals basis and includes attributable VAT which cannot be recovered. 

## **1.4 Tangible fixed assets and depreciation** 

Tangible fixed assets other than freehold land are stated at cost less depreciation. Once an asset has been commissioned, depreciation is provided at rates calculated to write off the cost less estimated residual value of each asset over its expected useful life.  All assets currently held are being written off at 20% of their original cost per year over five years (see note 10). 

## **1.5 Accumulated funds** 

Restricted funds are subject to specific conditions as to how they may be used.  The purposes and uses of the restricted funds are set out in the notes to the accounts.

## **7 Committee** 

None of the Committee (or any person connected with them) received any remuneration during the year. 

The trustees during the year were reimbursed a total of £5,777 (2021, £2,955) in respect of travelling expenses, telephone, postage, stationery, tombola and other items for fundraising, fostering etc.

There were no employees during the year. 

## **9 Taxation** 

The charity is exempt from Corporation Tax on its charitable activities.
