**JNETICS (A Company Limited by Guarantee) FOR THE YEAR ENDED 31 DECEMBER 2025**

## **TRUSTEES / DIRECTORS’ REPORT**

## **Principal Activities and Charitable Objectives**

The charity is established for the following purposes:

- The relief of sickness and the protection and promotion of good health through research into the treatment and prevention of JGDs and the dissemination of the useful results of such research.

- To promote awareness and advance the education of the Jewish community about JGDs by the dissemination of information.

- To promote and protect the physical and mental health of the Jewish community by the organisation and/or operation of education, screening, testing and other programmes and techniques to manage, limit or reduce the impact, occurrence, prevalence or dissemination of JGDs.

In establishing the activities of the charity, the directors have given due consideration to the Charity Commission's guidance regarding the provision of public benefit. They consider that the activities described in this report have delivered significant public benefit. Through education, screening and awareness programmes, Jnetics has enabled individuals and families to make informed reproductive and healthcare decisions, supported earlier identification of hereditary cancer risk, and contributed to reducing the burden of serious inherited conditions within the community.

## **Achievements and Performance**

2025 was a landmark year for Jnetics. The charity delivered record levels of recessive genetic screening, played a leading role in the highly successful NHS Jewish BRCA Testing Programme, expanded its educational and outreach activities, strengthened its scientific and medical governance, and continued to broaden and diversify its fundraising base. Through these activities, Jnetics further advanced its mission of reducing the impact of Jewish genetic disorders and hereditary cancer within the community through education, screening and support.

The NHS Jewish BRCA Testing Programme, which following a pilot period was officially launched in January 2024, closed to new applicants on 31 October 2025. The programme, delivered in partnership with Chai Cancer Care, was far more successful than expected with over 44,000 individuals registering for screening before 31 October 2025. Around 74% of applicants returned their testing kits and over 680 BRCA carriers were identified and are now able to access enhanced surveillance, preventative interventions and specialist support, significantly reducing their future cancer risk.

The programme's success led to a significant milestone when, in light of the programme’s success, the NHS determined that BRCA testing for individuals of Jewish ancestry should be integrated into routine NHS practice from 2027. The NHS Jewish BRCA Testing Programme is expected also to serve as a blueprint for similar initiatives in other communities.

As a result of the programme Jnetics has increased its focus on hereditary cancers and reinforced its position as a primary source of information, education and screening for the Jewish community in relation to dominant genetic conditions.

During 2025, all three of our recessive genetic screening programmes experienced substantial growth. Across all three recessive screening programmes, Jnetics screened 1,591 individuals during 2025, the highest annual total in the charity's history.

The Jnetics Clinic saw significant year-on-year growth, screening 549 individuals compared with 239 in 2024. This includes 142 former students and friends of King Solomon High School in Essex at a mass screening event attended by over 400 people inspired by the former student parents of a child with Tay Sachs.

4

**JNETICS (A Company Limited by Guarantee) FOR THE YEAR ENDED 31 DECEMBER 2025**

Our Campus Screening Programme continued its upward trend, with 361 students screened in 2025, compared with 344 the previous year despite the increasing numbers of Jewish students screened in schools.

The Schools Programme also saw exceptional growth, screening 681 Year 12 students, up from 493 in 2024. In addition to maintaining our presence in all eight mainstream Jewish secondary schools, we expanded further into non-Jewish schools with significant Jewish student populations, broadening our reach and impact.

The virtual format of both the Clinic and Campus Screening Programmes enables us to reach more individuals across a wider geographic area, improving convenience while reducing both costs and time commitments. The Schools Programme remains fully in person, allowing us to maintain the educational element that is integral to its success and supports one of Jnetics' key long-term objectives: increasing awareness and understanding of recessive genetic conditions among young people

On the fundraising front, the Directors recognise the challenges associated with delivering a major fundraising initiative, such as a matched funding campaign or gala dinner, every year. Given the size of the organisation and the demands placed upon the community, especially in light of current events in the Middle East and growing antisemitism in the UK, the charity has adopted a two-year fundraising and budgeting strategy. Consequently, no major fundraising campaign was undertaken during 2025. Instead, efforts focused on strengthening existing events, developing new initiatives and diversifying income streams.

Following the successful matched funding campaign held in November 2024, the first quarter of 2025 was relatively quiet. However, the expansion of the fundraising team, including the appointment of a dedicated Events Officer, enabled further growth of the Young Professionals Committee and the introduction of several new initiatives aimed at engaging new and younger supporters in particular. This included a number of new challenge events, broadening the charity's appeal and participation opportunities.

A particular highlight of the first half of 2025 was the second Jnetics Ladies' Night. Attended by more than 200 women, the event generated significantly increased income and has now become a highly anticipated and established fixture in the fundraising calendar.

Other key achievements during 2025 included:

- The Scientific and Medical Advisory Board was significantly strengthened during the year, increasing from four to ten members. The expanded Board now brings expertise across clinical genetics, genetic counselling, reproductive medicine, oncology, public health and laboratory science, providing enhanced oversight of Jnetics' programmes and future development. Full list of members, qualifications and skills can be found at https://www.jnetics.org/about-us/meetthe-team/

- Hosting the inaugural Jnetics A-Level Day in May 2025, introducing sixth-form science students to leading speakers and topics within the field of genetics.

- Further strengthening the Scientific Lecture Series with quarterly online presentations, resulting in increased engagement and a growing audience.

- Developing collaborations with other national charities to expand educational outreach and raise awareness of genetic conditions among wider audiences.

- Successfully delivering the third Jnetics Golf Day in September 2025. Owing to its continued popularity and loyal support base, the event is now regarded as a permanent fixture within the community calendar.

- Continuing the growth of the Young Professionals Committee, which plays a vital role in engaging new audiences and encouraging participation in screening programmes. Two new Young Professionals events — a Challah Bake and a Restaurant Experience — were introduced during the year, both of which sold out.

5

**JNETICS (A Company Limited by Guarantee) FOR THE YEAR ENDED 31 DECEMBER 2025**

- Expanding the dedicated education team, enhancing the charity's ability to deliver high-quality educational programmes and outreach activities across all sectors of the community.

## **Post Balance Sheet Developments**

- The first few months of 2026 have delivered impressive results across all three of our recessive screening programmes.

- In February 2026, for the first time in some years, Jnetics held a Business Breakfast. Hosted at a prestigious West End venue, the event attracted 170 attendees, many of whom had not previously engaged with Jnetics. The event introduced the charity to a new professional audience and demonstrated the potential for an additional fundraising and engagement stream. Building on this success, a second Business Breakfast is being considered for 2027.

- In May 2026, the charity held its third annual Ladies Event, which proved to be a major success with 220 guests attending. It generated significant funds while also introducing many new supporters to the work of Jnetics.

- In June 2026, Jnetics hosted its first padel tournament. The event attracted 48 participants, many of whom were engaging with the charity for the first time. Following its success, plans are already underway for the tournament in 2027.

## **Plans for Future Periods**

During the second half of 2026, alongside a continuing focus on recessive screening, we will be working closely with NHS England to ensure the successful integration of BRCA screening for the Jewish community into routine NHS practice. A seamless transition to this new delivery model, underpinned by strong and ongoing community engagement, will be vital to maintaining public confidence and continuity of care.

In the final quarter of 2026, and in line with our two-year fundraising cycle, we plan to launch a matched funding campaign to secure funding for the coming 2 years.

The second half of 2026 will also see the continuation of existing awareness activities alongside the launch of new initiatives. These efforts will support the further expansion of our donor database and help attract new supporters to the charity.

Additional events within our well-established Scientific Lecture Series will continue to address growing interest in genetics and hereditary health. The series has played an important role in strengthening Jnetics' reputation as a credible and respected voice within the medical and scientific communities.

Continued engagement with, and support from, the community remains central to our success. Encouragingly, we are seeing increasing awareness of Jewish Genetic Disorders (JGDs) and a growing understanding of the vital role that Jnetics plays in prevention, education, and community health.

We plan to expand our challenge events portfolio by introducing new fundraising opportunities during 2026, including participation in half-marathons; 12 places secured have already been filled. In addition, the annual Jnetics Golf Day, scheduled for July 2026, has again reached full capacity.

In line with growing demand across our programmes, we anticipate investing in the continued growth of the Jnetics team. Expanding our capacity will enable us to deliver our core objectives more effectively and maximise our impact.

**JNETICS (A Company Limited by Guarantee) FOR THE YEAR ENDED 31 DECEMBER 2025**

## **In memoriam**

In this Report it is important to mention the passing of two individuals who contributed so much to Jnetics.

Peter Jacobs _z”l_ was founding Chairman of Jnetics from 2010 to 2016. Peter played a pivotal role in establishing Jnetics and shaping it into the remarkable charity it is today. His vision, dedication, and leadership have left a lasting legacy.

Professor Patricia Jacobs _z”l_ was a scientist of rare distinction, a person of exceptional generosity and one of the great pioneers of modern human genetics. Her influence helped ensure that the Jnetics is rooted in the best science, guided by ethical thought, and motivated by compassion.

## **Financial review**

## **Principal sources of funding**

The charity receives most of its funding from donations and was able to claim gift aid where applicable.

## **Results for the year**

The financial statements for the year are set out in pages 12 to 21. The Statement of Financial Activities on page 12 reflects a deficit of £6,744 (2024 - surplus of £398,720) for the year ending 2025.

## **Reserves**

The Directors review the reserves policy annually. The policy is to maintain free reserves equivalent to approximately six months' operating expenditure. At 31 December 2025 unrestricted reserves stood at £779,537, which the Directors consider appropriate in light of the charity's activities, future commitments and the planned use of reserves to support growth in screening and educational activity during 2026, a year in which no major fundraising campaign is scheduled.

The charity's total reserves at 31 December 2025 amounted to £854,165 (2024 - £860,909).

## **Structure, governance and management**

The Board met 4 times during the year and received regular reports from management on operational, financial and strategic performance.

## **Status of Charity and Governing Document**

Jnetics ("the charity") is a company limited by guarantee (No.07087270) and a recognised English charity (No. 1134935), governed by its Memorandum and Articles of Association. The charity was incorporated as Jewish Genetic Disorders UK on 25 November 2009 and changed its name to Jnetics on 2 July 2015.

## **Appointment of Directors**

New Directors are nominated for appointment and appointed by the existing Directors until Jnetics next Annual General Meeting. If confirmed, they serve until the Annual General Meeting at least three years after appointment and, subject to reappointment.

Prior to their appointment, new Directors would be familiar with the charity's values, its aims and objectives and its day-to-day operations.

As part of their induction programme, new Directors are required to understand their statutory Responsibilities.

## **Trustees / Directors’ responsibilities**

Company Law which is also applicable to charitable companies in England and Wales requires the Directors, who are also Trustees of the company, to prepare financial statements for each financial year which give a true and fair view of the state of affairs of the company and of the results of the company for that year.

In preparing those financial statements, the directors/Trustees are required to:

- select suitable accounting policies and then apply them consistently;

- make judgements and estimates that are reasonable and prudent; and

- prepare the financial statements on the going concern basis unless it is inappropriate to presume that the company will continue in business.

The Directors/Trustees are responsible for keeping proper accounting records which disclose with reasonable accuracy at any time the financial position of the company and to enable them to ensure that the financial statements comply with the Companies Act 2006. They are also responsible for safeguarding the assets of the company and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities.

## **Small company exemptions**

The above report has been prepared in accordance with the special provisions of Part 15 of the Companies Act 2006 relating to small companies.

This report was approved by the Board of Trustees / Directors on 28 July 2026 and signed on its behalf by:

**Independent Auditor’s Report To the members of Jnetics**

## **Opinion**

We have audited the financial statements of Jnetics for the year ended 31 December 2025 which comprise the Statement of Financial Activities, the Balance Sheet, statement of cash flows and the related notes. The financial reporting framework that has been applied in their preparation is applicable law and United Kingdom Accounting Standards, including Financial Reporting Standard 102: The Financial Reporting Standard applicable in the UK and Republic of Ireland (United Kingdom Generally Accepted Accounting Practice).

## **Opinion on financial statements**

In our opinion the financial statements:

- give a true and fair view of the state of the charitable company’s affairs as at 31 December 2025 and of its income and expenditure for the year then ended:

- have been properly prepared in accordance with United Kingdom Generally Accepted Accounting Practice; and

- have been prepared in accordance with the requirements of the Companies Act 2006.

## **Basis for opinion**

We conducted our audit in accordance with International Standards on Auditing (UK) (ISAs (UK)) and applicable law. Our responsibilities under those standards are further described in the Auditorʼs responsibilities for the audit of the financial statements section of our report. We are independent of the Charity in accordance with the ethical requirements that are relevant to our audit of the financial statements in the UK, including the FRCʼs Ethical Standard and we have fulfilled our other ethical responsibilities in accordance with these requirements. We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our opinion.

## **Conclusions relating to going concern**

In auditing the financial statements, we have concluded that the trustees’ use of the going concern basis of accounting in the preparation of the financial statements is appropriate.

Based on the work we have performed, we have not identified any material uncertainties relating to events or conditions that, individually or collectively, may cast significant doubt on the charity’s ability to continue as a going concern for a period of at least twelve months from when the financial statements are authorised for issue.

Our responsibilities and the responsibilities of the directors with respect to going concern are described in the relevant sections of this report.

## **Other information**

The trustees are responsible for the other information. The other information comprises the information included in the annual report other than the financial statements and our auditorʼs report thereon. Our opinion on the financial statements does not cover the other information and, except to the extent otherwise explicitly stated in our report, we do not express any form of assurance conclusion thereon. In connection with our audit of the financial statements, our responsibility is to read the other information and, in doing so, consider whether the other information is materially inconsistent with the financial statements or our knowledge obtained in the audit or otherwise appears to be materially misstated. If we identify such material inconsistencies or apparent material misstatements, we are required to determine whether there is a material misstatement in the financial statements or a material misstatement of the other information. If, based on the work we have performed, we conclude that there is a material misstatement of this other information, we are required to report that fact.

We have nothing to report in this regard.

9

**Independent Auditor’s Report To the members of Jnetics**

## **Opinion on other matter prescribed by the Companies Act 2006**

In our opinion, based on the work undertaken in the course of the audit:

- the information given in the trustees’ report (incorporating the directors’ report) for the financial year for which the financial statements are prepared is consistent with the financial statements; and

- the trustees’ report (incorporating the directors’ report) has been prepared in accordance with applicable legal requirements.

## **Matters on which we are required to report by exception**

In the light of the knowledge and understanding of the Charity and its environment obtained in the course of the audit, we have not identified material misstatements in the Trustees’ Annual Report.

We have nothing to report in respect of the following matters where the Companies Act 2006 requires us to report to you if, in our opinion:

- adequate accounting records have not been kept or returns adequate for our audit have not been received from branches not visited by us; or

- the financial statements are not in agreement with the accounting records and returns; or

- certain disclosures of trustees’ remuneration specified by law are not made; or

- we have not received all the information and explanations we require for our audit.

## **Responsibilities of the trustees**

As explained more fully in the Trustees’ Responsibilities Statement, the trustees (who are also the directors of the charitable company for the purposes of company law) are responsible for the preparation of the financial statements and for being satisfied that they give a true and fair view and for such internal control as they determine is necessary to enable the preparation of financial statements that are free from material misstatement, whether due to fraud or error.

In preparing the financial statements, the trustees are responsible for assessing the Charity’s ability to continue as a going concern, disclosing, as applicable, matters related to going concern and using the going concern basis of accounting unless the trustees either intend to liquidate the Charity or to cease operations, or have no realistic alternative but to do so.

## **Our responsibilities for the audit of the financial statements**

Our objectives are to obtain reasonable assurance about whether the financial statements as a whole are free from material misstatement, whether due to fraud or error, and to issue an auditorʼs report that includes our opinion. Reasonable assurance is a high level of assurance, but is not a guarantee that an audit conducted in accordance with ISAs (UK) will always detect a material misstatement when it exists. Misstatements can arise from fraud or error and are considered material if, individually or in the aggregate, they could reasonably be expected to influence the economic decisions of users taken on the basis of these financial statements.

Irregularities, including fraud, are instances of non-compliance with laws and regulations. We design procedures in line with our responsibilities, outlined above, to detect material misstatements in respect of irregularities, including fraud. The extent to which our procedures are capable of detecting irregularities, including fraud are set out below.

In identifying and assessing risks of material misstatement in respect of irregularities, including fraud and non-compliance with laws and regulations, our procedures included the following:

- We enquired of management, which included obtaining and reviewing supporting documentation, concerning the charity’s policies and procedures relating to:

   - identifying, evaluating, and complying with laws and regulations and whether they were aware of any instances of non-compliance;

   - Detecting and responding to the risks of fraud and whether they have knowledge of any actual, suspected, or alleged fraud;

10

## **Independent Auditor’s Report To the members of Jnetics**

   - The internal controls established to mitigate risks related to fraud or non-compliance with laws and regulations.

-

   - We inspected the minutes of meetings of those charged with governance.

- We obtained an understanding of the legal and regulatory framework that the charity operates in, focusing on those laws and regulations that had a material effect on the financial statements or that had a fundamental effect on the operations of the charity from our professional and sector experience.

- We reviewed the financial statement disclosures and tested these to supporting documentation to assess compliance with applicable laws and regulations.

- We performed analytical procedures to identify any unusual or unexpected relationships that may indicate risks of material misstatement due to fraud.

- In addressing the risk of fraud through management override of controls, we tested the appropriateness of journal entries and other adjustments, assessed whether the judgements made in making accounting estimates are indicative of a potential bias and tested significant transactions that are unusual or those outside the normal course of business.

A further description of our responsibilities for the audit of the financial statements is located on the Financial Reporting Councils website at: [www.frc.org.uk/auditorsresponsibilities]. This description forms part of our auditor’s report.

## **Use of our report**

This report is made solely to the charitable company’s members, as a body, in accordance with Chapter 3 of Part 16 of the Companies Act 2006. Our audit work has been undertaken so that we might state to the charity’s members those matters we are required to state to them in an auditor’s report and for no other purpose. To the fullest extent permitted by law, we do not accept or assume responsibility to anyone other than the charity and the charity’s members as a body, for our audit work, for this report, or for the opinions we have formed.
