The Trust885, who are also Directors for the purpose ol company law. present their report and the
flnancial statements of the charity for the year ended 3151 March 2024. The provisions of the Statement
of Recommand8d Praclice "Accounting and Reporting by Charities" (SORP IFRS102)) have been
adopted in preparing tha annual report and financial slalements of the Gharity.

Th8 provision of a high-quality facility for young people responds to a clear, ongoing demand from
young people, parents and the wider community for more and belter places for young people lo go.
Our universal services. mainly based around our Get ActlV8, Get Creative and Gel Outdoors offer. are
OP8n to all young people in Oldham. For Ihose experiencing disadvanlage or needing additional support

we offer additional targeted services. Short-term outcomes are happier young people making healthier
choices Wlth increased social skills, achievements and enhanced aspirations. This has the wider impact
of improv8d health and wellbeing, reduced crima, anhanced lèarning and employability and greater
community cohesion.

This past year, in response to the intraasing challenges our community fa￿S due lo the rising cost of
living, we introduced freè membership. attendance. and hol meals for all members and th8ir families
throughout the winter months. By providing such essential support, we helped ease worries about
basic needs. from hot meals lo a safe and warm environment, as well as a trusted spac8 wh8r8
young people and families could shar8 their concÈms. The gratitude expressed by families afflrm8d
the impact and necessity of this support. underscoring the importance of our role within the
community.
Our commitmanl lo empowéring young people to explore Iheir talents and passions continued to drive
innovative programs. Th8-Artslam" events have become a highlight in Mahdlo's creative offerings,
providing a vibrant platform for young artisls and performers to showcas8 Ih8ir skills. Our budding
entrepreneurs also flourished, wllh some launching their own arl shops, g8Sning valuable businèss
skills in the process. Meanwhilè, our sporting programs saw incredible success, parliGularly with our
Senior Zone football team winning th8 Onside Youth Zones Foolball League. England midlielder and
ManGhèst8r United legend Paul Scholes celebraled Ih8ir achieveménts by presenling medals and the
league trophy, inspiring both our young wom8n and Junior Zon8 members to form their own teams.
A signiflcanl highlight was th8 inspiring vislt from Honorary Patron Professor Brian Cox CBE, who
shared his knowledge of the universe wilh 1,100 young people from local schools and collegès. This
event fostered a de8p Int8resl in science and discovery. with many young attendeès describing it as a
transformative experien¢8.
Thèse moments reflecl just a few highlights from an outstanding year at Mahdlo. Each achlevement is
testament to the collective efforts of our dedicated staff, voluntaers, patrons, and. above all, our
remarkable young peop16 and Iheii families. Together, we have built a supportive, safe, and thrivlng
8nvironmenl where young people are empowered to SUC¢88d and grow.

Kayden's Journey to Confidence
Since joining Mahdlo in April 2022. Kayden has Iransformed from a shy attendee lo a confident leader
and Mahdlo buddy. Initlally struggling lo connecl. Kayden's passion for the arts helped him build
friendships and a sense of purpose. By 2023, he had become a welcoming faca in Holiday Zone,
where he continues to help new members feel at ease.
Leon's Incredibla 11-Ye8r Joumey
Leon joined Mahdlo as a Junior Zon8 member in 2013 and has attended ov8r 1,400 times since. He
took on the role of Young Leadar in 2022, where he volunleers and supports younger membèrs with
his passion for arts and creativity. As Leon's journèy com8S to a close in 2024. he leave5 a legacy of
positivity and m8ntor8hip for his peers and Mahdlo as a whole.
The comlng year
The upcoming year wlll bring excitlng developments. as we striv6 to meel th8 8valving needs of
Oldham's young people and families. We will continue lo connect with our community, ansuring that
Mahdlo's services remain responsive and accessiblè to all. espeGially those unable to reach our town
cènter facilitiès. Raising awareness is a priority to make sure every young person knows Ihe
opportunllies availablè lo Ih8m through Mahdlo.
In an inGreasingly competitive funding landscape. Mahdlo is commilt8d to show¢asing ils
ndispensable value to the community, while also expanding our pool of support8rs. We ar8 deeply
gratefvl for our existing patrons and donors, and we aim to grow this base to ensure sustainable,
wlde-reaching SUPPOrt for the future.
Supportlng our 18am remains a priority, as we conlinue lo provid8 d8velopmenl and trainlng
opportunities to foster a cullure of excellence.
Flnanclal Revièw
The statement of financlal activities (pag8 12) shows an increase In total income. from £1.33m for
FY2023 10 £1.53m for FY2024. Delails of the main income sources and the variances belween th8
years can be found in notes 2 10 6 of the financial slalemants. Total expenditure (nole 71 ha5 increased
to £1.68m {FY2023: £1.65MI, resultlng in a deficit for th8 year of £151 k compared with a deflcil of £316k
for FY2023. The effect of the deficil on the balance sheet (page 13) is that the charity's net assets have
reduced from £6.39m as at 31 March 2023 10 £6.24m as at 31 March 2024. Of that amount, £5,36m
are reslricled funds and £0.88m unreslricled.
Rgserves Pollcy
The Board of Directors of Mahdlo has established a reserves policy, in compliance with which il will
annually review both the sum il wishes to hold in res8rv8 in the unrestricted budgel and the basis for
that figure. The Directors continually strive to manage the charity's finances so that an adequate level
of reserves can be maintained in compliance with the r8s8rves policy.
Reserves to be mainlained at a level, which ensures Ihat at least 3 month5 of the
organisation's core activity, could continue durlng a period of unforeseen difficulty.

That these reserves aré readily realisable unfeslricted reserves and ar& in addition to funding
Ihe fixed assets.
This level of reserves has been agreed for the following reasons:
To provide working capital to allow for retrospective funding and the assoclated time
difference betwèen expenditure and receipt of funds.
Mahdlo's income sources (particularly the Patrons programme and fundraising activiliesl are
vulnerable lo changes in the economic slluation and any nolice period for loss of major
donors could be r6latively short.
To support new seNiCa development to enable Mahdlo to be responsive lo b8n6ficiary needs
and to facilitate improvements to the operational running of the organisalion.
To ensur8 that the building ¢an be kept fully functional, well 8quipp8d and in a good stal8 of
rèpair and remains a major attraction and asset.
To invest in staff and volunteer training and development to ensure quallty of service delivery.
To enable Mahdlo to meet its d81ivery commitments wilhout interruption in times of economic
hardship.
To be seen as a responsrble charity by the Charity Commission, our Fundars, partners and
the Community that engage with Mahdlo.
To avoid the creation or retention of unnecessary surplus8s for which there is no planned
requirement in line with the organisalion's charilable aims.
Due to the typè of funding Mahdlo can and is likely lo access, which can take up to 6 months to
secure, there is a need for a long8r-term policy lo increase reserves to an appropriate amount of
working capital lo fund these lime delays. This will be achieved by..
Developing a fundlng strategy Ihal enables forward planning of income generation including
targets over and abovè immediate running costs.
Prioritising fundraising activities and evenls and ensuring a continual focus on fundralsing not
just in times of need.
Appropriate accounting, including building into budgets, accounts and reports a sum for
depre¢ialion.
Bullding Mahdlo's reputation as a qualty charily. worthy of support and investment.
This reservès pollcy will be reviewed by the Chief Execulive and th8 Board on an annual basis. It
is the intenllon to increase reseNe18vels incrementally towafd 6 months a5 Ihe organisalion's
activlty grows.
Investment Pollcy
With having relaliv8ly low unreslricled reserves and a variable income slrgam, funds bLtIII up in advance
of expenditure nèed to b8 reasonably liquid: however. some funds may b8 r81ained and invested for
future use. To ensure such inveslm6nts are safeguarded..
Any dècision about investments wlll be made by the Board Ipot8ntially having 18kÈn
professional advice) considering the sullability and diversification of investments, including
investments in déposit accounts, lo ensure that the fallure of one investm8nt or institution does
not have a major impact on Mahdlo.
Inveslments will be made in line with Mahdlo's values and ethos.
Inveslment performance will be regularly reviewed.
Records will be maintained ol all investments held (including details of all those sold or
purchased) by the charity.
Accounting controls will be fully implemented lo ensure Ihat all dividends or interest paymenls
due are received arKI accounted for.

Structure, Governance and Management
Mahdlo (Oldham Youth Zone) is a Gharity and a company limitèd by guarantee without share capllal.
MahdlD is registered under the Companies Act 1985, registration number 06946098. The company is
govarned by its Memorandum and Arlicles of Associalion, dated 271h June 2009. Management of th8
company's affairs is v8Sted in the co-diredors.
In the event of a winding-up. the present members and those who have ceased to be a m8mber wlthin
one year of such an ev8nl have guaranteed the liabilities of the company to the sum nol exceeding one
pound each.
Organlsallonal Structure
Mahdlo is governed by its board of Trustees which retains ovarall responsibility for Ihe slrategic direction
and the policy of the organisation. The Trustees cary the ultimate responsibilily for th8 conduct of
M8hdlo and for ensuring that the charity satisfies Ils18gal and contractual obligations.
The Board appToves the slraleglc plan and annual Busines5 Plan and scrulinises business performance
inGluding flnancial performance as well as provldlng advice lo the Chief Executive on operational
matters of importance.
A Chief Ex8CtJlive is appointed by the Board to manage the day-lo-day operalions. To facilitate effective
operations the Chi8f Executive has delegated aulhorily as approved by Ihe Board for operational
matters including finance, human resources and operational d81ivery allowing the Chief ExecutlV8 to
SLtpport tha Board in developing and delivering strategy and ensuring the agread Business Plan KPI'S
are mel.
The s8nior manag8menl t8am has a range of qualifications and experiences including Accountancy,
Youth Work, HR and Facilitles m8nagement. The Board agr88d the stwclure during annual Business
Plannlng and ar8 required lo approve any substantial Changes to Ihe Senlor Team.
All salaries are benchmarked by an ind8p8ndent HR specialist against other Youth Zones, Local
Authority and Ihe local labour market. Th8 board agrees all pay incr8as8s as a result of cost of living
during the Business Planning cycle. Any new post created 81 any level requir8s CEO, HR and
Finance approval. Senior posts would be agr8ed by Ihe Trustee wilh HR portfolio prior lo près8nlatlon
to Board.
All posts are subl8Ct to interview and are advertised internally andlor 8Xtgrnally.
Mahdlo is part of the family of youth zones èstablished by Onslde. We hav8 a network agreement wllh
Onside, which allows u5 to be parl of a large. trusted youlh organisalion, whlch has the ability to lobby
government and access support from larga funders. and share best practice within th8 ne￿Ork. A
representativ8 of Onside operates as a Trusteè on Ihe Mahdlo Board ensuring a strategic
communications link exists belween Mahdlo and Onsidè.
The Board of Tru6tees
The Board comprises 11 Trustees including Ihe Chair. IndIv￿Ual Trustees hold portfolios relevant lo
their prof8ssional backgrounds and interests. These include Finance, Fundraising, HR, Safeguardlng
and Facilities management.
Truslees can be nominated for a fixed period. One third of tha Directors will ralire by rot81ion at each
Annual General Meeting. Retiring Dir8Ctors can be reappoinled.
The Trus168s meet on a bi-monthly basis.
Recrultment and Appolntment of Trustees
N8w trustees will be recruited according to the needs of the charity and the SLEitability of possible
candidates. The unanimous approval of Èxisting Trustees would lead to Ihoir appointmenl.

The Memorandum and Articles of AssOc￿tIon stale Ihat the number of members shall have no
maximum and shall not be less than three.

Inductlon of Trustees
Newly appolnled trustees are provided with a comprehensive induction to Mahdlo through the provision
of in-hous8 training. This includes key information aboul the organisation and its d8velopment.
governance and safeguarding. The Board undertakes annual strategy reviews. Individual appraisals
bahNeen Trustees, the Chair and Chief ExecutNe have been implementéd to develop Board capacity.
Rlsk Management
The Board fully accepts its responsibilities under Ihe Charity Commission's Stalem8nl of
Recornmend8d Practicè (SORP)- The Trustee5 have considered the major risks to which the charity is
exposed and aré committèd to ensuring these are effectively managed.
Th8 Chief Executive and senlor managers have undertaken comprehensiv8 risk assessments and
8slablished risk registers from an organisational and operalional perspectiva and have established
suitable risk management and control procedures which are revlewed regularly by the Board.
Key risks to the organisatlon include FinanGlal, R8pul8tional. Regulatory and Op8rational.
The Rlsk Regisler is updated quarterly and reported lo Board with major risks highlighted and control
measuras discussed. Comprehensive financial accounls including cash flow, I&E and the 8alanc8
sheet are reported lo Board bi-monthly.
Th8 Key flnancial risks relate to fundlng shortfalls and unconlrolled expendilure. As with most charilles.
developing sustainable funding streams in order to d81iver Mahdlo's obj8cIiv8s is of paramount
mportance. The overall strategy Is to balance reslrict8d funding from specific projects and grants with
unreslflcted funds primarlly from Patrons. Donors and fundraislng events. In the longer term, a key
objeclive is to develop commercially viable income streams, which will underpin core delivery.
Expenditure is 1Sghlly managed wllh operallonal managers responslble for budgats relating lo their
oparalional responsibilities. Costs are monitored and managed by the CEO and the sènior management
team uslng the organisatian's cenlralised staff managemanl system.
Regulatory rlsk is the responsibility of the CEO, Finance manag8r and Facilities manager who managas
Health and Safety and Fire and other slatulory risk areas. The Board is appointed and revi8wed within
th8 context ol Charities Commission guidelines. and new regulatory judgements will be reported to
Board as required.
The key op8ralion81 risks are managed through operational risk planning with a claar hierarchy of
responsibility. Spacific procedures exisl to manage Safeguarding and Health and Safety.
Trustees, Responslbllllies
The charity's Trustees are responsible for preparing th8 Annual Report and financial statements in
accordanc8 wilh applicable law and Ihe United Kingdom Generally Accepled Accounting Praclice.
Company law requires the charity's Trustees lo prepare financial statements for each financial year that
give a true and fair view of the stale of the charity's incoming resources and applications of resources
during the year and of its stale of affairs al the end of the year. In preparing those financial slalemenls,

Based on our understanding of the charitable company, we identified that the principal risks of non-compliance
related to those laws and regulations that have a direct impact on the financial st8tements such as the Companies
Act 2006 and the Charities SORP (FRS 102). We evaluated management's incentives and opportunities for
fraudulent manipulation of the financial statements (including thg risk of override of controls), and determined that
the principal risks were related to posting inappropriate journal entries to manipulate financial results and
management bias in accounting estimates. Appropriate audit procedures were performed to address those risks
including testing journal entries and challenging assumptions and judgements made by managemenl in their
significant accounting estimates. There are inherent limitations in the audit procedures described above and the
furthar removed non-compliance with laws and regulations is from the events and transactions reflected in the
financial statements, the less likely we would become aware of il. Also, the risk of not delecling a material
misslatemenl due to fraLtd is higher than the risk of not detecting one resulting from error. as ffaud may involve
d8liberale concealment by. for example, forgery or intentional misrepresentations, or through collusion.

The company is a registered charity and as such is entitled to the exemption from tax to
the 8xlent that the income received falls within section 505 ICTA 1988 and section 256
CGTA 1992 and is applied to charitable purposes only.
l) Hollday pay
The holiday year end does not coincidé with the financial year end and consequently,
provision is made in the accounts for holKtays accrued but not taken as at the end of the
financial year.
m) Debtors
Trade and other debtors are recognised at the settlement amount due after any discount
offered. Prepayments are valued at the amount prepaid net of any discounts due.
n) Cash at bank and In hand
Cash at bank and in hand includas cash and short term h￿hlY liquid investments with a
short maturlty of three months or less from the date of acquisition or opening of the deposit
or similar account.
o) Credltors and provlslons
Creditors and provisions are recognised where the charity has a Pfesent obligation
resulting from a past event that will probably result in Ihe transfer of funds to a third paty
and the amount due to settle the obligation can be measured or estimated reliably.
Creditors and provisions are normally recognised at their settlement amount after allowing
