## **Report of the Trustees for the Year Ended 30th September 2022** 

The trustees who are also directors of the charity for the purposes of the Companies Act 2006, present their report with the financial statements of the charity for the year ended 30th September 2022. The trustees have adopted the provisions of Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019). 

## **OBJECTIVES AND ACTIVITIES** 

## **Objectives and aims** 

The unincorporated British Dermatological Nursing Group was formed in 1989 after recognising the need for a low cost educational platform to assist nurses in developing their skills and experience in dermatological nursing. 

The Group has a Constitution that is reviewed on an annual basis to ensure that it reflects the changing needs of the members as well as that of the Charities Commission. Any amendments to the Constitution are voted in by the Group at the Annual General Meeting. 

The Group has referred to the guidance in the Charity Commission's general guidance on Public Benefit when reviewing our aims and objectives and in planning our future activities and we believe that the activities we undertake are a clear benefit to the public and in accordance with the aims and objectives we have set..  In particular, the Trustees consider how planned activities will contribute to the aims and objectives they have set. Specifically, the objects of the Group are to preserve and protect health and relieve sickness by maintaining and improving standards of practice in dermatological nursing for the public benefit. 

## **Strategies** 

Development of strategic aims for the group to: 

- Ensure the structure of the BDNG is appropriate for its purpose; 

- Ensure the BDNG maximises its influence and communicates to key stakeholders; 

- Develop sound financial plans and practices to ensure income is sufficient to meet expenditure; 

- Provide appropriate educational and practice development to members; 

- Ensure the BDNG website meets the needs of its members; 

- Ensure the BDNG meets the needs of its existing and future membership. 

Through the development of sub groups, the Group continues to offer peer support and information sharing. These sub groups report directly to the Committee and the Chair of each of these groups is a co-opted member of the Committee. 

The Group continues to have representation of various external groups from within the Committee and also identified Group members. These representatives report directly to the Committee.

## **ACHIEVEMENT AND PERFORMANCE** 

## **Charitable activities** 

The year October 2021 - September 2022 saw the influence of the Covid pandemic reduce significantly.  The organisation was able to return to a more normal programme of educational events allowing face to face contact with the membership.  The success of the online educational provision continued and as such this method of connection with our membership has been maintained through a series of educational webinars. In order to optimise feedback from these events and to reduce our reliance on printed materials, the educational app remains an important tool. It is consistently being updated and promoted to the membership. 

In February our educational nurse resigned and we took the opportunity to review our educational strategy and as a consequence employed two nurses to develop our educational provision.  A senior nurse has been tasked with driving our strategy supported by a more junior nurse who focuses on delivering our educational offerings. This expansion of our educational team will allow the BDNG to reach more members, deliver a wider range of resources and support the promotion and development of the specialty. 

As part of the continuing BDNG programme to promote a career pathway in dermatological nursing, 2022 saw the publication of "Dermatological Nursing - A practical guide on career pathways".  Written by experienced dermatology nurses (including members of the BDNG executive) this guide has been sent free of charge, to all members of the organisation.  It uses the previous published role descriptors to map out possible career progression in many of the specialisms open to dermatology nurses, e.g. surgical nursing, phototherapy. 

In order to help nurses undertake Masters level study we significantly increased our support this year, both in terms of supporting people to study specific modules and new for this year, supporting individuals who are starting their Masters programme by paying for the full course.  We had a number of excellent applicants and were able to support three, funding their whole Masters level study. We supported 3 further members with Professional Development Awards. 

A series of videos were made by members of the executive committee, describing their experience of being a dermatology nurse.  These will be used to promote the specialism to nursing students and registered nurses. They have provided an opportunity to develop a motivational description of the possibilities for career progression in dermatology nursing. 

The annual conference ran in September and was the biggest event the BDNG has run to date.  With 375 delegates the educational sessions were very well attended as was the exhibition which was supported extremely well by our industry colleagues.  Sixteen members were supported to attend the meeting.  The programme was developed to include a variety of topics including those that reflect the Special Interest Groups of the BDNG. The Ambassadors supported conference by chairing events.  The development programme for the Ambassadors was suspended due to Covid, this was re-invigorated this year with the new education team supporting the Ambassadors to develop their transferable skills, such as presentation and interview skills.

The executive team provided support for the objectives of the BDNG responding to clinical and organisational queries, supporting educational events, assisting with the strategic development of the organisation and meeting regularly both face to face and virtually.  The Trustees also represent the organisation at a number of external committees including the  Dermatology Council for England (a Trustee is the Chair) and the National Outpatient Transformation Programme.  The BDNG has been consulted by the British Association of Dermatologists on a number of issues including the research agenda and workforce planning.  The BDNG continues to contribute to the BAD nursing workstream. The President and Chief Executive have regular meetings with our counterparts at the BAD. A new member joined the executive team as President Elect, she will take over as President in September 2023. 

Highlighting the role of the dermatology nurse nationally continues to feature in our work. The BDNG contributed to two Guardian newspaper Skin Health supplements. In June we discussed access to emollients and in December covered winter skin care. 

Dermatological Nursing, the official journal of the BDNG, continues to provide up to date relevant information and education for our members. As well as securing regular income through advertising, the journal continues to attract non-promotional sponsorship.   As it was the 25th Anniversary year for the journal, this has been reflected in a supplement which included a number of articles from the the past 25 years.  Other supplements included one on Hidradenitis Suppurative which reflected a series of roundtable meetings held by BDNG on this often neglected topic.  A new Chair of the Editorial Board was recruited. 

The BDNG continues to support international dermatology nursing.  Two executive committee members developed an educational video on scabies management aimed at health care workers in resource poor settings. They worked closely with the Burma Skin Care Initiative. The President worked alongside the European Academy of Dermatology and Venereology to develop the European nursing network and attended a meeting held at the EADV annual meeting in Milan. In order to prepare for the World Congress of Dermatology in 2023 the BDNG awarded 7 bursaries to members who are seen as "Rising Stars" in dermatology nursing- those relatively new to the profession but keen to develop.  The BDNG has been instrumental in organising the nursing programme for WCD and will co-ordinate the delivery of a day-long programme and a pre-conference meeting. 

This year saw the BDNG move into new premises.  These provide a much larger space where meetings can easily be held.  The workspace for the two full time employees is much more appropriate and easier for both of them to access.  It costs less that our previous accommodation.  There is ample storage space which has meant we no longer need to rent additional storage space. 

Ongoing projects include the continued development of a quick reference guide for nurses and the redevelopment of the BDNG website. 

## **FINANCIAL REVIEW** 

## **Principal funding sources** 

During the period the charity received corporate sponsorship of £398,696 (2021 - £389,968).  In addition it received conference related income of £222,832 (2021 - £179,890), subscriptions of £34,806 (2021 - £33,282), meeting attendance fees of £18,420 (2021 - £nil), investment income of £56 (2021 - £5)  and other income of £8,117  (2021  - £nil).

## **FINANCIAL REVIEW** 

## **Investment policy and objectives** 

The constitution authorises the trustees to apply the assets and property of the Charity solely towards the promotion and purpose of The British Nursing Dermatological Group as laid down in the constitution. 

## **Reserves policy** 

Any funds provided to the British Dermatological Nursing Group for a specific purpose are classed as a restricted reserve. Trustees are resolved to limit spending each year to an amount considered to balance the interest of the current and future beneficiaries of the Group's work. 

In light of the recent pandemic, the Trustees have now established a more cautious policy of retaining funds equivalent to approximately 9 months of expenditure, thus protecting the Group's core activities in the event of a shortfall in income.  It is because of these excess reserves, the trustees are intending to focus on a number of new initiatives, as reviewed in the Future Plans section of this report. 

Unrestricted reserves at the balance sheet date totalled £646,420 (2021 - £469,207) and restricted reserves of £9,936 (2021 - £8,426). 

## **Going concern** 

The trustees assess whether the use of going concern is appropriate i.e. whether there are any material uncertainties related to events or conditions that may cast significant doubt on the ability of the company to continue as a going concern. 

The trustees make this assessment in respect of a period of one year from the date of the approval of the financial statements and have concluded that there are no material uncertainties about the charity's ability to continue.

## **FUTURE PLANS** 

Over the coming months the BDNG will develop its website so that it provides a modern and more user-friendly interface with both members and others who are interested in dermatology nursing. It will allow nurses to apply for courses, awards and renew their membership all online. This will be relaunched at Conference 2023. 

Conference 2023 will once again be held in Harrogate.  However due to the expansion of the conference we shall be moving into a larger exhibition hall and have more space for educational provision.  There will be a number of other developments including moving the poster exhibition to digital presentation only.  We will continue to offer financial support to members to help them with the costs of attending. 

We plan to advertise two new part-time posts this year: A membership engagement officer who will focus on non-corporate fundraising and supporting resilience of members and an international development lead who will focus on developing dermatological nursing worldwide. 

## Other development plans include: 

(1) Establishing a fund to support patient support groups- especially the smaller groups that often struggle to get financial support; 

(2) A fund to support dermatology nurses who want to study to MPhil/PhD level; 

(3) A travel award for nurses to attend the American Academy of Dermatology meeting held annually; 

(4) Investing in the Dermatological Nursing Journal. 

The exact amounts to be invested in these various areas of expenditure will be determined in the new financial year. 

We shall continue to invest in our staff and increase the amount of money that we provide for professional development.  Appropriate professional development will be identified through the appraisal and professional development plans. 

## **STRUCTURE, GOVERNANCE AND MANAGEMENT** 

## **Governing document** 

The British Dermatological Nursing Group was incorporated on 30th September 2009 and  is established as a company limited by guarantee and registered as a charity with the Charity Commission.  The affairs of the Group are governed by its Memorandum and Articles of Association and managed by a Board of Directors who are Trustees of the Charity.  The liability of each member in the event of the Group being wound up is limited to a sum not exceeding £1. 

The British Dermatological Nursing Group was originally formed in 1989 as an unincorporated charity (No. 1077252).  This charity ceased activity on the 31st May 2010 and its assets, totalling £262,898 were transferred to the new incorporated charity as of that date under a Transfer of Assets resolution dated 21st April 2010. 

The directors of the company are also charity trustees for the purposes of charity law and under the company's Articles are known as Committee Members of the Charity.  At the Annual General Meeting a vote was taken to change the articles of association allowing executive committee members to serve for up to 5 years on the committee and for there to be a maximum of seven Committee Members.  No Committee Member shall be eligible for re-election for a period of 12 months from the date that his or her office comes to an end.

## **STRUCTURE, GOVERNANCE AND MANAGEMENT** 

## **Recruitment and appointment of new trustees** 

It is the existing Trustees' responsibility to identify potential Trustees with appropriate skills and background from the Group's membership. Trustees are elected annually and reflect the national membership of the group. The Trustees are elected for a fixed term of office. Following this term, they retire from the position of Trustee. 

## **Key management remuneration** 

The trustees consider the board of Trustees and the Operations Manager as comprising the key management personnel of the charity in charge of directing and controlling the charity, and running and operating the charity on a day to day basis. Trustees are responsible for the management of The British Dermatological Nursing Group for which they receive no remuneration. The remuneration of the Operations Manager is agreed by the Trustees when reviewing the previous year's annual accounts. The Operations Manager's remuneration is aligned to job roles and appropriate pay scales within both the private and NHS sectors. 

## **Risk management** 

The British Dermatological Nursing Group has a comprehensive Risk Assessment Policy which categories the impact of the principal risks to the Group. The key risks are the continuance of both sufficient corporate sponsorship and the possible impact this could have on financial planning and management and the income generated with the annual conference event. Forthcoming events are planned in light of both of these sources of income.  This is regularly discussed and monitored at Trustee Meetings which are attended by the Trustees and the Operations Manager. 

Potential corporate sponsors are investigated and the Trustees would consider diversification in other activities and sources of income if required.

As the charity's trustees of the Company (and also its directors for the purposes of company law) you are responsible for the preparation of the accounts in accordance with the requirements of the Companies Act 2006 ('the 2006 Act').

I have completed my examination. I confirm that no matters have come to my attention in connection with the examination giving me cause to believe:

## **1. ACCOUNTING POLICIES** 

## **Basis of preparing the financial statements** 

The financial statements of the charitable company, which is a public benefit entity under FRS 102, have been prepared in accordance with the Charities SORP (FRS 102) 'Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019)', Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland' and the Companies Act 2006. The financial statements have been prepared under the historical cost convention. 

## **Critical accounting judgements and key sources of estimation uncertainty** 

In the application of the charity's accounting policies, the trustees are required to make judgements, estimates and assumptions that are not readily apparent from other sources. The estimates and associated assumptions are based on historical experience and other factors that are considered to be relevant. 

The judgement that management has made in the process of applying the charity's accounting policies which has the most significant effect on the amounts recognised in the accounts is the allocation of support costs across activities. 

## **Income** 

All income is recognised in the Statement of Financial Activities once the charity has entitlement to the funds, it is probable that the income will be received and the amount can be measured reliably. 

## **Expenditure** 

Liabilities are recognised as expenditure as soon as there is a legal or constructive obligation committing the charity to that expenditure, it is probable that a transfer of economic benefits will be required in settlement and the amount of the obligation can be measured reliably. Expenditure is accounted for on an accruals basis and has been classified under headings that aggregate all cost related to the category. Where costs cannot be directly attributed to particular headings they have been allocated to activities on a basis consistent with the use of resources. 

## **Raising funds** 

Cost of generating funds comprise of those costs directly attributable to generating sponsorship income. 

## **Charitable activities** 

Charitable activities include all expenditure incurred in the pursuance of the Group's objectives. 

## **Governance costs** 

Governance costs comprise of all costs involving the public accountability of the charity and its compliance with regulation and good practice.  These costs include costs related to the preparation of the financial statements and legal fees. 

## **Taxation** 

The charity is exempt from corporation tax on its charitable activities.

## **Fund accounting** 

Unrestricted funds can be used in accordance with the charitable objectives at the discretion of the trustees. 

Restricted funds can only be used for particular restricted purposes within the objects of the charity. Restrictions arise when specified by the donor or when funds are raised for particular restricted purposes.
