The Trustees, who are also directors of the charlty for the purposes of the Companies Act 2006, present
their report with the financlal statements of the charity for the Year Ended 30 September 2023. The
Trustees have adopted the provisions of the Accounting and Reporting by Charltles: Statement of
Recommended Practice ISORPI applicable to Charities preparing their accounts in accordance with the
Financial Reporting Standard applicable in the UK and Republic of Ireland IFRS 1021.
Henleaze Swimming Club is a charitable company Ilmited by guarantee, incorporated on 8th September
2009 and registered as a charity on 10th November 2009. Through a Transfer of Undertakin& the affairs of
the unincorporated association known as Herbleaze Swimming Club were transferred to the charitable
company in March 2010.

Henleaze Swimming Club is governed by the Memorandum and Articles of Association dated Il,
September2023.
Recrultment and appointment of new Trustees
Under the requirements of the Club's Memorandum and Articles of Association there 5h311 be at least 6 and
no more than 12 Trustees.
Inductlon and tralning of new TrustÈe5
Trustees are invited to participate in a structured induction programme designed to Eive a comprehensive
overview of the Charity, its operations, and its governance. They are given an induction pack which intludes
the Memorandum & Articles of Association (which includes the objects of the Charity); Charities
Commission guldelines on becoming a Trustee.
Risk managemerrt.
The major rlsks to whith the organisation is exposed, as identified by the Trustees, have been reviewed and
Systems or procedures have been established to manage those risks. The principal risks and uncertainties
facing the Club, such as those relating to water quality, are discussed later in this report.
Organi5ation and management
Day to day management of the Club is delegated to the Executive Team, with Trustees providing oversight
and strategic guidan￿. A finance committee provides detailed oversight of financial matters. The
remuneration of all paid staff is reviewed annually by the Trustees.

Objertive5 and aims
The objects of the Charity are:
111 To promote the health of the inhabitants of Bristol and the surrounding area by providing facilities for
open water swimming and such other facilities for healthy exercise as the Executive Committee shall from
time to time determine.
121 To provide or as5iSt in the provision of open water swimming and other facilities in the interests of social
welfare for recreation or other leisure time occupation, such facilities being provided at Henleaze Lake for
the benefit of the inhabitsnts of Bristol and the surrounding area with the object of improving their
conditions of life.

OBJEcnvES AND ACTIVITIES
Publk benefit statement
The Trustees have had regard to Charity Commission guidance on public benefit and report on these
activitie5 below..
Membership numbers continue to be carefully managed wlth the onEolng use of the booking system.
We were able to open the waiting list in 2023 offering 1200 spaces with the opportunty to be community
access users. Community access I'CA") users can swim at Lake on a pay as you go basis. CA numbers
increased to 259S registered users in 202311940 in 20221.
We have contlnued to Increase the opportunlties for members of the publlc to use the slte and Its facllltles
including talks on the Lakes history and nature walks around the grounds.
Through our wider usage programme the Club continued to welcome community group5 to the Lake
including Open Minds Active Isocial prescribing group). Cintre House Isupport for vulnerable adultsl and Off
The Record Icounselling service for young people). We continued to work with Southmead Development
Trust with 2 social prescribing groups meeting at the Lake each week. We hosted 5 se55i0ns for scouts with
the age group 8 to 16 years old.
We have created a working group to promote equality, diver51ty and inclusion, and to ensure the Club is
compliant wfch best prattice under the Equality Art 2010.

ACHIEVEMENT AND PERFORMANCE
Charitable artivities
This year the Club had a total of 3,525 members, comprising 2,846 adult members and 679 junior members
lunder 18-yearsl. Winter Swimming ha5 continued to grow in popularity with an increase in member5 to
950.
The retirement of Alison Laity. General Manager at the end of June 2023 led to a transitional period, and
following a full public recruitment process. Josie Evans was appointed General Manager in July 2023, and
Esther Brooker was appointed as Deputy General Manager in September 2023.
The updated Memorandum & Articles of Assoclatlon were approved at an Extraordinary General Meetlng In
September 2023.
The Trustees contlnue to produce quarterly updates to members. These are well received by members in
highlighting the main developments frorn the previous quarter.
Water quality remain5 an important focus. We have been very pleased to learn post year-end that the
'Good' classification under the UK bathing water dirertive has been maintained,
Performance
The total income for the period was £519,71312022'. £415.1381. This included interest of £1,15012022..
£211. Total expenditure for the year was £455,94212022.. £395,451). This gives a surplus for the year of
£63,77112022.. £19,687).
In addition to routine repair5 and maintenance expenses of £35,102, the Balance Sheet highlights the
capitsl costs.. the amount brought forward of £406,702 has been increased by the capital spend in the year
of £1.155 and reduced by the deprecation provision of £25,510 to give the net book amount of £382,347 at
the end of the year.
The Club owns land and buildings which were initially gifted to the Club on formation at nil Cost, and
subsequently included in the financial statement5 at £250,000. The estimated value for insurance purposes
is regularly discussed with our insurance broker and insurers.

Unrestricted funds are available to spend on activitles that further any of the purpose5 of the charity.
DESIGNATED FUNDS
Designated funds are unrestricted funds of the tharity which the Trustees have decided at their discretion
to set aside to use for a specific purpose.
FINANCIAL REVIEW
Reserves policy
In order to provide on-going financial stability, the organisation aim5 to hold reserves at a level to cater for
a period of up to two years of severely curtailed income coupled with the c05t of remedial work. This sort of
situation could arise if water quality were to be badly compromised. A reserve of £75,000 is considered
adequate for thi5 purpose. This amount is regularly reviewed.

£250,000 for landl, £273,827 of cash and £7,299 current liabilities.
As referred to in the separate comments on charitable activities, the review of the built environment seeks
to ensure that the infrastructure at Henleaze Lake is appropriate to achieve our charitable objectives. Work
has begun on a comprehensive review and plan for the development of the facilities at the Lake.
Investment policy and objectlves
The organisation does not currently have a formal investment poliry. The reserve of £75,000 continues to
be held in a Busirtess Savings Account. The Trustees plan to adopt an Investment Policy that aligns with the
charitable objectives of the Club.
FUTURE DEVELOPMENTS
enleaze Swimming Club strives to create an environment where people of all ages and backgrounds can
enjoy open-water swimming. Facilities for inland open-water swimming and diving are extremely rare. and
we wish to use our site to promote these healthy and erbjoyable activtties.
Our strategic objectives are:
To serve and support our membership and to champion their activities.
To be financially secure.
To manage the propertyi and especially the lake water.
To be a responsible employer.
Our specific priorities for the coming year are..

STATEMENT OF TRUSTEES, RESPONSIBIUTIES
The Trustees (who are also the directors of the charitable company for the purposes of company lawl are
responsible for preparirbg the Trustees Annual Report and the financial statements in accordance with
applicable lèw and United Kingdom Accountlng Standards IGenerally Accepted Accounting Practice).
Company law requires the Trustees to prepare financial statements for each financial year which give a true
and fair view of the state of affairs of the charitable company and of the incoming resources and
application of resources, including the income and expenditure, of the charitable company for that period.
In preparing those financial statements, the Trustees are required to-
select suitable accounting policies and then apply them consistently.

assets of the charitable company and hence for taking reasonable steps for the prevention and detection of
fraud and other Irregularities.

Accountlng conventlon
The financial statements have been prepared under the historical cost convention and in accordance
with Accounting and Reporting by Charities.. Statement of Recommended Practice applitable to
charities preparing their accounts in accordance with the Financial Reporting Standard applicable in
the UK and Republic of Ireland IFRS 1021- (Charities SORP IFRS 10211 and in compliance with the
provisions of Section IA 'Small Entities" of Financial Reporting Standard 102 'The Financial
Reporting Standard applicable in the UK and Republic of Ireland" and the Companies Act 2006.
Henleaze Swimming Club meets the definition of a public benefit entity under FRS 102.
The financial statements are prepared in pounds sterling which is the functional currency of the
company. Monetary amounts in these financial statements are rounded tg the nearest £.
Preparation of the accounts on a golng concern basis
The Trustees consider it appropriate to prepare the Financial Statement5 on a Boing concern basis,
which means that, based on reasonable forecasts and expectations, the Charity will be able to meet
its liabilities as they fall due over the next 12 months. Iri reaching this conclusion, the Trustee5 have
taken into account their best estimate of the uncertaintie5 such as the outlook for the wider
economy. However, based on the level of reserves held and the budget for the coming year, the
going concern basls remains appropriate.
Incoming resources
All incoming resources are included on the Statement of Financial Artivities when the charlty is
legally entitled to the income and the amount can be quantified with reasonable atcura¢v.
Resources expended
Expenditure is accounted for on an accruals basis and has been classified under headings that
aggregate all c05t related to the category. Where costs cannot be directly attributed to particular
headings they have been allocated to activities on a basis consistent with the use of resources.
Governance costs are those costs incurred in connection with compliance with constitutional and
statutory requirements.

Depreciation is provided on all fixed assets, except land, at the following annual rates in order to
write off each asset over its estimated useful life-

Cash and cash equivalents comprise cash on hand and call deposits.
Stock5
Stocks are stated at the lower of cost and estimated selling price less costs to complete and sell. Cost
15 determined using the first-in, first-out IFI FOI method.
The tost of finished goods comprises direct materials and, where applicable, those costs that have
been incurred in bringing the inventories to their present location and condition. At each reporting
date. stocks are assessed for impairment. If Stocks are impaired, the carrying amount is reduced to
its selling price less costs to complete and sell,- the impairment loss is recoEnised immediately in
profit or1055.
Creditors and provisions
Creditors and provisions are recognised where the Charity has a present obligation resulting from a
past event that will probably result in the transfer of funds to 8 third party and the amount due to
settle the obligation can be measured or estimated reliably. Creditors and provisions are normally
recognised at their settlement amount.
Taxatlon
The charity is exempt from corporation tax on its charwtable activities.
Fund accountlng
Unrestricted funds can be used in accordance with the charitable objective5 at the discretion of the
Trustees. There are no restricted funds.

11. RELATED PARTY TRANSACTIONS
During the year ended 30 September 2023, Daphne Hall, a Trustee of the Charity. used the charity'5
premises to provlde yoga classes at the lake, in return for voluntary contributions from participants
to her.

which required disclosure for Year Ended 30 September 2023.
