Directors Annual Report for the year ended 31 December 2021
The Directors present their report and financial statements for the year ended 31 December 2021. The financial statements have been prepared in accordance with the accounting policies set out in note 1 to the financial statements and comply with the Memorandum and articles of association as amended by special resolution on 13 October 2009, the Charites Act 2011 and “Accounting and Reporting by Charities: Statement of recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102)” (effective 1 January 2019).
The Objects of Eagle’s Wings Ministries UK Ltd are:-

To advance the Christian religion for the benefit of the public through holding of prayer meetings, supporting and working with leaders and leadership teams and by such other means as the trustees may determine in order to enlighten others about the Christian religion.

For such other charitable purposes as the trustees may from time to time determine.
The Directors met for three business meetings, via Zoom. A fourth formed part of an Away Day, meeting in person.
UK Ministry
EWM UK continued to be impacted by Covid restrictions during the first part of the year. Rev. Stear’s ‘one to one’ meetings continued using Zoom, WhatsApp or phone and then gradually became in person meetings. The frequency also gradually increased, meeting with people in church leadership and Christians in other leadership positions across denominations, to listen, discuss and pray about their situations. His ministry continued to include ministry to a small number of people with specific needs. Mrs. Stear has also continued her considerable ‘one to
one’ ministry amongst women on the phone and by text. Gradually her meetings became face to face in person. Rev. Stear’s in person preaching ministry resumed in August, after Zoom ministry in the earlier part of the year. This continued to include churches of different denominations. There have been no school assemblies. Rev. Dr. Edwards has continued to be involved in leadership mentoring, preaching and school governance, again largely by electronic means during the first part of the year. Moving house inevitably is bringing some changes.
Ministry online developed in two new ways which might expand during 2022. In August Rev. Stear preached to a church in Andhra Pradesh state in India. He had met the pastor on a visit eleven years previously and they have kept in touch. This led to some trial online seminars oragnised by Pastor Sundar Rao with a group of church leaders. These are set to resume and develop. Rev. and Mrs. Stear were asked to speak to a conference of church leaders in the Democratic Republic of Congo, which they did on two consecutive mornings. The talks were shown in the conference venue and the sound amplified. They were blessed with a good interpreter and group work was possible, but not feedback from the group discussions. A similar conference in Eldoret had to be postponed because of the organiser’s sudden ill health.

During the early months of the year Rev. Stear also continued editing monthly online services for Rev. Dr. John Rennie and the churches of the Upper Dever Benefice in Hampshire.
Unfortunately Rev, Stear’s speaking ministry continued to be curtailed from January to April, following the sudden voice loss in November and December of the previous year.
Prayer News continued to be produced and circulated bimonthly by email and post until hard copies could be distributed to and via churches in the autumn. The circulation to individuals and to churches has remained about the same. With email versions, hard copies sent by post and copies taken by churches, well over two hundred are distributed every two months, although this dipped during the time that hard copies could not be distributed by churches. Churches that normally have hard copies kindly continued to do their best to email copies to their members. We continue to be grateful to those people who regularly pray for the work of EWM UK Ltd. and for the people to whom we minister. Confidentiality is maintained so that identities of individual leaders are not disclosed.
Amidst the constraints we have much to praise God for and we thank Him for His faithfulness and for the privilege of using different ways of ministering for His Kingdom.
Overseas ministry
• Because of Covid no overseas visits were possible during 2021.
• EWM UK Ltd. has been able to help the church overseas during the Pandemic. Generous giving enabled gifts of varying amounts to be sent to some of our contacts in Democratic Republic of Congo, Rwanda, Kenya and India, to help with feeding programmes and other basic necessities. Emergency help was sent to the Assemblies of God and Anglican denominations in the Bukavu area of the Democratic Republic of Congo to help them in accommodating and feeding some of the thousands of refugees who fled the volcanic eruption near Goma in May. Gifts were sent to a senior church leader in DR Congo to enable him to complete building his house and to give additional support to him during the first year of his PhD studies. An international organization granted him a bursary for the studies.
• EWM UK Ltd. has continued to contribute towards the funding of a Rwandese headteacher enabling him to continue his studies as a mature student at All Nations Christian College to study for a BA in The Bible and Inter-Cultural Studies. He had a successful first year and has had an excellent first term of his second year. Rev. and Mrs. Stear arranged a programme of visits for him during the long summer vacation. His tutor would like him to stay on for a third year in order to undertake a Masters course. EWM UK are grateful for generous gifts that have made it possible to pay the balance of his fees for his first year and to underwrite the balance of his fees (after a college bursary) for year two.
• The plans that were being drawn up to develop what might be called an online School of Christian Studies have not materialised as hoped. Rev.Dr. Sue Woan is integral to these plans, but a number of personal issues heavily impacted on her during the year.

The EWM UK Ltd. website
The website was updated less frequently throughout 2021. Plans to format and upload more teaching materials to the website and to eVitabu did not materialize. Pages and links were added for the short study series giving an overview of Mark’s Gospel, written and presented by Rev. Dr. Sue Woan.
Plans for 2022 include:-
• Plans for 2022 continue to be dependent upon how this country and other countries emerge from Covid.
• Personal ministry, one to one’ meetings, spiritual accompaniment, mentoring, will be much more on face to face meetings rather than virtual. The preaching calendar already has quite a number of dates;
• It is still hoped to develop an online School of Christian Studies. Short courses delivered in English and accompanied by study notes on the website. The real hope is to be able to deliver these through simultaneous translation and translated notes in Swahili and Kinyrwanda.
• Continuing development of encouraging people, especially leaders, in prayer; ongoing development of mentoring leadership groups in churches.
• It continues to be a hope to format and upload teaching materials as resources on the website in English, some in Kinyarwanda and some in Kiswahili. To send further material which has been requested to the E Vitabu project. This needs to be given a higher priority but will be dependent on Rev. Stear’s eyesight when working at the computer.
• The continued expansion of the support base.

The possible of development of Zoom seminars/conferences with overseas contacts.

Following an excellent Away Day in November 2021, work is in hand and will be progressed in 2022:-

to set out more clearly the different facets of EWM UK Ltd. ministry at home and abroad;

to clarify the structure of the mission;
-
to identify what gifts are necessary for each facet of the ministry and, if possible, identify potential people who might be involved on a voluntary basis
-
to draw up a clear job description for the future of the role of Non-Executive Director.

A follow up half day to the Away Day is scheduled for March to further discuss these and succession planning for the role of NonExecutive Director.

The Directors agreed to continue the following Reserves Policy adopted last year

The trustees have examined the charity's requirements for reserves in the light of the main risks to the organisation. The reserves are needed to meet working capital requirements and the Trustees are confident that at this level they would be able to continue the current activities of the charity in the event of a significant drop in funding.

Reserves should normally be maintained at £3,000 in order to cover routine expenses incurred in the fulfilment of the EWM UK Ltd.’s aims within the UK. In addition, a sum should be set aside equivalent to the costs of agreed and arranged overseas commitments for the forthcoming year.

Reserves for the year ended 31.12.2021 stand at £20,987

In order to maintain reserves, the Directors hold to the principle of prudent budgeting and to the policy which requires the approval of at least three Directors for expenditure above £500 on any given item arising between meetings of the Board of Directors.
Structure, governance, and management
The company is governed by the Memorandum and articles of association as amended by special resolution on 13 October 2009 and is constituted a company limited by guarantee.

The management of the company is the responsibility of the directors.
The responsibilities of the Directors
Company law requires the Directors to prepare financial statements for each financial year which give a true and fair view of the state of affairs of the charitable company as at the balance sheet date and its income resources and application of resources, including income and expenditure, for the financial year. In preparing those financial statements, the Directors should follow the best practice and:
Select suitable accounting policies and then apply them consistently;
Make judgements and estimates that are reasonable and prudent; and
Prepare the financial statements on the going concern basis unless it is not appropriate to assume that the company will continue on that basis.

The Directors are responsible for maintaining records which disclose with reasonable accuracy at any time the financial position of the charitable company and to enable them to ensure that the financial statements comply with the Companies Act 2006 (the 2006 Act) and the Charites Act 2011. The Directors are also responsible for safeguarding the assets of the charitable company and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities.

Independent Examiner’s Report To the Trustees of Eagle’s Wings Ministries UK Limited for the year ended 31 December 2021
I report to the trustees on my examination of the financial statements of Eagle’s Wings Ministries UK Limited (the charity) for the year ended 31 December 2022.
Responsibilities and basis of report
As the trustees of the charity (and also its directors for the purposes of company law) you ae responsible for the preparation of the financial statements in accordance with the requirements of the Companies Act 2006 (the 2006 Act).
Having satisfied myself that the financial statements of the charity are not required to be audited under Part 16 of the 2006 ACT and are eligible for independent examination, I report in respect of my examination of the charity’s financial statements carried out under section 145 of the Charities Act 2011 (the 2011 Act). In Carrying out my examination I have followed all the applicable Directions given by the Charity Commission under section 145(5)(b) of the 2011 Act.
Independent examiner’s statement
I have completed my examination. I confirm that no matters have come to my attention in connection with the examination giving me cause to believe that in any material respect:

accounting records were not kept in respect of the Charity as required by section 130 of the 2011 Act; or
-
the financial statements do not accord with those records; or
-
the financial statements do not comply with the applicable requirements concerning the form and content of the accounts set out in the Charities (Accounts and Reports) Regulations 2008 other than any requirement that the accounts give a true and fair view which is not a matter considered as part of an independent examination.
I have no concerns and have come across no matters in connection with the examination to which attention should be drawn in this report in
order to enable a proper understanding of the financial statements to be reached.

All income and expenditure derive from continuing activities.

from the audit requirement under section 477 of the Companies Act 2006.
The directors acknowledge their responsibilities for with the Companies Act 2006 with respect to accounting records and the preparation of financial statements.
The members have not required the company to obtain an audit of its financial statements for the year in question in accordance with Section 476.

1. ACCOUNTING POLICIES
1.1 Accounting convention
The financial statements have been prepared, on the going concern and accruals basis,
under the historical cost convention and in accordance with the charity's governing document, the Companies Act 2006 and “Accounting and Reporting by Charities: Statement of Recommended Practice “applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland ( FRS 102 ). The charity is a Public Benefit Entity as defined by FRS102.
The charity has taken advantage of the provisions in the SORP for charities applying FRS102 Update Bulletin 1 not to prepare a Statement of Cash Flows.
The financial statements are prepared in sterling, which is the functional currency of the charity. Monetary amounts in these financial statements are rounded to the nearest £.
1.2 Going Concern
At the time of approving the financial statements the directors have a reasonable expectation that the charity has adequate resources to continue in operational existence for the foreseeable future. Therefore, the directors continue to adopt the going concern basis of accounting in preparing the financial statements.
1.3 Charitable funds
Unrestricted funds represent the funds of the company that are not subject to any
restriction regarding their use and are available for general purposes. Restricted funds represent the funds of the company that are subject to restriction
of their use.
1.4 Income
Income is recognised when the charity is legally entitled to it after any performance conditions have been met, the amounts can be measured reliably, and it is probable that income will be received.
1.5 Expenditure
Expenditure is recognised once there is a legal or constructive obligation to transfer economic benefit to a third party, it is probable that a transfer of economic benefits will be required in settlement and the amount of the obligation can be measured reliably.
2. Company limited by guarantee
The company is limited by guarantee and does not have any share capital.
In the case of a winding up of the company each member shall contribute no more than £10.

3. Trustees
None of the trustees (or any persons connected with them) received any remuneration or benefits from the Trust during the year.
4. Employees
The average number of employees including directors during the year was 7 (2020 – 7)
There were no employees whose annual remuneration was more than £60,000.
