The PCC is registered with the Charity Commission (registered number 1132544).

STRUCTURE, GOVERNANCE AND MANAGEMENT

The method of appointment of PCC members is set out in the Church Representation Rules. At St Michael’s, the membership of the PCC consists of the incumbent (our vicar), curate, churchwardens and members elected by those members of the congregation who are on the electoral roll of the church. All those who attend our services are encouraged to register on the Electoral Roll and stand for election to the PCC. The PCC members are responsible for making decisions on all matters of general concern and importance to the parish including deciding on how the funds of the PCC are to be spent.

Given its wide responsibilities the PCC has a number of committees, each of which deals with a particular aspect of parish life. During 2021 the PCC and Standing Committee met 10 times either in person or via Zoom. Each PCC meeting included a report from the Treasurer and updates from the Safeguarding Officer and other committees including Fabric, Stewardship and Strategy and Worship. There are also when appropriate, reports from Deanery Synod and ICC meetings. Matters discussed at PCC meetings during the year included:

• Church usage • 2022 Vision
• Ministry during the pandemic • Stewardship
• Children in Communion • Youth Ministry
• Developing our Gospel Ministry in Highworth • Church Hall
• Process during Vacancy

The PCC has responsibility for promoting within the parish of Highworth with Sevenhampton and Inglesham the whole mission of the Church - pastoral, evangelistic, social and ecumenical. All PCC members are trustees of the registered charity that is St Michael’s. The trustees consider that they

have complied with the duty in section 4 of the Charities Act 2006 to have due regard to public benefit guidance published by the Charity Commission and in particular the Commission's guidance in The Advancement of Religion for the Public Benefit; the trustees believe they have had regard to the duty in their administration of the PCC in ways including:

Some of the events in the life of St Michael’s during 2021 were as follows:

COMMITTEES

The Standing Committee meetings alternate with the monthly PCC meetings. Its purpose is to carry out any time critical business of the PCC* and carry out delegated actions by the PCC.

Quorum – at least 4 members of the Standing Committee, including an elected PCC member.

*Email exchanges of those who reply within a given time-frame in relation to the urgency of the situation will be summarized and submitted to the PCC to form a record of delegated decisions. Fabric Committee

The Churchwardens have confirmed that the Registers are maintained in good order and the Church Plate is all present, and in good condition.

2021 again has not been a typical year for the Fabric Team. However with changes in the Covid rules etc. we have been able to use the Church much more than last year.

The Committee met once during this period but we have not had any work parties except for a special one when we gave the interior of the Church a bit of a “spring clean”. Don and Colin being local have kept a watching brief on the Church Building and attended to any urgent matters.

The Bosch boilers have not required any attention and now seem to be operating satisfactorily; they were given an annual maintenance in the Spring by the installers.

Opportunities were taken to carry out routine cleaning of the roof gutters and to locate and carry out short term repairs to any minor roof leaks. In August 2021 here was a severe rain storm which caused an inrush of water down the west wall of the South Transept; this matter is with our Architect who has provided a proposal for dealing with the problem and approval has been obtained to proceed by the DAC and we are talking with contractors who will provide a quotation for the work. The Architect has a proposal for its refurbishment of the weathervane which is currently with a structural engineer for assessment.

The footpath lighting has received routine replacement of light bulbs.

PAT testing has not been carried out on any items in the Church, Church Room and St. Michael’s Hall. We are currently still looking for a new Tester who can provide us with a similar standard of service. In December 2019 a problem arose with the new kitchen floor, this was investigated during the early months of 2020 and a new floor covering was installed: there have not been any further problems reported.

Moisture rising from the sub floor is still a problem causing condensation in the floor boxes especially in the winter months. We are looking into sealing the cable duct ends and the their entry into the floor boxes to minimise the problem; it is hoped to use a non setting material so that entry into the ducts is not a problem in the future.

The Church Room project has progressed but is as yet not completed. New hand washing water heaters have been installed in the toilet areas. New taps installed and a damaged toilet pan replaced. All areas with the exception of the office were given a deep clean by a professional contractor. The south side footpath requires some TLC and discussions are ongoing with Highworth Town Council on this matter.

Assistance was given as and when necessary with the installation work of the new organ pipes and loud speakers We hope that during 2022 we will be able to reform the Fabric Committee and return to a more normal routine.

The condition of the notice boards was assessed with all of them requiring attention, subsequent to that inspection there was in February severe gales which resulted in the Lechlade Road notice board suffering considerable damage. It has been decided that that board will be replaced in readiness for the arrival of a new vicar.

I would like to thank Don Leonard for his assistance and Peter Croton who reports to the PCC.

It should also be noted that St Michael’s PCC is responsible for the maintenance of St James’, Sevenhampton, and also the Churchyard maintenance at St John the Baptist, Inglesham.

Stewardship Committee

The committee met a number of times to plan the stewardship campaign and to ensure stewardship remains at the heart of Church life. We continue to find meeting our financial responsibilities and potential projects challenging, while at the same time so many of us giving very sacrificially of our time, gifts and resources.

Safe from Harm Committee

This committee monitors the appointment of people to roles within the church involving children, young people and vulnerable adults. The committee reports to the PCC on matters relating to the Safe from Harm guidelines and the Vulnerable Adults guidelines.

Standing Committee of PCC

This committee met to review the Government covid restrictions and how they were to be applied in the Church context of worship and community opening of the Church building. It also needed to approve spending proposals as required when the PCC is not planning to meet.

Church Hall

The Church Hall is now managed by the Parish Administrators with any issues being referred to the PCC for a decision.

AIM AND PURPOSES

St Michael and All Angel’s Parochial Church Council (PCC) has the responsibility of co-operating with the incumbent, the Reverend Geoffrey Sowden, in promoting in the ecclesiastical parish, the whole mission of the Church, pastoral, evangelistic, social and ecumenical.

OBJECTIVES AND ACTIVITIES

Our mission statement of “ To share Jesus, through growth in our love for God, each other and our community", continues to be worked out through a strategy of being a Church of congregations, cell groups and celebrations.

The building is a major asset and beacon for the town. On many nights it is floodlit and serves as a heart-warming ‘welcome home’ as the traveller returns to Highworth.

SUPPORT FOR OTHER ORGANISATIONS

Support for others is very much a part of church life, and during the year St Michael’s has been involved in a wide range of support for other organisations, working both for church and secular purposes, in local, national, and international organisations. Many members of the church remain very active in all aspects of town life.

CHURCH ATTENDANCE

The average normal weekly attendance during 2021 attendance was 74 adults and 10 children. The average normal weekly attendance does not include Baptisms or Festival services.

FINANCIAL REVIEW

The full details of our income and expenditure can be found in the Financial Report. Our Structured Giving, either by monthly banker’s order or by the weekly/monthly envelopes scheme, combined with the Gift Aid claim continues to be our major source of income. Clinton’s Gift continues to support the church. The PCC is fully committed to ensuring we make a fair contribution towards the Parish Share which is paid to the diocese. These funds are used for supporting ministry, education and outreach, and other areas such as Parish support services and retired clergy. Information about finance is reported at PCC meetings. During this second Covid-19 year it was identified that a balanced budget would not be achieved. The PCC wishes to express its thanks to everyone who has contributed in any way to the ministry and mission of St Michael’s.

Donations Received

Donations have been received during the year from Clinton’s Gift for the repainting of the bell frame, office equipment and servicing contracts as well as Youth and Parish Administration support. Clintons Gift is a charity whose primary aim is to further the religious and other charitable work in the parish of Highworth by repairing and maintaining the church.

Clintons continues to support 50% of the costs of our Schools Worker and Youth Worker as well as a 20% contribution towards the cost of Parish Administration. The PCC is extremely grateful to the trustees of Clinton’s Gift, URC and Prestbury Trust for the contribution to the Youth and Schools work. Planned giving is received for Christians Against Poverty (CAP) and Youth and Schools work. Donations have also been received for the new Toddlers Group, the churchyard Eco project, Christian Aid, RBL Poppy Appeal, Disasters Emergency Committee (DEC) Covid appeal and Afghanistan

Reserves Policy

The PCC reserves policy is to maintain quarterly budgeted income against quarterly budgeted expenditure in the current account which requires quarterly income of £43,000 excluding support from Clintons Gift. Each year funds are transferred from the current account to the PCC Fabric, Legacies and Parish Mission account and allocated to Church floodlighting and the Youth Project.

Independent Examiner's Report to the Trustees of THE PAROCHIAL CHURCH COUNCIL OF ST MICHAEL AND ALL ANGELS, HIGHWORTH WITH SEVENHAMPTON AND INGLESHAM

Year ended 31 December 2021

I report to the trustees on my examination of the financial statements of THE PAROCHIAL CHURCH COUNCIL OF ST MICHAEL AND ALL ANGELS, HIGHWORTH WITH SEVENHAMPTON AND INGLESHAM ('the charity') for the year ended 31 December 2021.

Responsibilities and basis of report

As the trustees of the charity you are responsible for the preparation of the financial statements in accordance with the requirements of the Charities Act 2011 (‘the Act’).

I report in respect of my examination of the charity's financial statements carried out under section 145 of the 2011 Act and in carrying out my examination I have followed all the applicable Directions given by the Charity Commission under section 145(5)(b) of the Act.

Independent examiner's statement

I have completed my examination. I confirm that no material matters have come to my attention in connection with the examination giving me cause to believe that in any material respect:

  1. accounting records were not kept in respect of the charity as required by section 130 of the Act; or

  2. the financial statements do not accord with those records; or

  3. the financial statements do not comply with the applicable requirements concerning the form and content of accounts set out in the Charities (Accounts and Reports) Regulations 2008 other than any requirement that the accounts give a ‘true and fair' view which is not a matter considered as part of an independent examination.

I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.

Notes to the Financial Statements

Year ended 31 December 2021

1. General information

The charity is a public benefit entity and a registered charity in England and Wales and is unincorporated. The address of the principal office is .

2. Statement of compliance

These financial statements have been prepared in compliance with FRS 102, 'The Financial Reporting Standard applicable in the UK and the Republic of Ireland', the Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (Charities SORP (FRS 102)) and the Charities Act 2011.

3. Accounting policies

Basis of preparation

The financial statements have been prepared on the historical cost basis, as modified by the revaluation of certain financial assets and liabilities and investment properties measured at fair value through income or expenditure.

The financial statements are prepared in sterling, which is the functional currency of the entity.

FUNDS

Endowment funds (which are investments) are funds, the capital of which must be maintained; only income arising from the endowment may be used either as restricted or unrestricted funds depending upon the purpose for which the fund was established.

Restricted funds represent (a) income from trusts or endowments which may be expended only on those restricted objects provided in the terms of the trust or bequest, and (b) donations or grants received for a specific object or invited by the PCC for a specific object. Any balance remaining unspent at the end of each year must be carried forward as a balance on that fund. The PCC does not usually invest separately for each fund. Where there is no separate investment, interest is apportioned to individual funds on an average balance basis only if a material sum is involved.

General funds represent the funds of the PCC that are not subject to any restrictions regarding their use and are available for application on the general purpose of the PCC. Funds designated for a particular purpose by the PCC are also unrestricted.

The financial statements include all transactions, assets and liabilities for which the PCC is responsible in law. They do not include the accounts of church groups that owe their main affiliation to another body, nor those that are informal gatherings of church members.

INCOMING RESOURCES

Voluntary income

Collections are recognised when received by or on behalf of the PCC. Planned giving receivable under Gift Aid is recognised only when received. Income tax recoverable on Gift Aid donations is recognised when the income is recognised. Grants and legacies for the general purposes of the PCC are accounted for as soon as the PCC is notified of its legal entitlement, the amount due is quantifiable and its ultimate receipt by the PCC is reasonably certain.

THE PAROCHIAL CHURCH COUNCIL OF ST MICHAEL AND ALL ANGELS, HIGHWORTH WITH SEVENHAMPTON AND INGLESHAM

Notes to the Financial Statements (continued)

Year ended 31 December 2021

3. Accounting policies (continued)

Fund raising income is accounted for gross except for non material amounts of expenditure which are deducted from income.

Other income

Rental income from the letting of church premises is recognised when the rental is due.

Income from investments

Dividends are accounted for when due and payable. Interest entitlements are accounted for as they accrue. Tax recoverable on such income is recognised in the same accounting year.

Gains and losses on investments

Realised gains or losses are recognised when investments are sold. Unrealised gains or losses are accounted for on revaluation of investments at 31 December.

RESOURCES USED

Charitable activities

Grants and donations are accounted for when paid over, or when awarded, if that award creates a binding obligation on the PCC.

The diocesan parish share is accounted for when due. Any parish share unpaid at 31 December is provided for in these accounts as an operational (though not a legal) liability and is shown as a creditor in the Balance Sheet.

FIXED ASSETS

Consecrated property and movable church furnishings

Consecrated and benefice property is not included in the accounts in accordance with s.96(2)(a) of the Charities Act 1993.

Movable church furnishings held by the Vicar and Churchwardens on special trust for the PCC, and which require a faculty for disposal, are accounted as inalienable property unless consecrated. They are listed in the church's inventory which can be inspected at any reasonable time. For anything acquired prior to 2001 there is insufficient cost information available and therefore such assets are not valued in the accounts. Items acquired since 1 January 2001 will be capitalised and depreciated in the accounts over their anticipated useful economic life

All expenditure incurred in the year on consecrated or beneficed buildings, individual items under £1,000 or on the repair of movable church furnishings acquired before 1 January 2001 is written off.

Other fixtures, fittings and office equipment

Equipment used within the church premises is depreciated on a straight line basis over 5 years.

Individual items of equipment with a purchase price of £1,000 or less are written off when the asset is acquired.

Notes to the Financial Statements (continued)

Year ended 31 December 2021

3. Accounting policies (continued)

INVESTMENTS

Investments are valued at market value at 31 December.

CURRENT ASSETS

Amounts owing to the PCC at 31 December in respect of fees, rents or other income are shown as debtors less provision for amounts that may prove uncollectible.

Short-term deposits include cash held on deposit either with the CBF Church of England funds or at the bank.

Going concern

There are no material uncertainties about the charity's ability to continue.

Fund accounting

Unrestricted funds are available for use at the discretion of the trustees to further any of the charity's purposes.

Designated funds are unrestricted funds earmarked by the trustees for particular future project or commitment.

Restricted funds are subjected to restrictions on their expenditure declared by the donor or through the terms of an appeal, and fall into one of two sub-classes: restricted income funds or endowment funds.

Incoming resources

All incoming resources are included in the statement of financial activities when entitlement has passed to the charity; it is probable that the economic benefits associated with the transaction will flow to the charity and the amount can be reliably measured. The following specific policies are applied to particular categories of income:

Notes to the Financial Statements (continued)

3. Accounting policies (continued)

Resources expended

Expenditure is recognised on an accruals basis as a liability is incurred. Expenditure includes any VAT which cannot be fully recovered, and is classified under headings of the statement of financial activities to which it relates:

All costs are allocated to expenditure categories reflecting the use of the resource. Direct costs attributable to a single activity are allocated directly to that activity. Shared costs are apportioned between the activities they contribute to on a reasonable, justifiable and consistent basis.

Tangible assets

Tangible assets are initially recorded at cost, and subsequently stated at cost less any accumulated depreciation and impairment losses. Any tangible assets carried at revalued amounts are recorded at the fair value at the date of revaluation less any subsequent accumulated depreciation and subsequent accumulated impairment losses.

An increase in the carrying amount of an asset as a result of a revaluation, is recognised in other recognised gains and losses, unless it reverses a charge for impairment that has previously been recognised as expenditure within the statement of financial activities. A decrease in the carrying amount of an asset as a result of revaluation, is recognised in other recognised gains and losses, except to which it offsets any previous revaluation gain, in which case the loss is shown within other recognised gains and losses on the statement of financial activities.

Depreciation

Depreciation is calculated so as to write off the cost or valuation of an asset, less its residual value, over the useful economic life of that asset as follows:

Equipment - 5 to 10 years

Investments

Unlisted equity investments are initially recorded at cost, and subsequently measured at fair value. If fair value cannot be reliably measured, assets are measured at cost less impairment.

Listed investments are measured at fair value with changes in fair value being recognised in income or expenditure.

Notes to the Financial Statements (continued)

Year ended 31 December 2021

3. Accounting policies (continued)

Government grants

Government grants are recognised at the fair value of the asset received or receivable. Grants are not recognised until there is reasonable assurance that the charity will comply with the conditions attaching to them and the grants will be received.

Where the grant does not impose specified future performance-related conditions on the recipient, it is recognised in income when the grant proceeds are received or receivable. Where the grant does impose specified future performance-related conditions on the recipient, it is recognised in income only when the performance-related conditions have been met. Where grants received are prior to satisfying the revenue recognition criteria, they are recognised as a liability.

Financial instruments

A financial asset or a financial liability is recognised only when the entity becomes a party to the contractual provisions of the instrument.

Basic financial instruments are initially recognised at the amount receivable or payable including any related transaction costs, unless the arrangement constitutes a financing transaction, where it is recognised at the present value of the future payments discounted at a market rate of interest for a similar debt instrument.

Current assets and current liabilities are subsequently measured at the cash or other consideration expected to be paid or received and not discounted.

Where investments in shares or preference shares are publicly traded or their fair value can otherwise be measured reliably, the investment is subsequently measured at fair value with changes in fair value recognised in income and expenditure. All other such investments are subsequently measured at cost less impairment.
