## **REPORT OF THE TRUSTEES FOR THE YEAR ENDED 31 DECEMBER 2020** 

The trustees who are also directors of the charity for the purposes of the Companies Act 2006, present their report with the financial statements of the charity for the year ended 31 December 2020. The trustees have adopted the provisions of Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019). 

## **OBJECTIVES AND ACTIVITIES** 

## **Objectives and aims** 

To continue to develop, a sound structure of governance and management to enable our core objectives of; the advancement of the Christian Faith, the advancement of education, relief of financial hardship, and the provision of care for all ages and people groups, to be achieved. 

## **Public benefit** 

We review our aims, objectives and activities each year. The review looks at what we achieved and the outcomes of our work over the last 12 months. The review looks at the success of each key activity and the benefits they have brought to those groups of people we aim to serve. The review also helps us ensure our aims, objectives and activities remain focused on our stated purposes. We have referred to the guidance contained in the Charity Commission's general guidance on public benefit and complied with section 17(5) of the Charities Act 2011 when reviewing our aims and objectives and in planning future activities. In particular the Trustees consider how planned activities will contribute to the aims and objectives they have set. 

## **Grantmaking** 

The Trustees make grants to organisations and individuals whose aim and objectives meet the criteria of City Church. Recipients of funding are expected to keep in regular contact and from time to time representatives of City Church visit to ensure funds are being applied in accordance with objectives that have been set out.

## **ACHIEVEMENT AND PERFORMANCE Charitable activities** 

The established register of 'Associates, Friends and Attendees' ensures the constituents of City Church are cared for by a network of small groups which regularly met in-person in various venues throughout NE Lincolnshire prior to the Coronavirus pandemic. Imposed restrictions, in response to the pandemic, has necessitated the use of online platforms, (such as Zoom) for our groups to continue. 

Principle income sources are voluntary tithes & offerings, and Wiz Kidz SLA funding, these income streams have allowed the charity to carry out the various activities highlighted in this report. 

Our 'Wiz Kidz' nursery has the capacity to offer 48 places but operated for much of the year with significantly reduced numbers due to lockdowns and parents being reluctant to send children because of the pandemic. Wiz Kidz was designated as, 'Good' when last inspected by OFSTED in April 2017. 

In partnership with the national charity 'Christians Against Poverty' (CAP) the church continued to run a CAP Debt Centre. Although much of the interaction with clients this year has been via phone and online platforms due to the pandemic. The service is usually run by a mix of paid staff and volunteers; accepting self-referrals and referrals from statutory agencies or non-statutory organisations and has seen 6 clients become debt free in 2020. 

City Church is an active member of the Ground Level Network of Churches, Churches Together in NE Lincolnshire, Churches Together All Lincolnshire, and works closely with NE Lincolnshire Council Early Years Support, The Local Nursery Managers Network, The East Marsh & Central Family Hubs, The NSPCC 'Together For Childhood' initiative and the local Childhood Development Centre. 

The church continues to be actively involved in the support of several projects in the UK and overseas, including: -Christian Action & Resource Enterprise, a local charity that is dedicated to relieving poverty, hardship, and distress often around housing issues in NE Lincolnshire 

- Safe Families - providing respite care & support for families in need in NE Lincolnshire 

- We Are One Foundation - NE Lincolnshire 

- The International Bible Training Institute, based in the UK 

-'Jabulani' children's home in Zimbabwe 

- A schooling programme with Oasis of Hope Foundation UK, (formerly Colombia Childcare UK) 

- Release International - working on behalf of the persecuted church around the world 

City Church continues to run its weekly, (now online due to the pandemic) youth group called 'City Youth' and ran its ninth annual kids camp weekend, this year called, 'Kids Camp At Home' and was a virtual event due to the pandemic. In addition, our Kids Church team also facilitated a series of Zoom assemblies for New Waltham Academy. 

In response to the numerous lockdowns and restrictions, and their effects on mental health, City Church has launched, 'Make : Do : Mend'. An online initiative bringing together resources to help people positively navigate through this difficult season. 

City Church is an active member of the Ground Level Network of churches in the UK and helped to facilitate the 'ONE event Where You Are' online broadcast over the August bank holiday weekend. 

Throughout 2020 staff and volunteers from City Church have continued to take an active role at Immingham Christian Centre, providing much of the ministerial, pastoral, and administrative support. 

In addition, we have supported a number of other local churches during the year including Grimsby United Reformed Church and continued to facilitate a monthly prayer breakfast for church leaders from across NE Lincolnshire. Again, this is another initiative that moved to an online platform due to the pandemic. 

The work and activities of City Church is made possible with 11 full time equivalent paid staff and many hundreds of volunteer hours from the 'Friends & Associates' and attendees of the church. 

The City Church Leadership Team operates under delegated powers of the Directors. They have spiritual oversight, and make decisions, within the parameters of the vision and pre-set budgets of the church. The Wiz Kidz manager operates under delegated powers of the Directors and has responsibility for day to day management of the nursery within the designated budget. 

City Church operates from two sites in Grimsby: 

1. Our centre on Freeman Street, incorporating our offices, Wiz Kids nursery, and CAP debt management service. Although most of the staff have been remote working throughout the year due to the pandemic; utilising Microsoft Teams & Zoom for collaborative working.

2. Our buildings on Chelmsford Avenue, would usually be used for our main church services, but were repurposed to be a broadcasting venue for online Sunday services for much of the year due to the pandemic. Our Community Hall has been moth-balled for most of the year which has considerably reduced our income from hall hire to local community groups. 

## RISK REGISTER 

The trustees have a duty to identify and review the risks to which the charity is exposed and to ensure appropriate controls are in place to provide reasonable assurance against fraud and error. A review of our 'Risk Register' took place in March and is reviewed on an annual basis by Trustees. 

## VOLUNTEERS 

The many activities of City Church throughout 2020 were only possible because of a significant number of volunteer hours, (although substantially lower than pre-pandemic levels) summarised as follows: 

" Group leadership, pastoral support 650 hours. 

" CAP debt management support 50 hours. 

" Leadership & operational support 125 hours. 

" Sunday service support 450 hours. 

" Kids church events & camp 75 hours. 

" ONE event support 40 hours. " Building maintenance & refurbishment 125 hours. 

## **FINANCIAL REVIEW** 

## **Reserves policy** 

The Trustees have examined the Charity's requirement for reserves considering the main risks to the organisation. It has established a policy to endeavour to keep three months operating costs in reserves and an element for potential redundancy costs, totalling £130,000. 

## **FINANCIAL POSITION** 

The Trustees normally meet eight times per year to review the financial position of the charity by monitoring actual income and expenditure and comparing to budget. Extra meetings were called this year to ensure a swift response to frequently changing Government imposed restrictions due to the pandemic. 

We are very grateful for the receipt of a number of grants during the year: 

-A Discretionary Grant of £10,000 awarded by NE Lincs Council to offset loss of income from reduced pupil numbers in the nursery and loss of income from groups hiring the Community Hall. 

- A grant of £9,684 from the Coronavirus Community Support Fund that will cover 6 months of CAP running costs, (£3,228 will be carried forward to 2021). 

- A grant of £3,021 from the Bishop of Lincoln's Social Justice Fund, towards the refurbishment of the Wiz-Kidz nursery garden 

The Trustees consider the financial position of the charity to be satisfactory. The Statement of Financial Activities shows income for the year ended 31 December, 2020 of £347,935 (2019- £365,878) and expenditure of £329,792 (2019£359,426). Free reserves at the year-end amount to £180,131 (2019- £151,518) and are considered adequate to support the ongoing plans of the charity. 

## **FUTURE PLANS** 

As with many charities, City Church has had to adapt all of its operations in line with the various restrictions and lockdowns that the UK government has imposed in response to the Coronavirus pandemic. At the time of writing, we are still navigating through a period of significant restrictions and envisage a slow return to non-socially distanced activities. We are currently in the process of reviewing our social action programs to ensure they are still relevant to the needs of the local area and that they are fit for purpose. 

In considering our achievements, performance, and future plans; we are very grateful for the number of volunteers who have helped facilitate many of the activities of City Church throughout this very difficult year.

## **Recruitment and appointment of new trustees** 

City Church seeks to appoint trustee/directors from persons who share the same ethos. It seeks to identify those most suitable to bring a balance of skills and strengths to the board.

On appointment, all Trustees undertake an induction to include an overview of the charity, breakdown of responsibilities and DBS checks.

## **Independent examiner's report to the trustees of City Church (Great Grimsby & North East Lincolnshire) ('the Company')** 

I report to the charity trustees on my examination of the accounts of the Company for the year ended 31 December 2020. 

## **Responsibilities and basis of report** 

As the charity's trustees of the Company (and also its directors for the purposes of company law) you are responsible for the preparation of the accounts in accordance with the requirements of the Companies Act 2006 ('the 2006 Act'). 

Having satisfied myself that the accounts of the Company are not required to be audited under Part 16 of the 2006 Act and are eligible for independent examination, I report in respect of my examination of your charity's accounts as carried out under section 145 of the Charities Act 2011 ('the 2011 Act'). In carrying out my examination I have followed the Directions given by the Charity Commission under section 145(5) (b) of the 2011 Act. 

## **Independent examiner's statement** 

Since your charity's gross income exceeded £250,000 your examiner must be a member of a listed body. I can confirm that I am qualified to undertake the examination because I am a registered member of FCCA which is one of the listed bodies. 

I have completed my examination. I confirm that no matters have come to my attention in connection with the examination giving me cause to believe: 

1. accounting records were not kept in respect of the Company as required by section 386 of the 2006 Act; or 2. the accounts do not accord with those records; or 

3. the accounts do not comply with the accounting requirements of section 396 of the 2006 Act other than any requirement that the accounts give a true and fair view which is not a matter considered as part of an independent examination; or

The charitable company is entitled to exemption from audit under Section 477 of the Companies Act 2006 for the year ended 31 December 2020. 

The members have not required the company to obtain an audit of its financial statements for the year ended 31 December 2020 in accordance with Section 476 of the Companies Act 2006. 

The trustees acknowledge their responsibilities for 

- (a) ensuring that the charitable company keeps accounting records that comply with Sections 386 and 387 of the Companies Act 2006 and 

- (b) preparing financial statements which give a true and fair view of the state of affairs of the charitable company as at the end of each financial year and of its surplus or deficit for each financial year in accordance with the requirements of Sections 394 and 395 and which otherwise comply with the requirements of the Companies Act 2006 relating to financial statements, so far as applicable to the charitable company. 

These financial statements have been prepared in accordance with the provisions applicable to charitable companies subject to the small companies regime.

## **1. ACCOUNTING POLICIES** 

## **Basis of preparing the financial statements** 

The financial statements of the charitable company, which is a public benefit entity under FRS 102, have been prepared in accordance with the Charities SORP (FRS 102) 'Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019)', Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland' and the Companies Act 2006. The financial statements have been prepared under the historical cost convention. 

The charity has departed from the Charities SORP and FRS 102 in order to depreciate all freehold property at a rate of 2% on a straight line basis. 

The treatment required by the Charities SORP and FRS 102 where an asset comprises of two or more major components is that each component should be depreciated separately over its useful life and that the value of land is not depreciated. 

The trustees consider that depreciating all freehold property at a rate of 2% on a straight line basis reflects the value of the asset for the charity, and have concluded that the accounts present a true and fair view. 

## **Income** 

All income is recognised in the Statement of Financial Activities once the charity has entitlement to the funds, it is probable that the income will be received and the amount can be measured reliably. 

## **Expenditure** 

Liabilities are recognised as expenditure as soon as there is a legal or constructive obligation committing the charity to that expenditure, it is probable that a transfer of economic benefits will be required in settlement and the amount of the obligation can be measured reliably. Expenditure is accounted for on an accruals basis and has been classified under headings that aggregate all cost related to the category. Where costs cannot be directly attributed to particular headings they have been allocated to activities on a basis consistent with the use of resources. 

Grants offered subject to conditions which have not been met at the year end date are noted as a commitment but not accrued as expenditure. 

## **Tangible fixed assets** 

Depreciation is provided at the following annual rates in order to write off each asset over its estimated useful life. 

Freehold property - 2% Straight Line Short leasehold - 4% Straight Line Fixtures and fittings - 20% Reducing Balance 

Fixed assets are stated at cost less accumulated depreciation. The cost of minor additions of less than £500 are not capitalised. 

## **Taxation** 

The charity is exempt from corporation tax on its charitable activities. 

## **Fund accounting** 

Unrestricted funds can be used in accordance with the charitable objectives at the discretion of the trustees. 

Restricted funds can only be used for particular restricted purposes within the objects of the charity. Restrictions arise when specified by the donor or when funds are raised for particular restricted purposes. 

Further explanation of the nature and purpose of each fund is included in the notes to the financial statements. 

## **Pension costs and other post-retirement benefits** 

The charitable company operates a defined contribution pension scheme. Contributions payable to the charitable company's pension scheme are charged to the Statement of Financial Activities in the period to which they relate. 

## **Donated goods and services** 

Donated goods and services are not recognised in the financial statements as they are minimal in value.

The purpose of the restricted and Designated funds are :- 

## **Wiz-Kidz** 

This is donations/grants received for expenditure specifically to be spent on childcare. 

## **Missions** 

This is donations received for specific organisations/individuals which the charity supports. 

## **Building** 

This is donations received towards future  purchases of properties. 

## **CAP** 

This is donations/grant received towards the running costs of a debt counselling centre.

## **CC Kids** 

This is donations/grant received for expenditure specifically to be spent on childrens church. 

## **Designated Building Fund** 

The reserves are designated by trustees for the provision of additional premises and facilities. 

## **Vision Fund** 

This is to assist in the development of the vision of the Church. 

## **Hardship Fund** 

This is to assist those in need. 

## **Transfers between funds** 

## **CAP** 

£12,049 of unrestricted voluntary income of the charity has been transferred to the CAP centre to fund the majority of the costs of running the centre. 

## **13. RELATED PARTY DISCLOSURES** 

Amounts donated to City Church during the year by Trustees were £21,895  (2019 - £28,195 ). 

A salary of £15,412 was paid during the year (2019 - £13,557 ) to Peter Jones the son of Trustee David Jones for his employment services. 

City Church paid employer pension contributions during the year on behalf of Peter Jones of £252 (2019 - £188). 

A salary of £17,691 was paid during the year (2019- £15,664) to Joy Wooffindin the daughter of Trustee David Robinson for her employment services. 

City Church paid employer pension contributions during the year on behalf of Joy Wooffindin of £312 (2019£239) 

A salary of £2,986 was paid during the year to David A Jones the husband of Trustee Katie Jones. 

## **14. PENSIONS** 

The Charity makes contributions for its employees in a defined contribution scheme. The amount charged to the Statement of Financial Activities  during the year was £3,311 (2019- £3,192 ). Pension amounts outstanding at the 31st December 2020 were £553  (2019 - £658).
