The accounts have been prepared in accordance with the accounting policies set out in note 1 to the accounts and comply with the charity's governing document, the Companies Act 2006 and the Statement of Recommended Practice, “Accounting and Reporting for Charities”, issued in March 2006. ## **Trustees** The Trustees, who are also Directors and the Secretary for the purpose of company law, who served the Company during the year, were as follows: Anthony Joseph Appointed 19 November 2013 Laurence Mills Appointed 19 May 2023 Peter Heslin Appointed 16 June 2023 Carol Rossell Appointed 6 January 2024 Lamees Idris Appointed 21 February 2024 Thomas French Appointed 12 June 2024 Mary Impey Appointed 12 June 2024 Veronica Malaszewski Resigned 6 January 2024 Shaun Freeman Resigned 12 June 2024 None of the Trustees received any remuneration from the charity during the current or prior years. ## **Structure, Governance and Management** Hackney Rugby Football Club Limited (HRFC) is a charitable company limited by guarantee, which was incorporated on 28 May 2009. It is governed by its Memorandum and Articles of Association, adopted on 28 May 2009 and changed at the Annual General Meeting on 30 April 2014. The Board of Trustees controls and manages the affairs of the charity including setting the strategic direction of the company. Trustees are given a short induction when they join HRFC, which involves interviews with the Chair and a number of the existing Trustees. ## **Risk Management** The Board of Trustees has overall responsibility for risk management. The Board can confirm that the major risks to which HRFC is exposed have been reviewed and procedures established to manage the risks. Major risks include: - Injury to those playing rugby - Failure to comply with regulations **Page** 4 Hackney Rugby Football Club Limited - Unavailability of playing grounds and training facilities ## **Principal Activities and Objectives** HRFC is a charity with the principal activity of providing coaching in the Hackney , Haringey and Islington areas at its home ground – Spring Hill, Hackney, E5 9BL to girls and boys of all age groups between Under 6 and Under 18 and 5 adult teams – 3 men’s and 2 ladies team. HRFC's objectives are: - to promote community participation in healthy recreation by providing opportunity and facilities for playing Rugby Union Football - the provision of facilities for recreation in the interests of social welfare - the advancement of education, particularly rugby coaching - such other exclusively charitable purposes as the Trustees shall from time to time determine. ## **Achievements and Performance Review of the Year** Over the last year, the Junior side of the Club has grown significantly from 140 to almost 250 active players, mainly in the younger age groups U6 to U10. The Community Outreach Team, headed up by our Volunteer of the Year, Mary Impey and head coach Owain have done trojan work, visiting over 30 schools and youth clubs, and hosted multiple festivals. Thousands of kids got introduced to rugby for the first time. Community spirit is evident in all the behind the scenes work on improvements to the Clubhouse and pitches. People have been incredibly generous with their time and expertise. The Senior side of the Club remained stable with two Mens' Senior teams and two Ladies' teams. This year was the 50th anniversary of the first match between Hackney RFC & Suresnes RC. Traditionally it was between the Men's Seniors' teams. The fixture lapsed for a significant number of years, till our Chair AJ was working in Paris in 2014, and noticed Suresnes Council and Hackney Council were twinned. He reached out to the Club and met Phillipe who played in the inaugural fixture and Patrick. Their passion for rugby, natural warmth, bon homie and absolute dedication to the cause of their Clubs, has led to an immediate and lasting friendship. This friendship led to a match in 2019 between the U12s. COVID delayed the next fixture but the U14s returned to Paris in 2021. This fixture also involved the Councils in Hackney and Suresnes, at the invitation of both rugby Clubs. This has helped both widen and deepen the overall relationship and has been embraced enthusiastically by both councils. In 2023, the U15s from Suresnes came to Hackney along with a delegation from Suresnes Council. There were a series of events hosted by the Council in the Mayor's office. This year the fixture was expanded considerably, and involved six Junior teams and the Gladies, with over 160 travelling. The welcome, generosity and warmth of our hosts, ensured the occasion was embraced by all. A spectacular day of rugby on Saturday where all seven teams played, with the Gladies match the main event. A lovely lunch beforehand and a party after. Kids still playing rugby at 9.30pm seven hours after their matches is a measure of the enthusiasm generated. Sunday started with a tour of Suresnes Vineyard in the hills of Suresnes with the most breathtaking views of Paris below. Suresnes Council hosted the occasion, including Wine tasting and local French food. We were brought on a tour of Versailles Palace in the afternoon, followed by a late-night boat tour of Paris in the Seine. The lighting of the Eiffel Tower was a real highlight. The deficit was in line with expectations. ## **Public Benefit** We have referred to the guidance contained in the Charity Commission's general guidance on public benefit when reviewing our aims and objectives and in planning our future activities. ## **Statement of Trustees' Responsibilities** The Trustees are responsible for preparing the financial statements in accordance with applicable law and United Kingdom Generally Accepted Accounting Practice. The Board of Trustees ensures that HRFC meets its aims and objectives as stated in the Memorandum and Articles of Association. Company law requires the Trustees to prepare financial statements for each financial period which give a true and fair view of the state of affairs of the Company and of the surplus or deficit of the Company for that period. In preparing these financial statements, the Board are required to: - select suitable accounting policies and then apply them consistently; - make judgements and estimates that are reasonable and prudent; - state whether applicable accounting policies have been followed, subject to any material departures disclosed and explained in the financial statements; and - prepare the financial statements on the going concern basis, unless it is inappropriate to presume that the Company will continue in business. The Trustees are responsible for keeping proper accounting records, which disclose with reasonable accuracy at any time the financial position of the charitable company and to enable them to ensure that the financial statements comply with the Companies Act 2006 and Charities (Accounts and Reports) Regulations 2008. They are also responsible for safeguarding the assets of the company and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities. This report has been prepared in accordance with the special provisions of Part 15 of the Companies Act 2006 relating to small companies. On behalf of the Board of Trustees on 13th February 2025 ## _**Anthony Joseph**_ Trustee **Page** 7 Hackney Rugby Football Club Limited ## **Independent examiner’s report to the trustees of Hackney Rugby Football Club Ltd** I report on the accounts of the company for the year ended 31 May 2024, which are set out on the micro entity accounts. ## **Respective responsibilities of trustees and examiner** The trustees (who are also the directors of the company for the purposes of company law) are responsible for the preparation of the accounts. The trustees consider that an audit is not required for this year under section 144(2) of the Charities Act 2011 (the 2011 Act) and that an independent examination is needed. The charity’s gross income did not exceed £250,000 and I am therefore qualified to undertake the examination by having the required experience as a book-keeper / accounts manager. Having satisfied myself that the charity is not subject to audit under company law and is eligible for independent examination, it is my responsibility to: - examine the accounts under section 145 of the 2011 Act - to follow the procedures laid down in the general Directions given by the Charity Commission under section 145(5)(b) of the 2011 Act - to state whether particular matters have come to my attention ## **Basis of independent examiner’s report** My examination was carried out in accordance with the general Directions given by the Charity Commission. An examination includes a review of the accounting records kept by the charity and a comparison of the accounts presented with those records. It also includes consideration of any unusual items or disclosures in the accounts, and seeking explanations from you as trustees concerning any such matters. The procedures undertaken do not provide all the evidence that would be required in an audit and consequently no opinion is given as to whether the accounts present a ‘true and fair view’ and the report is limited to those matters set out in the next statement. ## **Independent examiner’s statement** In connection with my examination, no matter has come to my attention which gives me reasonable cause to believe that in any material respect the requirements to prepare accounts which accord with the accounting records, comply with the accounting requirements of section 396 of the Companies Act 2006 and with the methods and principles of the Statement of Recommended Practice: Accounting and Reporting by Charities have not been met. The financial statements have been prepared in accordance with the Statement of Recommended Practice (SORP), “Accounting and Reporting by Charities” published in 2006 and applicable accounting standards. The financial statements have been prepared on a going concern basis. The company has taken advantage of the exemption in Financial Reporting Standard No 1 from the requirement to produce a cash flow statement on the grounds that it is a small company. - b) Grants and donations Revenue grants and donations include all income receivable in the period. Where the income covers costs already incurred and are committed, but not yet received, this income has been accrued. The element of such grants and donations received for specific projects, which are not expended at the period end is carried forward as restricted funds. - c) Company status The charitable company is a company limited by guarantee. The members of the charitable company include the parents or guardians of junior members. The club is run by a team of hard-working volunteers, parents, coaches and children.
