______________ The Trustees present their report and the unaudited financial statements of the charity for the year end 31[st] December 2022.
Structure, Governance and Management
Organisation
Hammerpuzzle (HP) continued reviewing policies - together with the trustees we checked all policies in detail and made relevant addition/edits to ensure they are up to date and affective. We will continue to review and sign off policies regularly. We continued discussing future trustee recruitment. As we will be heading into a more dormant year in regards to large activity, we feel we will continue with the three trustees we currently have and review additional options in 2023/24. This is in agreement with our current trustees.
Public benefit
In shaping the objectives for the year and planning activities, the trustees have considered the Charity commission’s guidance on public benefit, including the guidance 'public benefit: running a charity (PB2)'.
Objectives and activities
To advance the education of the public through theatre and live performance in the subject of performing arts. To act as a resource for young people up to the age of 25, living in the South West and by providing advice and assistance and organising programmes of physical, artistic, educational and other activities as a means of:
a) Advancing in life and helping young people by developing their skills, capacities and capabilities to enable them to participate in society as independent, mature and responsible individuals.
b) Advancing education
To produce theatre productions that are accessible and in particular, that reach out to the people who may not necessarily be active in the arts.
To get children and young people actively engaged with performance and the arts through theatre productions and practical/educational workshops.
Summary of main activities undertaken for the public benefit
Remount of The Owl and The Pussycat: We had a successful two week run at Tobacco Factory Theatres in Bristol at Easter 2022. We worked with two of the original actors and a third new actor. Lovely feedback was received from audiences and theatre staff. The ticket sale split agreement meant that we took more than the guaranteed fee, which meant we could cover all costs and fees in full. It was a special and invaluable experience for HP to perform at a leading Bristol theatre, as well as an important opportunity to remount a show that felt an important story to continue sharing with the public.
Cancelled workshops at RHS: Unfortunately due to low uptake within the school, we weren’t able to deliver a summer working for Royal High School in Bath in July 2022. It was

______________ disappointing, but we are hoping this may be able to be successfully arranged for 2023. We will ensure we have a safety mechanism in place so that we won’t have another last-minute cancellation or loss of income.
Christmas at The Everyman Theatre Cheltenham: We were once again commissioned by The Everyman to produce two shows in rep for the Irving Studio for Christmas 2022. We created a new version of Lark Rise to Candleford and The Snow Queen. We worked with four actors, one already known to us and three actors new to HP. We also began a new relationship with a costume and set designer. We had particularly good ticket sales for The Snow Queen, and lots of appreciative audiences for both shows. We collected feedback cards with lots of encouraging and positive comments. Financially the costs will be covered by the Everyman’s investment as well as ticket sales.

Reserves Policy
The Trustees try to ensure that there are always sufficient funds within the charity to maintain it and run the tours and are continually seeking funding to stabilise its financial position.
At year end our free reserves totalled £3,326.
Following ongoing review, the company still need at least £1500 in reserves for a year before it would have to cease.

Independent Examiner’s report to the trustees
I report to the trustees on my examination of the accounts of Hammerpuzzle Theatre Company for the year ended 31 December 2022 which are set out on pages 6-7.
Responsibilities and basis of report
As the charity trustees of the Trust you are responsible for the preparation of the accounts in accordance with the requirements of the Charities Act 2011 (‘the Act’).
I report in respect of my examination of the Trust’s accounts carried out under section 145 of the 2011 Act and in carrying out my examination I have followed all the applicable Directions given by the Charity Commission under section 145(5)(b) of the Act.
Independent examiner’s statement
I have completed my examination. I confirm that no material matters have come to my attention in connection with the examination giving me cause to believe that in any material respect:

accounting records were not kept in respect of the Trust as required by section 130 of the Act; or
-
the accounts do not accord with those records.
I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.
