The trustees, who are also the directors for the purposes of company law, present their report and the unaudited financial statements of the charity for the year ended 31 March 2024. 

The financial statements have been prepared in accordance with the accounting policies set out in notes to the accounts and comply with the charity's governing document, the Charities Act 2011 and Companies Act 2006 and Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland published in October 2019.

## **Objectives and activities** 

The aim of the Charity is to promote, maintain, improve and advance education by the encouragement of the arts including, without limitation, the arts of drama, mime, dance and music. We review our aims, objectives and activities each year. This review looks at what we achieved and the outcomes of our work in the 12 months to 31 March 2024. 

We have referred to the Charity Commission's general guidance on public benefit when reviewing our aims and objectives and in planning our future activities. In particular, the Trustees consider how planned activities will contribute to the aims and objectives they have set. The activities of the Charity, subcategorized into Main activities, and Fundraising activities are described further in the Achievement and performance section of the Trustees Report. 

## **Public benefit** 

In shaping our objectives for the year and planning our activities, the trustees have considered the Charity Commission's guidance, including that on public benefit and fee-charging. We believe that Yorke Dance Project is one of the UK's most creative and accessible dance companies. We aim to inspire audiences with work that is entertaining, relevant, exciting and technically excellent. 

We are committed to inclusion and access and the belief that dance and music are art forms for everyone to experience, participate in and enjoy. Creating new work is an essential part of ensuring that our art form remains vibrant and relevant. We commission new music, films and costuming for our works, adding richness to the cultural offer of the country. With support of our major funders, we present world class performances of the widest possible range of repertory throughout the United Kingdom in in middle and small-scale venues, cinemas and art galleries. 

We work hard to ensure that cost does not prohibit access to our performances. Tickets for performances in the UK are priced across affordable ranges (from free events to ticket prices between £5.00 and £65.00) which reflect the regional economies where we perform. We also offer a wide range of concessions and special offers on ticket prices. Where possible we work in association with venues to ensure schools can access our performances at affordable rates and they are supported by our education and community engagement work. To complement this the charity offers, when possible, a Youth Leaders Programme and Professional Pathways Programme for graduating students supporting and developing the next generation of dance leaders and dancers in rural and market towns. 

We offer opportunities including free dance training for talented individuals, repertory-based programmes for schools and community groups, bespoke workshops for local comprehensive schools for free and continuing professional development for professional dancers and teachers. We also offer internship opportunities to young professionals who are just setting out in the field following their conservatory training. Many of our projects include free access to a Yorke Dance Project performance ensuring that no child or young person is excluded due to financial constraints. Above all we believe in the importance of taking the arts to everyone and work hard, through dance and music, to break down those barriers perceived or real that exclude people from the pleasure of experiencing or engaging in the arts in their many and varied forms.

## **Achievements and performance** 

The activities, achievements and performances of the charity are detailed below: 

## **Main activities** 

## **Touring & Performances** 

In April, following successful London performances in ON THE AND- _A Celebration of the Work of Robert Cohan_ , YDP artistic director, Yolande Yorke-Edgell travelled to New York to coach former YDP company member Laurel Dalley Smith in Cohan's _Wind_ for performances with the Martha Graham Dance Company. 

In May, the creative team continued work devising their next touring programme CALIFORNIA CONNECTIONS, to be premiered at the Royal Opera House in March 2024. The programme would celebrate the legacies of three pioneering female choreographers-Isadora Duncan, Martha Graham and Bella Lewitzky-each of whom had strong ties to California. 

YDP's work on the programme began with in-depth research into the many extant versions of Kenneth MacMillan's ballet ISADORA, which we were revising from a large, full-length work into a forty-minute chamber-work. Kenneth MacMillan's original ISADORA, created for The Royal Ballet in 1981, captured the life of San Francisco native Isadora Duncan. YDP's new version would explore the conflict between Isadora's search for love and her mission to revolutionise the art of dance.  YDP's performances would become part of the Royal Ballet's season, _MacMillan Celebrated_ . 

In July, YDP began rehearsals on CALIFORNIA CONNECTIONS, learning the intricate pas de deux from ISADORA. Original Royal Ballet choreologist Gary Harris worked with YDP dancers to learn the choreography directly from the original Benesh notation score. 

The company also began working on Bella Lewitzky's META 4, a highly physical work from 1989, which Yorke-Edgell had performed during her time working with the Lewitzky company in California where it was based. Lewitzky's boldly sculptural and physically demanding META 4 is set for four dancers performing to the four movements of an original score for string quartet by Robert Xavier Rodriguez. 

In August, Yorke-Edgell and three YDP dancers travelled to New York for two weeks rehearsals with the Martha Graham Dance Company to learn Graham's 1947 masterpiece ERRAND INTO THE MAZE, which was also to become part of CALIFORNIA CONNECTIONS. Martha Graham spent her formative years in Santa Barbara, California where she was first introduced to dance. This iconic duet, influenced by the theories of the psychologist Carl Jung, is based on the legends of Ariadne, Theseus and the Minotaur and set to music by Gian Carlo Menotti. It confronts human fear and explores sexual power struggles. Yorke Dance Project's revival will be the first time the work has been seen in the UK in 20 years.  YDP's performances are part of a three-year centennial celebration of the Martha Graham Dance Company which turns 100 in 2026. 

In September, YDP continued work editing our dance film projects which had been shot previously. The company was putting the finishing touches on SEA OF TROUBLES, which was due to premiere in October at the Royal Opera House. SEA OF TROUBLES, our film of Kenneth MacMillan's 1988 Hamlet-based ballet, was shot at historic Hatfield House in September 2022. 

Also, in September, YDP resumed rehearsals for CALIFORNIA CONNECTION, working at various locations and at the Royal Opera House on Sundays, where studio space was donated to the project by the Royal Ballet. YDP performed a pas de deux from ISADORA at the newly formed even Ballet Nights.

On 10 October, the world premiere of our film of SEA OF TROUBLES took place in the Clore Studio at the Royal Opera House. Presented in association with World Mental Health Day, the screening was followed by a panel discussion on the making of the film and YDP's work with MIND mental health charity. As discussed below, concurrent with the release of the film, YDP was working with MIND to create MINDFUL, a series of workshops for young people, based on the psychological content of SEA OF TROUBLES. 

The ROH event was followed by a series of screenings of SEA OF TROUBLES often alongside our previous film PORTRAITS. These took place at Merlin Theatre, Frome; Dance Scholarship Oxford (Dansox); and Bryanston College. 

As work progressed on YDP's revival of Bella Lewitzky's META 4 the company presented a lecture demonstration on Lewitzky at Dansox on 26 October and immediately followed that with two performances of excerpts from META 4 at Ballet Nights in London. 

In November, as rehearsals continued, YDP presented another lecture demonstration at Dansox, this time on the work, concept and history behind the whole CALIFORNIA CONNECTIONS programme. From 21-23 November, YDP was in residence at the Stanley and Audrey Burton Theatre in Leeds where the production design for CALIFORNIA CONNECTIONS was completed and the programme was previewed for a sold-out audience. 

Following the Leeds performance, ex YDP dancer and current Martha Graham Dance Company dancer Laurel Dalley Smith performed Robert Cohan's WIND on 24 and 25 October at Ballet Nights. 

In December, YDP performed the next out-of-town preview of CALIFORNIA CONNECTIONS at The Mill in Banbury. 

Also in December, working with film distributor James Belsham, SEA OF TROUBLES was licensed by Virgin Atlantic airline to screen as in-flight entertainment between January and June 2024. James also licensed both SEA OF TROUBLES and PORTAITS to Marquee TV for one year. 

Concurrent with the licensing of our films to Virgin and to Marquee, YDP decided to start work to combine the films into a feature-length presentation entitled DANCE REVOLUTIONARIES which would be presented in cinemas across the UK in summer 2024. 

In January, YDP artistic director Yolande Yorke-Edgell received a last-minute commission from Sheila Forbes, a fan of the company whom she had seen at the Dansox performances. Forbes wanted to commission Yorke-Edgell to make her own work for CALIFORNIA CONNECTIONS, donating £10,000 to make this possible. Work began right away on a trio for three female dancers titles A POINT OF BALANCE. 

In February, full company rehearsals resumed and YDP again performed two shows for Ballet Nights on 23 & 24 February. 

March began with one final Dansox event where YDP performed A POINT OF BALANCE as a work in progress. 

On 21 and 22 March CALIFORNIA CONNECTIONS premiered for three performances in London at the Linbury Theatre, Royal Opera House. The performances were sold out and the reviews were unanimously positive: 

The Guardian called the programme: _A superb salute to a trailblazing trio._ 

Dance Europe wrote: _Yorke Dance Project is in serious danger of becoming a national treasure._

## **Professional Development and Training** 

While in rehearsals for CALIFORNIA CONNECTIONS, YDP invited student and professional dancers to be guests in company class where they participated alongside members of the company training for the day's work. Also, a young dancer Harry Wilson, who had been an apprentice with the company during the filming of SEA OF TROUBLES, advanced to becoming a full company member performing with us on tour and at the Royal Opera House. 

## **Educational Activities** 

MINDFUL: As mentioned above, in connection with the premiere of YDP's film of SEA OF TROUBLES, the company worked in collaboration with HFEH MIND, mental health charity to develop a workshop called MINDFUL. MINDFUL used movement material from SEA OF TROUBLES for the characters of Hamlet and Ophelia as a jumping off point to look at mental health challenges faced by young people today. The workshops were geared towards young people, ages 13-16, with little or no previous dance experience. 

Working with a grant for the project from Arts Council England, planning and devising work began in August and continued through September. YDP and MIND piloted the first workshop in October and an additional four workshops took place in November, engaging a total of fifty young people, living in the boroughs of Hammersmith, Fulham, Ealing and Hounslow West London. The pilot workshops were free for participants to attend and took place in their own schools. 

The collaboration between mental health practitioners at MIND and dance practitioners at Yorke Dance Project was an inspiring and enlightening one. The exchange of knowledge, skills and methods was deep and rigorous and all the creative practitioners learned a lot from one another. 

RAMBERT WORKSHOPS: In November, YDP offered a pair of workshops at Rambert School, teaching both Bella Lewitzky's and Martha Graham's techniques, alongside learning material from META 4 and ERRAND INTO THE MAZE. The workshops conclude with an informal, studio performance of those works by the company. 

## **Fundraising & Governance** 

Yorke Dance Project's Board of Trustees had their first meeting of the fiscal year in May 2023 with further meetings taking place in November and February. 

While in rehearsals, YDP often has studio space donated in-kind from organisations including London Studio Centre and the Royal Opera House. 

During this fiscal year, Back Fore, a company that is a long-standing patron of YDP, partnered with us to deliver our annual fundraising golf day at Loch Lomond Golf Club in July. The event generated £90K. Other funding came through individual donations from Deborah MacMillan (€12,600.00); £10,000 from Sheila Forbes for Yorke-Edgell's new work, A Point of Balance and €5,500 from Paul Mitchell. 

Friends and Family Fundraising Scheme: The charity continues to run our yearly membership scheme. There are a small but steady number or friends which the company hopes to further expand upon in the coming year.

## **Financial review** 

During the year, the Charity saw an increase in total income to £223,677 (2023: £104,795), the majority of which was provided by donations, grant income and fundraising income. Expenditure increased during the year to £286,542 (2023: £110,787). The movement is predominantly due to a change in activities as detailed in this report and also reflects the plans for future period productions which occur after this financial period. The Charity ended the year making a deficit of £62,865 (2023: deficit of of £5,992). 

## **Principal funding source** 

The majority of the Charity's income is received by a variety of individual supporters by way of unrestricted donation, significant amount of grant income was received during the year also. The Charity is not reliant on one specific income source however a key part of its development plan for the future is to increase its sources of income so as to spread its risk. 

## **Reserves policy** 

The Charity's reserves policy is to maintain reserves at a level adequate to protect its ongoing work from significant fluctuations in funding. The Trustees believe that 3 months unrestricted expenditure, currently £71,636 (2023: £16,364), would be an appropriate level of reserves at the year end. The Charity has reserves of £2,878 (2023: £65,743) at the year end. The Trustees will endeavour to build reserves over the next 12-24 months from fundraising events and grant applications in order to continue with its charitable objective. The Trustees will closely monitor cash reserves to ensure the success of this future project.

## **Plans for future periods** 

The company's upcoming activities include: 

In April 2024, the company will once again perform CALIFORNIA CONNECTIONS on tour, this time at Theatre Royal Winchester, where we have performed many times before. 

In May, we will begin working with Mandy Keane at Mustard Productions to edit, package and distribute DANCE REVOLUTIONARIES, a feature length film showcasing the work of groundbreaking choreographers Robert Cohan and Kenneth MacMillan. The film will include Cohan's PORTRAITS and MacMillan's SEA OF TROUBLES and will be screened primarily as one-off "event cinema" dates across the UK. Screenings will take place in June and July. 

Also in May, the company will begin the groundwork for its next major touring programme, MODERN MILESTONES. Following a preview performance at the Stanley and Audrey Burton Theatre in Leeds, MODERN MILESTONES will have four world premiere performances at Linbury Theatre, Royal Opera House, London in January 2026. The programme will honour three masters of modern dance: Martha Graham, Robert Cohan and Christopher Bruce. It celebrates Bruce's 80th birthday alongside Cohan's 100th birthday as well as the 100th anniversaries of both Rambert and the Martha Graham Dance Company. 

Fundraising for MODERN MILESTONES will also begin in summer with grants going out to Cockayne Grants for the Arts who have funded the company many times as well as a grant being prepared to submit to ACE for the project. YDP's annual Loch Lomond fundraising event will be held in October. 

In September, the company will begin building the repertoire for MODERN MILESTONES during an initial R&D rehearsal period with Christopher Bruce who will be making a new work set to songs by Leonard Cohen. 

Bruce will continue work on his creation in December. Work on other aspects of the programme will begin in early 2025. 

In tandem with their artistic work, the company will continue working to strengthen its financial position by securing sponsorship and applying for project funding from Arts Council England. We will also develop our infrastructure, recruiting new board members and bringing on an administrative assistant to help with our educational activities.

## **Structure, governance and management** 

The Company is Limited by Guarantee (Registered Number 06842496) incorporated on 10 March 2009 and a Registered Charity (Number 11128891). The Charity was registered on 30 March 2009 and is governed by a Memorandum and Articles of Association dated 10 March 2009. 

The Trustees, who are also the directors for the purpose of company law, and who served in the year are shown on the information page in the reference and administration details of these accounts. 

## **Risk management** 

Management has reviewed the major risks to which the Charity is exposed. Where appropriate systems or procedures have been established to mitigate the risks the Charity faces. As is the case for many Charities, external funding represents a risk to the stability of the Charity. YDP enjoys the support from a number of loyal donors, costs are closely monitored to ensure the Charity operates within its means and the Charity maintains some reserves, all of which minimise exposure to this risk. 

## **Organisational and decision making structure** 

Yorke Dance Project Ltd is a registered Charity and a company limited by guarantee. A Board of Trustees is responsible for managing the business of the Charity, holding an Annual General Meeting each year. Responsibility for the day to day running for the Charity is delegated to Y Yorke-Edgell, an unpaid employee of the Charity. 

## **Appointment, induction and training of trustees** 

Trustees are appointed at the Annual General Meeting or by resolution of the Board of Trustees. The number of Trustees shall not be less than three and the total number is not subject to any maximum unless otherwise determined by an ordinary resolution of the Annual General Meeting. It is the policy of the Trust to appoint new trustees by personal invitation given knowledge of their skills and background. 

Most trustees are already familiar with the work of the Charity and upon appointment are provided with a new Trustee pack. This pack includes a copy of the governing document, recent Trustee meeting minutes and a copy of the last set of financial statements. 

## **Independent examiner reappointment** 

A resolution to appoint L Thurston FCCA of Lovewell Blake LLP as independent examiner will be proposed at the next Annual General Meeting. 

## **Small company provisions** 

This report has been prepared taking advantage of the small companies' exemption of section 415A of the Companies Act 2006.

I report to the charity trustees on my examination of the financial statements of the company for the year ended 31 March 2024 which comprise the statement of financial activities (including income and expenditure account), balance sheet and the related notes. 

## **Responsibilities and basis of report** 

As the charity trustees of the company (and also its directors for the purposes of company law) you are responsible for the preparation of the financial statements in accordance with the requirements of the Companies Act 2006 ('the 2006 Act’). 

Having satisfied myself that the financial statements of the company are not required to be audited under Part 16 of the 2006 Act and are eligible for independent examination, I report in respect of my examination of your company's financial statements as carried out under section 145 of the Charities Act 2011 (‘the 2011 Act’). In carrying out my examination I have followed the Directions given by the Charity Commission under section 145(5)(b) of the 2011 Act. 

## **Independent examiner's statement** 

I have completed my examination. I confirm that no matters have come to my attention in connection with the examination giving me cause to believe that in any material respect: 

1. accounting records were not kept in respect of the company as required by section 386 of the 2006 Act; or 

2. the financial statements do not accord with those records; or

The charity is a public benefit entity and a private company limited by guarantee, registered in England and Wales and a registered charity in England and Wales. The address of the registered office is 47a, Flat 1 Exmouth Market, London, EC1R 4QL. 

## **2. Statement of compliance** 

The charity constitutes a public benefit entity as defined by FRS 102. The financial statements have been prepared in accordance with Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland issued in October 2019, the Financial Reporting Standard applicable in the United Kingdom and Republic of Ireland (FRS 102), the Charities Act 2011, the Companies Act 2006 and UK Generally Accepted Accounting Practice.

## **Basis of preparation** 

The financial statements have been prepared on the historical cost basis. 

The financial statements are prepared in sterling, which is the functional currency of the entity. 

## **Going concern** 

The accounts have been prepared on a going concern basis as the trustees believe that no material uncertainties exist. The trustees have considered the level of funds held and the expected level of income and expenditure for 12 months from authorising these financial statements. 

## **Income tax** 

The taxation expense represents the aggregate amount of current and deferred tax recognised in the reporting period. 

Current tax is recognised on taxable income or expenditure for the current and past periods. Current tax is measured at the amounts of tax expected to pay or recover using the tax rates and laws that have been enacted or substantively enacted at the reporting date. 

Deferred tax is recognised in respect of all timing differences at the reporting date.  Unrelieved tax losses and other deferred tax assets are recognised to the extent that it is probable that they will be recovered against the reversal of deferred tax liabilities or other future taxable profits. Deferred tax is measured using the tax rates and laws that have been enacted or substantively enacted by the reporting date that are expected to apply to the reversal of the timing difference.

## **Fund accounting** 

The unrestricted general fund represents funds that are expendable at the discretion of the Trustees in furtherance of the objects of the charity. Such funds may be held to finance both working and capital investment. 

Designated funds, where applicable represent funds earmarked by the Trustees for particular purposes. 

Restricted funds, where applicable represent funds subject to restrictions on their use imposed by the donor or through an appeal. 

## **Income** 

All income is included in the statement of financial activities when entitlement has passed to the charity, it is probable that the economic benefits associated with the transaction will flow to the charity and the amount can be reliably measured. The following specific policies are applied to particular categories of income: 

- income from donations or grants is recognised when there is evidence of entitlement to the gift, receipt is probable and its amount can be measured reliably. 

- income from contracts for performances and workshops is recognised with the delivery of the contracted service. This is classified as unrestricted funds unless there is a contractual requirement for it to be spent on a particular purpose and returned if unspent, in which case it may be regarded as restricted. 

## **Expenditure** 

Expenditure is recognised on an accruals basis as a liability is incurred. Expenditure includes any VAT which cannot be fully recovered, and is classified under headings of the statement of financial activities to which it relates: 

- expenditure on raising funds includes the costs of all fundraising activities, events, non-charitable trading activities, and the sale of donated goods. 

- expenditure on charitable activities includes all costs incurred by a Charity in undertaking activities that further its charitable aims for the benefit of its beneficiaries, including those support costs and costs relating to the governance of the Charity apportioned to charitable activities. 

- other expenditure includes all expenditure that is neither related to raising funds for the Charity nor part of its expenditure on charitable activities. 

All costs are allocated to expenditure categories reflecting the use of the resource. Direct costs attributable to a single activity are allocated directly to that activity. Shared costs are apportioned between the activities they contribute to on a reasonable, justifiable and consistent basis.

## **Financial instruments** 

A financial asset or a financial liability is recognised only when the entity becomes a party to the contractual provisions of the instrument. 

Basic financial instruments are initially recognised at the amount receivable or payable including any related transaction costs, unless the arrangement constitutes a financing transaction, where it is recognised at the present value of the future payments discounted at a market rate of interest for a similar debt instrument. 

Current assets and current liabilities are subsequently measured at the cash or other consideration expected to be paid or received and not discounted. 

Debt instruments are subsequently measured at amortised cost. 

## **4. Limited by guarantee** 

The charity is a company limited by guarantee and does not have share capital. In the event of liquidation the liability of the members is limited to £10 each.

The average head count of employees during the year was Nil (2023: Nil) and therefore the Charity has no requirement to analyse staff costs and employee benefits for the reporting period. 

No employee received employee benefits of more than £60,000 during the year (2023: Nil).

## **Restricted funds** 

The Arts Council - Cultural Recovery Fund - relates to grants that were restricted for cultural recovery in line with the objectives of the Charity and the conditions of the grant application. All money has been spent accordingly during the year of receipt and assessed through a final activity report submitted to the Arts Council and independently certified. 

## **Designated funds** 

Covid-19 Recovery Fund - Amounts transferred to designated funds in the year ended 2022 are amounts agreed with the Arts Council to be spent on Covid-19 recovery outside of the conditions of the grant application. 

In the year ended 31 March 2023 following a review of the post Covid environment the trustees have sought to un-designate this fund into the general funds of the Charity.
