We review our aims, objectives and activities each year. This review looks at what we achieved and the outcomes of our work in the 12 months to 31 March 2023. We have referred to the Charity Commission's general guidance on public benefit when reviewing our aims and objectives and in planning our future activities. In particular, the Trustees consider how planned activities will contribute to the aims and objectives they have set. The activities of the Charity, subcategorized into Main activities, and Fundraising activities are described further in the Achievement and performance section of the Trustees Report. ## **Public benefit** In shaping our objectives for the year and planning our activities, the trustees have considered the Charity Commission's guidance, including that on public benefit and fee-charging. We believe that Yorke Dance Project is one of the UK's most creative and accessible dance companies. We aim to inspire audiences with work that is entertaining, relevant, exciting and technically excellent. We are committed to inclusion and access and the belief that dance and music are art forms for everyone to experience, participate in and enjoy. Creating new work is an essential part of ensuring that our art form remains vibrant and relevant. We commission new music, films and costuming for our works, adding richness to the cultural offer of the country. With support of our major funders, we present world class performances of the widest possible range of repertory throughout the United Kingdom in in middle and small-scale venues, cinemas and art galleries. We work hard to ensure that cost does not prohibit access to our performances. Tickets for performances in the UK are priced across affordable ranges (from free events to ticket prices between £5.00 and £40.00) which reflect the regional economies where we perform. We also offer a wide range of concessions and special offers on ticket prices. Where possible we work in association with venues to ensure schools can access our performances at affordable rates and they are supported by our education and community engagement work. To complement this the charity offers, when possible, a Youth Leaders Programme and Professional Pathways Programme for graduating students supporting and developing the next generation of dance leaders and dancers in rural and market towns. We offer opportunities including free dance training for talented individuals, repertory-based programmes for schools and community groups, bespoke workshops for local comprehensive schools for free and continuing professional development for professional dancers and teachers. We also offer internship opportunities to young professionals who are just setting out in the field following their conservatory training. Many of our projects include free access to a Yorke Dance Project performance ensuring that no child or young person is excluded due to financial constraints. Above all we believe in the importance of taking the arts to everyone and work hard, through dance and music, to break down those barriers perceived or real that exclude people from the pleasure of experiencing or engaging in the arts in their many and varied forms. **- 2 -** **Yorke Dance Project Ltd** ## **Company Limited by Guarantee** ## **Trustees' annual report (incorporating the directors' report)** _**(continued)**_ ## **Year ended 31 March 2023** ## **Achievements and performance** The achievements and performance of the activities of the charity are detailed below: ## **Main activities** ## **Touring and performances:** In October 2021, the company had premiered a film _Lockdown Portraits (retitled Portraits)_ , a film version of Choreographer Robert Cohan’s final work for the stage, _Afternoon Conversations with Dancers commissioned by the company and directed by David Stewart_ . Yorke Dance Project launched 2022 – 2023 activity with performances of several of the dances from Portraits as part of the Victoria and Albert Museum’s Performance Festival. The live performances of the solos scattered around the muse um throughout the day concluded with a free screening of the film. The company estimates that well over 500 people encountered some or all of the works during the course of the day. In May 2022, the company brought _Afternoon Conversations_ together with Portraits to The Mill in Banbury, presenting the works side by side as Connecting to Cohan. The evening included a discussion with the artists about Cohan’s remarkable legacy and the challenges of bringing his work to the screen. Also in May, artistic director, Yolande Yorke-Edgell joined Charlotte Edmonds at Morley College for a free artists’ talk on working as a female choreographer in today’s arts landscape. Edmonds had been a student of Yorke-Edgell’s at the Royal Ballet School who had her first professional work commissioned by YDP in 2013. Edmonds went on to become the Royal Ballet’s first Young Artist in Residence. In 2022, Yorke Dance Project was nominated for three Critic’s Circle National Dance Awards, including: Best Modern Choreography, Outstanding Female Modern Performance & Best Independent Dance Company. Robert Cohan’s _Afternoon Conversations with Dancers_ was nominated for Best Modern Choreography while Yolande Yorke-Edgell’s performance of Martha Graham’s iconic _Lamentation_ was nominated for Outstanding Female Modern Performance. Though YDP did not win either of those categories, the company did win Best Independent Company. In September 2022, after several Covid-related setbacks, YDP was finally able to begin production on their film of Kenneth MacMillan’s Hamlet-inspired ballet, _Sea of Troubles_ . MacMillan’s chamber ballet had been performed by Yorke Dance Project to critical acclaim at the Royal Opera House and in theatres across the UK. Now, in association with The Royal Ballet, the company has immortalised on film MacMIllan’s visceral and emotional work, filmed on location at the historic Hatfield House. In _S ea of Troubles_ , grief, despair, revenge, power and madness are seen from Hamlet’s perspective in this short, powerful ballet. Choreographed in 1988, its relevance remains undiminished and resonates deeply today. In March 2023, YDP performed in _On the And_ , two nights celebrating the legacy of Robert Cohan at The Place in London. YDP revived Cohan’s _Lingua Franca_ , the first group work that Cohan made for YDP in 2014, as well as two of his solo works for the event. Artistic Director Yolande Yorke-Edgell will also worked with students from the Place to create a new dance inspired by Cohan’s legacy. ## **Professional development and training:** While in rehearsals for both the _Sea of Troubles_ film and _On the And_ , YDP invited professional dancers to be guests in company class where they participated alongside members of the company as they trained for the day’s work. Two new apprentices were hired for the rehearsals and filming of _Sea of Troubles_ , offering first-hand experience to two young professionals who received a valuable personal and professional development experience. **- 3 -** **Yorke Dance Project Ltd** ## **Company Limited by Guarantee** ## **Trustees' annual report (incorporating the directors' report)** _**(continued)**_ ## **Year ended 31 March 2023** ## **Educational activities:** As mentioned above, in connection with _On The And_ , Yolande Yorke-Edgell worked with third year students at the Place to make a work in connection with the tributes to Robert Cohan. ## **Fundraising and governance** Yorke Dance Project’s Board of Trustees had their first meeting of the fiscal year on 7 June 2022. Another meeting took place on 26 January 2023. We are currently seeking to broaden and diversify our board. During this fiscal year, Back Four, a company that is a long-standing patron of YDP, partnered with us to deliver our annual fundraising golf day at Loch Lomond Golf Club in July 2022. The event raised £65,000.00 from participants; after paying the costs of the event this resulted in net income of just over £23,300. Independently of this Back Four donated £22,000.00 over the course of the year and to aid cashflow loaned the company £31,667.80 to be repaid within 2 years. Friends and Family Fundraising Scheme: the charity continues to run our yearly membership scheme. There are a small but steady number or friends which the company hopes to further expand upon in the coming year. ## **Financial review** During the year, the Charity saw a decrease in total income to £104,795 (2022: £291,088), the majority of which was provided by donations, grant income and fundraising income. Expenditure decreased during the year to £110,787 (2022: £239,706). The movement is predominantly due to a change in activities as detailed in this report and also reflects the plans for future period productions which occur after this financial period. The Charity ended the year making a deficit of £5,992 (2022: surplus £51,382). ## **Principal funding source** The majority of the Charity's income is received by a variety of individual supporters by way of unrestricted donation, significant amount of grant income was received during the year also. The Charity is not reliant on one specific income source however a key part of its development plan for the future is to increase its sources of income so as to spread its risk. ## **Reserves policy** The Charity's reserves policy is to maintain reserves at a level adequate to protect its ongoing work from significant fluctuations in funding. The Trustees believe that 3 months unrestricted expenditure, currently £16,364 (2022: £42,278), would be an appropriate level of reserves at the year end. The Charity has reserves of £65,743 (2022: £71,735) at the year end. The Trustees will endeavour to build reserves over the next 12-24 months from fundraising events and grant applications in order to continue with its charitable objective. Yorke Dance Project celebrates their 25th anniversary with a new programme honouring the company’s connection to California and the legacies of three pioneering female choreographers—Isadora Duncan, Martha Graham and Bella Lewitzky. This powerful mixed-bill illuminates the ground-breaking work of these three icons of contemporary dance. Kenneth MacMillan’s ballet _Isadora_ , was created in 1981. This original three-act ballet captured the life of San Francisco native, Isadora Duncan. YDP’s _Isadora_ has been reimagined and distils MacMillan’s original into a one-act, chamber work exploring the conflict between Isadora’s search for love and her pioneering mission to change the very nature of the art of dance. Martha Graham spent her formative years in Santa Barbara, California. In Los Angeles, she experienced her first dance performance by the Denishawn Company, whom she soon went on to dance with. Graham created her masterpiece _Errand into the Maze_ in 1947, exploring the depths of human fear and sexual power struggles, based on the legends of Ariadne, Theseus and the Minotaur. Bella Lewitzky, whose highly acclaimed company was rooted in Los Angeles, made the boldly sculptural and physically demanding _Meta 4_ with an original score by Robert Xavier Rodriguez in 1994. Rounding out the _California Connections_ programme, artistic director, Yolande Yorke-Edgell will premiere a new work inspired by the power of these three women and the essence of their enduring legacies. Work on MacMillan’s _Isadora_ will begin in June as the company directors collaborate with Deborah MacMillan to outline a new, one-act, chamber version MacMillan’s full-length, original ballet. In July, the company will begin work with Benesh notator Gary Harris, learning the work from the original Benesh score. In August, Yorke-Edgell and three YDP dancers will travel to New York where they will learn Martha Graham’s _Errand into the Maze_ from members of the Martha Graham Dance Company. Full company rehearsals will re-commence in September and _California Connections_ will premiere at the Stanley and Audrey Burton Theatre in Leeds in November 2023, with a second performance at The Mill in Banbury. The London premiere will take place at the Royal Opera House in March 2024, followed by performances on tour in Winchester and Frome. Following the filming of _Sea of Troubles_ , which took place in September 2022 at historic Hatfield House, the company will finish editing and prepare the film for its premiere on 10 October 2023 at the Royal Opera House in conjunction with World Mental Health Day. YDP will simultaneously be developing a new workshop in collaboration with HFEH MIND, mental health charity. These workshops, which pick up on themes and characters in the film, will offer participants, 12-15 years old, a physical experie nce of employing personal creativity to help with their overall mental health challenges. The workshops will be piloted at five locations in London in advance of the film’s premiere after which YDP will be delivering them outside London. Further screenings of _Sea of Troubles_ will take place at the Soho Hotel, Merlin Theatre/Frome and at Dance Oxford in November. In 2024, YDP will be releasing both of their current films, Cohan’s _Portraits_ and MacMillan’s _Sea of Troubles_ as a single cinema event titled _Dance Revolutionaries_ . The double bill will be screened at cinemas across the UK and abroad. YDP will be working with Mustard Studio to book screenings and distribute the film. We will also develop our infrastructure, recruiting new board members and bringing on an administrator. ## **Structure, governance and management** The Company is Limited by Guarantee (Registered Number 06842496) incorporated on 10 March 2009 and a Registered Charity (Number 11128891). The Charity was registered on 30 March 2009 and is governed by a Memorandum and Articles of Association dated 10 March 2009. The Trustees, who are also the directors for the purpose of company law, and who served in the year are shown on the information page in the reference and administration details of these accounts. ## **Risk management** Management has reviewed the major risks to which the Charity is exposed. Where appropriate systems or procedures have been established to mitigate the risks the Charity faces. As is the case for many Charities, external funding represents a risk to the stability of the Charity. YDP enjoys the support from a number of loyal donors, costs are closely monitored to ensure the Charity operates within its means and the Charity maintains some reserves, all of which minimise exposure to this risk. ## **Organisational and decision making structure** Yorke Dance Project Ltd is a registered Charity and a company limited by guarantee. A Board of Trustees is responsible for managing the business of the Charity, holding an Annual General Meeting each year. Responsibility for the day to day running for the Charity is delegated to Y Yorke-Edgell, an unpaid employee of the Charity. ## **Appointment, induction and training of trustees** Trustees are appointed at the Annual General Meeting or by resolution of the Board of Trustees. The number of Trustees shall not be less than three and the total number is not subject to any maximum unless otherwise determined by an ordinary resolution of the Annual General Meeting. It is the policy of the Trust to appoint new trustees by personal invitation given knowledge of their skills and background. Most trustees are already familiar with the work of the Charity and upon appointment are provided with a new Trustee pack. General information** The charity is a public benefit entity and a private company limited by guarantee, registered in England and Wales and a registered charity in England and Wales. The address of the registered office is 47a, Flat 1 Exmouth Market, London, EC1R 4QL. ## **2. Statement of compliance** The charity constitutes a public benefit entity as defined by FRS 102. The financial statements have been prepared in accordance with Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland issued in October 2019, the Financial Reporting Standard applicable in the United Kingdom and Republic of Ireland (FRS 102), the Charities Act 2011, the Companies Act 2006 and UK Generally Accepted Accounting Practice. ## **3. Accounting policies** ## **Basis of preparation** The financial statements have been prepared on the historical cost basis. The financial statements are prepared in sterling, which is the functional currency of the entity. ## **Going concern** The accounts have been prepared on a going concern basis as the trustees believe that no material uncertainties exist. The trustees have considered the level of funds held and the expected level of income and expenditure for 12 months from authorising these financial statements. ## **Fund accounting** The unrestricted general fund represents funds that are expendable at the discretion of the Trustees in furtherance of the objects of the charity. Such funds may be held to finance both working and capital investment. Designated funds, where applicable represent funds earmarked by the Trustees for particular purposes. Accounting policies** _**(continued)**_ ## **Income** All income is included in the statement of financial activities when entitlement has passed to the charity, it is probable that the economic benefits associated with the transaction will flow to the charity and the amount can be reliably measured. The following specific policies are applied to particular categories of income: - income from donations or grants is recognised when there is evidence of entitlement to the gift, receipt is probable and its amount can be measured reliably. - income from contracts for performances and workshops is recognised with the delivery of the contracted service. This is classified as unrestricted funds unless there is a contractual requirement for it to be spent on a particular purpose and returned if unspent, in which case it may be regarded as restricted. ## **Expenditure** Expenditure is recognised on an accruals basis as a liability is incurred. Expenditure includes any VAT which cannot be fully recovered, and is classified under headings of the statement of financial activities to which it relates: - expenditure on raising funds includes the costs of all fundraising activities, events, non-charitable trading activities, and the sale of donated goods. - expenditure on charitable activities includes all costs incurred by a Charity in undertaking activities that further its charitable aims for the benefit of its beneficiaries, including those support costs and costs relating to the governance of the Charity apportioned to charitable activities. - other expenditure includes all expenditure that is neither related to raising funds for the Charity nor part of its expenditure on charitable activities. All costs are allocated to expenditure categories reflecting the use of the resource. Direct costs attributable to a single activity are allocated directly to that activity. Shared costs are apportioned between the activities they contribute to on a reasonable, justifiable and consistent basis. ## **Financial instruments** A financial asset or a financial liability is recognised only when the entity becomes a party to the contractual provisions of the instrument. Basic financial instruments are initially recognised at the amount receivable or payable including any related transaction costs, unless the arrangement constitutes a financing transaction, where it is recognised at the present value of the future payments discounted at a market rate of interest for a similar debt instrument. Current assets and current liabilities are subsequently measured at the cash or other consideration expected to be paid or received and not discounted. Staff costs** The average head count of employees during the year was Nil (2022: Nil) and therefore the Charity has no requirement to analyse staff costs and employee benefits for the reporting period. All money has been spent accordingly during the year of receipt and assessed through a final activity report submitted to the Arts Council and independently certified. ## **Designated funds** Covid-19 Recovery Fund - Amounts transferred to designated funds in the year ended 2022 are amounts agreed with the Arts Council to be spent on Covid-19 recovery outside of the conditions of the grant application.
