## Objectives and activities 

The aim of the Charity is to promote, maintain, improve and advance education by the encouragement of the arts including, without limitation, the arts of drama, mime, dance and music. We review our aims, objectives and activities each year. This review looks at what we achieved and the outcomes of our work in the 12 months to 31 March 2022. 

We have referred to the Charity Commission's general guidance on public benefit when reviewing our aims and objectives and in planning our future activities. In particular the Trustees consider how planned activities will contribute to the aims and objectives they have set. The activities of the Charity, subcategorised into Main activities, and Fundraising activities are described further in the Achievement and performance section of the Trustees Report. 

## Public benefit 

In shaping our objectives for the year and planning our activities, the trustees have considered the Charity Commission's guidance, including that on public benefit and fee-charging. We believe that Yorke Dance Project (YDP) is one of the UK's most creative and accessible dance companies. We aim to inspire audiences with work that is entertaining, relevant, exciting and technically excellent. 

We are committed to inclusion and access and the belief that dance and music are art forms for everyone to experience, participate in and enjoy. Creating new work is an essential part of ensuring that our art form remains vibrant and relevant. We commission new music, films and costuming for our works, adding richness to the cultural offer of the country. With support of our major funders, we present world class performances of the widest possible range of repertory throughout the United Kingdom in middle and smallscale venues, cinemas and art galleries. We work hard to ensure that cost does not prohibit access to our performances. Tickets for performances in the UK are priced across affordable ranges (from free events to ticket prices between £5.00 and £40.00) which reflect the regional economies where we perform. We also offer a wide range of concessions and special offers on ticket prices. Where possible we work in association with venues to ensure schools can access our performances at affordable rates and they are supported by our education and community engagement work. To complement this the charity offers, when possible, a Youth Leaders Programme and Professional Pathways Programme for graduating students supporting and developing the next generation of dance leaders and dancers in rural and market towns. (These activities were seriously impacted by Covid.) We offer opportunities including free dance training for talented individuals, repertory-based programmes for schools and community groups, bespoke workshops for local comprehensive schools for free and continuing professional development for professional dancers and teachers. Many of our projects include free access to a Yorke Dance Project performance ensuring that no child or young person is excluded due to financial constraints. Above all we believe in the importance of taking the arts to everyone and work hard, through dance and music, to break down those barriers perceived or real that exclude people from the pleasure of experiencing or engaging in the arts in their many and varied forms.

## Achievements and performance 

The achievements and performance of the activities of the charity are detailed below: 

## Main activities 

## Touring and performances: 

The company's activities during the 21/22 fiscal year were, of course, greatly impacted by the Covid-19 pandemic. Many of our activities were ones that had been rescheduled and/or revised from how they were originally intended to take place, pre-pandemic. 

In April, the company was still primarily working virtually, working with support from ACE's Cultural Recovery Fund to retrain our dancers after lockdown, doing online training which included ballet, yoga and contemporary classes as well as a specialised injury prevention practice with Somatic practitioner Shaun Brooking. Dancers of the company were training for a series of smaller performances in the summer as well as the long-delayed premiere of PAST PRESENT at Royal Opera House. PAST PRESENT had been postponed several times since the onset of Covid but had finally been rescheduled for November 2021. 

Also in April, the company was working remotely with Martha Graham Dance Company in New York, coaching their dancers who were learning three solos originally choreographed by Robert Cohan. These solos were originally created for Yorke Dance Project and since Cohan's passing the company remains the only means for providing coaching. This has also helped to develop the company's relationship with a major dance organisation in America. The Cohan solos were then performed in the MGDC home season at the studios in New York for live and virtual audiences. 

Concurrently, YDP was continuing work on creating Lockdown Portraits, seven short dance films by Sir Robert Cohan, directed by David Stewart. These solos had been choreographed by Cohan before his passing in January 2021. At this point we had filmed five of the seven solos. In April 2021 we were rehearsing with Royal Ballet soloist Romany Pajdak, preparing for the filming of her solo, which took place on the Royal Opera House mainstage that month. This filming was substantially supported by the Royal Opera House who donated the stage space, a lighting designer and technical support to make the filming possible. 

With the approval of the Kenneth MacMillan trust and Lady Deborah MacMillan, who donated £20,000.00 towards the project, YDP began laying down the groundwork for filming MacMillan's ballet, Sea of Troubles in September 2021. The company spent a day at Hatfield House in April where the film would be shot, considering locations and how the shooting would occur. 

In May, YDP education lead, Laura Dredger worked with theatre artist Colette Love and dramaturg and children's theatre specialist Lucy Foxwell on devising a new series of workshops for students called Sharing our Space (SOS). This project was funded by a grant from Black Heart Foundation. The SOS workshops are designed for students and teachers who have returned, post-pandemic, to face-to-face learning and community involvement. SOS workshops address feelings of anxiety and disconnection that many are still experiencing. This project aims to re-establish and enhance connections and instill confidence through carefully designed movement exercises, creative techniques and positive reinforcement. 

In June, YDP Artistic Director, Yolande Yorke-Edgell and Associate Director, Stephen Pelton, turned their focus to delivering the first virtual iteration of choreographic mentoring residencies with our sister company, the Cohan Collective. YDP dancers and choreographers worked (virtually) alongside artists in New York from Martha Graham Dance Company and in Chicago with Joffrey Dance Company. This two-week residency was enormously successful given the challenges of working remotely on choreographic tasks and creative development across three different cities and time zones, all via Zoom. Several YDP dancers also participated.

In June, as live performances in the UK were beginning to return to stages, primarily in outdoor spaces, the company began preparing for several outdoor and low-key indoor performances: 

On 12 June, YDP performed excerpts from Robert Cohan's Lockdown Portraits in the gardens and along the seafront at Pavilion Dance South West in Bournemouth. This was the first time that many of these dances had been seen publicly. A very enthusiastic crowd followed dancers along the pathways of the gardens and to the seafront in this bespoke outdoor celebration of both Cohan's work and the return of live performance. The event was free and attracted a crowd of over 200 people. 

On 18 and 19 June, the company presented the first two in a series of lecture/ performances as part of DANSOX, exploration of the element of "grace" in performing art. Dance Scholarship Oxford (DANSOX) provides a major forum for dance scholarship in Europe, promoting dialogue between prominent academic disciplines and the worlds of dance theory and practice. YDP performed excerpts from Robert Cohan's Communion and Lockdown Portraits, Kenneth MacMillan's Sea of Troubles, and Yolande Yorke-Edgell's Imprint. These events were free for Oxford scholars and residents. 

On 26 June YDP performed a special one-off insights tribute into the life and work of Sir Robert Cohan at Theatre Royal Winchester. Previous YDP Trustee and biographer of Cohan, Paul R Jackson was the guest speaker for this event. 

On 29 and 30 June two more lecture/performances were delivered at DANSOX. 

2021 saw the return of Hatfair, Winchester's annual summer art and performance festival. YDP were invited to perform for a free audience of over 500 people. We performed there on 3 July, in a mixed-bill of work by Cohan and Yorke-Edgell 

In September, Yorke-Edgell went to New York to work with Martha Graham Dance Company director Janet Eilber learning Graham's iconic 1930 solo Lamentation in advance of performances of the work in both PAST PRESENT at ROH and as part of the Isamu Noguchi exhibit at London's Barbican Centre in October. 

At the beginning of October, YDP began full rehearsals for PAST PRESENT with a company of ten dancers and two apprentices. The programme would include Sea of Troubles, Lamentation, Yolande Yorke-Edgell's new work So It Is and Afternoon Conversations with Dancers, the world premiere of Robert Cohan's final work, which also comprised part of Lockdown Portraits. 

In addition to PAST PRESENT, the company was rehearsing for a special, one-off, gala tribute to Cohan's life and work, CONNECTING TO COHAN, to also take place at the Royal Opera House, on the evening after the run of PAST PRESENT. This involved the full company as well as two guest artists from the Royal Ballet and two live musicians. 

Whilst rehearsing for the ROH performances, we filmed the last of Cohan's Lockdown Portraits at London's Senate House. Once this solo for Yorke-Edgell was finished the series of seven short films could be finalised and prepared for their upcoming world premiere at the Barbican Cinema. Final edits, colour and sound correction and credits were added to the films. 

Due to a lack of funding opportunities following Covid, the company decided to postpone the filming of MacMillan's Sea of Troubles until 2022. On 5 Oct, while rehearsals continued for ROH, several company members went to Hatfield House to film a fundraising trailer for the Sea of Troubles film. 

On 16 October, both Yolande Yorke-Edgell and company dancer Freya Jeffs performed Graham's Lamentation at the Noguchi Exhibit at the Barbican Centre. They performed the solo six times throughout the day in the gallery alongside Noguchi's sculptures. The performance was free for attendees of the exhibition. 

The following day, the Barbican hosted the world premiere of Lockdown Portraits in a sold-out screening at

## the Barbican Cinema. 

## YDP presented one more Lecture Performance at DANSOX on 29 October. 

After many years of work and fundraising and several postponements due to Covid, Yorke Dance Project's PAST PRESENT finally premiered 12, 13 & 14 November at ROH's Linbury Theatre. The performances played to nearly sold-out houses, received rapturous reviews and would lead to the company being nominated for three National Dance Awards in 2022: Best Contemporary Choreography for Afternoon Conversations with Dancers, Best Contemporary Female Performance for Yorke-Edgell in Lamentation and Best Independent Company. We won Best Independent Company at a ceremony in June 2022. 

CONNECTING TO COHAN played to a sold-out house and also received rapturous reviews. The programme included revivals of Cohan's Communion, Canciones del Alma and his classic work, Nympheas. 

In February 2022, YDP and guest artists from the Royal Ballet performed Cohan's Nympheas and a solo from Communion in Leeds as part of Phoenix Dance Theatre's 40th anniversary celebrations. 

Also in early 2022, the company resumed rehearsals for a mini-tour of a new programme, also called CONNECTING TO COHAN. We had originally planned to tour PAST PRESENT as this was no longer economically feasible however instead of cancelling the tour, we utilised our existing asset, Cohan's Lockdown Portrait films, and toured a much less expensive programme of film, discussion and live performance. This programme consisted of three solos from Afternoon Conversations with Dancers, a discussion of Cohan's life and work, followed by a screening of Lockdown Portraits. In March of 2022 this programme was presented in London at The Place, as well as on tour in Bournemouth, Winchester and Leeds. Our patron, Sir Richard Alston, joined us on tour to talk about Cohan's life and work. 

## Professional development and training: 

Covid-19 lockdown protocols continued to interfere with the amount of development and _ training opportunities we would have been able to offer during this period. Whilst we were teaching and training online, the company offered free open classes to professionals outside of the company with whom we already had relationships. During in-person rehearsal periods, the company would also regularly have guests in class, within Covid protocols, as well as hiring apprentices who received valuable personal and professional development experience. 

The virtual iteration of the Cohan Collective, described above, directed and facilitated by YDP artists, offered choreographers and dancers in both the UK and the US, the opportunity for a deeply rewarding professional development experience. 

## Educational activities: 

Similarly, YDP's in school educational activities were significantly impacted by Covid itself and also from the slow recovery period following lockdown. Our work in schools has been much delayed, though, as described above, we have developed the new SOS workshops which will finally to be piloted in schools in 2023. 

Our CONNECTING TO COHAN tour and our DANSOX lecture performances offered, through Q & As, discussions and feedback sessions, great opportunities for audiences to become further educated on dance as an art form. 

## Fundraising and governance 

On 5 May, the Yorke Dance Project Board of Trustees had their first meeting of the year Another meeting took place on 19 October. The first Board of Trustees meeting of 2022 took place on 1 March. We are currently seeking to broaden and diversify our board.

During this fiscal year, the company was successful in securing Culture Recovery Fund Emergency Resource Support from Arts Council England, this funding invaluable in stabilising the company's operation, enabling it to restore monies designated for future projects and to reimbursing essential staff for outstanding, unpaid invoices. Funds were also used to replenish cash reserves, and to pay ongoing operational costs and upcoming staff and artist invoices through 31 March 2022. YDP was able to fulfill obligations and lay the foundations for and carry on with further fundraising. The funding allowed YDP to capitalise on the success of the ROH performances in November 2021 and remain financially viable as it strategically plan for the rest of 2022 and onward Though the grant was awarded in 2019, funds from a grant from Cockayne Grants for the Arts were deferred until] 2021 where they were used for PAST PRESENT, the project they had originally been awarded for. This was complemented with a small Project Award from Arts Council of England. 

Friends and Family fundraising scheme: The charity continues to run our yearly membership scheme. There are a small but steady number or friends which the company hopes to further expand upon in the coming year. 

Back Fore, a company that is a long-standing patron of YDP, partnered with us to deliver a fundraising golf day at Loch Lomond Golf Club in September 2021 which raised £66,000.00. 

## Financial review 

During the year, the Charity saw an increase in total income to £291,088 (2021: £192,366), the majority of which was provided by donations, grant income and fundraising income. Expenditure increased during the year to £239,706 (2021: £186,684). The movement is predominantly due to a change in activities as detailed in this report. The Charity ended the year making a surplus of £51,382 (2021: £5,682) in the year. 

## Principal funding source 

The majority of the Charity's income is received by a variety of individual supporters by way of unrestricted donation, significant amount of grant income was received during the year also. The Charity is not reliant on one specific income source however a key part of its development plan for the future is to increase its sources of income so as to spread its risk. 

## Reserves policy 

The Charity's reserves policy is to maintain reserves at a level adequate to protect its ongoing work from significant fluctuations in funding. The Trustees believe that 3 months unrestricted expenditure, currently £42,278 (2021: £30,040), would be an appropriate level of reserves at the year end. The Charity has reserves of £71,735 (2021: £20,353) at the year end. The Trustees will endeavour to build reserves over the next 12-24 months from fundraising events and grant applications in order to continue with its charitable objective. The Trustees will closely monitor cash reserves to ensure the success of this future project.

## Plans for future periods 

The company's upcoming activities include the filming of Kenneth Macmillan's Sea of Troubles, which will finally take place in September 2022 at historic Hatfield House. The finished film is scheduled to premiere in May 2023 at the Royal Opera House, in conjunction with Mental Health Awareness Week. The London premiere will be followed by a UK tour, before a more general release. Accompanying the premiere and tour of the film, will be a new workshop we will be developing in collaboration with MIND, mental health charity. These workshops, which pick up on themes and characters in the film, (which is based on Hamlet), will offer participants a physical experience of how to employ their personal creativity to help with their overall mental health challenges. The workshops will be piloted at five locations in London in advance of the film's premiere after which we will be delivering them at several stops along the tour. Five YDP dancers will be joined by a guest artist from the Royal Ballet to comprise the cast of the film. We will be holding auditions for two apprentices to learn all the roles and assist with the filming. In March 2023 the company will participate in a tribute to Robert Cohan at The Place in London. YDP will revive Cohan's Lingua Franca as well as two of his solo works for the event. Artistic Director Yolande Yorke-Edgell will also be working with students from the Place to create a new work, inspire by Cohan's legacy. 

In November 2023 the company will premiere a new programme of work at the Audrey and Stanley Burton Theatre in Leeds. The London premiere will be at ROH's Linbury Theatre in March 2024. This programme will focus on works by women choreographers who have a connection to California culture. (YDP was formed in California in 1998.) The programme will include a reconstruction of Isadora by Kenneth MacMillan, El Penitente by Martha Graham and Meta 4 by Bella Lewitzky. Conservatory students will be engaged to support the work, further developing our long-standing relationships with Central School of Ballet and Rambert School. The company will work on strengthening its financial position by securing sponsorship and applying for project funding from Arts Council England. We will develop our infrastructure by bringing in an administrator. We will evaluate the success of our Sea of Troubles film and workshops as we consider future film projects based upon our existing repertoire.

## Structure, governance and management 

The Company is Limited by Guarantee (Registered Number 06842496) incorporated on 10 March 2009 and a Registered Charity (Number 11128891). The Charity was registered on 30 March 2009 and is governed by a Memorandum and Articles of Association dated 10 March 2009. 

The Trustees, who are also the directors for the purpose of company law, and who served in the year are shown on the information page in the reference and administration details of these accounts. 

## Risk management 

Management has reviewed the major risks to which the Charity is exposed. Where appropriate systems or procedures have been established to mitigate the risks the Charity faces. As is the case for many Charities, external funding represents a risk to the stability of the Charity. YDP enjoys the support from a number of loyal donors, costs are closely monitored to ensure the Charity operates within its means and the Charity maintains some reserves, all of which minimise exposure to this risk. 

## Organisational and decision making structure 

Yorke Dance Project Ltd is a registered Charity and a company limited by guarantee. A Board of Trustees is responsible for managing the business of the Charity, holding an Annual General Meeting each year. Responsibility for the day to day running for the Charity is delegated to Y Yorke-Edgell, an unpaid employee of the Charity. 

## Appointment, induction and training of trustees 

Trustees are appointed at the Annual General Meeting or by resolution of the Board of Trustees. The number of Trustees shall not be less than three and the total number is not subject to any maximum unless otherwise determined by an ordinary resolution of the Annual General Meeting. It is the policy of the Trust to appoint new trustees by personal invitation given knowledge of their skills and background. 

Most trustees are already familiar with the work of the Charity and upon appointment are provided with a new Trustee pack. This pack includes a copy of the governing document, recent Trustee meeting minutes and a copy of the last set of financial statements. 

## Independent examiner reappointment 

A resolution to appoint L Thurston FCCA of Lovewell Blake LLP as independent examiner will be proposed at the next Annual General Meeting. 

## Small company provisions 

This report has been prepared taking advantage of the small companies' exemption of section 415A of the Companies Act 2006.

For the year ending 31 March 2022 the charity was entitled to exemption from audit under section 477 of the Companies Act 2006 relating to small companies. 

## Directors' responsibilities:

## Year ended 31 March 2022 

## 1. General information 

The charity is a public benefit entity and a private company limited by guarantee, registered in England and Wales and a registered charity in England and Wales. The address of the registered office is 47a, Flat 1 Exmouth Market, London, EC1R 4QL. 

## 2. Statement of compliance 

The charity constitutes a public benefit entity as defined by FRS 102. The financial statements have been prepared in accordance with Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland issued in October 2019, the Financial Reporting Standard applicable in the United Kingdom and Republic of Ireland (FRS 102), the Charities Act 2011, the Companies Act 2006 and UK Generally Accepted Accounting Practice. 

3. Accounting policies 

## Basis of preparation 

The financial statements have been prepared on the historical cost basis. 

The financial statements are prepared in sterling, which is the functional currency of the entity. 

## Going concern 

The accounts have been prepared on a going concern basis as the trustees believe that no material uncertainties exist. The trustees have considered the level of funds held and the expected level of income and expenditure for 12 months from authorising these financial statements. 

The budgeted income and expenditure is sufficient for the charity to be able to continue as a going concern. The Trustees have taken into account the impact of Covid-19 when assessing going concern. 

## Fund accounting 

The unrestricted general fund represents funds that are expendable at the discretion of the Trustees in furtherance of the objects of the charity. Such funds may be held to finance both working and capital investment. 

Designated funds, where applicable represent funds earmarked by the Trustees for particular purposes. 

Restricted funds, where applicable represent funds subject to restrictions on their use imposed by the donor or through an appeal.

## 3. Accounting policies (continued) 

## Income 

All income is included in the statement of financial activities when entitlement has passed to the charity, it is probable that the economic benefits associated with the transaction will flow to the charity and the amount can be reliably measured. The following specific policies are applied to particular categories of income: 

- income from donations or grants is recognised when there is evidence of entitlement to the gift, receipt is probable and its amount can be measured reliably. 

- income from contracts for performances and workshops is recognised with the delivery of the contracted service. This is classified as unrestricted funds unless there is a contractual requirement for it to be spent on a particular purpose and returned if unspent, in which case it may be regarded as restricted. 

## Expenditure 

Expenditure is recognised on an accruals basis as a liability is incurred. Expenditure includes any VAT which cannot be fully recovered, and is classified under headings of the statement of financial activities to which it relates: 

- expenditure on raising funds includes the costs of all fundraising activities, events, non-charitable trading activities, and the sale of donated goods. 

- expenditure on charitable activities includes all costs incurred by a Charity in undertaking activities that further its charitable aims for the benefit of its beneficiaries, including those support costs and costs relating to the governance of the Charity apportioned to charitable activities. 

- other expenditure includes all expenditure that is neither related to raising funds for the Charity nor part of its expenditure on charitable activities. 

All costs are allocated to expenditure categories reflecting the use of the resource. Direct costs attributable to a single activity are allocated directly to that activity. Shared costs are apportioned between the activities they contribute to on a reasonable, justifiable and consistent basis. 

## Financial instruments 

A financial asset or a financial liability is recognised only when the entity becomes a party to the contractual provisions of the instrument. 

Basic financial instruments are initially recognised at the amount receivable or payable including any related transaction costs, unless the arrangement constitutes a financing transaction, where it is recognised at the present value of the future payments discounted at a market rate of interest for a similar debt instrument. 

Current assets and current liabilities are subsequently measured at the cash or other consideration expected to be paid or received and not discounted. 

Debt instruments are subsequently measured at amortised cost.

## 4. Limited by guarantee 

The Charity is incorporated under the Companies Act 2006 and is limited by guarantee, each member having undertaken to contribute such amounts not exceeding ten pounds as may be required in the event of the company being wound up whilst he or she is still a member or within one year thereafter.

## 7. Staff costs 

The average head count of employees during the year was Nil (2021: Nil) and therefore the Charity has no requirement to analyse staff costs and employee benefits for the reporting period. 

No employee received employee benefits of more than £60,000 during the year (2021: Nil). 

## 8. Trustee remuneration and expenses 

During the year no expenses were reimbursed to any Trustees (2021: £Nil). No Trustee received remuneration during the year.

The Arts Council grants were in support of productions previously including the Cohan Collective and the tour of Rewind Forward. The grants were specifically for artistic spending and related costs. All money has been spent accordingly during the year of receipt and assessed through a final activity report submitted to the Arts Council. 

For the current year the Arts Council grants were restricted for cultural recovery in line with the objectives of the Charity and the conditions of the grant application. All money has been spent accordingly during the year of receipt and assessed througha final activity report submitted to the Arts Council and independently certified. 

Amounts transferred to designated funds in the year ended 2022 are amounts agreed with the Arts Council to be spent on Covid-19 recovery outside of the conditions of the grant application.

## 14. Related parties 

During the year, C Love a trustee was paid £750 for non trustee services in the year. 

Other than the transactions elsewhere listed in the accounts, there have been no related party transactions in this or the previous reporting year.
