The Trustees present their annual report together with the financial statements of Rayleigh Baptist Church for the year ended 31 December 2022. The Trustees confirm that the Annual Report and financial statements of the charity comply with the current statutory requirements of the charity’s governing document and the provisions of the Statement of Recommended Practice (SORP), applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland. 

## **Objectives and Activities** 

## **a) Policies and objectives** 

By relying on the Bible as our ultimate authority in all respects, Rayleigh Baptist Church exists: 

- To bring people into God's family, through personal and corporate telling and living the Good News of Jesus; working as much as possible in our local community through involvement with the Town Council and other local agencies as well as supporting and partnering with overseas mission agencies. 

- To walk with people to grow in their discipleship of Jesus through the running of small groups for Members and others, including young people, and through the running of occasional teaching sessions and through preaching the Word of God. 

- To equip people for ministry and mission by taking care of the needs of members, in terms of developing their faith, supporting those who are weak or poor and equipping them for Christian service, through the power and presence of the Holy Spirit and to exercise the gifts of the Holy Spirit; by financially supporting Members involved with other Christian missions or training to do so; by financially supporting other Baptist Churches (through BU Home Mission) and overseas missions. 

- All for God's glory. We want to live out our faith as a church and individuals in such a way as to please God and to be a beacon to others, leading them towards a knowledge of the saving grace of Jesus through our worship, words, and actions. 

## **b) Activities for achieving objectives** 

Our first objective is strongly linked to our community and our commitment here is reflected in our day-today ministries, both to the community of the church and, increasingly to the wider community of our town and the wider world.

## **c) Main activities undertaken to further the charity’s purposes for the public benefit** 

The Trustees are mindful of their duty in section 17 of the Charities Act 2011 to have due regard to the Charity Commission’s general guidance on public benefit and also of its supplementary public guidance on the advancement of religion for the public benefit, when considering the objects of Rayleigh Baptist Church. During this year the Church has continued to be affected by the results of the Coronavirus. By the end of the year the majority of members had returned to in person meetings and activities, but some still only attended online or watched pre-recorded meetings. The Trustees still believe that what has been able to take place has provided public benefit to both members of the congregation and to a lesser extent the wider community. 

In the March Church Members meeting, which was an in-person meeting, we ratified all the decisions made over zoom in order to be in line with our constitution.

## **Achievements and Performance** 

## **Ministers** 

Rev. Stuart Conway, one of the Ministers in Training, left in June 2022 after completing his training, and being ordained on 25th June 2022.  God called him shortly after, together with his family, to Tove Valley Baptist Fellowship in Towcester. The remaining minister, Rev. Ricky Rew, assisted by  Paul Wheeler, a Minister in Training, who is studying at the Light College and the Northern Baptist College, have been leading the church in a number of teaching series focusing on key areas such as Wellbeing, Book of Ruth, Studies in 1 Peter, Living All In, Values Revisited, Growing and Going, Everyday practices, Everyday People, and finally Love Actually. As a consequence, the church has increasingly sought to become more active in building relationships with and serving the local community.  In May, Rev. Ricky Rew had an operation to repair the torn meniscus in his knee and was then off for 2 weeks, followed by a phased return to work with limited mobility for the remainder of the year. 

## **Vision** 

We are still following our purpose and values statements which come out of working with Lead Academy, and although the 2020 Vision timeframe has come to an end, we are still following its principles. 

## **Membership and Baptism** 

The church membership has decreased by 16 from 218 in 2022 to 202, due to 10 resignations, 8 transfers away, 4 deaths and 6 new members. 

## **Youth and Children’s Work** 

Claire King, the Children and Families worker, working part time, initially supported by Ricky, and later in the year by Hannah Lantaff, who started a placement while studying Theology, Ministry and Mission (Children, Youth and Families Track) at Bristol Bible College. Claire left in August, but Hannah continued in her role. 

There was no holiday club or Glo party due to the Coronavirus pandemic.  The Children’s work and Sunday School finally returned to in person gatherings, as did Boys Brigade and Girls Brigade. PlayAway also met regularly.

## **Attendances on Sundays and Life Groups** 

We do not keep a record of attendance, but we believe that the number of those regularly worshipping with us over the year has remained broadly unchanged, whether in person or online. Life Groups continue with the aim of supporting the fellowship to grow in their discipleship and to be better rooted in God’s Word, again gradually moving from zoom to in person gatherings. 

Although in person meetings were the norm, the services were still made available online and available on YouTube, which allowed people from outside of the fellowship to join us, as well as those that still wanted to isolate. During this time masks were optional, and congregational singing returned. 

Life groups started meeting in person, but one or two still met via zoom, initially due to vulnerabilities but in the end for some this was a more practical option. 

Still a lot of time was spent supporting people with their spiritual, mental, and physical health following the pandemic, which for some had been a very lonely time as they were unable to get out, due to “shielding” and other factors. 

There were Sunday evening “Talk the Talk” sessions, dealing with topical issues such as Sexuality, Gender, and the Environment, plus a healing service and Encounter worship nights. 

## **Premises Development** 

We went out to tender to six building contractors to refurbish the Church Hall and Base. Three tenders were taken forward and discussions had with each contractor. This resulted in Harvek being selected, and a contract placed to cover Phase 1 to get us to a watertight situation, using the initial £400,000 already raised. Harvek started at the beginning of October. Then letters were sent out to church members and regular attenders asking for further gifts and loans towards the total expected cost of £1.25 million, as well as started looking into other sources of funding. 

## **General Governance** 

During the year a new safeguarding policy was developed. The data protection policy and GDPR policy was reviewed along with our internal financial controls. A simplified membership policy was also developed. 

## **Covid Pandemic** 

The year started with our on-site activities being restricted based on careful risk assessment and regular reviews, as the situation changed. By the end of the year all restrictions ceased, although some still preferred to wear masks. The Staff Team returned to the office, initially with revised working practices and precautions in place.

## **Financial Review** 

## **a) Going concern** 

After making appropriate enquiries, the trustees have a reasonable expectation that the charity has adequate resources to continue in operational existence for the foreseeable future. For this reason, they continue to adopt the going concern basis in preparing the financial statements. Further details regarding the adoption of the going concern basis can be found in the Accounting Policies. 

## **b) Reserves policy** 

The trustees aim to hold General Fund free reserves of approximately 3 months of committed expenditure. There are additional reserves held for premises development and repairs, which will start to be used following approval this year to the Base Refurbishment Project. Given the pressures on church members, because of the coronavirus pandemic, the giving has continued remarkably well, and we have been blessed compared to some other churches locally and Baptist Churches nationwide. 

## **c) Principal funding** 

The principal funding sources of the charity are primarily voluntary donations. 

## **d) Material investments policy** 

There have been no significant changes to the assets held by Rayleigh Baptist Church in 2022. At the end of the year we had 100% of the value of 6 Hilary Crescent as our only manse, which had been revalued in 2021. The minibus was sold as it was not being used and finding drivers was getting harder. New chairs were purchased to enable more flexibility of the available space during the building project. 

## **Structure, governance and management** 

## **a) Constitution** 

The Church is known as Rayleigh Baptist Church (RBC) and is affiliated to the Baptist Union of Great Britain. The Trustees operate within the terms of the constitution dated 27 January 2009. Charitable status was granted by the Charity Commission in March 2009: Registered Charity Number 1128501. 

## **b) Method of appointment or election of Trustees** 

The management of the charity is the responsibility of the Trustees who are elected and co-opted under the terms of the Constitution. 

## **c) Organisational structure and decision making** 

The church is led and managed by the Trustees, consisting of one ordained full-time Minister, two Ministers in Training (going down to one during the year), two elders initially, increasing to three and six deacons (going down to four during the year), all having designated areas of responsibility. Additionally, there are many more Members who play important roles as leaders of small groups, church organisations and a wide variety of ministries to all ages, both within the church family and, increasingly, in the wider community. The contribution made by so many willing and reliable volunteers cannot be overstated.

## **Future developments** 

As the fellowship at Rayleigh Baptist Church, we intend to seek new opportunities to further develop the relationships within the local community in this coming year both through the refurbishment of our Base building and also by working in other locations as opportunities allow.

I report to the charity trustees on my examination of the accounts of the charity for the year ended 31 December 2022 which are set out on pages 9 to 23. 

## **Responsibilities and basis of report** 

As the charity’s trustees you are responsible for the preparation of the accounts in accordance with the requirements of the Charities Act 2011 (‘the Act’). 

I report in respect of my examination of the charity’s accounts carried out under section 145 of the Act and in carrying out my examination I have followed all the applicable Directions given by the Charity Commission under section 145(5)(b) of the Act. 

## **Independent examiner's statement** 

Since the charity’s gross income exceeded £250,000 your examiner must be a member of a body listed in section 145 of the Act. I confirm that I am qualified to undertake the examination because I am a member of the Institute of Chartered Accountants in England and Wales, which is one of the listed bodies. 

I have completed my examination. I confirm that no material matters have come to my attention in connection with the examination giving me cause to believe that in any material respect: 

1. accounting records were not kept in respect of the charity as required by section 130 of the Act; or 

2. the accounts do not accord with those records; or 

3. the accounts do not comply with the applicable requirements concerning the form and content of accounts set out in the Charities (Accounts and Reports) Regulations 2008 other than any requirement that the accounts give a ‘true and fair view’ which is not a matter considered as part of an independent examination. 

I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.

## **1. ACCOUNTING POLICIES** 

## **Statement of compliance** 

The financial statements have been prepared in accordance with the Statement of Recommended Practice: Accounting and Reporting by Charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019) - (Charities SORP (FRS 102)), the Financial Reporting Standard applicable in the United Kingdom and Republic of Ireland (FRS 102), the Charities Act 2011 and UK Generally Accepted Practice. 

The accounts (financial statements) have been prepared to give a ‘true and fair’ view and have departed from the Charities (Accounts and Reports) Regulations 2008 only to the extent required to provide a ‘true and fair view’. This departure has involved following Accounting and Reporting by Charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) rather than the Accounting and Reporting by Charities: Statement of Recommended Practice effective from 1 April 2005 which has since been withdrawn. 

## **Exemption from preparing a cash flow statement** 

The charity has opted for the exemption under Update Bulletin 1 from including a cash flow statement. 

## **Basis of preparation** 

Rayleigh Baptist Church constitutes a public benefit entity as defined by FRS 102.  Assets and liabilities are initially recognised at historical cost or transaction value unless otherwise stated in the relevant accounting policy notes. 

## **Going concern** 

The trustees consider that there are no material uncertainties about the charity's ability to continue as a going concern nor any significant areas of uncertainty that affect the carrying value of assets held by the charity. 

## **Income** 

All income is recognised once the charity has entitlement to the income, it is probable that the income will be received and the amount of income receivable can be measured reliably. 

For legacies, entitlement is taken as the earlier of the date on which either: the charity is aware that probate has been granted, the estate has been finalised and notification has been made by the executor(s) to the Trust that a distribution will be made, or when a distribution is received from the estate. 

Donated services or facilities are recognised when the charity has control over the item, any conditions associated with the donated item have been met, the receipt of economic benefit from the use of the charity of the item is probable and that economic benefit can be measured reliably. On receipt, donated professional services and donated facilities are recognised on the basis of the value of the gift to the charity. 

Income tax recoverable in relation to donations received under Gift Aid or deeds of covenant is recognised at the time of the donation.

## **Expenditure** 

Expenditure is recognised once there is a legal or constructive obligation to transfer economic benefit to a third party, it is probable that a transfer of economic benefits will be required in settlement and the amount of the obligation can be measured reliably. Expenditure is classified by activity. The costs of each activity are made up of the total of direct costs and shared costs, including support costs involved in undertaking each activity. Direct costs attributable to a single activity are allocated directly to that activity. Shared costs which contribute to more than one activity and support costs which are not attributable to a single activity are apportioned between those activities on a basis consistent with the use of resources. Central staff costs are allocated on the basis of time spent, and depreciation charges allocated on the portion of the asset's use. 

Fundraising costs are those incurred in seeking voluntary contributions and do not include the costs of disseminating information in support of the charitable activities, Support costs are those costs incurred directly in support of expenditure on the objects of the charity and include project management carried out at Headquarters. Governance costs are those incurred in connection with administration of the charity and compliance with constitutional and statutory requirements. 

Charitable activities and Governance costs are costs incurred on the charity's operations, including support costs and costs relating to the governance of the charity apportioned to charitable activities. 

Grants payable are charged in the year when the offer is made except in those cases where the offer is conditional, such grants being recognised as expenditure when the conditions attaching are fulfilled. Grants offered subject to conditions which have not been met at the year end are noted as a commitment, but not accrued as expenditure. 

All expenditure is inclusive of irrecoverable VAT. 

## **Tax status** 

Rayleigh Baptist Church is a registered charity and is not subject to corporation tax on its charitable activities. 

## **Tangible fixed assets and depreciation** 

Tangible fixed assets are carried at cost or valuation , net of depreciation and any provision for impairment. Depreciation is provided at rates calculated to write off the cost or valuation of fixed assets, less their estimated residual value, over their expected useful lives on the following bases:

The charity has adopted the revaluation model to revalue items of property, plant and equipment whose fair value can be measured reliably. The revaluations shall be made with sufficient regularity to ensure that the carrying amount does not differ materially from that which would be determined using fair value at the end of the reporting period. 

The fair value of land and buildings is usually determined from market-based evidence by appraisal that is normally undertaken by professionally qualified valuers. The fair value of items of plant and

## **Debtors** 

Trade and other debtors are recognised initially at the transaction price. A provision for the impairment of trade debtors is established when there is objective evidence that the charity will not be able to collect all amounts due according to the original terms of the receivables. 

## **Cash at Bank and in hand** 

Cash and cash equivalents comprise cash on hand and deposits. 

## **Creditors** 

Creditors are recognised when there is an obligation at the balance sheet date as a result of a past event, it is probable that a transfer of economic benefit will be required in settlement, and the amount of the settlement can be estimated reliably. Creditors are recognised at the amount that the charity anticipates it will pay to settle the debt or the amount it has received as advanced payments for the goods or services it must provide. 

## **Defined contribution pension plans** 

Contributions to defined contribution plans are recognised as an expense in the period in which the related service is provided. 

## **Government grants** 

Under the accrual model, government grants relating to revenue are recognised on a systematic basis over the periods in which the company recognises the related costs for which the grant is intended to compensate. Grants that are receivable as compensation for expenses or losses already incurred or for the purpose of giving immediate financial support to the entity with no future related costs are recognised in income in the period in which it becomes receivable. 

## **Financial instruments** 

The charity only has financial assets and financial liabilities of a kind that qualify as basic financial instruments. Basic financial instruments are initially recognised at transaction value and subsequently measured at their settlement value. 

## **Fund accounting** 

Unrestricted general funds – these are funds which can be used in accordance with the charitable objects at the discretion of the trustees.

## **Charity Heritage Assets** 

The church building, which is central to the objectives and activities of the charity, meets the definition of a heritage asset and as such is not included on the balance sheet due to the age of the building and the impracticalities of ascertaining the original cost or donated valuation. - i) Keep Fit 

Fund operated exclusively for the keep fit activities. 

- ii) Minibus replacement Fund Funds designed for the replacement of the minibus (note - there is a separate fund for the restricted donations). 

- iii) PlayAway 

Funds used for the weekly parent and toddler groups. 

- iv) Premises Repairs and Renewals 

Funds held for any repairs and renewals required at the Church. 

- v) Premises Development 

Funds raised for the continued work to make the premises more fit for purpose to contribute more to the local community. An additional £40,500 was transferred to this fund from general unrestricted funds during the year for the initial phase of the Base Refusbishment Project. 

- vi) Women's Hour fund 

To help build women's friendships, give support and reach out. 

- vii) Ministry Training Fund 

In 2019, £30,000 has been transferred from the general legacies fund to fund ministers in training.

## **16. RELATED PARTY TRANSACTIONS** 

During the year, the charity received donations of £29,396 (2021: £25,616) from Trustees and their related parties. For remuneration paid to trustees, see note 9. 

During the year, the son of one of the trustees was paid a total of £4,744 for carrying out various electrical works.
