ThetrusteeswhoarealsodirectorsofthecharityforthepurposesoftheCompaniesAct2006,presenttheir report
with the financialstatementsof the charityfor the year ended 30 June 2022. The trustees have adoptedthe provisions
of AccountingandReportingby Charities:Statementof RecommendedPracticeapplicableto charitiespreparing their
accountsinaccordancewiththeFinancialReportingStandardapplicableintheUKandRepublicofIreland(FRS 102)
(effective 1 January 2019).
OBJECTIVES AND ACTIVITIES
Public benefit
The charitable company's objectives and activities are:-
ThepreservationandconservationforthebenefitofthepublicofthehistoricWhitwellStation,Norfolkand its
surrounding, its structures, associated rolling stock and history.
ToadvancetheeducationofthepublicinthehistoryanddevelopmentofWhitwellStation,Norfolkand its
surroundings.
Thetrusteesconfirmthattheyhavecompliedwiththerequirementsofsection17oftheCharitiesAct2011to have
due regard to the public benefit guidance published by the Charity Commission for England and Wales.
FINANCIAL REVIEW
Financial highlights
Thefinancialstatementsaresetoutonpages5to15.Totalincomefortheyearamountedto£66,305 (2021:
£112,636)andtotalexpenditureamountedto£55,392(2021:£77,333).Netmovementinfundstotalled £10,913
(2021 : £35,303).
Reserves policy
Thetrusteeshavedecidedtoholdsufficientunrestrictedreservestomeettwoyearsofcharitableexpenditure. This
will be held to ensure site developmentcan be completed.Additionally,in view of the currenteconomicsituation and
pressureon householdincomes,whichmay havea detrimentalimpacton futureincome,thiswillprovidea buffer to
allow timely decision-making regarding strategy.
The unrestrictedfundbalanceat the year end was £95,164(2021:£81,782)and includedwithinthis are cash funds of
£10,834 (2021 : £12,819).
Therestrictedfundbalanceattheyearendwas£7,898(2021:£10,367),representingdonationsraisedtowards the
renovation/maintenance of specific items of rolling stock.
Going concern
Incommonwithmanycharities,fundraisingisanissuetobeconfronted.However,thisyear'sactivityshows that
thereiscontinuinggoodwilltowardstheprojectbymanypeopleinbothafinancialandpracticalway.Trustees are
hopeful that this will continue.
Lookingfurtherahead,ownershipofthesiteposesa challenge.Thesiteis ownedbya pensionfundofwhichone of
thetrustees,MrMFUrry,isabeneficiary.Whenthecharitablecompanywasestablishedtheintentionwasthat a
longlease wouldbe established,providingsome securityof tenureuntilthe societywas in a positionto purchase the
siteoutright.Thefiveyearleaseestablishedexpiredon27November2020.Thecharityhasenteredintoafive year
lease which will expire in 2025.

STRUCTURE, GOVERNANCE AND MANAGEMENT
Governing document
Whitwell& ReephamRailwayPreservationSocietyLtdis a charitablecompanylimitedby guarantee,incorporated on
3June2008andregisteredasacharityon2March2009.ThecompanywasestablishedunderaMemorandum of
AssociationwhichestablishedtheobjectsandpowersofthecharitablecompanyandisgovernedbyitsArticles of
Association.Intheeventofthecompanybeingwouldup,membersarerequiredtocontributeanamount not
exceeding £1.
At 30 June 2022 there were 4 such members.
Recruitment and appointment of new trustees
ThetotalnumberofBoardMembersshallnotbelessthanone.Thereis nomaximum.Thecharitymayfromtime to
time increaseor decreasethe numberof BoardMembers by appointmentat a generalmeetingheld by the members.
The Trustees will from time to time appointpeople with specific skills to fulfillspecific projects.Those people would be
entitled to attend management meetings.

Risk management
HM Inspector of Railways and Broadland District Council
Thetrusteeshaveduringtheyearreviewedthemajorriskstowhichthecharityisexposedandhave established
systemstomitigatethoserisks.AllrecommendationsfromHMInspectorofRailwaysandBroadlandDistrict Council
have been implemented or plans are in place to ensure full compliance.

Independent examiner's report to the trustees of Whitwell & Reepham Railway Preservation Society Ltd ('the Company')
I report to the charity trustees on my examination of the accounts of the Company for the year ended 30 June 2022.
Responsibilities and basis of report
As the charity'strusteesof the Company(andalsoits directorsfor the purposesof companylaw)youare responsible
for the preparation of the accounts in accordance with the requirements of the Companies Act 2006 ('the 2006 Act').
Having satisfiedmyself that the accountsof the Companyare not requiredto be auditedunder Part 16 of the 2006 Act
andareeligibleforindependentexamination,Ireportinrespectofmyexaminationofyourcharity'saccounts as
carriedoutunderSection145oftheCharitiesAct2011('the2011Act').IncarryingoutmyexaminationI have
followed the Directions given by the Charity Commission under Section 145(5) (b) of the 2011 Act.
Independent examiner's statement
Ihavecompletedmyexamination.Iconfirmthatnomattershavecometomyattentioninconnectionwith the
examination giving me cause to believe:
1. accounting records were not kept in respect of the Company as required by Section 386 of the 2006 Act; or
2. the accounts do not accord with those records; or
3. the accounts do not comply with the accounting requirements of Section 396 of the 2006 Act other than any requirement that the accounts give a true and fair view which is not a matter considered as part of an independent examination; or
4. the accounts have not been prepared in accordance with the methods and principles of the Statement of Recommended Practice for accounting and reporting by charities (applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102)).
Ihavenoconcernsandhavecomeacrossnoothermattersinconnectionwiththeexaminationtowhich attention
should be drawn in this report in order to enable a proper understanding of the accounts to be reached.

1. ACCOUNTING POLICIES
Basis of preparing the financial statements
The financialstatementsof the charitablecompany,whichis a publicbenefitentityunderFRS 102,have been
preparedinaccordancewiththeCharitiesSORP(FRS102)'AccountingandReportingbyCharities: Statement
ofRecommendedPracticeapplicabletocharitiespreparingtheiraccountsinaccordancewiththe Financial
ReportingStandardapplicablein the UK and Republicof Ireland(FRS 102) (effective1 January2019)', Financial
ReportingStandard102 'The FinancialReportingStandardapplicablein the UK and Republicof Ireland'and the
CompaniesAct2006.Thefinancialstatementshavebeenpreparedunderthehistoricalcostconvention, with
the exception of investments which are included at market value.
Income
All incomeis recognisedin the Statementof FinancialActivitiesoncethe charityhasentitlementto the funds,
it is probable that the income will be received and the amount can be measured reliably.
Expenditure
Liabilitiesarerecognisedasexpenditureassoonasthereisalegalorconstructiveobligationcommitting the
charitytothatexpenditure,itisprobablethatatransferofeconomicbenefitswillberequiredin settlement
andtheamountof theobligationcanbe measuredreliably.Expenditureis accountedforonanaccruals basis
andhas been classifiedunderheadingsthataggregateall costrelatedto the category.Wherecostscannot be
directlyattributedtoparticularheadingstheyhavebeenallocatedtoactivitiesonabasisconsistentwith the
use of resources.
Depreciation and amortisation
Depreciationis providedat the followingannualrates in orderto write off each asset over its estimated useful
life.
Freehold property over 10 years - Plant, machinery and equipment over 10 years - Computer equipment over 3 years
Rollingstockisnotdepreciatedasitismaintainedsothatthetrusteesbelievethatthevaluewillat least
equateto originalcost/value.Memorabiliacollectionsarenotdepreciatedas theirvaluewillbe at least equal
to their original valuation.
Stocks
Stocksarevaluedatthelowerofcostandnetrealisablevalue,aftermakingdueallowanceforobsolete and
slow moving items.
Taxation
The charity is exempt from corporation tax on its charitable activities.
Fund accounting
Unrestricted funds can be used in accordance with the charitable objectives at the discretion of the trustees.
Restrictedfundscanonlybeusedforparticularrestrictedpurposeswithintheobjectsofthe charity.
Restrictions arise when specified by the donor or when funds are raised for particular restricted purposes.
Furtherexplanationofthenatureandpurposeofeachfundisincludedinthenotestothe financial
statements.
Hire purchase and leasing commitments
Rentalspaidunderoperatingleases are chargedto the Statementof FinancialActivitieson a straightline basis
over the period of the lease.

company,WRR LeisureLtd. At the balancesheet date the amountdue to WRR LeisureLtd was £29,529(2021 :
£41,428).The loan is interest-freeand there are no formal repaymentterms. However the intentionis that this
will be repaid when funds permit.
