## **REPORT OF THE TRUSTEES FOR THE YEAR ENDED 31 MARCH 2022** 

The trustees who are also directors of the charity for the purposes of the Companies Act 2006, present their report with the financial statements of the charity for the year ended 31 March 2022. The trustees have adopted the provisions of Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019). 

## **OBJECTIVES AND ACTIVITIES** 

The Percy Community Centre is the incorporated successor of the Percy Community Association (Charity  no. 1024614, registered on 1 October 1991). 

The charity's objectives are: 

To further or benefit the residents of Bath and the surrounding environs, without distinction of sex, sexual orientation, race or of political, religious or other opinions by associating together the said residents and the local authorities, voluntary and other organisations in a common effort to advance education and to provide facilities in the interests of social welfare for recreation leisure time occupation with the objective of improving the conditions of life for the residents. 

In furtherance of these objectives but not otherwise, the Trustees shall have power: 

To establish or secure the establishment of a community centre and to maintain or manage or co-operate with any statutory authority in the maintenance and management of such a centre for activities promoted by the charity in furtherance of the above objects. 

To achieve these objectives the following policies have been adopted: 

- To provide a high level of service to the users of Percy Community Centre 

- To provide and develop a range of activities 

- To encourage the establishment of new community groups 

- To promote training, education, cultural diversity, and leisure pursuits 

- Where possible, to make all Percy Community Centre accessible to the whole community 

- To provide and maintain the premises for the benefit of the local community and surrounding 

- neighbourhoods 

- To continuously develop and improve the facilities of Percy Community Centre.

## **FINANCIAL REVIEW** 

The year began with the country continuing under the cloud of Covid. A third national lockdown had begun the previous January and by April it was only now being eased, with schools re-opening for the Summer term. Some child-based groups and training activities were permitted to return to the Centre from May although the often confusing 'rule of six' restricted access for other users. We continued to provide a refuge for the Polish Saturday School - a welcome boost towards our otherwise reduced room income. 

The Percy Community Centre received additional funding from government Covid grants and furlough payments, more than compensating financially for the reduction in room booking revenue (down around 20% on a typical year). We were again fortunate in receiving generous donations from both Roper Rhodes and the Medlock Foundation. Against this we experienced a significant loss at our after-school club at St Andrew's, which we had run throughout lockdown but with limited numbers of children separated into 'bubbles'. As always we are grateful to Bath & North East Somerset Council for its continuing support for the Centre,  not least for maintenance and repairs. Recently it has funded the replacement of our CCTV installation. Discussions on our lease renewal have not progressed much during the Pandemic; meanwhile our planning application edges closer towards (we hope) approval. For the latter we are particularly grateful to Sarah Gibson of Labox Architects. 

## FINANCIAL REVIEW 

Traditionally the bulk of the Centre's income is derived from room hire activities together with grants from a small number of sources. Expenditure is divided between core running costs, which are funded out of the room hire income, and free activities, which are generally supported by the grants and donations. Predictions of expenditure and income have been difficult during the Pandemic but we were fortunate in qualifying for a £30,000 'Bounce-back' government loan at a fixed interest rate of 2.5% for up to ten years. It is the decision of the trustees to retain this money as an investment, repaying it over time so as to form the basis of an unrestricted reserve. This accords with the Charity's desire to build a reserve equivalent to between three  and six months' expenditure. The Trustees consider that reserves at this level would ensure that in the event of a significant drop in income they would be able to continue the Charity's primary activities while additional  funds were sourced. 

## AND FINALLY 

Undoubtedly the most significant event of the Percy year had to be the resignation of Claire Alford in June 2021. Claire came to the Centre in 2008 for what she apparently regarded as a stop-gap administrative job. Thirteen years later she was still here! Her job title of Centre Administrator greatly understated the breadth and importance of her role. For most who visited and worked at Percy she was the Centre, the public face at Reception and the familiar and informative voice on the phone. Over the years she acquired an unrivalled knowledge and understanding of the Percy Centre's activities and was invariably the first port of call for help and advice. We wish her the best in her future career. 

## **STRUCTURE, GOVERNANCE AND MANAGEMENT Governing document** 

The charity is controlled by its governing document, a deed of trust, and constitutes a limited company, limited by guarantee, as defined by the Companies Act 2006. 

None of the Trustees has any beneficial interest in the Company. All of the Trustees are members of the Company and each has guaranteed to contribute £1 in the event of its winding up. 

The Centre rents its building, for which it holds a protected tenancy, from the Local Authority at a nominal rent, currently £200 per annum. 

The Trustees will work with the Local Authority to establish a long term agreement based on an asset  transfer of the Percy Community Centre site in order to secure the Charity's position. However the current arrangement is considered to be stable until a new agreement can be reached. 

The Trustees have assessed the major risks to which the Charity is exposed, and are satisfied that systems are in place to mitigate exposure to them.

## **Independent examiner's report to the trustees of Percy Community Centre ('the Company')** 

I report to the charity trustees on my examination of the accounts of the Company for the year ended 31 March 2022. 

## **Responsibilities and basis of report** 

As the charity's trustees of the Company (and also its directors for the purposes of company law) you are responsible for the preparation of the accounts in accordance with the requirements of the Companies Act 2006 ('the 2006 Act'). 

Having satisfied myself that the accounts of the Company are not required to be audited under Part 16 of the 2006 Act and are eligible for independent examination, I report in respect of my examination of your charity's accounts as carried out under Section 145 of the Charities Act 2011 ('the 2011 Act'). In carrying out my examination I have followed the Directions given by the Charity Commission under Section 145(5) (b) of the 2011 Act. 

## **Independent examiner's statement** 

I have completed my examination. I confirm that no matters have come to my attention in connection with the examination giving me cause to believe: 

1. accounting records were not kept in respect of the Company as required by Section 386 of the 2006 Act; or 

2. the accounts do not accord with those records; or 

3. the accounts do not comply with the accounting requirements of Section 396 of the 2006 Act other than any requirement that the accounts give a true and fair view which is not a matter considered as part of an independent examination; or 

4. the accounts have not been prepared in accordance with the methods and principles of the Statement of Recommended Practice for accounting and reporting by charities (applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102)). 

I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.

The charitable company is entitled to exemption from audit under Section 477 of the Companies Act 2006  for the year ended 31 March 2022. 

The members have not required the company to obtain an audit of its financial statements for the year ended 31 March 2022 in accordance with Section 476 of the Companies Act 2006. 

The trustees acknowledge their responsibilities for 

- (a) ensuring that the charitable company keeps accounting records that comply with Sections 386 and  387 of the Companies Act 2006 and 

- (b) preparing financial statements which give a true and fair view of the state of affairs of the charitable company as at the end of each financial year and of its surplus or deficit for each financial year in accordance with the requirements of Sections 394 and 395 and which otherwise comply with the requirements of the Companies Act 2006 relating to financial statements, so far as applicable to the charitable company.

## **1. ACCOUNTING POLICIES** 

## **Basis of preparing the financial statements** 

The financial statements of the charitable company, which is a public benefit entity under FRS 102, have been prepared in accordance with the Charities SORP (FRS 102) 'Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019)', Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland' and the Companies Act 2006. The financial statements have been prepared under the historical cost convention. 

## **Income** 

All income is recognised in the Statement of Financial Activities once the charity has entitlement to the funds, it is probable that the income will be received and the amount can be measured reliably. 

## **Expenditure** 

Liabilities are recognised as expenditure as soon as there is a legal or constructive obligation committing the charity to that expenditure, it is probable that a transfer of economic benefits will be required in settlement and the amount of the obligation can be measured reliably. Expenditure is accounted for on an accruals basis and has been classified under headings that aggregate all cost related to the category. Where costs cannot be directly attributed to particular headings they have  been allocated to activities on a basis consistent with the use of resources. 

## **Tangible fixed assets** 

Depreciation is provided at the following annual rates in order to write off each asset over its estimated useful life. 

## **Taxation** 

The charity is exempt from corporation tax on its charitable activities. 

## **Fund accounting** 

Unrestricted funds can be used in accordance with the charitable objectives at the discretion of the trustees. 

Restricted funds can only be used for particular restricted purposes within the objects of the charity. Restrictions arise when specified by the donor or when funds are raised for particular restricted purposes. 

Further explanation of the nature and purpose of each fund is included in the notes to the financial statements.

## **12. RELATED PARTY DISCLOSURES** 

At 31/03/2022 there was an outstanding debt by YogaKave of £4,975. This increased to a maximum of £8,210 but following agreed payments £5,450 is owing as at the date of this report. One of the two owners of YogaKave is Alex Mackenzie who was at the time a trustee of the Percy Centre. Alex Mackenzie resigned as trustee on 15 November 2022.
