Legal and administrative information set out on page 3 forms part of this report. The financial statements comply with current statutory requirements and the Memorandum and Articles of Association and are prepared in accordance with the Statement of Recommended Practice – Accounting and Reporting by Charities issued in March 2005. ## **Structure, Governance and Management** The North Wales Rivers Trust (NWRT), formerly the Clwyd, Conwy and Gwynedd Rivers Trust, was incorporated under the Companies Act 1985 as a company limited by guarantee on the 13[th] February 2007, and there are nineteen Members including the four Trustees. The affairs of the Trust are managed by an “Operational Group”, which is appointed annually, although other persons may be co-opted during the year. All trustees give their time voluntarily and receive no remuneration or other benefits (apart from limited travelling expenses) The North Wales Rivers Trust is a founding member of Afonydd Cymru, the body representing Welsh Rivers Trusts and is an associate member of The Rivers Trust, the parent body of English Rivers Trusts. The Chairman of the North Wales Rivers Trust is a director and Trustee of Afonydd Cymru. The Trust has Policies for the Welfare of Children and other Vulnerable Groups, Health and Safety and data protection. During the year the Trustees have acted in close liaison with Natural Resources Wales in connection with many of their activities. ## **Activities and Achievements of the North Wales Rivers Trust** In planning activities for the year, the Trustees keep in mind the Charity Commission’s guidance on public benefit at their meetings. ## **Objective 1** To promote the conservation, protection, rehabilitation and improvement of the rivers, streams, watercourses, and water impoundments in the catchments and in the counties of Denbighshire, Conwy, Anglesey and Gwynedd, and adjacent areas of their banks, riparian lands and catchment areas in all their aspects. ## **Objective 2** To promote the conservation, rehabilitation, and protection of the indigenous species of animal and plant life of the rivers, streams, watercourses, water impoundments in the catchments in the counties of Denbighshire, Conwy, Clwyd, Anglesey and Gwynedd and adjacent areas of their banks, riparian lands and catchment areas thereby enhance the Counties’ diversity. 4 ## **THE NORTH WALES RIVERS TRUST Report of the Trustees for the year ended 31 March 2021** ## **Objective 3** To advance the education of the public in the understanding of animal and aquatic habitats, their related catchment areas and their plant life and the need for conservation, protection and rehabilitation and improvement of such environments. ## **Public Benefit** The benefits that arise from the Trust’s aims are as follows: - i) The rivers, streams, watercourses, and water impoundments in the catchments and in the counties of Denbighshire, Conwy, Anglesey, and Gwynedd will be protected and improved, which will preserve and improve the natural habitats. There will also be improved access to the area for the public, as the Trust aims to assist in opening some of these areas through nature pathways. - ii) The public will have a better understanding of aquatic habitats and the need for and methods of protection and improvement of such habitats. - iii) In the Trustees’ view there is no detriment or harm that might arise from the carrying out of the Trust’s aims. - iv) The aims are intended to benefit the public and improve access to and understanding of the environment. - v) Any private benefit received by riparian landowners because of the work of the Trust is wholly incidental to carrying out of the Trust’s work to preserve and improve the natural habitat and improve access to and understanding of the environment. ## **North Wales Rivers Trust Development Plan** A formal Development Plan was developed during 2008 and the objectives within that document have been advanced during 2020/21 **Our Mission statement is:** “To enhance the aquatic and ecological habitats of the rivers Clwyd, Conwy and those within Gwynedd and Anglesey to allow more rewarding experiences to its users interests” ## **Aims of the Trust:** - i) To increase the biodiversity of the habitats, and strengthen the indigenous species of plants and animals, associated with the rivers, streams, still waters and adjacent areas of the Clwyd, Conwy, Anglesey, and Gwynedd river catchments. - ii) To educate the public in the understanding of riverine habitats and associated wildlife. In addition, to advance understanding in the need for their conservation, protection, and rehabilitation. - iii) To promote the sustainable use of the river and its environment for economic benefit thus supporting rural regeneration. - iv) Promote awareness of environmental issues and best river management practice. - v) Promote recreational and leisure enjoyment of rivers, lakes and wetlands. 5 ## **THE NORTH WALES RIVERS TRUST Report of the Trustees for the** ## **year ended 31 March 2021** - vi) ) Undertake research and practical work to maintain, restore and enhance environmental habitats within the catchments of the Afon Clwyd, Conwy and diverse rivers in Gwynedd and Anglesey. The Trust believes in working in partnership with: - i) Local authorities, government agencies and conservation bodies to investigate and remedy problems of pollution and habitat destruction in the most cost effective and sustainable way. - ii) Farmers and landowners to encourage greater understanding and appreciation of the environment of the Clwyd, Conwy and Anglesey and Gwynedd catchments and to encourage greater access and usage and thereby enjoyment of the countryside, particularly for young people and those with disabilities. - iii) Local schools and community groups such as wildlife trusts and angling clubs 6 ## **THE NORTH WALES RIVERS TRUST Report of the Trustees for the** ## **year ended 31 March 2021** ## **Trust Activities during 2020** ## **1) Administration:** In 2020 the Trust’s Secretary, John Eardley decided to step down from the role. The Trust is indebted to John for all the work he has carried out on behalf of the Trust and in particular his efforts to improve the habitat and fisheries on the Mawddach catchment. Allan Cuthbert volunteered to take on the Secretary role again and the Trust is pleased to welcome him back. 2020 has been a challenging year for the Trust with the Covid Pandemic significantly affecting delivery of Projects due to lockdowns, difficulties undertaking site visits, discussion with landowners and the availability of contractors. Despite these difficulties the Trust has progressed a number of Projects which are described below. This has been achieved by the hard work of our two Project Officers, Richard white and Marie Madigan with the support of our volunteers, Trustees and Operation Group members. ## **2) Funding:** The following funds were received: - Anglesey County Council’s AONB Sustainable Development Fund for a ‘rocky ramp’ weir easement on the Afon Meddanen (Wygyr) and a habitat survey of the Tan R’Allt catchment (Alaw) on Anglesey. - Dŵr Cymru Welsh Water’s Biodiversity Fund for the Clwyd and Conwy Easements Project. - Natural Resources Wales Mitigation Funding via Afonydd Cymru, for the Mawddach and Seiont catchments. - Natural Resources Wales Strategic Allocated Funding, via Afonydd Cymru, for the Inland Fisheries and Water Quality Project. - Natural Resources Wales Fisheries Restoration Project funding via Afonydd Cymru. 7 ## **THE NORTH WALES RIVERS TRUST Report of the Trustees for the** **year ended 31 March 2021** ## **3) Afon Meddanen Weir Easements:** A rocky ramp easement was constructed on a weir which was a total barrier to upstream migrating fish: Before After Easements were also completed on two small concrete weirs at the confluence with the Wygyr and Meddanen near Cemaes Anglesey. The structures are associated with a historic water works and could not be removed. The weirs were notched at centre and removable timber pre-barrages installed to reduce the overall height. The project also involved the clearing of an obstructive reed bed at the confluence and selective thinning of dense overshading vegetation upstream Weir Before work Weir with notch and removable timber pre-barrage 8 ## **THE NORTH WALES RIVERS TRUST Report of the Trustees for the year ended 31 March 2021** ## **4) Afon Concwest Easements:** The Afon Concwest is a tributary of the Clywedog sub-catchment of the Clwyd near Cyffylliog, Ruthin. A Fisheries Habitat Restoration Survey by the Trust identified a barrier to fish migration consisting of a natural fall (approx.3m) augmented with a manmade wall near the confluence with the Clywedog. The project was completed in Sept 2020 and improved fish passage over the structure by removing a portion of the wall and installing a boulder rock-ramp downstream. Before After The Trust also identified a barrier to fish migration consisting of a large debris/boulder blockage in a gorge near the confluence with the Clywedog. NRW electrofishing surveys have found no salmonids upstream of this point, while good stocks remain downstream. The project aimed to improve fish passage over the structure by removing the obstruction and installing a boulder pre-barrage downstream. 9 ## **THE NORTH WALES RIVERS TRUST Report of the Trustees for the** **year ended 31 March 2021** The large (2.5m) boulder and fallen tree/debris blockage in a gorge just upstream of a rock-ramp easement. This is significant as NRW electrofishing data shows no salmonids upstream of the project site in recent years. ## **5) Clywedog Restoration:** The site is located on the lower Clywedog near Pentre-Llanrhaeadr, approx.3km upstream of the confluence with the Afon Clwyd. Overzealous flood alleviation works carried out by the landowner had effectively dredged approx. 560m of the Afon Clywedog, leaving a featureless, canalized section, lacking in any in-stream habitat diversity. Gravel had been removed from the channel and deposited on the true right bank to bolster an existing flood embankment. The scheme aims to restore the habitat diversity and in-river pool/riffle structure over the dredged length. Natural materials were used to introduce instream structures such as channel constrictors, flow diverters, brash/timber revetment etc to restore a pool/riffle profile that increases biodiversity. Individual boulders were placed at intervals to disrupt the flow and provide refuge areas for fish and other species. 10 ## **THE NORTH WALES RIVERS TRUST Report of the Trustees for the year ended 31 March 2021** **----- Start of picture text -----**

The project had to be completed during a period of high flow and a proportion of the restoration material was set aside for further repair if needed after the winter. ## **6) Llyn Cloc Weir Removal:** The Project involved the removal of a redundant concrete gauging weir across the Afon Eden near Aber Serw Farm, Ganllwyd. The in-river low level concrete weir and associated metalwork was removed to facilitate fish migration under low flows and restore the channel to its natural state. The man-made boulder weir upstream was strategically adjusted to improve flow through the structure and similarly ease fish migration. 11 ## **THE NORTH WALES RIVERS TRUST Report of the Trustees for the** ## **year ended 31 March 2021** Before After ## **7) Ffos y Dial Improvement:** The Ffos Y Dial is a small tributary of the Afon Seiont that joins the main river on the true right bank approximately 1km downstream of the Crawia bridge near Llanrug. It is an important spawning stream for brown trout and seatrout and is unusual in the Seiont catchment as it has no natural barriers to fish migration. The project completed in early March focused on the lower 600m near the confluence and aimed to preserve and enhance spawning capacity in this area. The site consists of marshland with a dense cover of willow, gorse and blackthorn.At the confluence the stream flows through a narrow pipe culvert that both hinders fish migration and frequently blocks with debris, flooding the surrounding area. The scheme has purchased a larger capacity square section box culvert that will be installed by the landowner in May.The first phase of the scheme addressed the poor state of the existing fence and the contractor has replaced approx 350m of flood damaged fence and repaired the remaining 600m. Before Fence replacement The second but complementary phase of the project involved extensive coppicing and thinning of the vegetation choked and overshaded areas of the watercourse. This will 12 ## **THE NORTH WALES RIVERS TRUST Report of the Trustees for the** ## **year ended 31 March 2021** allow more light into the overgrown areas, promoting the growth of trailing bankside vegetation that provides refuge for juvenile fish. All larger coppiced timber was stacked for use by Rivers Trust volunteers to install in-river habitat features and spawning gravel traps. Before After ## **8) Nant y Goron Habitat Improvement:** The Nant y Goron is a salmon and seatrout spawning tributary of the river Conwy at Llanrwst. Natural cascades and waterfalls restrict migratory fish access upstream of the village of Melin y Coed, thereby elevating the importance of the lower reaches. The area between the B5427 and the village consists of predominantly agricultural pasture and has been impacted by overgrazing and bankside poaching by cattle. The existing riparian fencing had fallen into disrepair and severe flooding of the area had further damaged cattle drinking bays and similar infrastructure. The project installed approx. 800m of new stock fence, repairing or replacing three drinking bays and a number of access gates. Extensive coppicing and clearing of flood debris had to be undertaken to prepare the site for fencing. Typical flood damaged fence Replaced fence 13 ## **THE NORTH WALES RIVERS TRUST Report of the Trustees for the year ended 31 March 2021** Old drinking bay destroyed by flooding Installation of new drinking bay ## **9) Afon Wheeler habitat Improvement:** The Wheeler originates on the slopes of Moel Evan upstream of Nannerch and flows west to meet the Afon Clwyd at Pontruffydd. It is prone to erosion of the soft, sandy soil, especially in overgrazed areas and this fine material easily smothers the abundant spawning gravel. The Old Forge Trout Farm in Bodfari was closed in 2020 and the site infrastructure removed. Discussions with the landowner initially investigated the potential to fence approx. 200m of pasture to exclude stock from the river channel. Recent flooding into this field precluded the installation of a stock netting fence as this would have trapped debris and caused significant damage. The riparian strip was heavily overshaded, suppressing the growth of marginal vegetation and the project evolved to coppice and thin this area to promote regeneration. An opportunity arose to landscape and plant native species on approx. 0.8 acres of the old fish-farm site that would have otherwise been turned to agricultural pasture. Decommissioning works had damaged the riparian embankment, leaving tree roots exposed and the scheme imported topsoil to re-profile the banks prior to tree planting. In total the project has helped create almost one acre of riparian woodland, repaired over 100m of bank and encouraged the growth of marginal vegetation by coppicing approx. 300m of overshaded channel. 14 ## **THE NORTH WALES RIVERS TRUST Report of the Trustees for the year ended 31 March 2021** Old trout farm site before works During landscaping works ## **10) Blaen Pennant Habitat Improvement:** Blaen Pennant is located at the head of the Cwm Pennant valley on the upper Afon Dwyfor. The river at this point is relatively small but nevertheless an important area for seatrout spawning and many of the tributaries in this region are inaccessible due to natural waterfalls. The channel has been partially fenced in the past but has fallen into disrepair and suffered from recent flood damage, rendering it ineffective. The project aimed to double bank fence the watercourse over an 900m length, including the installation of several drinking bays and replacement or repair of footpath bridges. The naturally boggy moorland terrain restricted the use of large machinery and much of the fencing had to be done manually, accessing the site with a quad bike. The trustees are also responsible for safeguarding the assets of the charity and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities. A resolution will be proposed at the Annual General[1] meeting held on 8 June 2021 that Bethan Owen be reappointed as independent examiner to the charity for the ensuing year. This report is prepared in accordance with the special provisions for small companies subject under Part 15 of the Companies Act 2006. The charitable company’s directors consider that the audit requirement of Regulation 10 (1) (a) to (c) of the accounts does not apply. It is my responsibility to examine the accounts as required under section 44 (1) (c) of the Act and to state whether particular matters have come to my attention. ## **Basis of Independent Examiner’s Statement** Regulations 2006 (as amended). An examination includes a review of the accounting records kept by the charitable company and a comparison of accounts presented with those records. It also includes consideration of any unusual items or disclosures in the accounts, and in seeking explanations from the directors concerning any such matters. The procedures undertaken do not provide all the evidence that would be required in an audit, and consequently I do not express an audit opinion on the view given by the accounts. ## **Independent Examiners Statement** In the course of my examination, no matter has come to my attention: 1. Accounting Policies** **1.1** The financial statements are prepared under the historical cost convention and in accordance with the Companies Act 2006 and the Statement of Recommended Practice – Accounting and Reporting by Charities issued in March 2005. The company has taken advantage of the exemption in FRS1 from the requirement to produce a cash flow statement because it is a small company. ## **1.2** Fund accounting Unrestricted funds are available for use of the directors in furtherance of the general objectives of the company. Restricted funds are subjected to restrictions on their expenditure imposed by the donor or through the terms of an appeal. - **1.3** Voluntary income is received by way of gifts and is included in full in the Statement of Financial Activities when receivable. The value of services provided by volunteers has not been included. Interest received is included in the Statement of Financial Activities when received. Income from grants receivable is accounted for on receipt **1.4** Expenditure is recognised on an accrual basis as a liability is incurred. - Costs of generating funds comprise the costs associated with attracting voluntary income. Charitable expenditure comprises those costs incurred by the company in the delivery of its activities and services for beneficiaries. It includes both costs that can be allocated directly to such activities and those of an indirect nature necessary to support them. - Governance costs include those costs associated with meeting the constitutional and statutory requirements of the company and include accountancy costs and costs linked to the strategic management of the company. ## **1.5. Tangible fixed assets and depreciation** Depreciation is provided at rates calculated to write off the cost less residual value of each asset over its expected useful life, as follows: Fixtures, fittings and equipment - 15% reducing balance ## **2.
