TRUSTEES' REPORT

FOR THE YEAR ENDED 31 DECEMBER 2025

The Parochial Church Council - the Board of Trustees present their annual report and financial statements for the year ended 31 December 2025.

The financial statements have been prepared in accordance with the accounting policies set out in note 1 to the financial statements and comply with the charity's governing document, the Charities Act 2011, FRS 102 "The Financial Reporting Standard applicable in the UK and Republic of Ireland" and the Charities SORP "Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102)".

Objectives and activities

The Parochial Church Council's objective is promoting, in the ecclesiastical parish, the whole mission of the Church.

Public benefit

The public benefit is served by the provision of pastoral care, Christian teaching, evangelism and public worship to which all are welcome. St Martin in the Bull Ring remains a very significant place of Christian service located in the heart of Birmingham city centre, and open to the public as a place of prayer, peacefulness, historical and cultural merit. It Is also highly valued as a gathering space for communities and organisations from across Birmingham and the West Midlands.

The Parochial Church Council - the Board of Trustees have paid due regard to guidance issued by the Charity Commission in deciding what activities the charity should undertake.

Grant making policy

Decisions on grant making from unrestricted funds are made by the PCC taking account of previous giving and congregation input and the vision and mission of the Church.

Volunteers

The organisation is reliant on substantial voluntary contributions in the form of time. Because of the difficulties in quantifying these gifts their financial effect has not been quantified.

Significant activities and achievements against objectives

Mission and Ministry

These accounts articulate how the financial resources of St. Martin in the Bull Ring have been managed during 2025, focused on achieving our vision, and overseen by the Parochial Church Council (PCC) and our Finance and Staffing Committee (FSC).

Shaped by scripture, immersed in prayer and guided by the Holy Spirit, we seek to be faithful in worship and service to our Father in heaven, in sharing the good news of Jesus Christ, and in blessing the city of Birmingham and beyond. Clergy, staff and lay members of the church all make invaluable and interwoven contributions to the life of our church as fellow members of the body of Christ. In all this we recognise we are far from ‘perfect’ but seek to be ‘wholehearted’. Our hope and prayer is not just to be ‘faithful’ but to be ‘fruitful’.

Jesus teaches us:

‘I am the vine; you are the branches. Those who remain in me, and I in them, will produce much fruit. For apart from me you can do nothing.’ (John 15 v5)

So in all things we will aim to remain close to Jesus, branches rooted firmly in the vine, that we may grow and be fruitful - as beautifully illustrated in the stained-glass of our east window. Our greatest asset is to remain united in love with Christ.

Jesus goes on to say:

‘When you produce much fruit, you are my true disciples. This brings great glory to my Father.’ (John 15 v8)

In the preceding 12 months, we calculate around 175,000 people accessed the St. Martin’s premises for one purpose or another – a phenomenal figure for a parish church - whether it be for worship or counselling; to light a candle or eat a Pot Noodle; to sing in a choir or play at Mini Martins. In addition, many core members of St. Martin’s church family are involved in invaluable mission in their daily lives in communities across Birmingham and the West Midlands.

In all this we seek to be true disciples of Jesus and bring glory to the Father. It is hard to represent this in any accounts but it is truly priceless.

Net Zero Carbon

I would like to thank all those who have continued to work so steadfastly on our ‘net zero carbon’ aspirations. We urgently need to replace our ‘ancient’, flagging and deeply inefficient gas boilers that provide warmth to the church, our offices and the lounge. As we are one of the busiest churches in the country, we are also one of the highest producers of polluting carbons. We do not want to reduce our ministry (we are always open to grow) but would like to ‘care for God’s creation’ by having a much less negative impact on the environment.

Nationally, in recognition of our plans and aspirations, we have been designated a Church of England NZC (Net Zero Carbon) Demonstrator Church - hopefully demonstrating to others a positive example to other churches as to what can be done to reduce the carbon footprint of God’s Church. This also gives us access to some funding to help us along the way, and access to a wide variety of professional support. In our case, principally around raising sufficient funds for our ambitious project.

Here at St. Martin’s our thanks go to Stephen Blair-Chappell, Tina Brogan, Rich Taylor and especially to Ian Baker who has given much-valued leadership and focus on detail. We have been served exceptionally well by our professional team which has included Rob Bohm and the team at CLPM (acting as our energy consultants); Aiden Ridyard (our conservation and inspecting architect) and Ruth Saxton (senior architect), and the team at Burrell Foley.

Fischer and James Rollason (quantity surveyor) and Rachel Gray (project manager) and the team at PMP Consultants who kept us on task. (Their work has been supplemented by reports and advice sought from structural engineers, archaeologists, fire safety surveyors, and specialist reports on issues such as noise pollution, glare and even concern or bats!)

Together, we have worked positively and creatively to compile an incredibly comprehensive, thoughtful and persuasive set of proposals including the provision of air source heat pumps; secondary glazing in parts of the church and our lounge; and solar panels on parts of our roof, supplemented by battery storage. Having consulted with Historic England, the Victorian Society, and members of the Diocesan Advisory Committee requisite planning applications have now been submitted for consideration and approval by Church of England Birmingham and Birmingham City Council. If successful this will pave the way for the most significant capital investment into our buildings in 25 years – revolutionising our generation and use of energy, while enabling mission and securing our heritage for many decades to come. We wait and pray to see what the outcome will be.

Governance

I would like to extend my thanks to all the members of the Parochial Church Council (PCC) for providing leadership for our church family and overseeing our mission and ministry. We are delighted and thankful to God that both our PCC and congregation reflect the diversity of our wonderful city and of God’s worldwide family. It has been recently decided we will continue to use our vision statement for 2021-2025 as an ongoing focus for our mission and ministry for at least a couple more years. The themes of our vision statement will be successively addressed in forthcoming PCC meetings.

Vision Statement

Grateful for our special location, mindful of our wonderful history, and committed to loving our city; our desire is to honour our Lord, to make Him central to everything, and to seek the power of His Spirit, in order to become a church which is:

passionate in worship, joyful in celebration, overflowing in thankfulness, unceasing in prayer, wholehearted in welcome, generous in hospitality, genuine in friendship, compassionate in support, eager in sharing God’s love, confident in proclaiming Jesus, focused on growing disciples, creative in welcoming families, determined in helping the vulnerable, committed to caring for creation.

Also thanks to our Finance and Staffing Committee (FSC) who provide essential leadership and management of our resources – staff, finances and premises – and make the compilation of these accounts possible. Special thanks to Clare Allcock, Stephen Blair-Chappell, Tina Brogan and Ian Baker who will be stepping down from his role as Chair of the FSC/Treasurer. Again, the church family have been so well served by Ian’s diligence, energy, focus on detail and generosity with his time.

Financial review

During the year the Charity secured recognised revenue funding of £445,685 (2024: £392,283), of which £311,636 (2024: £284,141) relates to collection of donations and grant for regular activities and £102,123 (2024: £80,842) relates to revenue from commercial activities. Included in this income is £116,289 (2024: £104,418) which is restricted for purposes as specified by the donor. The costs expended in the year in delivering the charitable activities and support costs were £532,162 (2024: £390,085). The Charity's investments achieved an unrealised gain in market value of £4,236 (2024: £1,754 gain) and no disposals (2024: None) during the year, leaving a loss of £82,241 (2024: gain of £3,952). Unrestricted fund reserves at the end of the year are £264,038 of which £26,041 had been designated (2024: £347,403, of which £139,801 was designated ), which the Trustees consider adequate to support the charity's ongoing objectives.

The Charity remains thankful for the faithfulness of congregational giving and volunteering. It recognises that it continues to face transition in terms of the age profile of the congregation, but welcomes the continued growth of residential properties within the City Centre bringing more people to live within the parish and locality. The Trustees consider that by the grace of God the Charity is well placed to deal with the ongoing challenges of an ever-changing landscape and such a large and complex site.

Going concern

The accounts have been prepared on the basis of being a going concern. The Trustees confirm that they have taken into account all available information about the future for at least 12 months from the date the accounts were approved and conclude that there is no uncertainty relating to going concern.

Reserves policy

It is the intention of the PCC to retain sufficient reserves to maintain the activities of the church allowing for the income on which they can reasonably rely. At the end of the year unrestricted funds stood at £264,038. Free reserves (which is unrestricted funds excluding fixed assets and designated funds) are £236,033 which is around 6 months of income and expenditure. Much of the funds designated in previous years for expenditure required to replace our old and failing boilers and move towards net zero carbon was expended during the year on professional fees and preparatory work.

Some funds are invested, with well over 50% invested in the CBF (Central Board of Finance of the Church of England) fund managed in accordance with Church of England guidelines by CCLA, one of the UK's largest charity fund managers who only manage investments for charities, religious organisations and the public sector. Cash is deposited with the CCLA Central Board of Finance of the Church of England Deposit Fund and CAF Bank. Some of these Funds are restricted or designated as shown in these accounts. The balance is part of the General Fund and is drawn down when necessary, as the cash flow requires.

Investment policy

Investments are made with a view to achieving real long-term growth in capital values and arising income from a portfolio managed within a clear risk control framework primarily by using the CCLA CBF funds referred to in the Reserves policy section of this report.

Major risks

The trustees actively review the major risks which the charity faces on a regular basis and believe that maintaining reserves around current levels, combined with an annual review of the controls over key financial systems will provide sufficient resources in the event of adverse conditions. The trustees have also examined other operational and business risks faced by the charity and confirm that they have established systems to mitigate any significant risks.

Principal funding sources

The Charity's funding comes primarily from regular church giving, donations and grants - including a grant for the administration of salaries, £68,303 (2024: £67,168), from St Martin's Trustees. The Charity also generates revenue from the use of the building.

Finance & Staffing Committee Report

This is my last report as Chair of the Finance & Staffing Committee, having moved from Birmingham last year. It has been a privilege and a pleasure to be part of that part of Christ’s worldwide family which meets at St Martin in the Bull Ring. It has been a joy and a challenge to see how year on year God has provided resources (often from very different sources each year) to restore our reserves, to enable us to explore solutions for our energy needs and to cover our expenditure. A lesson in trust.

You will see from this year’s accounts that

The regular cheerful and faithful giving and volunteering of our Church family as an expression of God’s life and love amongst us facilitates the ministry and witness of St Martin in the Bull Ring. It was humbling to see how our regular giving remained consistent and even increased through and immediately following the pandemic but it has been static for a while as some of our family have died or moved away. I encourage those for whom St Martin’s is their regular place of worship but who are yet not part of our planned giving scheme to contact Tina Brogan about joining. Thank you for all that you already give in finance, as well as in prayer and in service. However, it is an encouragement to the Church and helps the Church to budget effectively if your giving is as part of a planned regular giving plan. Never feel what you contribute is immaterial. God never expects of us more than we can give and is able to do immeasurably more than all we ask or imagine with all that we offer back to Him.

2026 looks a challenging year as the Church will begin to look at fundraising for the energy project and with continuing increases in other costs. But God continues to surprise us with His provision. We have already had the deep encouragement of a donation of £90,000 for children’s and youth ministry over the next few years. Please continue to pray, serve and give cheerfully and faithfully as the Church continues to move forward in a spirit of trust, without anxiety over money and resources; seeking God's wisdom and help to be good stewards of all God has provided, that it may be used for the praise and glory of God. Thank you for your support in this and so many ways during my time in this role. May the grace and peace of our Lord Jesus Christ be yours in abundance.

Organisational structure

The PCC members are responsible for making decisions on all matters of general concern and importance to the parish including deciding on how the funds of the PCC are spent. The PCC are supported in this process by its subcommittees and working groups.

The day to day management of the chanty is led by the Rector, with the active support of the clergy team, churchwardens, staff and key volunteers.

Induction and training of trustees

New members receive initial training into the workings of the PCC.

Remuneration policy

The trustees consider the members of the PCC, who are the charity's trustees, and the clergy team as the key management personnel of the charity. All trustees give of their time freely and no trustee received remuneration from the charity in the year.

Staff pay is reviewed annually by the Finance & Staffing Committee. There is a commitment that no staff will be paid less than the 'real living wage'.

Relationship with related parties

St Martin's Centre for Health & Healing is an associated charity.

I report to the Parochial Church Council - the Board of Trustees on my examination of the financial statements of The Parochial Church Council of the Ecclesiastical Parish of Birmingham Parish Church (St. Martin in the Bull Ring) (the charity) for the year ended 31 December 2025.

Responsibilities and basis of report

As the Parochial Church Council - the Board of Trustees of the charity you are responsible for the preparation of the financial statements in accordance with the requirements of the Charities Act 2011.

I report in respect of my examination of the charity’s financial statements carried out under section 145 of the Charities Act 2011. In carrying out my examination I have followed the Directions given by the Charity Commission under section 145(5)(b) of the Charities Act 2011.

Independent examiner's statement

Since the charity’s gross income exceeded £250,000, the independent examiner must be a member of a body listed in section 145 of the Charities Act 2011. I confirm that I am qualified to undertake the examination because I am a member of The Institute of Chartered Accountants in England and Wales, which is one of the listed bodies.

Your attention is drawn to the fact that the charity has prepared the financial statements in accordance with the relevant version of the Statement of Recommended Practice applicable to charities preparing their financial statements in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) in preference to the Accounting and Reporting by Charities: Statement of Recommended Practice issued on 1 April 2005 which is referred to in the extant regulations but has now been withdrawn. I understand that this has been done in order for the financial statements to provide a true and fair view in accordance with UK Generally Accepted Accounting Practice.

I have completed my examination. I confirm that no matters have come to my attention in connection with the examination giving me cause to believe that in any material respect:

1 Accounting policies

1.1 Basis of preparation

The financial statements have been prepared in accordance with the charity's governing document, the Charities Act 2011, FRS 102 "The Financial Reporting Standard applicable in the UK and Republic of Ireland" and the Charities SORP "Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102)". The charity is a Public Benefit Entity as defined by FRS 102.

The charity has taken advantage of the provisions in the SORP for charities not to prepare a statement of cash flows.

The financial statements have departed from the Charities (Accounts and Reports) Regulations 2008 only to the extent required to provide a true and fair view. This departure has involved following the Statement of Recommended Practice for charities applying FRS 102 rather than the version of the Statement of Recommended Practice which is referred to in the Regulations but which has since been withdrawn.

The financial statements are prepared in sterling, which is the functional currency of the charity. Monetary amounts in these financial statements are rounded to the nearest £.

The financial statements have been prepared under the historical cost convention, with the exception of investments which are included at market value. The principal accounting policies adopted are set out below.

1.2 Going concern

At the time of approving the financial statements, the Parochial Church Council - the Board of Trustees have a reasonable expectation that the charity has adequate resources to continue in operational existence for the foreseeable future. Thus the Parochial Church Council - the Board of Trustees continue to adopt the going concern basis of accounting in preparing the financial statements.

1.3 Charitable funds

Unrestricted funds are available for use at the discretion of the Parochial Church Council - the Board of Trustees in furtherance of their charitable objectives.

Designated funds comprise funds which have been set aside at the discretion of the Parochial Church Council - the Board of Trustees for specific purposes. The purposes and uses of the designated funds are set out in the notes to the financial statements.

Restricted funds are subject to specific conditions by donors or grantors as to how they may be used. The purposes and uses of the restricted funds are set out in the notes to the financial statements.

1.4 Income

Income is recognised when the charity is legally entitled to it after any performance conditions have been met, the amounts can be measured reliably, and it is probable that income will be received.

Planned giving, collections and cash donations are recognised on receipt. Other donations and grants are recognised once the charity has been notified of the donation, unless performance conditions require deferral of the amount. Income tax recoverable in relation to donations received under Gift Aid or deeds of covenant is recognised at the time of the donation.

Legacies are recognised on receipt or otherwise if the charity has been notified of an impending distribution, the amount is known, and receipt is expected. If the amount is not known, the legacy is treated as a contingent asset.

Donated services

Donated professional services and donated facilities are recognised as income when the charity has control over the item, any conditions associated with the donated item have been met and the receipt of economic benefit can be measured reliably.

The organisation is reliant on substantial voluntary contributions in the form of time. Because of the difficulties in reliably measuring the value of these contributions, and in accordance with the Charities SORP (FRS102), they have not been recognised in the financial statements.

Grants are recognised under the performance model and recognised when received or receivable where there are no performance related conditions.

Income from trading activities such as room and church hire is credited in the period to which the hire relates.

Income from Investments

Interest on funds held on deposit is included when receivable and the amount can be measured reliably by the Charity; this is normally upon notification of the interest paid or payable by the bank Dividends are recognised once the dividend has been declared and notification has been received of the dividend due.

Gains and losses on investments

Realised gains or losses are recognised when investments are sold.

Unrealised gains or losses are accounted for on revaluation of investments at balance sheet date.

1.5 Expenditure

Expenditure is recognised once there is a legal or constructive obligation to transfer economic benefit to a third party, it is probable that a transfer of economic benefits will be required in settlement, and the amount of the obligation can be measured reliably.

Expenditure is classified by activity. The costs of each activity are made up of the total of direct costs and shared costs, including support costs involved in undertaking each activity. Direct costs attributable to a single activity are allocated directly to that activity. Shared costs which contribute to more than one activity and support costs which are not attributable to a single activity are apportioned between those activities on a basis consistent with the use of resources. Central staff costs are allocated on the basis of time spent, and depreciation charges are allocated on the portion of the asset’s use.

Cost of raising funds

The cost of generating funds includes the direct costs of occasional events.

Charitable activities

The costs of charitable activities includes the direct costs of the ministry of the parish excluding clergy salaries which are not a charge on the PCC.

Contributions to the Birmingham Diocesan Common Fund are accounted for when due. Any part unpaid at the balance sheet date and which is to be paid m a later period is provided for in the accounts as an operational (though not a legal) liability and is shown as a creditor in the balance sheet.

Grants payable

Grants and donations are payments made to third parties in the furtherance of the charitable objects of the Charity In the case of an unconditional grant offer this is accrued once the recipient has been notified of the grant award and is accounted for when paid over, or when awarded, if that award creates a constructively binding obligation on the PCC.

Grants offered subject to conditions which have not been met at the year end date are noted as a commitment but not accrued as expenditure.

1.6 Tangible fixed assets Consecrated land and buildings and movable church furnishings

Consecrated and beneficed property is excluded from the accounts by Section10 of the Charities Act 2011.

Moveable church furnishings held by the incumbent and churchwardens on special trust for the PCC and which require a faculty for disposal are accounted for as inalienable property unless consecrated. They are listed in the Church's inventory, which can be inspected (at any reasonable time). For inalienable property acquired prior to 1 January 1998 there is insufficient cost information available and therefore such assets are not valued m the financial statements. Items acquired since 1 January 1998 have been capitalised and depreciated in the financial statements over their currently anticipated useful economic life.

Depreciation is recognised so as to write off the cost or valuation of assets less their residual values over their useful lives on the following bases:

Fixtures and fittings

25% Straight line for IT equipment, 15% reducing balance or 15% straight line for other equipment

The gain or loss arising on the disposal of an asset is determined as the difference between the sale proceeds and the carrying value of the asset, and is recognised in the statement of financial activities.

Individual items of fixtures and equipment with a purchase price of £500 are capitalised and valued at historical cost.

1.7 Fixed asset investments

Fixed asset investments are initially measured at transaction price excluding transaction costs, and are subsequently measured at fair value at each reporting date. Changes in fair value are recognised in net income/(expenditure) for the year. Transaction costs are expensed as incurred.

Realised gains and losses

All gains and losses are taken to the Statement of Financial Activities as they arise. Realised gains and losses on investments are calculated as the difference between sales proceeds and their opening carrying value or their purchase value if acquired subsequent on the first day of the financial year. Unrealised gains and losses are calculated as the difference between the fair value at the year end and and their carrying value. Realised and unrealised investment gains and losses are combined in the Statement of Financial Activities.

1.8 Impairment of fixed assets

At each reporting end date, the charity reviews the carrying amounts of its tangible assets to determine whether there is any indication that those assets have suffered an impairment loss. If any such indication exists, the recoverable amount of the asset is estimated in order to determine the extent of the impairment loss (if any).

1.9 Cash and cash equivalents

Cash and cash equivalents include cash in hand, deposits held at call with banks, other short-term liquid investments with original maturities of three months or less, and bank overdrafts. Bank overdrafts are shown within borrowings in current liabilities.

1.10 Financial instruments

The charity has elected to apply the provisions of Section 11 ‘Basic Financial Instruments’ and Section 12 ‘Other Financial Instruments Issues’ of FRS 102 to all of its financial instruments.

Financial instruments are recognised in the charity's balance sheet when the charity becomes party to the contractual provisions of the instrument.

Financial assets and liabilities are offset, with the net amounts presented in the financial statements, when there is a legally enforceable right to set off the recognised amounts and there is an intention to settle on a net basis or to realise the asset and settle the liability simultaneously.

Basic financial assets

Basic financial assets, which include debtors and cash and bank balances, are initially measured at transaction price including transaction costs and are subsequently carried at amortised cost using the effective interest method unless the arrangement constitutes a financing transaction, where the transaction is measured at the present value of the future receipts discounted at a market rate of interest. Financial assets classified as receivable within one year are not amortised.

Basic financial liabilities

Basic financial liabilities, including creditors and bank loans are initially recognised at transaction price unless the arrangement constitutes a financing transaction, where the debt instrument is measured at the present value of the future payments discounted at a market rate of interest. Financial liabilities classified as payable within one year are not amortised.

Debt instruments are subsequently carried at amortised cost, using the effective interest rate method.

Trade creditors are obligations to pay for goods or services that have been acquired in the ordinary course of operations from suppliers. Amounts payable are classified as current liabilities if payment is due within one year or less. If not, they are presented as non-current liabilities. Trade creditors are recognised initially at transaction price and subsequently measured at amortised cost using the effective interest method.

Derecognition of financial liabilities

Financial liabilities are derecognised when the charity’s contractual obligations expire or are discharged or cancelled.

1.11 Employee benefits

Termination benefits are recognised immediately as an expense when the charity is demonstrably committed to terminate the employment of an employee or to provide termination benefits.

1.12 Retirement benefits

Payments to defined contribution retirement benefit schemes are charged as an expense as they fall due.

2 Critical accounting estimates and judgements

In the application of the charity’s accounting policies, the Parochial Church Council - the Board of Trustees are required to make judgements, estimates and assumptions about the carrying amount of assets and liabilities that are not readily apparent from other sources. The estimates and associated assumptions are based on historical experience and other factors that are considered to be relevant. Actual results may differ from these estimates.

The estimates and underlying assumptions are reviewed on an ongoing basis. Revisions to accounting estimates are recognised in the period in which the estimate is revised where the revision affects only that period, or in the period of the revision and future periods where the revision affects both current and future periods.

Transactions with related parties

During the year the charity received donations from Trustees of £27,880 (2024: £20,768). In addition, four trustee's were reimbursed a total of £13,642 for food, supplies, and general expenses incurred on behalf of the charity.
