The directors present their report and financial statements for the year ended 31 August 2020. 

## **1. Constitution and Objects** 

The Cotesbach Educational Trust was incorporated on the 20th November 2006 and is Limited by Guarantee and is governed by its Memorandum and Articles of Association. The company is registered as a charity with the Charities Commission under reference number 1126840. 

It was set up to promote education of the environment, heritage and art within the local community. 

## **2. Directors**

## **Independent Examiner's Report To The Trustees Of Cotesbach Educational Trust** 

I report to the charity trustees on my examination of the accounts of the Company for the year ended 31 August 2020. 

## **Responsibilities and basis of report** 

As the charity's trustees of the Company (and also its directors for the purposes of company law) you are responsible for the preparation of the accounts in accordance with the requirements of the companies Act 2006 ('the 2006 Act'). 

Having satisfied myself that the accounts of the Company are not required to be audited under Part 16 of the 2006 Act and are eligible for independent examination, I report in respect of my examination of your charity's accounts as carried out under section 145 of the Charities Act 2011 ('the 2011 Act'). In carrying out my examination I have followed the Directions given by the Charity Commission under section 145(5)(b) of the 2011 Act. 

## **Independent examiner's statement** 

I have completed my examination. I confirm that no matters have come to my attention in connection with the examination giving me cause to believe: 

1. accounting records were not kept in respect of the Company as required by section 386 of the 2006 Act; or 

2. the accounts do not accord with those records; or 

3. the accounts do not comply with the accounting requirements of section 396 of the 2006 Act, other than any requirement that the accounts give a true and fair view which is not a matter considered as part of an independent examination; or 

4. the accounts have not been prepared in accordance with methods and principles of the Statement of Recommended Practice for accounting and reporting by charities (applicable to charities preparing their accounts in accordance with the Financial Reporting Standard in the UK and Republic of Ireland (FRS 102). 

I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.

The directors are satisfied that the company is entitled to exemption from the requirement to obtain an audit under section 477 of the Companies Act 2006 and that members have not required the company to obtain an audit in accordance with section 476 of the Act. 

The directors acknowlwdge their responsibilities for complying with the requirements of the Companies Act 2006 with respect to accounting records and the preparation of accounts, and preparing financial statements which give a true and fair view of the state of affairs of the company as at the end of the financial year and its profit and loss for the financial year in accordance with the requirements of sections 394 and 395, and which otherwise comply with the requirements of the Act relating to financial statements, so far as applicable to the company. These financial statements have been prepared in accordance with the provisions in Part 15 of the Companies Act 2006 applicable to companies subject to the small companies regime.

## **1. Accounting Policies** 

The financial statements have been prepared on the historical cost basis of accounting and in accordance with the Companies Act 2006 and the Statement of Recommended Practice: applicable to charities preparing accounts in accordance with the Financial Reporting Standards for Smaller Entities (effective January 2015). 

## **a. Accounting Policy for Income and Expenditure** 

The financial statements have been prepared on an accruals basis whereby income and expenditure are recognised when receivable and payable. Expenditure is directly attributed to specific types of resources expended under which they are classified. 

## **b. Fund Accounting** 

Unrestricted funds are available for use at the discretion of the trustees in futherance of the general objectives of the charity; 

Designated funds are unrestricted funds earmarked by the trustees for particular purposes; 

Restricted funds are subjected to restrictions on their expenditure imposed by the donor or through the terms of an appeal. 

## **c) Incoming resources** 

All incoming resources are included in he statement of financial activities when the charity is entitled to, and virtually certain to receive, the income and the amount can be quantified with reasonable accuracy. The following policies are applied to particular catergories of income: 

Donations and grants, including capital grants, is included in incoming resources when these are receivable, except as follows: 

i) When donors specify that donations and grants given to the charity must be used in future accounting periods the income is deferred until those periods 

ii) When donors impose conditions which must be fulfilled before the charity becomes entitled to use such income, the income is deferred and not included in incoming resources until the pre-conditions for use have been met.

iii) Incoming resources from charitable trading activity are accounted for when earned. 

## **2. Trustees Expenses** 

No remuneration, benefits or expenses to any Trustee were made during the period. 

There have not been any related party transactions in the reporting period that require disclosure. 

## **3. Average number of Employees** 

During the year the average number of employees on a full time equivalent basis is:

The costs for the year £7,133 (2019 £7,670) includes social security costs of £nil (2019 £nil).No employees received any benefits for the year. 

## **4. Taxation** 

The company is registered as a charity with the Charities Commission and is exempt for taxation purposes. 

## **5. Limited by Guarantee** 

The company is limited by guarantee without share capital. In the event of the company being wound-up, each member is liable to contribute to the payments of debts and liabilities of the company, such amounts that might be required but not exceeding £1.

Fixed assets are stated at cost less accumulated depreciation. The costs of minor additions or those costing below £400 are not capitalised. Depreciation is calculated to write off the cost of each asset over its expected useful life, which in all cases is 5 years. 

Archive papers are not depreciated as their value is considered to exceed cost.
