The trustees present their annual report and financial statements for the year ended 31 March 2025.
The financial statements have been prepared in accordance with the accounting policies set out in note 1 to the financial statements and comply with the charity's governing document, the Companies Act 2006, the Charities and Trustee Investment (Scotland) Act 2005, the Charities Accounts (Scotland) Regulations 2006 (as amended) and "Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019)".
Objectives and activities
The charity's objects are:

The advancement of education and mental health, in particular but not limited to Indonesian performing arts as a tool to promote, improve, and develop communication skills, teamwork, and creative learning in prisons and other institutions;

The promotion of Indonesian classical music, dance, singing and shadow puppetry and related art forms.
Achievements and performance
This last year has been one of mixed emotions. Pride in being able to continue to work for the benefit of so many people across the UK in prisons, secure hospitals or in the community (616 people in all, 1% lower than the previous year but 6% above the year before that) but then massive disappointment to close our doors due to lack of funding.
Achievements and performance
The projects that we delivered during 2024/25 can be broken down as follows.

Gamelan in Prisons: We ran four week-long intensive music-making courses at HMPs Bure, Stoke Heath, Norwich, and Long Lartin, where a total of 48 participants created and performed their own original pieces. We ran 49 weekly sessions at HMP Wormwood Scrubs with 59 participants.

Loophole in Secure Hospitals: We held 85 sessions at Bethlem Royal and Lambeth Hospitals, supporting 169 people’s recovery through one-to-one and group music-making.

Resonate Community Projects: We led weekly gamelan sessions in Glasgow and Sheffield, building confidence, connection, and creativity among 199 people with disabilities and mental health needs. We ran four week-long intensive courses in Glasgow for 81 men and women with disabilities and mental health needs, with 35 support staff.

Keep in Touch: We have provided ongoing support to 93 of our former participants, including one-to-one mentoring, volunteering, and creative opportunities.

Participant Traineeship Scheme: We trained two of our former participants to become workshop leaders, completing facilitation and safeguarding training during the process. They then went on to join our facilitator team.

- Artist Care Research: In collaboration with the Irene Taylor Trust, Hear Me Out, the Royal Northern College of Music and Wolverhampton University, we published “ Artists’ Care: supervision and care for those working in challenging and complex settings” .
We also continued to amplify participants’ voices, including co-presenting at the University of York on creative work in prisons, and developing new digital gamelan resources through our Gamelan Room initiative.
Of the 616 people who participated in our projects,

326 were in the community;
-
97 were in prisons; and
-
193 in secure hospitals.
They came from a wide range of ages and backgrounds:

58% identified as Black, Asian or Minority Ethnic;

161 reported disabilities or multiple conditions;
-
73% identified as male, 27% as female.
We are delighted to say that the feedback from our projects showed consistently positive outcomes:

Many participants continue their journey through our Keep in Touch network, gaining confidence, skills, and employment opportunities.

Financial review
Our reserves policy requires the Board to maintain a cash surplus equivalent to a minimum of three months of expenditure. The purpose of this is to allow for time to rationalise our work in the event of a downturn in income; or to pay all creditors if we decided it was not possible to maintain Good Vibrations as a going concern.
In September 2024, it became apparent that, if none of the outstanding grant applications were successful, the charity would face a substantial risk of not being able to cover three months’ cash requirement over the near term. The main cause of this deterioration in the financial position was the drop in external funding due to external economic factors.
The Board thereupon started to meet on a regular basis to monitor the reserves position going forward and to explore with the CEO ways in which the cash flow situation (and the level of reserves) could be materially improved. In November 2024, the financial position of the charity eased somewhat due to the receipt of a significant individual donation and to the award of a number of grants that had been disregarded for the purposes of the September analysis. The Board therefore agreed to meet less frequently whilst also continuing to monitor the position for signs of deterioration.
In March 2025, warning signs again started to appear and the Board decided to take external advice as to what could be done to rebuild the reserves to a level where it could be confident of the long-term future of the charity. Following receipt of that advice and further representations from the CEO, the Board reluctantly concluded in early August that none of the proposals that had been submitted would guarantee the long-term future of the charity and that, therefore, an orderly wind-down process should be initiated to maximise the chances of all creditors being paid.
We are now three months into that process. All employees save one have been declared redundant and left the organisation. The last one will leave in mid-December when the charity will effectively be dormant, simply awaiting a formal removal from the register of the Charity Commission, the Scottish Charity Regulator (OSCR), and Companies House. Full provision has been made by the Board for all known creditors including funders who have asked for return of their money.
We would like to end by thanking all the employees, freelancers, and funders who have made Good Vibrations successful over the years for their commitment to the charity and to wish all those people who have participated in projects run by the charity well for the future. We hope that, by passing on the gamelan orchestras to others who can carry on Good Vibration’s work, we have gone some way to ensuring the its work can continue into the future.
Managing risk
Through the risk register, trustees quarterly review risks for the charity, assess their likelihood and potential impact, and then ensure mitigations are in place. The trustees continue to be committed to supporting the organisation, its people and its participants and are fastidious in reviewing and acting upon all organisational and statutory documentation on their roles and responsibilities.
Structure, governance and management
Memorandum and Articles of Association
The Trustees are the board of the company and function according to the organisation's governing document, the Memorandum and Articles of Association. We are responsible for decisions relating to strategy and governance of the charity, rather than operational management, which is carried out by the staff team. Trustees have agreed to contribute a sum not exceeding £1 in the extent of the charity winding up. There must be at least three trustees. Trustees are appointed by resolution. At each Annual General Meeting, one-third of the trustees, shall retire from office, but retiring trustees can be reappointed for a second consecutive term, so long as they take a break from office after three consecutive terms (nine years). Trustees' training needs are identified and relevant training provided, and they receive advice from professionals, e.g. on legal and financial matters.

Key management personnel
During the year, the CEO and Head of Delivery were the key management personnel responsible for financial management, with remuneration set by the Board and reviewed annually, in conjunction with the appraisal process and finance policy.
As part of the orderly wind-down of the charity, all employees have been declared redundant save the Head of Delivery who is due to leave the organisation on 17 December. After that date, the trustees will assume day to day management of the charity. Operations should then be effectively at an end.

INDEPENDENT EXAMINER'S REPORT
TO THE TRUSTEES OF GOOD VIBRATIONS (MUSIC) LIMITED
I report to the trustees on my examination of the financial statements of Good Vibrations (Music) Limited (the charity) for the year ended 31 March 2025.
Responsibilities and basis of report
As the trustees of the charity (and also its directors for the purposes of company law), you are responsible for the preparation of the financial statements in accordance with the requirements of the Companies Act 2006.
Having satisfied myself that the financial statements of the charity are not required to be audited under Part 16 of the Companies Act 2006 and are eligible for independent examination, I report in respect of my examination of the charity’s financial statements carried out under section 145 of the Charities Act 2011. In carrying out my examination I have followed the Directions given by the Charity Commission under section 145(5)(b) of the Charities Act 2011.
Independent examiner's statement
Since the charity is required by company law to prepare its accounts on an accruals basis and is registered as a charity in Scotland your examiner must be a member of a body listed in Regulation 11(2) of the Charities Accounts (Scotland) Regulations 2006 (as amended). I confirm that I am qualified to undertake the examination because I am a member of the Association of Chartered Certified Accountants, which is one of the listed bodies.
I have completed my examination. I confirm that no matters have come to my attention in connection with the examination giving me cause to believe that in any material respect:

1 accounting records were not kept in respect of the charity as required by section 386 of the Companies Act 2006.

2 the financial statements do not accord with those records; or

3 the financial statements do not comply with the accounting requirements of section 396 of the Companies Act 2006 other than any requirement that the financial statements give a true and fair view, which is not a matter considered as part of an independent examination; or

4 the financial statements have not been prepared in accordance with the methods and principles of the Statement of Recommended Practice for accounting and reporting by charities applicable to charities preparing their financial statements in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102).
I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the financial statements to be reached.

1 Accounting policies
Charity information
Good Vibrations (Music) Limited is a private company limited by guarantee incorporated in England and Wales. The registered office is The Circle 33 Rockingham Lane, Sheffield, S1 4FW.
1.1 Accounting convention
The financial statements have been prepared in accordance with the charity's governing document, the Companies Act 2006, the Charities and Trustee Investment (Scotland) Act 2005, the Charities Accounts (Scotland) Regulations 2006 (as amended) and "Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019)". The charity is a Public Benefit Entity as defined by FRS 102.
The charity has taken advantage of the provisions in the SORP for charities applying FRS 102 Update Bulletin 1 not to prepare a Statement of Cash Flows.
The financial statements are prepared in sterling, which is the functional currency of the charity. Monetary amounts in these financial statements are rounded to the nearest £.
The financial statements have been prepared under the historical cost convention. The principal accounting policies adopted are set out below.
1.2 Going concern
At the time of approving the financial statements, the trustees have a reasonable expectation that the charity has adequate resources to wind down over the course of the next twelve months. Thus the trustees have not adopted the going concern basis of accounting in preparing the financial statements.
1.3 Charitable funds
Unrestricted funds are available for use at the discretion of the trustees in furtherance of their charitable objectives.
Restricted funds are subject to specific conditions by donors or grantors as to how they may be used. The purposes and uses of the restricted funds are set out in the notes to the financial statements.
Endowment funds are subject to specific conditions by donors that the capital must be maintained by the charity.
1.4 Income
Income is recognised when the charity is legally entitled to it after any performance conditions have been met, the amounts can be measured reliably, and it is probable that income will be received.
Cash donations are recognised on receipt. Other donations are recognised once the charity has been notified of the donation, unless performance conditions require deferral of the amount. Income tax recoverable in relation to donations received under Gift Aid or deeds of covenant is recognised at the time of the donation.
Legacies are recognised on receipt or otherwise if the charity has been notified of an impending distribution, the amount is known, and receipt is expected. If the amount is not known, the legacy is treated as a contingent asset.
1.5 Expenditure
Expenditure has been included where a legal or constructive obligation has been identified, this includes any irrecoverable VAT.

1.6 Cash and cash equivalents
Cash and cash equivalents include cash in hand, deposits held at call with banks, other short-term liquid investments with original maturities of three months or less, and bank overdrafts. Bank overdrafts are shown within borrowings in current liabilities.
1.7 Financial instruments
The charity has elected to apply the provisions of Section 11 ‘Basic Financial Instruments’ and Section 12 ‘Other Financial Instruments Issues’ of FRS 102 to all of its financial instruments.
Financial instruments are recognised in the charity's balance sheet when the charity becomes party to the contractual provisions of the instrument.
Financial assets and liabilities are offset, with the net amounts presented in the financial statements, when there is a legally enforceable right to set off the recognised amounts and there is an intention to settle on a net basis or to realise the asset and settle the liability simultaneously.
Basic financial assets
Basic financial assets, which include debtors and cash and bank balances, are initially measured at transaction price including transaction costs and are subsequently carried at amortised cost using the effective interest method unless the arrangement constitutes a financing transaction, where the transaction is measured at the present value of the future receipts discounted at a market rate of interest. Financial assets classified as receivable within one year are not amortised.
Basic financial liabilities
Basic financial liabilities, including creditors and bank loans are initially recognised at transaction price unless the arrangement constitutes a financing transaction, where the debt instrument is measured at the present value of the future payments discounted at a market rate of interest. Financial liabilities classified as payable within one year are not amortised.
Debt instruments are subsequently carried at amortised cost, using the effective interest rate method.
Trade creditors are obligations to pay for goods or services that have been acquired in the ordinary course of operations from suppliers. Amounts payable are classified as current liabilities if payment is due within one year or less. If not, they are presented as non-current liabilities. Trade creditors are recognised initially at transaction price and subsequently measured at amortised cost using the effective interest method.
Derecognition of financial liabilities
Financial liabilities are derecognised when the charity’s contractual obligations expire or are discharged or cancelled.
1.8 Employee benefits
- The cost of any unused holiday entitlement is recognised in the period in which the employee’s services are received.
Termination benefits are recognised immediately as an expense when the charity is demonstrably committed to terminate the employment of an employee or to provide termination benefits.
1.9 Retirement benefits
Payments to defined contribution retirement benefit schemes are charged as an expense as they fall due.

2 Critical accounting estimates and judgements
In the application of the charity’s accounting policies, the trustees are required to make judgements, estimates and assumptions about the carrying amount of assets and liabilities that are not readily apparent from other sources. The estimates and associated assumptions are based on historical experience and other factors that are considered to be relevant. Actual results may differ from these estimates.
The estimates and underlying assumptions are reviewed on an ongoing basis. Revisions to accounting estimates are recognised in the period in which the estimate is revised where the revision affects only that period, or in the period of the revision and future periods where the revision affects both current and future periods.
