The trustecs who ￿ also directors of the charity for the purposes of the Companies Act 2006, present their
report with th¢ financial statements of the charity for the year ended 31 March 2025. The trustees have
adopted the provisions of Accounting and Rcporting by Charities., Statement of Rccommcnded Practice
applicable lo charitics pr¢paring their accounts in accordance with the Financial Reporting Standard
applicable in the UK and Republi¢ of Ireland (FRS 102) (effective l January 2019).
OBJECTIVES AND ACTTVTTIKS
ObJe¢tAve and Alrns
The objectives of the charity are to advance such purposes as are iecognised as being exclusively charitablc
in accordance with the law in England and Wales from time to time as our trustces in their absolut¢
discretion shall see fit. The charitable company has taken the commission's public benefit guidance into
a¢¢ount when making any r¢l¢vant decisions.
Acrfvltles
The Foundation 8upports a variety of charitable causes both through making grants and providing resources.
In particular, the charity focuses on supporting charitable caus¢s within communities with a view to
improving the lives of disadvantaged r¢$id¢nts of those communities. for example, by supporting ihe
improvement and rnaintenance of social housing, promoting edu¢ation. training and ski118 dcv¢lopm¢nl and
youth diver8ion programmes, and supporting and promoting arts and events in the community.
Th¢ found¢r of th¢ Charity. Axis Europe PLC. opcrates in th¢ ar¢a of improving and Maintaining social
housing, and commercial prop¢rty. Some of the communities which th¢ Foundation supports are in areas
where Axis Europe carries out its business activities. The trustees acknowledg¢ the potcntial benefit to Axis
Europe in 8UPPOrting ¢ommuniti¢s in which the company also operates. However, the Charity's ￿tivItieS are
solely aimed at bringing direct benefits to the public by improving the standard of life for disadvantaged
rnembers of the communities that we focus upon. Axis Europe r¢c¢ives no direct benefit from our activities.
Any indirect benefit which the company may receive through our Foundation's a¢tivitie5, such as to its
reputation, &rc in OUT view wholly incidental to the public benefit generated by thc Foundation in caTrying
oul its charitable activity.
Publlc beneflt
The Trustees have considered the Charity Commission's general guidance on public benefit and hav¢ taken it
inlo account when reviewing the Foundation's aims and objcctives and in planning its future aclivilies. The
Trusto¢s are satisfied thal the aims of the Foundation are ¢arri¢d out wholly in pursuit of its ¢harilabl¢ aims.

ACHIEVEMENTS AND PERFORMANCE
Charltable actlvlties
The Foundation awardcd grants totalling £379,650 duTing the year (2024 £362,973). The Main
beneficiaries were:
Demelza Hosplce Care for Cblldren - £173,129
Demclza is Axis, charity partner and deliver8 extraordinary care to extraoTdinary children who face serious
or life-limiting conditions.
Our relationship with Demelza goes back to 2003 when Axis forn)ed a special parthership with the children's
hospice. We sLvted donating to Demelza in 2004 - before th¢ Axis Foundation was born - and have
continued to support them in many ways: donations via the Foundation. many fimdraising adivities by our
Axis employees and our annual Charity Ball and Golf Day.
The latest donation of £173,129 will bring our ovmll donation lo Demclza to 1.680,753. W¢ will continue
to support the hospice in their work and ¢xpand their vital service ￿ro$S Kent and South East London.

l Aceurro - 12,500
For local childTcn, young people and adults with a disability, West-Ess¢x-ba8¢d charity Accuro offers
activities and outings which reduce lonelin¢88 and providc fun and friendship.
The Axis Foundalion donated £12,500 to complete the purchase of a Citrocft Enterprise Flexilile minibus
with Iwo wheelchair spaces.

A previous donation of £5,560 supported their days out.
2 Abbey School- £lO,1100
The Abbey School support8 children with physieAI disabilities - and now has 12 whe¢l¢hair users.
Th¢ Axis Foundation donated £10,000 to hclp the charity (The Abbey School Farnham Trust) purchase a
17-s¢ater wheelchair-accessible minibus so that Abbey School pupils can go swimmin& to the g￿n. to local
nature Te8erv¢8 and on summer school trips.

3 Brendan Go Fund Me- £8,160
Brend¢n has a very rare disability called Wolf-Hirschhorn S￿)drOme. He D¢¢ds 24n care.
Brenden's father desperately wanted to level their garden and to cr¢at¢ a patio wheT¢ Brenden could use his
K-Wall(er and his wheelchair.

Landlord Peabody raiscd the alert to the family's n¢¢d8 to Axis employee Nicola Barcoc who applied to the
Axis Foundation. And Axis, voluntcer operatives crcatcd a new patio of por¢elain paving slabs (which are
smoother and safw), levelling the ground, and adding astro lurf.

4 Dove Cote ChfildreDs playground - £7,666
Dove Cott House, located in Laindon, Essex, provides supported accommodation for single moth¢rs aged
18-24 who arc pregnant or have children. It is owned and managed by Axis, client Sanctuary.
Thc Axis Foundation and Tr8vi$ Pcrkins donated £7,666 to provide 30 residcnts and their young children
with a safe space to play. Our volunt¢¢rs cleared the area and also installed new playground equipm¢nt and
fencing.

5 Glossopdale Furnlture- £7JOO
Glossopdale Furniture Proje¢t supplies donated items of furniture and household goods to people who have
been homcless and are in new accommodation.
Th¢ Axi8 Foundation was delighted to supw)rt the Derbythir¢-based charity with a donation of £7,500 to
pU￿has¢ furniture packs.

6 Ryan Neuro Therapy - £7222
The Ryan Neuro Therapy Centre provides tailored physiotherapy-led exercise cla88e8 for people with
neurological conditions (such &8 MS and Parkinson's) and stroke survivors.
The Axis Foundation donated £7.222 to help the Surrey-based charity purchase two Mercado Rcal 9000
chairs which help thos¢ wilh neuTological conditions ¢xercis¢ and so Impro￿ their co-ordination,
cor¢-strcngth and flexibility.

Vinnie James has type I Spinal Mu￿Ular Atrophy (SMA). Recently Vinnie has recently received
trach¢o$tomy Surgery and uses a ventilator full-time.
The Axis Foundation donated £6,750 to contribute to r¢suTfa¢ing the driveway at the family hon]c so that it
is less bumpy for Vinnie in his mobility vehicle: any butnp could cause Vinnie's tub¢ to be dislodged.

flat driveway ensures we can go out and about safcly with Vinnie, improving his quality of lifc. Thank

Wildgoose Rural Training provides activities for disabled adults and children who struggle with the norn)al
education syst¢m and th08¢ fydcing problems with th¢ir mental health. Through taking part in activities,
students acquire skills to hclp Ihem lead a more independent life8ty1¢.
Thc Axis Foundation donated £5,914 to build a new barn containing two new ¢lassTooms and a storage area.

FINANCIAL REVIEW
Finaneial posltlon
The trustees a￿ sati8ficd with th¢ financial outcome during the period as shown in the slat¢n]¢nt of financial
ivities.
Reserves pollcy
Rescrves as at 31 March 2025 were £620.518 (2024 £664,873). All reserves ar¢ unrestricted. The
Foundation aims to maintain a reserve cover of 200/0 as a minimum of donations received during the
period to cover the cost of fll￿re gTants and other unfor¢s¢¢n events. It also intends to increasc granls during
future periods to bring the reserve into line with this objective. The ￿OUnts of free reserves above th¢
rcserve cover are expect￿ to be spent on grant making.
FUTURE PLANS
The charity plans to continue the activities outlined above in th¢ forthcoming years subject to satisfactory
funding arrangements. These plans will be financed primarily from donations received and from our
reserves.
Axis Europe was acquired by H.l.G Capital in July 2024. This will not atTe¢t Axis foundation as it will
continue to be ind¢pendent.
STRUCTU￿ GOVERNANCE AND MANAGEMENT
Governlng document
Th¢ charity is controlled by its governing document, a deed of trust, and constitutes a limited Company.
lirnited by guarantee, as defined by the Companies Act 2006.
The charity is a company limit¢d by guarantee governed by its memorandum and articles of association
dated I l March 2008. It is registered a8 a charity with thc Charity Commission.
The tNstees have the powcr to deposit or invest funds in any manner they see fit. They may only invest
funds after obtaining advice frorn a financial ¢xpert and having regard to the suitability of inve8lrn¢nts and
the need for div¢rsifi¢ation.

The trustees have the power to norninate individuals for election. Once electel trustees r¢rnain so long as
thc Board of Trustees s¢¢ fit. The trustees regularly review the composition of the Board and where
n¢¢¢ssary either identify suilable persons to be elected or establish appropriate induclion and training for
new and existing trustees.
Recrultment and appolntment of new trustees
Our objective is to appoint trustees with the widest range of ski118 and experience who can best further the
¢haritable aims of the Axis Foundation.
Our Bi)ard of TTUStees comprise of senior individuals from Axis Europe PLC (our PTirnary fundcr) who
understsnd th¢ social i&sucs and Con￿lUn]ty networks in our primary areas of bcnefil together with three
independent tru$tses. The indcpendent trustees ensure there is no conflict of interest b¢tw¢en the business
obj¢ctives of our principal fund¢r and our own charilable goals.

STRUCTURE, GOVERNANCE AND MANAGEMENT
Rlsk management
The trustees have a duty to idcntify and review th¢ risks to which the charity is exposed and to ensure
appropriate controls are in place to provid¢ reasonable assuran¢e against fraud and error.
The trustees are responsible for the overseeing of th¢ risks faced by the charity. Risks are i(knlified and
assessed and controls to manag¢ them are irnplemented throughout the ycar. A fornlal review of the charitys
risk management processes is und¢rtAk¢n on an annual basis. Risk is managed under the headings of
financial Sustainability, governan¢¢, loss of data and fraud. Through the risk management processes
established for the chaTjtyg the Tn￿teeS are satisfied that th¢ major risks Identifi￿ hav¢ becn adequately
mitigaled where necessary.

As the charity's trnstees of the Company (and also its directors for the PUTPOS¢S of company law) you are

Basls of preparlng the financlal statements
Th¢ financial statements of the charitsble company, which is a public benefit entity under FRS 102.

Charitics: Statement of Recornmcnded Practice applicable to charities preparing their accounts in
arxordance wilh the Financial Reporting Standard applicable in the UK and Republic of tTeland (FRS
102) (effective l January 2019),, Financial Reporting Standard 102 The Financial Reporting Standard
applicable in the UK and Republic of Ireland, and the Compani¢8 Act 2006. The financial statements
have been prepared under the historical cost convention.
Golng Concern
The directors, having noted the absence of any short- or long-terni financial commitments, agree
adequate reSoU￿e$ are available to continue operations. The charitable company therefore continues
to adopt the going concern basis in prq)aring its finan¢ial stat¢ments. The charitabl¢ Company has a
strong cash position with no external debt.
As a r¢sult. the ac¢ounts have been prepared on a going concern basi8.
Income
All income is re¢ognised in ihe Statcrncnt of Financial Activitie$ once the charity has entitlement to
the funds, it is probable that the income will be rc¢cived and the amount can be n]ea8ur¢d r¢liably.
Expendltur¢
Liabilities are reco￿lS¢d as expendi￿re as soon as there is a legal or ¢on8tructive obligation
committing the charity to that expenditure, il is probable that a transfer of economic benefits will be
required in scttlement and the amount of the obligation can be measured reliably. Expenditure is
a￿OUnted for on an accruals basis and has been Classified under headings that aggregate all cost
related to th¢ category. Where costs cannot be directly attributed to particular hcadings they hav¢ bKn
