Welbodi Partnership is a registered charity governed by its memorandum and articles of association. 

In accordance with Section 62 of the Companies Act 2006, the company is exempt from the requirements of that act to include “limited” as part of its name. 

In accordance with the company's articles of association, the company has a council of management. The members of the council constitute directors of the company for Companies Act purposes. The Directors are the trustees of the charitable company for the purposes of charity law. 

The council may from time to time appoint any member of the company as a member of the council, either to fill a casual vacancy or by way of additions to the council provided that the prescribed maximum of thirty is not exceeded.

## **DIRECTORS’ REPORT** 

The directors present their report and audited accounts of the company for the year ended 31[st] May 2025 

The accounts comply with the current statutory requirements, the charity's Memorandum and Articles of Association and the Statement of Recommended Practice for Charities. 

## **Object of the charity** 

The object of the charity is to support the healthcare system for mothers and children in Sierra Leone. 

## **Review of activities** 

The activities during the year and future developments are set out in the Annual Report. 

## **Directors** 

The directors of the company during the year and since the year end were as follows:

## **Reserves policy** 

The charitable company has developed a reserves policy. At 31[st] May 2025, the charitable company holds free reserves of £ 163,201. (Total unrestricted funds £122,978) 

Free reserves are held to ensure the continuity of the activities of the charity given the relative uncertainty of future income and to ensure the long-term viability of the charitable company. 

## **Risk view** 

The directors have reviewed the major risks to which the charity is exposed and systems have been established to mitigate those risks.

## **Directors’ responsibilities** 

Company law requires the directors to prepare accounts for each financial year which give a true and fair view of the affairs of the company and of the surplus or deficiency of the company for that period. In preparing those accounts, the directors are required to: 

- select suitable accounting policies and then apply them consistently 

- make judgements and estimates that are reasonable and prudent 

- prepare the accounts on a going concern basis unless it is inappropriate to presume that the company will continue in operation 

The directors are responsible for keeping proper accounting records which disclose with reasonable accuracy at any time the financial position of the company and to enable them to ensure that the accounts comply with the Companies Act 2006. They are also responsible for safeguarding the assets of the company and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities. 

This report has been prepared in accordance with the special provisions for small companies under ss 381-4 of the Companies Act 2006.

# **INDEPENDENT AUDITOR’S REPORT of WELBODI** 

# **PARTNERSHIP** 

I have audited the accounts of Welbodi Partnership for the year ended 31[st] May 2025 which comprises the Balance Sheet, Statement of Financial Activities, and related notes.  These accounts have been prepared under the historical cost convention and the accounting policies set out therein. 

This report is made solely to the company's members as a body in accordance with Section 476 of the Companies Act 2006. My audit work has been undertaken so that I may state to the company's members those matters we are required to state to them in an auditor’s report and for no other purpose to the fullest extent permitted by law, I do not accept or assume responsibility to anyone other than the company and the company's members as a body, for my audit work, for this report, or for the opinions I have formed. 

## **Respective responsibilities of trustees and auditors** 

My responsibility is to audit the accounts in accordance with relevant legal and regulatory requirements and United Kingdom Auditing Standards. 

I report to you my opinion as to whether the accounts give a true and fair view and are properly prepared in accordance with the Companies Act 2006. I also report to you if, in my opinion, the Report is not consistent with the accounts, if the charity has not kept proper accounting records, if I have not received all the information and explanations I require for my audit, or if information specified by law regarding trustees’ remuneration and transactions with the charity are not disclosed. 

I read other information contained in the Trustees’ Annual Report and consider whether it is consistent with the audited accounts, I consider the implications for my report if I become aware of any apparent misstatements or material inconsistencies with the accounts. My responsibilities do not extend to any other information. 

## **Basis of audit opinion** 

I conducted my audit in accordance with United Kingdom Auditing Standards issued by the Auditing Practices Board. An audit includes examination, on a test basis of evidence relevant to the amounts and disclosures in the accounts. It also includes an assessment of the significant estimates and judgements made by the trustees in the preparation of the accounts, and of whether the accounting policies are appropriate to the charity's circumstances, consistently applied and adequately disclosed. I planned and performed my audit so as to obtain all the information and explanations which we consider necessary in order to provide us with sufficient evidence to give reasonable assurance that the accounts are free from material misstatement, whether caused by fraud or other irregularity or error. The Company passed a resolution in accordance with Section 506 of the Company’s Act 2006 that Mr. E A Weekes be appointed as authorised to audit the accounts as sole auditor of Welbodi Partnership.

## **Opinion** 

In my opinion, the accounts give a true and fair view of the state of the charity's affairs as at 31[st] May 2025 and of its incoming resources and applications of resources including its income and expenditure for the year then ended and have been properly prepared in accordance with the Companies Act 2006.

## **Accounting Policies** 

- (a) Basis of accounting 

- The accounts have been prepared under the historical cost convention In accordance with the Statement of  Recommended Practice  “Accounting And Reporting by Charities” issued by the Charity Commissioners in October 2000, the Companies Act 2006 and Financial Reporting Standards for Smaller Entities (effective June 2002)
