The trustees submit their report and the unaudited financial statements for Torquay United Community Sports Trust Ltd for the year to 30 June 2025.

The financial statements have been prepared in accordance with the requirements of the Companies Act and the Statement of Recommended Practice on accounting and reporting for charities (revised 2005).

Structure, Governance and Management

The charity (number 1125138) is a company limited by guarantee (Number 06618877) incorporated 12 June 2008 and governed by its memorandum and articles of association. The charity is run by a board of trustees, who are also directors for the purposes of the Companies Act and who are named at the front of this report. The Trustees meet at least once a quarter throughout the year to evaluate, to review activities, financial performance and for forward planning. Day to day running of the Trust is handled by the Management Team, who liase frequently (and are linemanaged) by individual Trustees and report at Trustee Meetings.

Objectives and Activities

The Charity's objectives are for the benefit of the public generally and in particular the inhabitants of Devon and its surrounding areas:-

to promote community participation in healthy recreation by providing facilities for the playing of association football and other sports capable of improving health.

To provide and assist in providing sport, recreation or other leisure time occupation of such persons who have need for such facilities by reason of their youth, age infirmity or disablement, poverty or social and economic circumstances or for the public at large in the interest of social welfare and with the object of improving their conditions of life and to advance the education of children and young people.

Torquay United Community Sports Trust Ltd provides a wide range of activities throughout South Devon helping people to achieve a healthy, active lifestyle. We aim to inspire people to reach their full potential using fun and friendly activities.

Mission Statement

Torquay United Community Sports Trust exists to provide opportunities for all sections of our community, using sport and healthy living to drive up aspiration and participation.

We pride ourselves in showing professionalism in everything we do, offering a consistent quality service, building new partnerships across the community and working closely with Torquay United Football Club.

It is a great honour to be the charitable arm of Torquay United, celebrating the rich history of our football club, while forging a new and inclusive relationship with the whole community.

We want to grow engagement with all sectors of society and use the incredible power of sport to inspire people of all ages and abilities to reach their personal goals.

Financial Review

There was a deficit for the year of (£6,197)

Reserves —

At 30 June 2025 the charity had reserves of £12,609. The trustees intend to maintain sufficient reserves to meet the ongoing expenditure of the charity and the amount held at 30 June 2025 was believed to be sufficient.

Public Benefit Statement

In setting our objectives and planning our activities the trustees have given consideration to the Charity Commission's guidance on public benefit.

Method of recruitment and appointment of trustees

Trustees are recruited from within the local community to reflect the different aspects of sports, finance and general business. Currently we have six trustees but are actively seeking to increase this to seven. Appointments are made at a trustees' meeting using normal voting procedures.

Small Company provisions

This report has been prepared in accordance with the small Companies regime under the Companies act 2006.

Independent Examiner's Report to the Trustees of Torquay United Community Sports Trust Ltd

I report on the accounts of the company for the year ended 30 June 2025 which are set out on pages 7 to 15.

Respective Responsibilities of Trustees and Examiner

The Trustees (who are also the directors of the company for the purposes of company law) are responsible for the preparation of the accounts. The trustees consider that an audit is not required for this year under section 43(2) of the Charities Act 1993 (the 1993 Act) and that an independent examination is needed.

Having satisfied myself that the charity is not subject to audit under company law and is eligible for independent examination it is my responsibility to examine the accounts under section 43 of the 1993 Act. Follow the procedures laid down in the General Directions given by the Charity Commission under section 43 (7) (b) of the 1993 Act and state whether particular matters have come to my attention

Basis of Independent Examiners Report

My examination was carried out in accordance with the General Directions given by the Charity Commission. An examination includes a review of the accounting records kept by the charity and a comparison of the accounts presented with those records. It also includes consideration of any unusual items or disclosures in the accounts and seeking explanations from you as trustees concerning any such matters. The procedures undertaken do not provide all the evidence that would be required in an audit and consequently no opinion is given as to whether the accounts present a 'true and fair view' and the report is limited to those matters set out in the statement below.

Independent Examiner's Statement

In connection with my examination no matter has come to my attention.

(1) which gives me reasonable cause to believe that in any material respect the requirements to keep accounting records in accordance with section 386 of the Companies Act 2006 and

to prepare accounts which accord with the accounting records, comply with the accounting requirements of section 396 of the Companies Act 2006 and with the methods and principles of the Statements of Recommended Practice Accounting and Reporting by Charities have not been met or

(2) to which in my opinion attention should be drawn in order to enable a proper understanding of the accounts to be reached.

For the financial year ended 30 June 2025 the charity was entitled to exemption from audit under section 477 of the Companies Act 2006 relating to small companies.

The members have not required the charity to obtain an audit of its accounts for the year in question in accordance with section 476.

The directors acknowledge their responsibilities for complying with the requirements of the Act with respect to accounting records and the preparation of accounts

1. Accounting Policies

Basis of preparation

The financial statements have been prepared under the historical cost convention and in accordance with the Statement of Recommended Practice Accounting and Reporting by Charities (SORP 2005) issued in March 2005 the Financial Reporting Standard for Smaller Entities (effective April 2008) and the Companies Act 2006

Fund Accounting Policy

Unrestricted income funds are general funds that are available for use at the trustees' discretion in furtherance of the objectives of the charity

Restricted funds are those donated for use in a particular area or for specific purposes the use of which is restricted to that are or purpose

Further details of each fund are disclosed in note 17

Incoming resources

Voluntary income including donations and grants that provide core funding or are of a general nature is recognised where there is entitlement certainty of receipt and the amount can be measured with sufficient reliability.

Investment income is recognised on a receivable basis.

Resources expended

Liabilities are recognised as soon as there is a legal or constructive obligation committing the charity to the expenditure. All expenditure is accounted for on an accruals basis and has been classified under heading that aggregate all costs related to the category.

Costs of generating funds comprise the costs associated with attracting voluntary income and the costs of trading for fundraising purposes.

Governance Costs

Governance costs include costs of the preparation and examination of the statutory accounts the costs of trustee meetings and the cost of any legal advice to trustees on governance or constitutional matters.

Fixed Assets

Individual fixed assets costing £0 or more are initially recorded at cost.

Depreciation

Depreciation is provided on tangible fixed assets so as to write off the cost or valuation, less any estimated residual value over their expected useful economic life as follows:

Operating leases

Rentals payable under operating leases are charged in the statement of financial activities on a straight line basis over the lease term.

Pensions

The charity operates a defined contribution pension scheme. Contributions are charged in the statement of financial activities as they become payable in accordance with the rules of the scheme.
