The Trustees present their annual report and financial slatements for the year ended 31 March 2025.
The financial statements have been prepared in accordance with the accounting policies sel out in note 1 to the
financial statements and comply with the charity's governing document, the Companies Act 2006. FRS 102 "The
Financial Reporting Standard applicable in the UK and Republic of Ireland" and the Charities SORP "Accounting
and Reporting by Charities.. Statement of Recommended Pradice applicable to charities preparing their accounts in
accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102)"

The Pontesbury Housing Trust ("the Trusl") is a charity, with a Christian ethos for public benefit.
The primary purpose of the Trust is to provide good quality tenanted accommodation for people with learning
disabilities, at reasonable rents. Providing housing for vulnerable people benefits society and we believe that society
as a whole benefits from people with learning disabilities livin9 in, and contributing lo, Ihe local community. The
charity aims to assure all tenants have a home for life if Ihey so wish. The charity is non-discriminatory and
inclusive, providing lenancies based on need. The charity took over the property portfolio of Ihe Pontesbury Proiecl
{Charily number 702609) in 2009, when the lormer charity gifted freehold and leasehold property to the Ponlesbury
Housing Trust. The charity owns freehold properties in Ponlesford. Pontesbury, Minslerley and a renlal property in
North Wales,

The trustees confirm that they have complied with the duty in section 4 of the Charities Act 201110 have due regard
to the public benefit guidance published by the Charity Commission.
Golng concern
On 1 JLJIY 2025, the operation of the organisalion was transferred to Walsingham Support, a registered Charity in the
UK (Company registered no. 02016251 in England & Wales, Charity registered number 294832). As at the date of
approval of these financial statemenls, there has been no break or thange in the operation of the charity's activities,
and the intention is very much for this to conlinue.
Achlovom•nts and perforniance
Flnanclal revlew
The Pontesbury Housing Trust is committed to providing Christian care in the community by providing high quality
accommodation lo vulnerable people. The Ponlesbury Housing Trusl does not provide a support service for tenants
but does provide tenarbt5 with an inténsive property management service. The Charity has a close working
relationship with the Pontesbury Project for People with Special Needs as described on page 4 of this report. Thi$
symbiotic relationship is key to the succe55 of the Charily because our tenancie5, which are intrinsically linked to
support, are exempt from the housing benefit cap which means thal we can provide affordable accommodation lo
people with disabilities.
Total income of £161,118 included rental income of £144,734. Whilst there was a slight fall in rent resulting from a
reduction in occupancy rale. but a ¢onsistenl level of income from interest and recharge of laundry costs.
Expenditure of £151,110 included a depreciation charge of £59,946 on freehold property resulting in a recorded
surplus for the year of £10,007.
It Is an accounting requirement lo depreciate freehold properties, even if the properties relain Iheir value over the
period of ownership. For this reason, the Trustees commission periodic property revaluations so that the freehold
propety is reflected at a fair value in the accounts. The property portfolio was revalued at the yearaend resulting in a
revaluation increase of £457,847 and a resulting balance sheet value of a freehold property of £3.942 million {2024:
£3.482 million).
Al 31st March 2025, the balance sheet value ol freehold property was £3.482 million. The Charity remains in
financially strong position with net current assets of £476,187. Looking forward to the future we are planning to carry
out a program of redecoralion and updatlng induding refurbishment of one ol our properties lo better accommodate
people who we care for. There is scope to increase letting income as some of our properties are let at below market
rent,
Reserves pollcy
At the year end, lotal reserves amounled to £4.418,3S9 includlng tangible fixed as$et$. The Iree reSer￿S amounted
10 £476,187.
The trustees have reviewed the Charity's needs for reserves in line with guidance issued by the Charity
Commission. The trustees consider il prudent that unrestricted reserves should be sufficient..
To avoid the necessity of realising fixed assets held for the Charity's use.
To cover a minimum of 12 weeks wnning Costs to ensure that the Charity can run efficiently and meet the
needs of tenants.
To finance any specific projects to be undertaken in the short or medium temi. including the development or
purchase of further properties.
To provide financial se¢urily for tenants living in leasehold property.
Investment policy
Cash in hand is needed to covef the running costs of the charity. Cash is invested in safe, short notice
accounls with major recognised banks and building Societies.

Future developments
On 1 July 2025, The Ponlesbury Housing Trust and Pontesbury Project for People with Special Needs became
subsidiaries of Walsingham Support by way of merger. Walsingham Support is a registered charily (294832) whose
activilies are aligned with The Pontesbury Project's charilable aclivilies.
In considering the merger, the Trustees agreed the need to secure the longer-term ¢harilable objectives into the
future and ensure the seNices and tenancies being provided are suslainable from a financial and quality
perspective.
The Ponlesbury Housing Trust and Ponle$bury Project for People with Special Needs becam8 subsidiaries of
Walsingham Support on 1 $1 July 2025 with on objective of the transfer over of continuing operations. assets and
liabilities lo become a single operating entity, resulting in the future voluntary dissolution of the charlty and company
shells for The Pontesbury Housing Trusl and Pontesbury Project for People with Special Needs.
Structure. govemance and management
The Ponlesbury Housing Trust was incorporated on 15 November 21x17 (Company Number 06428240) and is
company limited by guarantee. The company was awarded charitable status in May 2008 and is registered with the
Charrty Commis51on (Charity Number 1123799). The company is constituted under a Memorandum of Asso¢ialion.

R•¢rultm•nt and appointm•nt of Tru•t•¢8
A prospective Direclorrrrusteè Is required to be a practlcing Chrlstian and is appointed by the seNlng Directorsl
Trustees. New Trustees visit properties owned by the Trust and attend a management meeting before appointment.
This helps them to understand the nature and work of the Charity. Trustees have a role description and subscribe lo
a code of conduct. All Trustees have access lo Charity Commission and NCVO publications and resources and
keep up lo dale, attending training courses when able.
Board members have a varied skill set and are well qualified to manage the work of the Charity. In 2018 the Trustee
carried out a skills audit to ensure that all requisite skills were represented on the Board. All Trustees are passionate
about meeting the needs of people with learning disabilities in the communily. Trustees receive no remuneration
and meet within the Management Committee to receive reports, review the activities of the Charity and plan for
fvture developments.
Managem•nt of the Charlty
The Board of Trustees meets regularly through the year snd up to Iho merger date lo oversee the work and
development of the Charity.
The Senior Management Team were appointed lo be responsible for the day to day running of the Charity. Mrs
Helen Haigh was the appointed Registered Manager and CQC Nominated Individual and advised on the
accommodalion needs of our tenants through the year.
Payment of key personnel
The Ponlesbury Housing Trust does not directly employ staff but utilises. and remunerates for. the services of the
management and administration team of the Pontesbury Project for People with Special Needs.

Relatlonshlp with related partles
The Pontesbury Housing Trust shares a close working relationship with the Pontesbury Project fof People with
Special Needs. It is a requirement of all licenses that tenants receive a support package funded by the Local
Authority. 11 is the responsibility of the Trust to ensure that tenants are supported by a suitable and registered
provider. The care provider for Our tenants is The Pontesbury Project for People with Special Needs which gives an
exceptional and bespoke support service for all our tenants, is registered with the Care Quality Commission and
rated as "good. in all areas.
Statoment of Tru$tee8' responsibllltles
The Trustees. who are also the directors of The Pontesbury Housing Trust for the purpose of cnmpany law, are
responsible for preparing the Trustees, Report and the financial statements in accordance with applicable law and
United Kingdom A¢countlng Standards (United Kingdom Genefally Accepted Accounting Practice).
R18k management
The Trustees have a duly lo identify and revlew the risks to which the Charity is exposed. Ourlng Ihe year. the Board
revlewed all risks and ensured that systems and procedures are in place lo mitigate and manage those risks. The
Trustees considered that there were no risks identified that would be likely to significantly affect the Charily's abillty
lo continue its activities.
Disclosure of infornlation to the independent examlner
Each of the Trustees has confirmed that there is no information of which they are aware which is relevant to the
independent examiner, but of which they are unaware. They have further confirmed that they have taken
appropriate steps to idenlify such relevant information and to establish that the auditor is aware of such information.
The report has been prepared having taken advantage ol the small companies exemptlon In the Companies Act
2006.

1.1 Accountlng conventlon
The financial slatements have been prepared in accordance with the charity's goveming document, the
Companies Act 2006, FRS 102 "The Financial Reporting Standard applicable in the UK and Republic of
Ireland" (°FRS 102") and the Charities SORP "Accounting and Reporting by Charities.. Statement of
Recommended Practice applicable to charities preparing their a¢¢ounts in accordance with the Financial
Reporting Standard applicable in the UK and Republic of Ir8land (FRS 102)" {8ffeclive 1 January 2019). The
charity Is a Public Benefil Entity as defined by FRS 102.
The charity has taken advanlage of the provisions in the SORP for Charities not to prepare a Statement of
Cash Flows,
The financial statements are prepared in sterfing, which is the functional currency of the charity. Monetary
amounts in these financial statements are rounded to the nearest £.
The financial slatemenls have been prepared under the historical cost convention modified to indude the
revaluation of freehold properties and to include investment properties and ¢ertain financial instruments at fair
value, The prlnclpal accounting policies adopted are set out below.
1.2 Golng concern
Al the time of approving the financial statements, the Trustees have a reasonable expectation that the charity
has adequate resources to continue in operational existence for Ihe foreseeable future. Thus the Trustees
Continue lo adopt the going Concern basi$ of accounting in preparing the finanaal statements.
1.3 Charltable funds
Unrestricled fur)ds are available for use al the disuetion of the Trustees in furtherance of their charitable
objectives.
Restricted fvnds are subject to specific conditions by donors or grantors a$ lo how they may be used. The
purposes and uses of the restricted fvnds are set out in the notes lo the financial slatoments.

Income is recognised when the charlty is legally entitled to it after any performance Condrtions have been met.
the amounts can be measured reliably, and it is probable that income will be received.
Cash donations are recognised on receipt. Other donations are recognised once the charity has been notified
of the donation, unless performance conditions require deferral of the amount. Income tax recoverable in
relation to donations received under Gift Aid or deeds of covenant is recognised at the time of the donation.
Legacies are recognised on receipt or olherwise rf the charity has been notified of an impending distribution.

1.5 Expendlture
Expenditure is accounted for on an accruals basis and has been classified under headings Ihal aggregate all

Tangible fixed assets are initially measured al cost and subsequently measured at cost or valuation, net of
depreciation and any impairment105ses.

The gain or loss arising on the disposal of an asset is determined as the difference between the sale proceeds
and Ihe carrying value of the asset, and is recognised in the statement of financial activities.
1.7 Impalrment of fixed asg0ts
At each reporting end date, the charlly reviews the cafrying amounts of ils tangible assets to determine
whether there is any indication that those assets have Suffered an impaimienl loss. If any such indication
exists, the recoverable amount of the asset is estimated in order to determine the extent of the impairment
loss (if any).
1.8 Cash and cash equlvalents
Cash and ¢ash equivalents indude cash in hand, deposits held al call with banks, other short.term liquid
investments with original maturities of three rnonths or less. and bank overdrafts. Bank overdrafts are shown
within borrowings in current liabilities.
1.9 Flnanclal In8trum•nts
The charity has elected to apply the provisions of Section 11 'Ba51c Finan¢lal Instrumenls, and Sects'on 12
'Other Financial Instruments Issues, of FRS 102 to all of its financial instruments.
Financial inslmments are recognised in the Charity's balance sheet when the charity becomes paty to the
contractual provisior)s of the inslrurnent.
Financial assets and liabilities are offset, with the net amounts presented in the financial statements. when
there is a legally enforceable right to sel off the rewgnised amounts and there is an intention to settle on a net
basis or to realise ihe asset and settle the liability simultaneously.
Baslc Ilnanclal assets
Basic financial assets, which include debtors and cash and bank balances, are initially measured al
transa¢tion price including transaction costs and are subsequently carried at amortised cost using the effeclive
interest method unless the arrangement constitutes a financing transaction, where the transaction is
measured at the present value of the future receipts discounted at a markel rate of interesl. Financial assets
classified as Feceivable within ¢Jne year are not amortised.

Basic financial liabilities, including creditors and bank loans are initially recognised at transaction price unless
the arrangement ¢onslilutes a financing transaction, where the debt instrument 15 measured at the present
value of the future payments discounted at a market rale of interest. Financial liabilities classified as payable
within one year are not amortised.
Debt instruments are subsequently carried at amortised cost, using the effective interest rate method.
Trade creditors are obligation$ to pay for goods or services that have been acquired in the ordinary course of
operations from suppliers. Amounts payable are dassified as Current liabilities if payment is due within one
year or less. If not, Ihey are presented as non-¢urrent liabilities. Trade creditors are recognised initially at
transactlon price and subsequently measured al amortised cost using the effective inlerest method.
Derecognition of financial liabilities
Financial liabilities are derecognised when the Charity's contractual obligations expire or are discharged or
cancelled.
1.10 Taxation
The charlly is exempt from corporation tax on ils charitable activities.
1.11 Fund accountlng
Unre$lTicled funds can be used in accordance with the charitable obJ8clives al the discretion of the trustees.
Reslricled funds can only be used for particular restricted purposes within the objeds of the charity.
Reslrlctlons arise when specified by the donor or when funds are raised for particular restricted purposes.
Further explanation of the nature and purpose of each fund Is included in the notes to the financial
statements.
1.12 Debtors
Prepayments are valued at the amount prepaid. Accrued income is recognised at the settlement amount due.
1.13 Credltorn
Creditors and provisions are recognlsed where th8 charity has a present obligation resulting from a past event
thal will probably result in the transfer of funds to a third party and the amount due lo settle the obligation can
be measured reliably. Credilors and provisions are nornially recognised at their settlement amount.
Crltlcal accounting estimates and Judgements
In the application of the charity's accounting policies, the Trustees are required to make judgements,
estimates and assumptions about the carrying amount of assets and liabilities that are not readily apparent
from other sources. The estimates and associated assumptions are based on historical experience and other
factors thal are considered to be relevanl. Actual Tesults may differ from these estimates.
The estimates and underlying assumptions are reviewed on an ongoing basis. Revislons lo accounting
estimates are recognised in the period in which the estimate is revised where the revision affeds only that
period, or in the period of the revision and futuwe periods where the revision affects both current and future
periods.

The freehold properties were revalued at 14th April 2025 by Halls Holdings Limited. Although the valuation5
were performed post year end, the values are not expected to have materially changed from 31th March 2025
to 14th April 2025 and so these values have been included in the accounts.

17 Related party tran8action8
During the year the charlty entered into the following transactions with related parties:
The Ponlesbury Housing Trust shares a close working relatlonshlp wlth The Pontesbury Project for People
with Special Needs (PPSN), another charitable Company that supports people with le8mlng and other
difficulties.
The Pontesbury Housing Trust is landlord of property rented by PPSN and also of service users supported by
the Domiciliary Care Agency operated by PPSN. During the year PPSN paid rent of £27.000 (2024- £27.000)
to The Pontesbury Housing Trust for Ihe various properties rented.
The Pontesbury Housing Trust pays a service charge to the PPSN for administrative services, use of a vehicle
and maintenance Gharges. Dunng the year £30.312 {2024- £33.312} was paid for these services.
At the year end £nil is due fromno PPSN (2024- £nil was due to PPSN).
