## **STRUCTURE AND GOVERNANCE** 

The Charity is governed by a Constitution dated 13 May 2007.  Membership is open to any baptised and chrismated Orthodox Christian over the age of 18 who supports its Objects and who has paid a voluntary membership subscription. 

The Trustees are elected by the members for a period of 2 years. 

The Trustees meet at least 4 times per year. 

## **PUBLIC BENEFIT** 

The Trustees have given careful consideration to the Charity Commissioners’ advice and consider that the activities of the Charity are in the public benefit. 

## **OBJECTIVES AND ACTIVITIES** 

The objects of the Community are the advancement of the Orthodox Christian faith and traditions as contained in Holy Scripture, as practised in the life of the church, as confirmed by the Oecumenical and local Councils and as interpreted, preserved and taught by the great Church of Christ, the Oecumenical Patriarchate of Constantinople ("the Objects"). 

In the period the Charity continued to provide services in the Orthodox Tradition at The Chapel, The Cemetery, Clifton Road, Rugby CV21 3QW. 

## **FINANCIAL REVIEW AND FUTURE STRATEGY** 

The Trustees’ underlying primary financial objectives of attaining at least an operational break-even position at the end of each financial year and of maintaining reserve funds at a level equivalent to at least one Quarter’s foreseen expenditure, as recommended by the Charity Commissioners, remain unchanged. In 2025 the Trustees agreed in its budget setting for that year to spend some of the accumulated funds on refurbishments and improvements to the church fabric. That work was carried out, and completed within budget. 

The expenditure on refurbishment and improvements to the church fabric has contributed to the £6.9K net deficit seen in 2025 in terms of income against expenditure. Another contributing factor seen in the increase of expenditure was the

cost of visiting clergy to our parish incurred in 2025, which was not able to be foreseen or properly budgeted for at the start of 2025 due to the worsening health and increasing frailty of our parish priest as the year progressed and the increasing frequency of visits from clergy sent from the Archdiocese to come to our parish to assist in the services and the increase in need for clergy support. The need for visiting clergy is expected to continue for the foreseeable future into at least 2026. 

The Trustees, therefore, have initiated action to increase the level of income into the Community, whilst also taking action to identify potential and beneficial savings in expenditure in other areas e.g. changing electricity tariff plan, changing website provider etc. A programme is currently being developed to increase donations into the Community in an effective, sensitive and spiritually appropriate manner. In addition, the Trustees continue to be in consultation with the Archdiocese, and have gained their agreement to have a lower remuneration rate set for visiting clergy to ensure that this cost is properly budgeted for, and that it is adequately covered by the Community’s funds.
