The trustees have considered the Charity Commission's general guidance on public benefit when revEwing the
aims and objectives. The primary aim ol the chantable company is the education of boys and gids. The school
accepts children who are of average abilty and above. and rt activety encourages the development of all abilities. As
an independent school we are aware that fees may act as a barrier lo some and we therefore provide bursaries and
scholarships for pupils for whom the school will otherwise be oul of reach. Furthemiore. during period5 that the
School is not being used lor the advancement of education. it 1$ lel to rnember5 of the IoGqI public. We have seen
8n increase in local groups using our prèmisès and wè are kèèn to piovidè gfeatèr levèls of opportunity moving
forwards.

The updated framework no longer provides an overall graded judgement (such as 'Excellent' or 'Good'l,' rather, it

The inspection affirmed the school's robust educabonal provision and pastoral care. and provided encouraging

operating deficit before depreciation was £305.78112024.. £279.5381.
As an independent school we are tasked delivering exception81 edUCat￿n. and must navigate 8 deli￿te

pupil fees. The school's policy is to ensure that rts income after deduction of operating expenses is invested in the
school to ensure the highest standards in the education and faalities provided to its pupils.
This past year has proved to be very challenging. with the effects of the poor economic climate being lert by
parents, as well as the school. Not onty has this resulled in InC￿aSed costs. b¢Jt has affected parents. deasions
about investing in independent education. reflected in lower pupil numbers. Also. we have been focusing on how
scholarships and bursaries, retenbon of leaching and 511PPOrt staff. and reinvestment of fees will thape our future.

havè bsen prtsvided wrth different profilès and fèmits. The investmènt managers met wrth Financo & Ganeral
Purpose Committee during the year to discuss the perfomiance and risk profile of each fund.

The ch8rilable comp8ny is 8 company limited by guar8nlee, g¢)vemed by its Mernorandum and Articles of
Association which were drawn up on 26 January 2007. The l￿blIrtY of members is limited to £10. The charitable
company registered wrth the Charity Commission on 29 October 2LK)7 and began its first pe￿0d traling as an
independent charity on 1 January 2008 under charrty number 1121398.
Our Lady of Sion School Govemor5. as the Iruslees of the chaiilable company. are legalty responsible for the
overall management and control ol both Ihe Junior and Seniw School, and meet at least three times a year to 8greg
the strategic objectives for the School.
The Board of Governors shall consist, when complete, of not less than eighl and not more and fourteen competent
persons. At each AGM. a third of all Cwled Governors shall retire and as appropriate appty for re-appointment.
The work of monitoring the irnplementation of the finance stralegy is c8rried out by the member5 of the Fin8nce and
General Purposes Committee IF&GPI. Other principal comtnrttees are ctsn¥ened when necessary. Thè day to day
running of the School is delegated to Ihe Headleacher supported by Senior Management Teams, together wrth the
8ursar. The Headteacher and the Bursar attend meetings ofthe above Committees.
The School is subject to the inspection regime set in place by the govemment. and the reSu￿1n9 inspection reports

of the school propety. We then purchased the woperties from the order in August 2025 along with the purchase of
a 99&year lease lor the land.
