The Trustees ar¢ pleased to present their report together with the unaudited financial statements of the
charity for the year ended 31 March 20?4 which are also prepared to meet the requirements for a
directors, report and financial statements for Companies Act purpose5.
Reference and administratiN'e details. set out on the previous page, form part of this report. The
financial statements comply w'iih the Charities Act ?0 I I, the Companies Act 2006, the ineiiiorandum
and articles of association and Accounting and Reporting by Charities: Statement of Recommended
Practice applicable to charities preparing their accounts in accordance with the Financial Reporting
Standard applicable in the UK and Republic of Ireland (FRS 102).

The Hextol Foundation is a compan), limited by guarantee and is goi,erned by its memorandum and
articles of association dated 4 August 9006, as amended by special resolutions dated 14 August 2007
and 4 July 2011. It was registered with the Charity Commission on 14 September 2007.
ointment of Trustees
The Trustees ar¢ directors for the pury)os¢s of company law and the members of the charity must
become Trustees. The number of Trustees must not be less than three and no more than twelve
persons. The Trustees may at any time C[￿opt persons between annual general meetings, provided that
th¢ numbcr co-opted does not exceed one third of the total number of Trustees. All cfropte¢s must
stand down at the end of the annual general meeting following their e￿optIOn.
Induction and trainin
of Trustees
The induction and training of Trustees is dealt with according to individual need. Trustees usually
have prior professional, sector or charity knowledge and experience.

The charity is managed by the Trustees, who meet approximately 4 times a year. Two Trustees are
needed for a quorum. The Trustees w'ho have served during the year are set out on the reference and
administrative details page.
The Chief Executive is responsible for the leadership, strategic development and effectiveness of the
charity and oversees the delivery of services.
The Finance Manager is responsible for day to day accounting and financial reporting.
The Fundraising Manager is responsible for fundraising activity to support the charity.
The Office Manager is responsible for administrative and operational sUp￿rL including health and
safety and other central functions.
The Beneficiary Engagement Manager is responsible for the recruitment, development and welfare of
all Volunte¢rs/Beneficiaries.
The Catering Manager oversees the planning. logistics and delivery of the services for their business,
supported b}, Supervisors to run each shifL guiding the charity's beneficiaries, and ensuring the service
delivered meets customer expectations.

A full set of policies on health and safety, safeguarding. financial managemenL staffing, infom]ation
s¢curity and customer liaison have been established and are reviewed as required.
Safe
The charity has a natural focus on the safety and security of its entire workforce. especially as a
number of them are vulnerable people. With this in mind,
All Managers, Supervisors and Administrative staff are qualified first aiders.
All who work at the charitv (including volunteers and beneficiaries) must obtain an enhanced
Disclosure and Barring Service check and are governed by the charity's safeguarding policy
for protecting vulnerable adults and children.
The charity engag¢s in "Safer Recruitment" procedures.
Advice has been proi'ided by the local fire service about fire escape routes.
Saf¢guarding policies and procedures have been reviewed during the year and appropriat¢
training proi'ided.
The charity's health and safety officer is Claire Smith.
Its employer's liability, public and products liability, contents and D&0 insurance policy is provided
by Towergate Insurance and its motor insurance by Zurich Insurance.
Objectives and activitie5
The Hextol Foundation is an independent charitable company, based in Hexham. creating
opportunities for people V¥'ith a learning disabilitvldifficulty and / or mental health needs to gain real
work experience and to develop job skills. confidence and self-esteem: thereby helping to improve
mental and physical health and reduce social isolation. These are rare opportunities for people, whos¢
condition or disability makes it practically impossible for them to gain paid employment, to be able to
ontribute to society and to find a r¢al sense of purpose.
Our charitable objects are to improv¢ the lives of people with disabilities and who may have other
disadvantages, by creating opportunities to work. providing education and training and developing
such other charitable fomis of support as required. We achieve this by setting up not for profit
businesses that provide safe and supported work and work-based training.
By our work we seek to challenge the stigma which surrounds the ability of those with learning
difficulties and mental health needs.
In planning and carrving out the charity s activities for the year, the Trustees have considered the
guidance produced by the Charity Commission on public benefit, including the guidance 'Public
benefit: running a charity (PB2)'.
Achievements and performance
During the year we returned to pre-pandemic levels of operating and:
Worked with 92 beneficiaries across all our service areas plus 15 pupils at Thomas Bewick
School (2023: 88)
Provided a total of I1,2?9 hours of working opportunities and experience for our beneficiaries
(2023- 10,095)

Continued in our mission of addrcssing social isolation in our beneficiary groups by a
combination of team working. social events and, importantly, our Lunchclub.
We were able to attract grant funding to support both our social events and Lunchclub which
allowed us to continue those initiatives. Demand for Lunchclub has steadily risen and to meet
this demand we increased LunchCLub to 5 days per week. In the year we served a total of
1,857 meals and l 17 beneficiaries attended our social events.
Continued our training programme consisting of both internal workshops and externally
accredited qualifications. As a result of specific funding we were able to offer a mix of
ASDANS, food hygiene and health and safety training. ?5 courses were delivered leading to a
total of 17 qualifications and l O ASDAN accreditations. 36 individuals attended our internal
workshops.
Offered Mental Health First Aid training externally. We regard this as an important way of
helping to protect the health of people in the community, in line with our objective of
improving the lives of those suffering a disadvantage.
Continued to operate the café we had opened in ?016 (Hextol Tans) 6 days per week. Trading
'as good and the café is a major source of working opportunities for our beneficiaries. The
cafe remained the only exclusively vegetarian/vegan cafe in Hexham and continued to attract
excellent Google and Trip Advisor ratings and reviews. We believe the quality of the service
we provide is a key part of our mission to showcase the thlents of our beneficiary group and
increases the self esteem of our beneficiaries.
Continued to provide gardening, pack and post and warehouse services in Hexham.
Operated our catering service which. in addition to catering for our Lunchclub also provides
external catering services.
Refocussed our gardening sen'ice in Hexham and closed our Nemicastle operation. This has
resulted in an improi'ed experience for the beneficiaries who were in our Newcastle service
and who transferred to Hexham.
Launched an entirely new. project "Grow with Hextol" In collaboration with Lowgate Care
Home have developed a groiving project specifically aimed at those who would not
usually participate in our gardening services. This has enabled us to focus on the therapeuti
aspects of horticulture. The project is fully grant funded and ￿ ill be evaluated with a view to
continuing and expanding it.
Launched a flat pack assembly service.
Developed a close working relationship with Cycling Minds, a local CIC, which, after the year
end, led to us absorbing their ouided e-bike ride programme. The rides deliver mental health
benefits to those with mental health need and is complementary to our existing programme.
Recruited two new Trustees to further strengthen our Board

Over the year the following hours of working experience were completed by our beneficiaries .
Hextol Tans: 5,176 hours (2023: 3,726.5), with 43 individuals engaged (2023: 38)
Grcenbox: 1,815 hours (20?3: 1,862), with 22 individuals engaged (2023: 22)
Gardening (Hexham): 2,188 hours (2023: 1,081.5) with 16 individuals engaged (2023: 13)
Gardening (Newcastle): 459 hours (2023: 1,989) with 3 individuals engaged (2023: 11). These
figures are for the service before it was relocated to Hexham. In addition to the individuals
involved we also engaged w ith 15 students at Thomas Bewick School
Propertyworks.. 387 hours (2023: 400.5) with 7 individuals engaged (2023: 10)
Cat¢ring- 954.5 hours (20?3- 802) with l O individuals engaged (2093- 7)
Core (cleaning, oifice support etc): 207 hours (2023: 182) with 3 individuals involved (2023:
2)
And in addition beneficiaries attended 51.5 hrs of workshops.
Financial review and performance
The principal source of income comprised trading of £292,985 (2023: £255,649), with a further
£134.079 in grants and donations (202J £90.451).
The net expenditure for the year was £6,450 (?0?3: £65,370) as disclosed in the Statement of Financial
Activities on page 8. Unrestricted funds at ihe year end decreased to £?5,951 (2023: £29,J6J).
Reserves policy
It is the policy of the charity to seek- to ¢stablish and maintain a reseTr¢s fund based on a business risk
assessment or on covering up to 6 months of operating costs. After the fifteenth year of the charity s
operation, free reserves at 31 March 2024 toL211ed £20.140 (?0?3.. £2?,511). The Trustees will review
both the policy and the reserves position on a regular basis.
After the year end we received an endowment of £105,000 from The Edward Gostling Foundation
which is designated to support our reserves.
Plans for future periods
The charity Nwill continue to provide opportunities in Hexham.
Wherever appropriate the charity will seek to work in partnership with other organisations, including
charities, to expand the opportunities available to its beneficiaries in a sustainable and mutually
beneficial way.
The charity recognises the need to combat social isolation which is endemic in its beneficiary groups
and will do this by offering team Morking opportunities, increasing its regular lunch clubs and by
social events.
Building on the success of the programme provided this year the charity will seek to offer mor¢
extemally accredited training if funding is secured.

The charity will seek to diversify the opportunities it offers to its beneficiaries where appropriate.
We will continue to w'ork with all our stakeholders to take opportunities for growth whenever they
aris¢.
Statement of Trustees, responsibilities in relation to the financial statements
The Trustees (who are also directors of The Hextol Foundation for the purposes of company law) are
responsible for preparing the Teport of the Trustees and the financial statements in accordance with
applicable law and United Kingdom Accounting Standards (United Kingdom Generally Accepted
Accounting Practice).
Company law requires the Trustees to prepare financial statements for each financial year which giv¢ a
true and fair view of the state of affairs of the charitable company and of the incoming resources and
application of resources, including the income and expenditure. of the charitable company for that
period. In preparing these financial statement& the Trustees are required to:
select suitable accounting policies and then apply them consistently-
observe the methods and principles in the Charities SORP;
make judgements and estimates that are reasonable and prudent;
stat¢ whether applicable UK Accounting Standards have been followed, subject to any
material
departures disclosed and explained in the financial statements.
prepare the financial statements on the going concern basis unless it is inappropriate to
presume that the charitable company will continue in operation.
The Trustees are responsibl¢ for keeping ad¢quat¢ accounting records that disclose with reasonabl¢
accuracv at any time the financial position of the charitable company and enable them to ensure that
the financial statements comply iiith the Companies Act 2006. They are also responsible for
safeguarding the assets of the charitable company and hence for taking reasonable steps for the
prevention and detection of fraud and other irregularities.
Small company provisions
This report has been prepared in accordance with the special provisions for small companies, under
Part 15 of the Companies Act 2006.

ended 31 March 2094, which are set out on pages 8 to 17.
Responsibilities and basis of report
As the charity's Trustees of the company (and also, it's directors for the purposes of company law) you are
responsible for the prepardtion of the financial statements in accordance with the requirements of the
Companies Act 2006 ('the 2006 Act ).
Having satisfied myself that the financial statements of the company are not required to be audited under
Part 16 of the 2006 Act and are eligible for independent examination, I report in respect of my examination
of j'our charity's financial statements as carried out under section 145 of the Charities Act ?0 I l (the '2011
Act,). In canying out mv examination I have followed the Directions given by the Charity Commission
under section 145(5Xb) of the ?01 l Act.

l. Legal status of the charity
The charity is a company limited by guarantee and has no share capiLql. The liability of each member in the
event of winding up 15 limited to £ l.
2. Accounting policies
The principal accounting policies adopted, judgements and Key sources of estimation uncertainty in the
preparation of the financial statements are as follows-
a) Basis of preparation
The financial statements have been prepared under the historical cost convention with items recognised at
Cost or transaction value unless otherwise stated. They have been prepared in accordance ￿'1th Accounting
and Reporting by Charities.. Statement of Recommended Practice applicable to charities preparing their
accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland
Charities SORP FRS 102 (l January. 2019), the Financial Reporting SL￿dard applicable in the UK and the
Republic of Ireland (FRS 102) and the Companie5 Act 2006.
The Hextol Foundation meets the definition of a public benefit entity under FRS 102.
The financial statements are prepared in sterling which is the functional and presentation currency of the
charity.
b) Preparation of the aceounts on a going concern basis
The Trustees have reviewed its cash flow forecasts and there is a reasonable expectation that the charitv has
adequate resources to continue in operational exislence for ai least the next tw'elve months and on this
basis the Trustee5 consider that the charity 15 a goin(F concern.
c) Fund accounting- Unrestricted and restricted funds
Unrestricted funds are donations and other income recelvable or generated for the objects of the charity
without further specified purpose and are available a5 general funds.
Restricted ￿ndS are given for a specific purpose and fillther detalls are provided in the notes to the
financial statements.
d) Fixed assets and depreciation
Depreciation is calculated so as to write off the cost of a fixed assei. less its estimated residual value,
over the useful economic life of that a55et as follows-

Cash at bank consists of a Barclays Bank plc current account.
Creditors and provisions
Creditors and provisions are recognised where the charity has a present obligation resulting from a past
event that will probablv result in the trdnsfer of funds to a third party and the amount due to settle the
obligation can be measured or esiimated reliably. Creditors and provisions are nornlally recognised at
their settlement amount.

2. Aecounting polieies (conliFziied)
g) Financial instruments
The charity only has financial instruments and financial liabilities of a kind that qualify as basic financial
instruments. Basic financial instruments are initially measured at transaction value and subsequently
measured at their settlement value: with the exception of the bounce back loan which is measured at
amortised cost using the effective interest method.
h) Operating lease agreements
Rentals applicable to operating leases where substantiall! all of the benefits and risks of 0￿￿ership
remain with the lessor are charged againsi profits on a straiJts t line basis over the period of the lease.
i) Income recognition
All income is included in the statement of financial activities when the charity has entitlement to the
income, it is probable that the income will be received and the amount of income receivable can be
measured reliably.
Donations are received by way of grants and donations and are included in full in the statement of financial
activities when the charity has entitlement to the funds, any performance conditions attached to the grants
have been met, it is probable that the income will be received and ihe amouni can be measured reliably.
Grants and other income received in advance of the period to which they relate are treated as deferred
income if the related expendilure cannoi be incurred until the future period. Defe￿d income is included
in liabilities in the balance sheet.
For legacy income, eniitlement is taken as the earlier of the date on which either the charity is aware that
probate has been granted, the estate has been finalised and notification has been made by the executor to
the charity that a disiribution M'ill be made. or when a distribution is received from the estate.
Donated goods are recognised as income when the charity has control over the item, any conditions
associated with the donated item has been met, the receipt of economic benefit from the use by the charity
of the itern is probable and that economic benefit can be measured reliablv. Donated goods are measured at
their fair value.
j) Expenditure recognition
Expenditure is recognised as soon as there is a legal or constructive obligation to make a paynent to a third
party, it is probable that settlement will be required and ihe amount of the obligation can be measured
reliably. All expenditure is accounted for on an accnbals basis, inclusive olany V A T ￿hICh cannot be
recovered.
Expenditure on raising funds comprise the costs incurred in Tai5ing income frotn grants aT]d doT]ation5.
Charitable expenditure comprises all costs of activities in furtherance of the objects of the charlty.
Governance costs represents costs incurred in connection with the administration of the charity and
compliance with constitutional and statutory requirements.
Support costs relating to more than one activity are allocated on the basis of staff time spent.
k) Pension costs
Employees of the charity are entitled io join a defined contribution mone), purchase scheme. The charity
contribution in the year is disclosed in note 6. The money purchase plan is managed by B&CE Holdings
(The People's Pension). The charity ha5 no liability be)'ond making its contributions and paying across the
deductions for employees, contribulions.

The charity took out a £50,000 loan under the Bounce Back Loan Scheme in August 2020. In August 2021,
