## **DIRECTORS’ REPORT** 

The directors present their report together with the accounts for the year ending 31 March, 2021. 

## **Review & Operations** 

The company was formed on the 30 June, 2004, and on that date all of the assets  of  the  Prichard  Jones  Institute  and  Cottage  Homes  (Charity  Number 249915) were transferred to the company.  The objects of the company are to renovate and operate a community hall to serve the villages of Newborough and the surrounding villages namely Llangeinwen, Llangaffo, Llanidan and Trefdraeth, Anglesey, according to the wishes of the late John Prichard Jones. 

The Prichard Jones Institute and Cottage Homes is a subsidiary  and is a charity registered on the 28 June, 2007. 

## **Public Benefit** 

The  Prichard  Jones  Hall  is  a  valuable  resource  for  the  societies  and education/cultural bodies of the area. In addition, the library which is located in the hall is of educational benefit to the whole community. 

## **Directors (Trustees)** 

The Trustees who served during the year are noted as follows :

Appointments  are  made  in  the  Annual  General  Meeting  according  to  the Memorandum & Articles of Association. 

## **Operating & Decision Making Structure** 

The company is run by the 4 directors who are noted above. 

Arrangements for appointing new Trustees: 

New Trustees are appointed upon the retirement of other Trustees.  As the Trustees represent the interest of various societies, those societies are invited to nominate new Trustees where appropriate. 

New Trustees are appointed to the Board in the next full meeting, and their appointment is ratified by voting. 

## **Trustees & Risk Management** 

The Trustees are aware that the level of risk associated with the investments of the charity should be kept as low as possible.  To this end the investments of the charity are made in bank accounts which have a very low level of risk.

## **Achievements & Performance** 

The Prichard Jones Institute has been closed to the public for most of 2020 and 2021 due to the Covid 19 pandemic.  But recently due to the easing of lockdown some activities have restarted such as Yoga classes and the odd room being rented out.,  S4C using one room to conduct an interview; The Red Squirrel Society (Llyn Parc Mawr) have been renting the top office and are due to restart meetings etc. next month, and the Community Council will be conducting monthly meeetings from September in the larger assembly room.  The Prichard Jones Institute continued to be the polling station for Newborough and an election was held in May 2021.  The playing park has a new committee and is due to reopen this summer. 

All six of the cottages are occupied and various repairs have been carried out on three  of  the  cottage  homes,  including  new  windows  to  number  3  and  plastering, plumbing work to number 6, and front door waterproofing to number 4.  All the tenants now pay rent via BACS and all the cottages are up to date with gas certificates.  The Institute itself has a new burglar alarm which was recently fitted and has had new fire extinguishers fitted throughout and new fire alarm panels throughout the Institute.  The lift and fire safety system has been serviced twice annually along with the clock and the  central  heating  system.   New  Wi-Fi  panels  linking  the  heating  system  of  the institute have all been renewed.  Large dehumidifiers are now placed in most of the rooms and are regularly emptied.  These were purchased by a donation from the Rhosyr Community Council.  All the walls inside have been painted with a clear mould proofer.  All the rooms have Covid stations and one is stationed inside the porch.  There is ongoing work to combat a major weed problem to the back of the Institute.  The grounds are maintained by a local gardener and a local handyman carries out minor repairs when required. 

Fundraising continues to be difficult and the pandemic was a worry, but the Trustees are looking at various ways to engage with the new Santes Dwynwen School and encourage pupils to visit.

## **Review of Financial Position** 

The Trustees  are pleased  to  note that  a  surplus  was  made  during  the year  of £14,859 (2020: £7,925).  The Trustees are confident that the charity can continue to make a surplus in order to strengthen the unrestricted fund and build up financial reserves. 

## **Policy relating to Reserves** 

It is the charity’s aim to ensure that the charity has sufficient reserves in order that it can maintain the hall and cottages from its own income. 

## **Trustees’ Responsibilities** 

The  Trustees  are  responsible  for  preparing  the  Trustees  Report  and  Financial Statements in accordance with the applicable law and UK GAAP. 

Company  law  requires  the  Trustees  to  prepare  Financial  Statements  for  each financial year which give a true and fair view of the state of affairs of the charitable company and of the incoming resources and application of resources of the charitable company for that period.  In preparing these financial statements, the Trustees are required to:- 

- select suitable accounting policies and then apply them consistently; 

- observe the methods and principles in the Charities SORP; 

- make judgements and estimates that are reasonable and prudent; 

- state whether applicable UK accounting standards have been followed, subject to any material departures disclosed and explained in the financial statements; and 

- prepare  the  financial  statements  on  the  going  concern  basis  unless  it  is inappropriate to presume that the charitable company will continue in business. 

The Trustees are responsible for keeping proper accounting records that disclose with reasonable accuracy at any time the financial position of the charitable company and enable them to ensure that the Financial Statements comply with the Companies Act 2006.  They are also responsible for safeguarding the assets of the charitable company and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities.

## **TO THE TRUSTEE OF CWMNI SEFYDLEDIG PRICHARD JONES CYF.** 

I report on the accounts of the Trust for the year ended 31 March, 2021, which are set out on pages 5 to 10. 

## **Respective Responsibilities of Trustee and Examiner** 

The Charity’s Trustees are responsible for the preparation of the accounts. The Charity’s Trustee consider that an audit is not required for this year under Section 144(2) of the Charities Act 2011 (the 2011 Act) and that an independent examination is needed. 

It is my responsibility to:- 

- examine the accounts under Section 145 of the 2011 Act; 

- to follow the procedures laid down in the General Directions given by the Charity Commissioner under Section 145(5)(b) of the 2011 Act; and 

- to state whether particular matters have come to my attention. 

## **Basis of Independent Examiner’s Report** 

My examination was carried out in accordance with the General Directions given by the Charity Commissioner.  An examination includes a review of the accounting  records  kept  by  the  charity  and  a  comparison  of  the  accounts presented with those records.  It also includes consideration of any unusual items or disclosures in the accounts, and the seeking of explanations from you as trustee concerning any such matters.  The procedures undertaken do not provide all the evidence that would be required in an audit and, consequently no opinion is given as to whether the accounts present a “true and fair view” and the report is limited to those matters set out in the statement below. 

## **Independent Examiner’s Statement** 

In connection with my examination, no matter has come to my attention: 

- which gives me reasonable cause to believe that, in any material respect, the requirements: 

   - a. to  keep  accounting  records  in  accordance  with  Section  386  of  the Companies Act 2006; and 

   - b. to prepare accounts which accord with the accounting records, comply with the accounting requirements of the Companies Act 2006 and with the  methods  and  principles  of  the  Statement  of  Recommended Practice:  Accounting  and  Reporting  by  Charities  (FRS102)  have  not been met; or 

- to which, in my opinion, attention should be drawn in order to enable a proper understanding of the accounts to be reached.

## 1. **General Information** 

The charity is a private company limited by guarantee, registered in Wales and a registered charity in Wales. The address of the registered office is Pritchard Jones Institute, Newborough, Llanfairpwllgwyngyll, Gwynedd, LL61 6SY. 

## 2. **Statement of Compliance** 

These financial statements have been prepared in compliance with FRS 102, 'The Financial Reporting Standard applicable in the UK and the Republic of Ireland',  the  Statement  of  Recommended  Practice  applicable  to  charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (Charities SORP (FRS 102)) and the Charities Act 2011. 

## 3. **Accounting Policies** 

## **Basis of preparation** 

The financial statements have been prepared on the historical cost basis. 

The financial statements are prepared in sterling, which is the functional currency of the entity. 

## **Going concern** 

The charity's viability in its current state is dependent substantially on rental and room hire income. Although there was the loss of a few key room hire rental  tenants,  there  are  no  material  uncertainties  to  the  total  funding expected for the next financial year and therefore about the charity's ability to continue as a going concern. 

## **Fund accounting** 

Unrestricted funds are available for use at the discretion of the trustees to further any of the charity's purposes. 

Restricted funds are subjected to restrictions on their expenditure declared by the donor or through the terms of an appeal.

## 3. **Accounting Policies...continued** 

## **Income** 

Income is accounted for on a receivable basis and the main source of income are grants from various sources and fees. 

Restricted income is included in the restricted fund and is matched against expenditure.  Capital grants receivable are treated as restricted fund income and are matched against depreciation on the assets to which they relate. 

Income is split between unrestricted and restricted funds. 

## **Expenditure** 

All  expenditure  is  included  in  the  Statement  of  Financial  Activities  in accordance with the accruals concept, where there is a legal obligation in place. 

## **Tangible assets** 

Tangible assets are initially recorded at cost, and subsequently stated at cost less any accumulated depreciation and impairment losses. 

## **Depreciation** 

Depreciation  has  not  been  provided  on  the  fixed  assets  of  the  company because in the Directors opinion, this gives a more true and fair view of the situation. 

## **Financial instruments** 

A financial asset or a financial liability is recognised only when the charity becomes a party to the contractual provisions of the instrument. 

Basic financial instruments are initially recognised at the amount receivable or payable including any related transaction costs. 

Current assets and current liabilities are subsequently measured at the cash or other consideration expected to be paid or received and not discounted. 

## **Cash at bank and in hand** 

Cash at bank is held to meet short-term cash commitments as they fall due rather than for investment purposes. 

## **Liabilities** 

Liabilities are amounts due to creditors and any provision made as a result of an obligation to transfer economic benefits, usually in the form of a cash payment, to a third party. A liability is recognised for the amount that the 



charity anticipates it will pay to settle the debt or the amount it has received as an advance payment for goods or services it must provide.
