Sherborne Sports and Leisure Limited Independent Auditors, Report to the trustees of Sherborne Sports and Leisure Limited Misstatements can arise from fraud or error and are considered material if, Individually or in the aregate, they could reasonably be expected to influence the economic decisions of users taken on the basis of these financial statements. EKient to whlch the audlt was considered ¢apable of det*¢tlll8 irregularltles, IncludlnÉ fraud Irregularlties, includlng fraud. are Instances of non-compliance with laws and regulatlons. We design procedures in Ilne with our responsibilities, outlined above. to detect material misstatements in respett of irregularitie5, includin8 fraud. The extent to which our procedures are capable of detecting irregularltie5, including fraud 15 deialled below.. We obtained an understandlng of the legal and regulatory frarneworks within whlch the charitable company operaies, focusing on those laws and re8ulations that have a dlreci effect on the determinatlDn ol material amounts and disclosure5 in the linanclal statements. The laws and regulation5 we con5idere<l in this context were the Companies Act 2006. In addition, we considered provisions of other laws and regulations that do not have a dlrect effect on the Financial statements but compllance with which might be fundamental to the company's ability to operate or to avoid a material penalty. We also considered the opportvnitles and Incentives that may exist withln the company for fraud. The law5 and reBulations we considered in thls context for the UK operatlons were health and safety and employment legislatlon. Audltln8 standards limlt the required audit procedurès to identily non-compllance with these laws and regulation5 to enquiry of the Directors and other mana8ement and inspection ol regulatory and le8al correspondence, if any. We identified the greatest risk of materlal Impact on the Ilnanclal statements from irregvlaritles, Includin8 fraud, to be wlthln the tlmSn8 of reco8nltion of Incorne and the override of controls by mana8ernent. Our audit procedures 10 respond to these rlsks included enquiries of management, the Bursar and the Finance & General Purposes Committee about thelr own identiflcatlon and a55essment of the risks of irre8ularlties, sample testin8 on the p05ting of journals and reviewing accountln8 estlmates for biases, desi8nin8 audit procedures over the timing of income and readln8 mlnutes of meetings of those char8ed with 8overnance. Owin8 to the Inherent limltation5 of an audit, there 15 an unavoidable risk that we may not have detected some material mi55tatements in the finan¢ial statements, even though we have properly planned and performed our audit in accordance with auditing standards. For exarnple, the further removed non- ¢ompliance with laws and regulation5 lirregularitlesl is from the events and transaction5 ieftected in the financial statement5, the le55 likely the inherently limited procedures required by auditing standaii15 would Identlfy it. In addition. as with any audit, there remained a higher rlsk of non-deiectlon of irregularities, as these may involve collusion. forÉery, intentional omissions, misrepresentations, or the override ol internal controls. We are not responsible for preventing non-compliance and cannot be expected to detèct non- compliance wlth all laws and regulation5.
