The Trustees presenl Ihelr annual report and financlal statements for the year ended 30 Aprfl 2024.
It is with great sadness Ihat we report that Dorothy Purdew OBE, founder of the Champneys Health Spa Group and
the Champneys Charitable Foundation, passed away in the prior year on 5th September 2023. She remained
engaged, determined and passionate about the Champn8ys Spa family until the end. Indeed, she still enjoyed
talking lo guests, staff and supporting charitable causes alike. The contTibution of Dorothy Purdew to the UK Spa
industry and charilable causes cannot be overestimated.
The financial statements have been prepared In accordance with the accounting policies sel out in note 1 to the
financial statements and comply wllh the charity's goveming document, th8 Charities Act 2011 and 'Accounling and
Reporting by Charities.. S181ement of Recommended Practic8 applicablè lo charities preparing their accounts in
accordance with the Financial R8POrting Standard applicable In the UK and Rèpublic of Ir8land IFRS

The cherity's obleclives are to prornot6 such charftabl8 purposes within the UK as the trustees shall from lime to
time determlne by th8 provision of grant assistance lo other charStable bodies or lo individuals in particular with
regard lo sick, disabled, or disadvantaged children and adults.
Income Is ralsed by Champneys Group and through fundralslng acllvllles. There has been no change in the charity's
objects durtng the year.
The Trustees have pald due regard lo guidance issued by the Charity Commlsslon In decldlng what a¢llvltles the
charity Should undertake.
In settlng oblecllves and plannlng lor activitiès, the Trustées have given due eonsideratlon to genèral guid8nc8

The chariiy achleves ils purpose and objects by making grants to other charltl85 and Indivlduals. The number of
charities and indivlduals which Ihts charity can 5UPPOrt is necessarily limited by the level of funds available for
distribution in any year.
The truslees have delemilned that prlority should be given lo making grants in order lo offer relBf to those in need
and charities that operate in pursull of Health related activities and initiatives.
The grant making prior51ies are revSewed annually, or more often, if deemed appropTiale by the trLsl6&s, and ther8
may be Changes in accordance with the trustegs, vlew of the m05t affective applicallon of the available funds at any
point in lime. Any change lo the priorili8s musl still fulfil the charitable purposes and objects of the charoty.

Flnanelal revlew
The entire resources of the Charity are unrestricted and th8 trustees have complete discrellon over their use. During
the year the income from donations fell to £44,352 (2023.. £93,209). this decrease was attributable to a reduction in
personal di5posabl8 income.
At the year end, unr85tricted funds amounted to £109,49412023: £113,278).
It 18 the polScy of Ihe Charity that unrestricted funds which hav8 not been designated for a speclflc use should be
maintained al a level equivalent lo twelve month's expenditure. The Trustees consider th81 reseNes 8t this level will
ensure that, In the event of a significant drop in fundlng, they wlll be able to continue the charity's current activities
while consideration is given to ways in which additional funds may be raised. The Irustees are aware that Ihe
reserves at th8 r8POrting daté ar8 subslanlially in exces8 of ￿e1v& months expendllure.
During the year, the Ch8rily's bankers (Lloydsl closed Sts bank account as part of a corporate review. A Iradlng
company, in which the Charity's Trustees are Directors, is now overseeing the collectSon of charilakje donatlons and
paying out charitable grants from ils bank account, on behalf of the Chartly. This has glven rise lo a debtor in the
Charity's accounts of £57,35612023'. £56.060). This amount is owed by the trading company. The Trustees have
opened a now bank account In the Charity's name with other bank&rs. Also included in debtors due wllhln one year
Is an 8mount of £Nil12023: £61,838) due from the Charity's previous bankers which is belng transferred into the
new bank account.

The Irusl6es are aware of the requlremenl lo adopt a reserves pollcy. They are aware that sufficlent reserves need
lo be retained lo cover the charity's expenditure, and potential shortfalls In Income. No formal assessment of a
suitable amount lo be $8t aslde as free res8rves has been agre&d al present bul the trustees are aware that the
charity h8s no ongolng commitments or fixed overheads. A formal resorvfrs polScy wlll b8 finallsed once a pallem of
operational activity has been established,
Rl•k Management
Th6 trus188s are responsible for ensuring that the ¢hgrily has an approprlale system of control$, fin8nclal and
otherwise. They are also responsible for $8feguarding the assets of the ¢harlty and hence for tsking reasonable
steps for the prevention of fraud and other irregularities.

Methods of appolntment or electlon of Trustees
The management of the Charity is the responsibility of th8 Trustees who are elected and c¢>opled und8r the terms
of the Trust deed. New trustees May be appointed at any tim8, by majority vole of th8 current trustees. The total
number of trustees May at no time fall bolow three.

Champneys Charitable Foundation is an unincorporaled charity reglstered wllh the Charity Commissirm under
charity number 1114429 and is consliluted under a Trust deed daled 4 April 2006.
1.1 A¢¢ountlng ¢onventlon
The financial statements have been prepared in accordance wlth the charity's Trust deed, the Charities Act
2011, FRS 102 "Th8 Financial Reporting Standard applicable in lh8 UK and Republic of Ireland. I'FRS 102"}
and the Charities SORP 'Accounting and Reporting by Charities.. Slatement of Recommended Practice
applicable to charities preparing their accounts in accordance with tho Financial Reporting Standard
applicable in the UK and Republic of Ireland IFRS 1021" (effective 1 January 2019). The Charity Is a Public
Benefit Entity as deflned by FRS 102.
Th8 charity has taken advantag& of the provlslons in the SORP for ¢harities not lo prepare a Stat&n8nl of
Cash Flows.
The financial 8lalemenls have departed from thg Charities (Accounts and Reports) Regulations 2008 only to
the 8Xtenl requirgd lo provlde a true and fair vlew. Thls departur8 has Involved followlng the Slalement ol
Recommended Practice for charit18s applylng FRS 102 rather Ihan the version of the Slalemont of
Recommended Practlce which Is referred to in the Regulations bul whlch has since been wlthdrawn.

amounts in these financial slalemenls are rounded lo the nearest £.
The financial slalemenls have been prepared under the hSstorlcal cost convenllon. The prlncipal accounllng
policies adoplod are set out below.
1.2 Golng concorn
The Trusle8s consider that there are no mal8rial unc8rtalnlles concernlng thè charfly's ablllty lo contlnu8 as a
golng concern. The Trustèes are of the opinion that the charity has negli9ible fixed recurring overheads and
th8refore havlng considered post year-end financial results and cash reserves, the Trusl&8s have a
rea$on8ble expectatlon that the cherlly has adequate resources lo ¢onlinue in operallon81 exisl&nc& for the
foreseeable future. Thus, the Trustees continue lo adopt thp golng concern basls of accounting In preparing
the financlal stalèmenl$,
1.3 Charltsble funds
Unrestricted funds are available for use at the dlscretion of the Trustees In furtherance of their ¢harit8ble
oblectlves.
Re8lrict8d funds are subject lo specific conditlons by donors as lo how they may be used. The charity had no
restricted funds for the period under review.
1.4 Income
Income is recognised when the charity is legally entitled to it afler any perfonnance conditions have been met,
the amounts can be measured reliably, and il is probable Ihal incom8 will be received.
Cash donations are recognlsed on receipt. Other donations are r8cognised once Ihe charity has been notified
of the donation, unless porformance condilions require deferr81 of the amount. Income lax recoverabl8 in
relation to donations received under Gifl Aid or deeds of covenant is recognised at the time of the donation,
Legacies are recognised on receipl or olherwise if the charity has been notified of an impendlng distrlbution,
the amounl is known, and receSpt Is expected. If the amount is not known, the logacy Is trealed as a
contingent asset.

The charity has elected lo apply the provisions ol Sectlon 11 '8asic Financi81 Inslrumenls, and Sedion 12
'Other Financial Inslrum8nts156u8s' of FRS 102 to all of Its flnancial instruments.
Financial instruments are recognlsed In the charity's balance shè81 wh8n the charlty becomes paty lo Ihe
conlraclual provislons of the instrument.
Financlal assets and liabilities are offset, wllh the net amount8 presented in the financial slalements, when
there is a legally enforceable rlght lo sel off Ihe recognised amounts and Ih6r6 is an intention to settle on a net
