DIRECTORS’ REPORT

The Directors/Trustees present the Charity’s Report and Financial Statements for the year ended 31 December 2022. The financial statements comply with the Charity’s Trust Deed and applicable law. The Company was incorporated as Tisbury Halls on 4 April 2006 and was entered in the Central Register of Charities on 15 May 2006. It changed its name to Victoria Hall Tisbury Ltd on 12 December 2019. The Charity owns two linked halls, the Victoria Hall and the Elizabeth Hall. For marketing purposes, these are known as the NewVic@Tisbury.

The Director/Trustees are named on page 2. Appointment of Directors/Trustees is governed by the Articles of Association.

Risk management

Hall facilities are assessed on an on-going basis.

Principal activities

The objects of Victoria Hall Tisbury Ltd are to run a village hall for the use of the inhabitants of the parishes of Tisbury and West Tisbury without distinction of sex, sexual orientation, age, nationality, race or political, religious or other opinions, including the use of the village hall for meetings, lectures and classes or other forms of recreation and leisure time occupation in the interests of social welfare and with the object of improving the conditions of life for the said inhabitants.

Public benefit

The Halls are available for hire by the public.

The Directors/Trustees have complied with the duty in section 17(5) of the Charities Act 2012 to have regard to the guidance published by the Charity Commission.

Policy on grant-making

No grants are paid out.

Contribution made by volunteers

The Directors, who are all volunteers, have appointed a NewVic@Tisbury Management Committee including non-directors, all of whom are also volunteers.

Status

The Directors are glad to report an excess of income over expenditure for the year with confidence that the new income streams will continue.

2022 HIGHLIGHTS

The introduction of live stream and cinema facilities this year has attracted new local audiences and reconnected more people with the New Vic@Tisbury, providing much-needed new income stream. 2022 saw the introduction of streamed performances of world-class theatre, ballet and opera from the National Theatre and Royal Opera House. The Victoria Hall’s new big cinematic screen also proved popular with community groups for educational films, talks and presentations. Regular hall users include the Tisbury & District Natural History Society and the Magic Lantern Film Club. The Tisbury Arts Group staged more productions in the Victoria Hall in 2022, including plays, comedies, reviews and pantomimes. The Tisbury Community Choir, RockForte, local bands and music groups also chose the New Vic@Tisbury for their concerts this year.

We are grateful to our regular users the Army Cadets, Tisbury Country Market, Dance Fitness, Jay Lonsdale’s Pilates, Tisbury & District Natural History Society, Tisbus, Jia’s Curry Night, and local band The Rebels, as well as new customers AA and Rachel Carter’s exercise classes. The Victoria and Elizabeth Halls’ facilities were used for the Queen’s Platinum Jubilee celebrations, workshops, AGMs, Macmillan Coffee Mornings, community events, band practise, local talks and art exhibitions.

Improvements

We are most grateful to members of the community who have donated kitchen and cooking equipment for both halls and a £300 donation from Tisbury Parish Council. These donations have enabled the Management Committee to deliver a number of improvements. In the Elizabeth Hall, the kitchen has been repainted, dilapidated cupboards replaced, and a large fridge-freezer installed. The Victoria Hall kitchen has also benefited from the installation of a double oven, donated catering equipment, table and glassware. Some work has also been done on replacing rotten skirting boards in the corridor and bar area, and investigation of a leak in the corridor roof will see repairs made in 2023. Concerts and afternoon teas have also raised funds to buy cushions making audience seating much more comfortable.

None of the above could have been achieved without our hardworking volunteer management team under the chairmanship of Liz Coyle-Camp. Dave Milas, the Management Committee Secretary, has remained the key developer and coordinator of our events programme, while Richard Beattie has been an eye-fordetail treasurer and fearless odd-job man. The wise, enthusiastic, hardworking and experienced Marion Blower, Val Millichamp, Liz Lofthouse, Jia Mills and Tata Paliano have been key in their support for running events. Last but not least , the Committee has recruited three new talented and hard-working new specialists in Andy and Katie Taylor and Dan Syckelmoore overseeing building services, facilities and events management.

There are countless other volunteers, not on the Management Committee who have helped in all sorts of ways. Thank you all.

LOOKING AHEAD

A diverse and exciting programme of affordable live and recorded events are planned for 2023. These are designed to attract, engage and grow our local audience and customer user groups. We are also committed to ensuring that the New Vic@Tisbury’s offer and services are community-centric, inclusive and accessible to everyone in Tisbury and its surrounding hamlets.

Next year will see the start of a two-year Energy Efficiency & Carbon Reduction Project to make the halls warmer and significantly cheaper to run. The project will focus on lighting design and efficiency and heat loss reduction through thermal insulation, draft-proofing and secondary glazing.

FINANCIAL REVIEW

Present financial position

During 2022 our net current assets rose by £11,137 from £26,988 to £38,125. This was because, thanks to the recovery in our lettings, our expanded events programme and our thirsty customers, our trading income was greatly increased and in contrast to 2021 we spent only £628 on improvement works. Our rental income was £10,435, our in-house events programme made £5,776, and the bar made £2,380.

Our operating costs - utilities, caretaking and insurance - rose by 12% to £7,784.

Future capital expenditure

The halls have been thoroughly inspected and the Directors have approved a phased plan for repairs and improvements over the next two or three years focussing on keeping the rain out, the heat in and improving the facilities.On the basis of our current healthy financial situation and future trading prospects, that programme should be affordable. Applications for grants to support this are currently being submitted to DEFRA’s Platinum Jubilee Village Halls Fund and the National Lottery.

Responsibilities of the Trustees

Company law requires the Directors/Trustees to prepare financial statements that give a true and fair view of the Charity at the end of the financial year of its surplus or deficit for the financial year. In doing so, the Trustees are required to:

The Accounts have been reviewed and approved by an independent examiner, Mr Stephen Dawson.

This report has been prepared in accordance with the provisions applicable to companies subject to the Small Companies’ regime of the Companies Act 2006.

Independent examiner’s report to the Trustees of The Victoria Hall, Tisbury.

I am reporting on the basis that the income of the Victoria Hall is not large enough to require the Trustees to carry out a full audit of accounts, and so I am providing an independent examiner’s report, for the accounting year 1/1/22 to 31/12/22.

Independent examiner’s statement

I have completed my examination, having inspected the Treasurer’s records, with reference to bank statements, invoices and supporting documents.

I confirm that no material matters have come to my attention in connection with the examination giving me cause to believe that accounting records were not kept accurately.

I believe that the information displayed in the Treasurer’s profit & loss statement and balance sheet to be an accurate reflection of the Victoria Hall’s position at the end of the year, 31/12/2022.

I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.

This is the main trading account. Lloyds Account No.2 exists to receive card receipts from events, the bar and the Magic Lantern Film Club. No expenditure is charged to it. Money is transferred every quarter from that account to the main account so, at the year end, the second account has only a nominal un-transferred balance.
