## **DIRECTORS’ REPORT**
The Directors/Trustees present the Charity’s Report and Financial Statements for the year ended 31 December 2021. The financial statements have been prepared in accordance with the accounting policies set out on page 7 and comply with the Charity’s Trust Deed and applicable law. The Company was incorporated as Tisbury Halls on 4 April 2006 and was entered in the Central Register of Charities on 15 May 2006. It changed its name to Victoria Hall Tisbury Ltd on 12 December 2019. The Charity owns two linked halls, the Victoria Hall and the Elizabeth Hall. For marketing purposes, these are known as the NewVic@Tisbury.
## **Trustees**
The Director/Trustees are named on page 2. Appointment of Director/Trustees is governed by the Articles of Association.
## **Risk management**
Hall facilities are assessed on an on-going basis.
## **Principal activities**
The objects of Victoria Hall Tisbury Ltd are to run a village hall for the use of the inhabitants of the parishes of Tisbury and West Tisbury without distinction of sex, sexual orientation, age, nationality, race or political, religious or other opinions, including the use of the village hall for meetings, lectures and classes or other forms of recreation and leisure time occupation in the interests of social welfare and with the object of improving the conditions of life for the said inhabitants.
## **Public benefit**
The Halls are available for hire by the public.
The Directors/Trustees have complied with the duty in section 17(5) of the Charities Act 2012 to have regard to the guidance published by the Charity Commission.
## **Policy on grant-making**
No grants are paid out.
## **Contribution made by volunteers**
The Directors, who are all volunteers, have appointed a NewVic@Tisbury Management Committee including non-directors, all of whom are also volunteers.

## **Status**
The Directors report an excess of expenditure over income for the year but are content that an adequate reserve remains while new income streams are expected to develop in the forthcoming year.
## **2021 HIGHLIGHTS**
This year was dominated by the Covid 19 pandemic which closed the use of the halls for the first six months of 2021 and halved capacity to allow for social distancing thereafter. Nonetheless, significant enhancements have been undertaken, most notably the funding and installation of a flexible audio-visual system, and major repairs to the roof and exterior of the building.
## **Live streaming**
Through digital streaming, the New Vic@Tisbury aims to deliver a diverse programme of live and recorded world-class arts and cultural events which are accessible and affordable to everyone in the Tisbury community. The new audio-visual system, which will deliver new revenue streams for the hall, was funded through local donations totalling £28,180 (including £3905 in Gift Aid) and £2,713 from the New Vic’s Charity’s Reserve.
Streaming gives Tisbury audiences access to exclusive top box office events and a ‘front row seat experience’ of shows delivered live from London’s West End, Glyndebourne, Stratford and around the globe. The new facilities were launched in September at a ‘Thank You’ reception for donors with the first live show _The Last Night of the Proms_ , broadcast from the Royal Albert Hall in London.
While lockdowns and the Omicron covid hybrid have forced many arts and cultural organisations to cancel or postpone their events this year, we are seeing the National Theatre, Royal Opera House and Royal Ballet slowly getting back into production. At the time of writing, the New Vic@Tisbury is due to sign with NTLive, giving access to live performances of National Theatre’s 2022 season. Similar agreements with other arts organisations are planned for next year.
## **Key events**
During six months of operation the New Vic@Tisbury’s volunteer team staged 15 major community events including live theatre, concerts, opera and _Tiz the Season,_ Tisbury’s popular Christmas market, music and storytelling event. New regular hall fixtures included: _Saturday Night Live at the NewVic, RockForte music concerts,_ pop-up _Curry Nights,_ midweek _Afternoon Tea at the Pictures, Art in the Corridor, Magic Lantern Film Club_ and _Film Nights._ Tisbury Arts Group also returned in

November with a production of the comedy _Murder at Checkmate Manor_ and rehearsals f _or the Puss in Boots_ pantomime.
## **Repairs and refurbishments**
Lockdown provided an opportunity to carry out essential internal and external works projects. These included fitting ambient new overhead lighting and electrics in the Victoria Hall and smartening up the WCs. The Elizabeth Hall lavatories were also refurbished, and existing space reconfigured to create a much-needed disabled WC and storeroom. Outdoor gutters were cleaned, the roof repaired and an active beehive living under the eaves safely removed and rehomed locally.
## **Customers**
The New Vic@Tisbury welcomed back the Army Cadets, Farmers Market, Dance Fitness, Jay Lonsdale’s Pilates Rockforte, Tisbury Arts Group, Tisbury Natural History Society, Tisbus, Twilight Shadows Paranormal group, Tisbus and local band The Rebels as well as new customers AA and Rachel Carter’s exercise classes. The Victoria and Elizabeth Halls’ facilities were used for workshops, AGMs, Macmillan Coffee Mornings, community events, band practise and local talks.
The Management Committee is most grateful to the Tisbury community, generous donors, customers, volunteers and trustees for supporting the NewVic through this year’s pandemic. A big thank you also to South West Wiltshire Area Board, the Co-op Community Fund, and local shoppers for helping fund essential building repairs and improvement projects.
Thanks to all these supporters, the NewVic has not just survived but thrived in 2021.
## **Covid-19 Small Business Grants**
The pandemic’s significant impact on the Charity’s financial situation, was softened by £18,500 Covid-19 Small Business Grants from Wiltshire Council for which we are most grateful. During the period the New Vic@Tisbury was able to operate, the halls generated £7,277 in rental income. This exceeds the £4,139 we received for 2019.
## **FINANCIAL REVIEW**
Another complicated year for the accounts. Income was higher than last year because it included more Covid grants than in 2020, another £19k of Live Streaming donations and a substantial refund from SS Electricity. But the underlying business also started to recover with increases in rent income, and from bar sales, In-house events and the Film Club – all new ventures.

Expenditure was also higher as it included extensive repair and improvement works to both Halls and the installation of the Live Streaming facility.
The net effect was a reduction in the cash at bank over the year from £39k to £26k. This is partly because the cash at the start of the year included £9k of 2020 Live Streaming donations which at that point had not been spent. The Directors consider that the cash represents a sufficient reserve to cover further loss of income. However, the outlook for 2022 should be more stable: trading income is expected to continue to recover and the only works currently planned are the repairs to the roof over the corridor - not we hope a major job.
The New Vic@Tisbury Halls are owned by the Company and the value shown is that provided by local valuers in 2017.
## **Responsibilities of the Trustees**
Company law requires the Directors/Trustees to prepare financial statements that give a true and fair view of the Charity at the end of the financial year of its surplus or deficit for the financial year. In doing so, the Trustees are required to:
- Select suitable accounting policies and then apply them consistently.
- Make judgements and estimates that are reasonable and prudent.
- Prepare the financial statements on a going concern basis unless it is inappropriate to assume that the Company will continue in business.
The Directors/Trustees are responsible for keeping proper accounting records which disclose with reasonable accuracy at any time the financial position of the Charity and enable them to ensure that the accounts comply with the Companies Act 2006. They are also responsible for safeguarding the assets of the Company and for taking reasonable steps for the prevention and detection of fraud and other irregularities.
## **Independent examiner**
The Accounts have been reviewed and approved by an independent examiner, Mr Stephen Dawson.
This report has been prepared in accordance with the provisions applicable to companies subject to the Small Companies’ regime of the Companies Act 2006.

## **Independent examiner’s report to the Trustees of The Victoria Hall, Tisbury.**
I am reporting on the basis that the income of the Victoria Hall is not large enough to require the Trustees to carry out a full audit of accounts, and so I am providing an independent examiner’s report, for the accounting year 1/1/21 to 31/12/21.
## **Independent examiner’s statement**
I have completed my examination, having inspected the Treasurer’s records, with reference to bank statements, invoices and supporting documents.
I confirm that no material matters have come to my attention in connection with the examination giving me cause to believe that accounting records were not kept accurately.
I believe that the information displayed in the Treasurer’s profit & loss statement and balance sheet to be an accurate reflection of the Victoria Hall’s position at the end of the year, 31/12/2021.
I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.
