Governlng Document
Barn5taple Musical Comedy & Dramatic Society IBMCDS) 15 a not-for-profit company limited by guarantee
and is also a registered charlty. It is controlled by its governing document, a deed of trust.
Appolntment of Board Members
As set out In the governlng document, the Dlrectors are appolnted by the members at the Annual General
Meeting.
Where casual vacancies arise, the Directors may appoint a Direttor to seNe as a Board Member until the
next Annual General Meetln8, at whlch polnt they are requlred to retlre but wlll be ellglble for re-elertlon.
Organisation
The Board of Directors meet monthly and are responsible for administering the company, having regard to
advice from the development executive and other advisors.
Risk Management
The Director5 have a duty to identify and review the risks to which the company is exposed and to ensure
appropriate controls are in place to provide reasonable assurance against f raud and error. The Director5
have examlned the major rlsks that BMCDS faces and thls has resulted In addltlonal efforts to increase its
donor base.
Oblectlves and Actlvltles
The objertives of BMCDS are to educate the public in the dramatic and musical arts and to further the
development of publlc appreclatlon and taste In the sald arts by the promotion and publlc performance of
plays, drama, comedy and other dramatic and musical work. When carrying out the activities of the charity
the directors have had regard to the guidance issued by the Charity Commission on public benefit.
Financial Review
The financial statement5 have been prepared in accordance with the accounting policies Set out in the
notes to the accounts and comply with the charity's governing document, the Charities Act 2011, the
Companies Act 2006, and the Statement of Recommended Practice.. Accountlng and Reporting by
Charities ISORP FR51021.
Durlng the year, the charlty Increased thelr Income to £148,436 from £126,241. Expenses increased to
£139,869 from £128,910. The financial transactions of the society resulted in a proflt in the year of
£8,566.
Unrestricted funds are healthy at £130,194 at the year end and no restricted funds are held.

Achlevements and performance (Chalnnan's Report)
Hello and a warm welcome to the 101 AGM for Barnstaple Musical Comedy and Dramatic Society.
Thanks
As always, I would like to take this opportunity to thank everyone involved in the whole BMCDS family.
We have so many things going on that we need an entire army of people to keep things on trdck. Thank
you to the committee who work tireles51y throughout the year and to all of you who help us in
whatever capacityyou can. We really do appreciate your help and are alwaysthankful foryoursupport.
Matilda
The first show for this year was Matilda Jr, performed here at The Venue. This was the first full scale
musical that we have performed here and what a show it was. Thanks again to the entire team of
volunteers, not only did we put on a great show, but the atmosphere and camaraderie was something
very special. Thank you to the production team of Jordan our Director, Naliah our Musical Director,
Sarah our Choreographer, Simon our Sta8e Manager and the whole team ft)r putknng on such a great
production.
Centenary Celebration
In October we performed our Centenary Show, celebrating 100 years of BMCDS. This show took a lot
of organising, but we all had a great time. It was lovely to see so many faces from our past, some tsking
part and some coming to celebr7te with us. It was also great to hear many stories about our history
and to hear some great musical numbers from shows that have been performed over the past 100
years. At the end of the evening we were presented with a special cerknficate from NODA celebrating
our IOOyear anniversary. Thank you again to everyone involved in making this show a real celebratlon
of BMCDS over the past 100 years.
Nativity
In Novemberwe went into the Queen's Theatre to perform Nativity the Musical. A largerthan life show
that was full of Christmas cheesiness from beginning to end. Tickets sold really well and regularly
outsold the theatres on Panto which I'm sure went down a storm with the theatre management. We
always pride ourselves on producing shows with a full live orchestra. When we started looking through
the licence details of the Show, we found that we were only allowed to perform it by using a 'Click
Track,. This allows our 7 live musicians to play alongside a professional soundtrack giving the show an
even bigger sound. This is something used in professional theatre all over the world but it was a first
for BMCDS. It is a huge challenge to manage the musical direction of the live orchestra whilst
simultaneously pressing the correct button at the right time on the laptop for the Click Track. Massive
thanks to Naliah our musical director for undertaking this challenge and to Billy our Director, Lauren
our Choreographer, Simon our Stage Manager, and to Julie our Producer- a5 well as the massive back
stage team involved in putting on this Christmas Cracker.

Achievements and perforniance (Chaimian's Report)
Clue
In March this year we performed Clue here at The Venue. A play based on the Board Game and Film
'Cluedo'. This was an amazing comedy play that was fast paced and brilliantly executed. Thanks to our
Directors Martin & Chris, to Hayley coordinating the costumes, to Hayley, Emily and Sandra for Hair
and Makeup, to Julie for producing and to Lee for building such an incredible set.
The Venue
We have seen many events here at The Venue, from our own musicals and plays to parties, events and
external hi￿5. We continue to balance earnin8 enough money to keep The Venue running with our
own needs to have a place we can rehearse and perform in. Huge thanks go to the whole Venue team
who give hours and hours of their own time to keep this place going. The more we use this space for
ourselves the more we settle into it. There are clearly restrictions on space and capacity but it's our
own home and offers us huge benefits.
Next Year
Six-Teen. We have just finished our run of SIX Teen the Musical, and what a week it was. This officially
falls into 2024-2025 btjt I wanted to say what an incredible talent we have here in North Devon. The
whole team worked so hard and pulled off probably one of the best musical performances I have ever
seen. Thank you so much to everyone involved, it was something very, very special indeed.
Frozen JR - We have recently finished our auditions and read through for Frozen Jr to be performed
here in August. Tickets are already Selling extremely well for what promises to be another great show
for BYG. If you haven't bought your ticket yet, do so quickly via our website or Facebook pages.
Alongside our BYG shows we also continue to offer Theatre WO￿ whlch glves training and guidance in
all areas of theatre for our younger members. Theatre Worx continues to evolve, and we have plans
to offer more opportunities in the future.
Volces
BMCDS Voices continues to meet weekly to learn songs from all aspects of musical theatre. Jo has now
returned from Maternity leave, and we thank Gillian and Naliah for Stepping in to cover while Jo was
away. If anyone would like to join the Voices family, speak to one of the team.
9t05 The Musical
This weekend sees our auditions for 9t05. Rehearsals run through the next few months with the show
being performed at The Queen's Theatre in October half term. If you would like to know any further
information about the show, please speak to one of the team or visit our website for all the audition
information and pre audition forms.

Everybodvs Talklng About Jamle
In 2025 we will be performing Everybody's Talking About Jamie here at The Venue. We are currently
seeking a production team for this show and future shows. If you would like to be considered for a part
on one of our teams please do let Marie know and we will add you to our list.
As we look back at our past year and forward to the coming year, we celebrate everything that we have
achieved and look forward to everything we have planned. We have so much going on and sometimes
its easy to forget the simple things. At the end of every production, it is so easy to jump straight into
the next one without reflecting on what we have just done. Each show is a huge achievement, and we
should be very thankful of what we have done and very mindful of the army of people who have made
it happen. So, to everyone who has helped and supported thls society of over the past 12 month or
are planning on joining in the fun for this next year, Thank You, we couldn't do it without you.

Investment Powers and Policy
Under its governing document, the company hasthe powerto invest in any waythe Directors see
fit and having regard to the liquidity requirements of operatingthe company.
Reserves policy
The directors aim to maintain sufficient money in the bank to be in a position to meet any
unexpected expenditure. At the year-end Cash at bank and in hand came to £109,889 (2022
£111,082). 8 figure considered more than adequate.
Dissolution
Every member ofthe company undertakes to contribute amounts (but not exceeding£1} towards
the settlement of the company's debts and liabilities if it is wound up. If, after settlement of all
debts, there are funds remaining, these will betransferred to another charitable organisation with
the s8me or slmilar objectives to BMCDS.

Dlrertors, Responslbllltles for the Financial Statements
The Dlrectors are responslble for preparlng the Annual Report and the Financial Statements in accordance
with applicable law and regulatlons.
Company Law require5 the Directors to prepare Financial Statements for each financial year, Under that law
the Direttors have elected to prepare the Financial Statements in accordance with United Kingdom
Generally Accepted Accounting pract5ce Iunited Klngdom Accountlng Standards and appllcable lawl. Under
company law the Directors must not approve the Financial Statements unless they are satisfled that they
give a true and fair view of the state of affairs of the company and of the net incoming or out80in8 resources
of the company for that perlod. In preparlng these Flnanclal Statements, the dlrectors are required to..
Select suitable accounting policies and then apply them consistently;
Make judgements and estimates that are reasonable and prudent;
State whether applicable U K Accounting Standards have been followed, subject to any materi81
departures disclosed and explalned In the Flnanclal Statements,.
Observe the methods and principles in the charity SORP; and
Prepare the Flnancial Statements on the golng concern basls unless It Is inappropriate to presume
that the company will continue in business.
The Directors are responslble for keeplng adequate accountlng records that are sufflclent to show and
explaln the company's transactions and disclose with reasonable accuracy at any time the financial position
of the company and enable them to ensure that the accounts comply with the Companies Act 2006. They
are also responslble for safeguardlng the assets of the company and hence for taking reasonable steps for
the prevention and detection of fraud and other irregularities.
Dlsdosure of Informatlon to the Independent Examiner
Each person who was a Director at the time of this report was approved confirm5 that:

preparation of their report of which the company's Independent Examiner 15 unaware,. and

I report to the directors on the accounts of Barnstaple Musical Comedy & Dramatic Society as set out on pages

Responsibilitie5 and ba515 of report
The directors are responsible for the preparation of these accounts in accordance with the reqU1￿ments of the
Companies Act 2006 (the 2006 Att}.
Having satisfied myself that the accounts of the company are not required to be audited for this year under Part
16 of the 2006 Act and are eligible for independent examination. I report in respect of my examination of your
charity's accounts as carried out under section 145 of the Charities Art 2011 (the 2011 Attl. In carrying out my
examlnatlon, I have followed the Dlrections given by the Charity Commi55ion (under section 14515llb) of the
2011 Act.
Independent examlners statement
In the course of my examination no matter has cometo my attentlon to Indlcate that..
accounting records have not been kept in accordance with section 386 of the Companies Act 2006:
the accounts do not accord with such records:
the accounts fail to comply with relevant accounting requirements under section 396 of the
Companies Act 2006 other than any requirement to give a true fair view which is not a matter
considered as part of an independent examination;
the accounts have not been prepared in accordance with the Charities SORP IFRS 1021.
I have no concerns and have come across no other matters in connection with the examination to which
attention should be drawn in this report in order to enable a proper understandlng of the accounts to be
reached.

Basi5 of preparation
The accounts have been prepared under the historical cost convention and in accordance with
the Financial Reporting Standard applicable in the United Kingdom and Republic of Ireland IFRS
1021, the Statement of Recommended Practice= AccountinB and Reporting by Charities {FRS 1021
and with the Charities Act 2011.
Incoming Resources
The income shown in the Statement of Flnancial Actlvities represents:
Income from donatlons and grants recognised where there is an entitlement, certainty
of the receipt and the amount can be measured with sufficient reliability,.
Income from charitable attivities on an accrual basls; and
Income from investments on a received basis.
When donors speclfy that funds given to the charity are for use in future accounting periods,
such income is deferred until those periods.
Resources Expended
Resources expended are accounted for in the Statement of Financial Activities on an accrual
basis.
