FOR THE YEAR ENDED 31 MARCH 2025
The Trustees (who are also dlrectors of the charlty for the purposes of the Companles Act) present their
annual report together wlth the flnanclal statement of Newtown Community Learnlng Centre (the
charity) for the year ended 31 March 2025.
The financlal statements comply with the Charities Act 2011, the Companles Act 2006, the Memorandum
and Articles of Association and Accounting and Reporting by Charltles.. Statement of Recommended
Practice appllcable to charities preparing thelr accounts In accordance with the Financlal Reportlng
Standard applicable in the UK and Republic of Ireland (FRS102).
Slnce the charity qualifies as small under sectlon 383, the strateglc report requlred of medium and large
companles under The Companles Act 2006 (Strateglc Report and Director's Report) Regulatlons 2013 Is
not requlred.
STRUCTURE, GOVERNANCE AND MANAGEMENT
Governlng document
The organlsatlon Is a charltable company Ilmited by guarantee. It was Incorporated on 26 November
2004 in the name of Carllsle West Chlldren's Centre and began operatlng on l December 2004. The
charity's name was changed by way of a speclal resolutlon dated 25 Apr112005 to Newtown Communlty
Learning Centre. The company was establlshed under a Memorandum of Assoclatlon whlch establlshed
the objects and powers of the charltable company and It Is governed under Its Artlcles of Assoclatlon.
In the event of belng wound up the charlty must donate any property left after settllng Its debts to any
other charlty wlth slmllar objects, or dlspose of Its assets In any other way permltted by the Charlty
Commlsslon.
R•crultment and appointment of Trustees.
The dlrectors of the company are also the charlty trustees for the purposes of charlty law.
The trustees appolnted on the Incorporatlon of the charlty were the members of the voluntary
management committee of the organlsatlon whlch the charlty took over. Further trustees are appolnted
as and when the charlty Identlfles the need for addltlonal expertlse or skllls.
The charlty must have between three and ten trustees at any one time, and one thlrd of the trustees
must retlre by rotatlon at each AGM. Each trustee retiring In thls way is entltled to be reappolnted.
The trustees have chosen to act as trustees due to thelr belief in the need to extend famlly servlces to
their community from the school campus and thelr understandlng that they should adopt a company
limited by guarantee as the best vehicle to achleve their objettives.
Pollcles adopted for the Inductlon and tralnlng of Trustees
Trustees read and understand thelr responslbllltles as outllned by the Charity Commlssion and
Compan les House standard guideli nes for people In thelr roles. They also brlng many skllls to the Chairty
as a result of thelr exlstlng roles as head teachers, school budget managers and educational consultants.
Where necessaryi skills are brought in to supplement the experlence and knowledge of the Board.

The board adopt a contlnulng risk assessment approach to all thelr operatlng actlvltles and employ staff
with thelr appropriate skills to provlde regular reports, prompting revlew and actions as approprlate,
Comprehensive Insurance cover Is also in place.

Newtown Communlty Learnlng Centre Is a partner In Newtown School.
OBJECTIVES AND ACTIVITIES
Pollcles and objectlves
In settlng objectlves and plannlng for attlvltles, the Trustees have glven due conslderatlon to general
guldance published by the Charlty Commisslon relatlng to publlc benefit and In particular to Its
supplementary guldance relevant to the charlty's objectlves descrlbed below.
The charity's objectives are:
To promote for the beneflt of the Inhabltants of Newtown wlthout distinctlon of sex, sexual
orientatlon, race or polltlcal, religious or other oplnlons, by assoclatlng together the sald
Inhabitants and the local authorltles, voluntary and other organ1sations In a common effort to
advance educatlon and to provlde facllltles In the Interests of social welfare for recreatlon and
other lelsure tlme occupatlons with the objects of Improvlng the condltlons of Ilfe of the sald
inhabltants.
To establlsh or secure the establishment of a communlty centre and to malntaln and manage
the same (whether along or in cooperation wlth any local authorlty or person or body) In
furtherance of these objects,
How our objectives dellver public beneflt
The charlty provldes day care places and manages facllltles on Newtown School Campus for the benefit
of the local communlty.
Durlng the perlod covered by thls report the charlty has the followlng key objectlves:
Ralse the occupancy of the day care settlng known as Flrst Steps Day Nursery and work towards
sustalnablllty.
Malntaln and Improve where possible the hlg h quallty of care provided to chlldren and families
uslng the day care settlng.
Extend the care provided at the nursery to Include older children In after school clubs.
Work In partnership with Carllsle West Chlldren's Centre to provide famlly services to the
communlty.
Extend the use of the facilities on the school campus to the wider community.
Achlevements and performance
Our occupancy contlnues to remain in Ilne wlth current staffing levels, We are worklng very hard to
improve our provlslon to achleve an outstanding In our next OFSTED inspection.

FINANCIAL REVIEW
Flnancial position.
The charity was In a strong financlal posltlon at the 31 March 2025 wlth cash reserves of £264,646
(2024: £211,229). The reserves are currently held within the Lloyds Bank Account.
Reserves policy
The charity's actlvltles are covered by comprehenslve Insurance pollcies whlch Include flnanclal cover
for the charlty In the event of an unforeseeable loss of earnlngs. However, the trustees also conslder
that It Is advlsable to bulld up reserves over time.
The trustees revlewed the charlty's reserves pollcy and feel It 15 appropriate to generate free reserves
equal to three months, project costs In order to safeguard agalnst the effect of unforeseeable or
uninsured events. The balance In the accounts show unrestrltted funds of £275,219 (2024.. £244,495)
and a balance on restrlcted funds of £2,931 (2024: £2,931).
The charlty may be In a posltlon to achleve thls target wlthln the next year, although thls alm may
confllct with the trustees continued commltment to provlde services for the local community at
affordable levels.
To bulld towards the target, the trustees Intend to work to brlng In complementary fundlng streams, as
well as contlnulng to build communlty usage of campus facllltles, and Improving the sustalnablllty of the
day care settlng.
Plans for our luture
Our future plans wlll be to revlew the key objectlve and work towards consolldatlng the good progress
made by the nursery and contlnue to work to malntaln and improve the quallty of care we provide to
the chlldren.

TRUSTEES. RESPONSIBILITIES STATEMENT
The Trustees (who are also dlrectors of Newtown Community Learnlng Centre for the purpose of
company law) are responslble for preparlng the Trustees, report and financial statements in accordance
wlth applicable law and United Kingdom Accountlng Standards (Unlted Klngdom Generally Accepted
Accou ntlng Practlce).
Company law requlres the Trustees to prepare flnanclal statements for each flnanclal year. Under
company law the Trustees must not approve the financlal statements unless they are satisfled that they
glve a true and falr vlew of the state of affalrs of the charitable company and of the incoming of resources
and applicatlon of resources, i ncludl ng the Income and expenditu re, of the charitable company for that
perlod. In preparlng these ftnanclal statements, the Trustees are requlred to:
Select suitable accountl ng pollcle5 and then apply them consistentlyi
Make Judgements and estlmates that are reasonable and prudent;
Observe the methods and prlnclpals In the Charltles SORP;
Prepare the flnancial statements on the golng concern basls u nless It Is Inapproprlate to presume
that the charlty wlll contlnue In operatlon.
The trustees are responslble for keeplng adequate accountlng records that are sufflclent to show and
explain the charltable company's transactlons and dlsclose with reasonable acclsracy at any tlme the
fl nanclal posltlon of the charitable company and enable them to ensure that the flnanclal statements
comply with the Companles Act 2006.
They are also responslble for safeguarding the assets of the charltable company and hence for taklng
reasonable steps for the prevention and detectlon of fraud and other Irregularltles.
In preparlng thls report, the Trustees have taken advantage of the small companles, exemptions
provlded by sectlon 415A of the Companles Act 2006.

INDEPENDENT EXAMINER'S REPORT TO THE TRUSTEES OF NEWTOWN COMMUNITY
LEARNING CENTRE (the 'charlty')
I report to the charlty Trustees on my examlnatlon of the accounts of the charity for the year ended 31
March 2025.
Thls report Is made solely to the charity's Trustees, as a body, In accordance wlth Part 4 of the charltles
(Accounts and Reports) Regulatlons 2008. My work has been undertaken so that I mlght state to the
charlty's Trustees those matter5 1 am requlred to state to them In an Independent examlner's report
and for no other purpose. To the fullest extent permltted by law, I do not accept or assume responsibillty
to anyone other than the charlty and the charity's Trustees as a body, for my work or for thls report.
RESPONSIBILITIES AND BASIS OF REPORT
As the Trustees of the charlty you are responslble for the preparatlon of the accounts In accordance wlth
the Charitles Act 2011 ("the Act").
I report In respect of my examlnatlon of the Trust's accounts carrled out under sectlon 145 of the 2011
Act and I n carrylng out my examlnatlon, I have followed all the appllcable Dlrectlons glven by the Charlty
Comm1551on under sectlon 145(5)(b) of the Act.
INDEPENDENT EXAMINER'S STATEMENT
I have completed my examlnatlon. I conflrm that no materlal matters have come to my attentlon In
connectlon wlth the examlnatlon whlch glves me cause to belleve that in, ar)y materlal respect:
accountlng records were not kept In accordance wlth sectlon 130 of the Act; or

The Trustees acknowledge thelr responsibllltles for complying wlth the requirements of the Companies
Act 2006 with respect to accountlng records and for preparing financial statements whlch give a true
and falr vlew of the state of affalrs of the charity as at 31 March 2025 and of Its net resources expended

I. ACCOUNTING POLXCXES
1.1 Basis of preparation of financlal statements
The flnanclal statements have been prepared In accordance wlth Accountlng and Reportlng by Charltles:
statements of Recommended Practlce appllcable to charltles preparlng thelr account In accordance with
the Financlal Reporting Standard applicable in the UK and Republlc of Ireland (FRS102), the Charitles
SORP (FRS 102) and the Companies Act 2006.
Assets and liabilities are inltlally recognlsed at hlstorlcal cost or transactlon value unless otherwlse stated
in the relevant accountlng pollcy.
1.2 Fund accountlng
General funds are unrestrlcted funds which are available for use at the dlscretion of the Trustees In
furtherance of the general objectlves of the charity and which have not been designated for other
purposes.
Restrlcted funds are funds whlch are to be used In accordance wlth speclflc restrlctlons Imposed by
donors or whlch have been ralsed by the charlty for partlcular purposes. The costs of ralslng and
ad mlnlsterlng such funds are charged agal nst the speclflc fund. The alm and use of each restrlcted fu nd
are set out In the notes to the flnanclal statements.
Investment Income, galns and losses are allocated to the approprlate fund.
1.3 Income
All Income Is recognlsed once the charlty has entitlement to the Income, It is probable that the Income
wlll be recelved, and the amount of income receivable can be measured rellably.
Other Income Is recognlsed In the perlod in whlch it Is recelvable and to the extent the goods have been
provlded or on completion of the service,
1.4 Expenditure
Expendlture Is recognlsed once there Is a legal or constructlve obllgatlon to make payment to a thlrd
party, It Is probable that settlement wlll be requlred, and the amou nt of the obllgation can be measu red
rel iably, All expendlture Is accounted for on an accrual's basls. All expenses Includlng support Costs and
governance costs are allocated to the app15cable expendltu re headings.
Governance costs are those Incurred In connectlon wlth admlnlstratlon of the charlty and compllance
wlth constitutlonal and statutory requlrements.
1.5 Penslons
The charity operates a deflned penslon contrlbution scheme. Contrlbutions are charged to the funds
account as they become payable In accordance wlth the rules of the scheme.

1.7 Tanglble fixed assets and depreclatlon
All assets costlng more than £300 are capltallsed.
Tanglble flxed assets are stated at cost less depreclation. Depreclatlon on other tanglble flxed assets is
provlded at rates calculated to wrlte off the cost of those assets, less thelr estlmated resldual value,
over thelr expected useful lives on the following bases:

1.8 Debtors
Trade and other debtors are recognlsed at the settlement amount after any trade dlscount offered.
Prepayments are valued at the amount repald net of any trade dlscounts due.
1.9 Cash at Bank and In Hand
Cash at bank and In hand Includes cash and short term hlghly Ilquld Investments wlth a Short maturity
of three months or less from the date of acqulsltlon or openlng of the deposlt or slmllar account.
1.10 Llabllltles and provlslons
Llabllltles are recognlsed when there is an obllgatlon at the Balance sheet date as a result of a past
event, It Is probable that a transfer of economic benefit will be requlred In settlement, and the amount
of the settlement can be estlmated rellably. Llabllltles are recognlsed at the amount that the charlty
antlclpates It wlll pay to settle the debt or the amount It has recelved as advanced payments for the
goods or servlces It must provlde. Provlslons are measured at the best estlmate of the amounts requlred
to settle the obllgatlon. Where the effect of the tlme value of money Is materlal, the provlslon Is based
on the present value of those amounts, dlscounted at the pre-tax dlscount rate that reflects the risks
speclflc to the liabillty. The unwlnd Ing of the dlscount Is recog nlsed wlthln Interest payable and slmllar
charges.
1.11 Flnancial instruments
Flnanclal Instruments are classlfled and accounted for according to the substance of the contractual
arrangement, as elther flnancial assets, financial liabilities, or eq u ity Instruments. An equity instrument
is any contract that evldences a residual Inte￿$t in the assets of the company after dedutting all of its

There are no related party transactlons whlch are required to be disclosed in accordance with the
