Annual Report (Incorporating the DirectO￿S Report) (contlnuedj Year ended 29 February 2024 structure, governance and management The charity is a company limited by guarantee and is governed by its Memorandum and Articles of Association adopted on 17 November 2005. None of the trustees has any beneficial interest in the company. All of the trustees are members of the company and guarantee to contribute £1 in the event of a winding up. The Board of Management is responsible for the day to day management of the Oughtrington Community Centre. The Chair, Vice Chair & Treasurer sit on the Board of Trustees. The Board of Trustees is responsible for the overall governance of the charity.

Since 1983 it has been owned and managed by the community. On behalf of local people, a committee of volunteers have worked, and continue to work together to= Ctrordinate a packed program of activities that tske place at the Centre. Oversee the ongoing maintenance of the Cent￿. Raise the profile of the Centre and secure funding to ensure its ongoing operation. The Community Centre has gone from strength to strength incorporating a range of activities from Pre- School, to a Day Care Luncheon Centre for the Elderly, Cubs and Scouts, to a Ballet and Tap School. The objectives of Oughtrington Community Centro (OCC) as set down In our Memorandum of Association are: To improve leisure and social facilities available to the local residents of Oughtrington by working in association with the local authority, voluntary organisations and local people to advance education and to provide facilities in the interests of social welfare for reC￿ation and leisure time occupation. To maintain and manage Oughtrington Community Centre. To protect and presepie the environment for the benefit of the public, and To promote other charitable purposes for the benefit of the residents of the area of benefit. Main areas of activity during the period A fire Grade 2 fire alarm system was fitted throughout the centre, replacing the end of life domestic smoke alarms. The section of water supply pipe from utility company valve to the building was replaced, removing a section of lead pipework, with the water main relocated to within the building. Damaged ironworks were also replaced. Repairs to roofing were made during the year. Emergency Lighting was installed throughout the building, in line with regulatory standards. Smart heating controls have been installed to annexe undertloor heating zones, to reduce energy bills. The Luncheon Club was suspended from Christmas 2023 and despite best efforts to recruit new leaders, has not restarted at the end of this financial period. New, regular hire groups include, mother and baby group, pilates and first aid courses. Communication with members continues with regular 6 monthly updates via email. From summer 2024, the OCC website was managed by OCC Trustees, with thanks to Geoff Bates for his management of the website extending over a period of 10 years and more.

The alm of the Oryanisation over the noxt year is to contlnue to: Build on the benefits provided by the new enlarged Board of Management which has managed the Centre since May 2023. Continue to review the safe working practices of the Centre as a whole and those of its users to ensure a safe pleasurable environment for all who use the Centre. Implement where appropriate improvements to the fabric and SeNi￿S of the Centre as indicated by the aforementioned review. Work with other organisations to improve the quality of life of local residents. Work needs to be done to increase hiring levels. To re-open the Luncheon Club. The trustees have paid due regard to guidance issued by the Charity Commission in deciding what activities the charity should undertake. Achievements and performance During the period to 29 February 2024, the charity continued to provide facilities, events and activities to the local residents and visitors. Financial review The annual report covers the period March 2023 - February 2024. The value of total reseprfes at 29 February 2024 were £394,604 {2023 - £416,143). Reserves have been maintained throughout the year to the level stated in the charity's reserves policy. Reserves policy It is the policy of the charity that unrestricted funds which have not been designated for a specific use should be maintained at a level equivalent to be￿een three and six month's expenditure. The trustees consider that reserves at this level will ensure that, in the event of a significant drop in funding, they will be able to continue the charity's current activities while consideration is given to ways in which additional funds may be raised. Rlsk management The trustees have assessed the major risks to which the charity is exposed, and are satisfied that systems are in place to mitigate exposure to the major risks.

Responsibilitlos and basis of report As the trustees of the company (and also its directors for the purposes of company law) you are responsible for the preparation of the financial statements in accordance with the requirements of the Companies Act 2006 ('the 2006 Act,). Having satisfied myself that the accounts of the company are not required to be audited under Part 16 of the 2006 Act and are eligible for independent examination, I report in respect of my examination of the charity's accounts as carried out under section 145 of the Charities Act 2011 ('the 2011 Act,). In carrying out my examination I have followed the Directions given by the Charity Commission under section 145(5)(b) of the 2011 Act. Independent examinerfs statement I have completed my examination. I confirm that no matters have come to my attention in connection with the examination giving me cause to believe: accounting records were not kept in respect of the charity as required by section 386 of the 2006 Act. or the financial statements do not accord with those records,. or the financial statements do not comply with the accounting requirements of section 396 of the 2006 Act other than any requirement that the accounts give a 'true and fair, view which is not a matter considered as part of an independent examination; or the financial statements have not been prepared in accordance with the methods and principles of the Statement of Recommended Practice for accounting and reporting by charities applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102). Stat•m•nt of compliance These financial statements have been prepared in compliance with FRS 102, 'The Financial Reporting Standard applicable in the UK and the Republic of Ireland., the Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland {FRS 102) (Charities SORP (FRS 102)) and the Companies Act 2006. Accounting policies Cash and cash equivalents Cash and cash equivalents include cash in hand, deposits held at call with banks, other short-term liquid investments with original maturities of three months or less, and bank overdrafts. bank overdrafts are shown within borrowings in current liabilities. Basls of preparation The financial statements have been prepared on the historical cost basis, as modified by the revaluation of ￿rtain financial assets and liabilities and investment properties measured at fair value through income or expenditure. The financial statements are prepared in sterling, which is the functional currency of the entity. Golng concern At the time of approving the financial statements, the trustees have a reasonable expectation that the company has adequate reSoUr￿S to continue in operational existence for the foreseeable future. Judgements and key sources of estlmatlon uncertalnty In the application of the charity's accounting policies, the trustees are required to make judgements, estimates and assumptions about the carrying amount of assets and liabilities that are not readily apparent from other sources. The estimates and associated assumptions are based on historical experience and other factors that are considered to be relevant. Actual results may differ from these estimates. The estimates and underlying assumptions are reviewed on an ongoing basis. Revisions to accounting estimates are recognised in the period in which the estimate is revised where the revision affects only that period, or in the period of the revision and future periods where the revision affects both current and future periods. There are no judgements or critical accounting estimates.

Restricted funds are subject to specific conditions by donors as to how they may be used. the purposes and uses of the restricted funds are set out in the notes to the financial statements Endowment funds are subject to specific conditions by donors that the capital must be maintained by the charity. Incoming resources Income is recognised when the charity is legally entitled to if, after any performance conditions have been met, the amounts can be measured reliably, and it is probable that income will be received. Cash donations are recognised on receipt. Other donations are recognised once the charity has been notified of the donation, unless performan￿ Conditions require deferral of the amount. Income tax recoverable in relation to donations received under Gift Aid or deeds of covenant is recognised at the time of the donation. Legacies are recognised on receipt or other¥vise rf the charity has been notified of an impending distribution, the amount is known, and receipt is expected. If the amount is not known, the legacy is treated as a contingent asset. Resources expended Expenditure is recognised once there is a legal or constructive obligation to transfer economic benefit to a third paty, it is probable that a transfer of economic benefits will be required in settlement, and the amount of the obligation can be measured reliably. Expenditu￿ is classified by activity- The costs of each activity are made up of the total of direct costs and shared costs, including support costs involved in undertaking each activity. Direct costs attributable to a single activity are allocated directly to that activity- Shared costs which contribute to more than one activity and support costs which are not attributable to a single activity are apportioned between those activities on a basis consistent with the use of resources. Central staff costs are allocated on the basis of time spent, and depreciation charges are allocated on the portion of the asset's use. Tangible assets Tangible fixed assets are initially recorded at cost, and subsequently stated at cost or valuation, less any accumulated depreciation and impairment losses. 10

Financial instruments are recognised in the charity's balance sheet when the charity becomes party to the contractual provisions of the instrument. Financial assets and liabilities are offset, with the net amounts presented in the financial statements, when there is a legally enforceable right to set off the recognised amounts and there is an intention to settle on a net basis or to realise the asset and settle the liability simultaneously. Basic financial assets Basic financial assets, which include debtors and cash and bank balances, are initially measured at transaction price including transaction costs and are subsequently carried at amortised cost using the effective interest method unless the arrangement constitutes a financing transaction, where the transaction is measured at the present value of the future receipts discounted at a market rate of interest. Financial assets classified as receivable within one year are not amortised. Basic financial liabilities Basic financial liabilities, including creditors and bank loans are initially recognised at transaction price unless the arrangement constitutes a financing transaction, where the debt instrument is measured at the present value of the future payments discounted at a market rate of interest. Financial liabilities classified as payable within one year are not amortised. Debt instruments are subsequently carried at amortised cost, using the effective interest rate method. Trade creditors are obligations to pay for goods and services that have been acquired in the ordinary course of operations fom suppliers. Amounts payable are classified as current liabilities if payment is due within one year or less. If not, they are presented as non-current liabilities. Trade creditors are recognised initially at transaction price and subsequently measured at amortised cost using the effective interest method.
