The Trustees of the Britbsh Associal￿tt of Oral Sur8eons18AOSI present their annual report and
financial statements of ihe charity for the year ended 31 December 2021.
The financi31 statements comply with the Charities and Trustee Investment Act 2￿5. the Charities
Accounts Regulations 2C#J6 las amended). the Companies Act 21Y]6. the Memorandum and Articles
of Association and Accounting and Reporting by Charities: Staternent of Recommended Practice
applicable to charities preparing their accounts in accordance with the Financial Reporting Standard
applicable in the UK and Republic of Ireland Icharrties SORP FRS1021.
Objectives and Acli¥itie5
Our purpose 15 to promote the advancement of education research and the development of Oral
Surgery in the British Isles and to encourage and assist P05tgraduate edu¢ation srudy and research of
Oral Surgery by arranging ￿gular lectures and demonstrations. encouraging the psjblication of
articles and promoting the advancement of theory and practice.
Achievements and Perf(vrnance
Following a difficuk 2020. BAOS focussed on consolidating our position in 2021. We continued with
online webinars and lectufes as the feedback from our members indicated that the online format
was convenient and the CPD being delivered was of a high quality. In order to minimise our financial
risk, we made a decision to once again postpone the Annual Conference as we feh face-to-face
learning was still prone to cancellation due to Covid levels. and it is now planned for November
2022.
Flnanclal A￿leW
The financial statements follow on pages 8 to 12. These statements are prepared in terms of the
Statement of Recommended Practice 2LX)5-Accounting and Rewrting Lw Charities and the
Companies Act 2C4J6.
Reserves Policy
8AOS had free reserves at 31 December 2021 of £2CP3.34912020'. £252,553). The Trustee5 consider
that the charity should hold sufficient re5eryes to cover Six months. running costs to cover
unanticipated cost increase5 or income deficiencies out with the normal budgetary expeaations.
Any excess fund5 will be used by Trustees to increase the profile of the Association, to carry oul
national audit ProJe￿S to improve patient safety and quality assurance in Oral Surgery and to
subsidise events with a view to increasing ihe A￿0ClarIonS membership.
Plrtn£fvr Future Yeors
The Teaching and Learning Course was rescheduled for May 2022 and was a great success. We are
now planning the next T&L course for June 2023. Our annual conference is scheduled for November
2022. We are planning to return to face-to-face Council meetings but will also continue with some
online meetings while we monitor the continued effects of Covid.

Governing Document
British Association of Oral Surgeons is a ¢harttable or8ani5ation and is govemed by its Constitution
dated 26 September 2CK)I IRevi5ed September 20141. It is a registered charity With the Charity
Commission for England and Wales.
Trustee indurtion ond troining
New Trustees are briefed on thèir legal obl￿atIonS under charsty law. the content of the
Memorandum and Articles of Association. the commfftee and decision-mèking processes and the
recent finarhcial performance of the charity- Trustees are encouraged to attend •ppropriate external
training events where these will facilrtate the undertaking of the role.

The Board of Trustees administers the charity and meets regularty throughout the year.
Risk Mono9ement
The Trustees are satisfied that the major risks to which the charity is exposed have been reviewed
and procedures have been establishe(J to manage these risks.
During 202012021, we have had issues with accessing our bank account as the aC￿uftt was"frozen"
due to suspected fraudulent activity- This meant a number of payments were not able to made in
2020 and were delayed until 2021. We have worked with our bank to prevent this inconvenience
happening again in the future.
Coroftovirns Pondemi¢
The membership of BAOS has remained stable despite the Cofonovirus pandern￿ but undoubted
our income has reduced over the13st two years as we have been unable to hold our annual
conference. However, in being pragmatic regarding the scheduling of face-to-face events we have
minimised the risk to BAOS by reducing the potential for financial loss. We now feel confident that
the rescheduled conference in November 2022 will be able to Bo ahead with no rrsk of interruption
or cancellation due to covid.

Structure, G￿ernance and Management Icontinuedl
Investment Policy-
BAOS is a charitable company and there are no restrirtions or limrtations to the investment powers
of the Trustees within the articles of association. An on-going review of the BAOS financial position
has shown that there is conststently a surplus of funds in the charitVs current account.
At this time, BAOS Council feels that there should be little risk attached io the investment plan. This
will be reviewed in the future if extra fund5 become available.
In the future if further investments are necessary then the service of an independent financial
advisor will have to be retained and an ethical investment strategy developed. Thi5 policy will be
reviewed after a further year.

Charity law requires the Trustees to prepare financial statement5 for each ftnancial year, which gives
a true and fair view of the state of affairs of the charitable organisation and of the incoming
resources and application of resources, including the income and expenditure. of the charity for that
period. In preparing those financial statements, the Trustees are required to..

Observe the methods and principles in the Charrlies SORP..
Make judgements and estimates that are ￿aSonable and prudent:
State whether applicable UK Accountin8 Standards have been followed, subject to any
material departures disclosed and explained in the financial statements.

The Trustees are responsible for keeping proper accounting records which disc105e with reasonable
accuTaCV at any time the financial position of the charty and to enable them to ensure that the
financial statements Comp￿ wrth the Statement of Recommended Practice 2¢J)S- Accounting and
Reporting by Charities and the Companies Act 21x16. They are also responsible for safeguarding the
assets of the charity and hence for taking feasonable steps for the prevention and detertion of fraud
and other irregularities.

I report on the accounts of the charity for the year ended 31 December 2021 which are Set out in the
pages 8 to 12.
Re5pertive responsibilities of Trustees and examiner
The Trustees (who are a150 Direclor5 of the cornpany for the purposes of company lawl are
responsible for the preparation of the accounts. The Trustee5 consider that an audrt is not ￿qUired
for this year undef section 43121 of the Chartties Act 1993 (the 1993 Act) and that an independent
examination is needed. The chariws gross income did not exceed £250.CrfXI and l am qualified to
undertake the examination by being a qualified member of The Institute of Chartered Accountants
of Scotland.
Having satisfied myself that the charity is not subjert to audit undercompany law and is eligible for
Sndependent examination, it is my responsibility to=
examine the accounts under section 43 of the 1993 Act:
to follow the procedures laid down in the General Directions given by the Charity
Commission under section 4317llbl of the 1993 Act. and
to state whether particular matters have come to my attention.
Bas￿ of independent examinerfs statemert
My e¥amination is carried out in accordan￿ with the General Drrectrons 8Nen by the Chartty
Commission Re8ulation$ 2006. An examination include5 a revtew of the ac¢ountin8 records kept by
the charity and a cOmpar￿n of the accounts presented with those records. It also includes
consideration of any unusual items or disclosures in the accounts and Seeks explanations from the
Trustees concerning any such matters. The procedures undertaken do not provide all the evidence
that would be required in an avdri and consequently no opinion is given as to whether the accounts
present a 'true and fair viev/ and the report is limited to those matters set out in the statement
below.

In the course of my examination. no matter has come to my attet)tion

The Company is limited by guarantee and does I￿t have share capital.
According to the Memorandum of Assooation ofthe Company, every member undertakes to
contribute to the assets of the Company in the event of its being wound up while they are a

Subscriptions and all other income are stated at the amounts receivable in the year.

All expenditure is included on an ac¢ru3ls basis and has been directly attributed to one of the
financial categories of resources expended in the Income and Expenditure Account and Statement of
Financial Activities. The expenditure a150 includes iT￿CO¥erable VAT.

Trade and other debtors are recognised at the Settlement amount due after any discount offered.
Prepayments ao valued at the amount prepaid net of any discounts due.
e) Creditors and provlslons
Creditor5 and provisions are retognised where the charity has a present obligation resulting from a
past event that will likely ￿$Y1t in the transfer of fvnds to a third party and the amount due to settle
the obligation can be measured or estimated reliabty. Creditors and Provision5 are normally
recognised at their settlement amount after allowing for any discounts due.
