## Structure, Governance and Management 

## Governing Document 

The organisation is a charitable company limited by guarantee, incorporated on 29 July 2005 and registered as a charity on 25 November 2005. The company was established under a Memorandum of Association which established the objects and powers of the charitable company and is governed under its Articles of Association. in the event of the company being wound up members are required to contribute an amount not exceeding £10. 

## Recruitment and Appointment of Management Committee 

The directors of the company (listed on page 3) are also charity trustees for the purposes of charity law. Under the requirements of the Memorandum and Articles of Association the trustees are not subject to retirement by rotation. 

New trustees are recommended by existing trustees and must subscribe to the Statement of Beliefs set out in the Memorandum and Articles of Association. In addition, more than half the trustees shall also be members of Cairns Road Baptist Church (CRBC}. 

The trustees seek to ensure that the needs of the charitable objectives and activities are met through the diversity of the trustee body. 

## Objectives and activities 

The charity’s objectives (as set out in the governing documents) are to advance education in accordance with Christian principles by such means as the trustees may consider appropriate. This is by providing a non-profit, high quality early years education which follows a Christian ethos, as a service to the local community, together with parenting support for the families involved. We continue to offer extended hours to families with a breakfast club and tea club at the beginning and end of the day to further support working parents. Our bursary funding has enabled us to support several families with extra sessions, lunch club and forest school opportunities. 

The main activities undertaken in relation to these objectives were running a Christian based preschool and working closely with CRBC’s Family and Community Outreach Worker. 

## Achievements and performance 

Noah’s Ark Pre-school completed and submitted a Bristol Standard self-evaluation scheme interim submission which was successfully validated in January 2023. As a setting, Noah’s Ark has continued to be strong on reflecting on its practice and making changes as appropriate and where possible to improve our provision and outcomes for all children that attend the setting. 

We continue to place a strong emphasis on making sure children with Special Educational Needs can access every aspect of the curriculum on offer at Noah's Ark. Last year we had 3 children on our SEN register and were able to offer additional support to some children with complex needs.

## Financial Review 

The trustees have examined the charitable company’s requirements for reserves in light of the main risks to the organisation. In determining the level of reserves the trustees have taken into account relevant operational circumstances, in particular current waiting lists and free nursery entitlement grants for children for up to 30 hours per week. In the light of these operational circumstances the reserves policy is set on the level of exposure relating to budgeted working capital requirements and is calculated as £75k, representing 3 months of general operational costs. 

At August 31% 2023, the level of unrestricted reserves available is £130k. 

## Political and charitable donations 

During the year the charity made no donations to a political party. 

## Statement of responsibilities of the trustees 

Company law requires the trustees to prepare financial statements for each financial period which give a true and fair view of the state of affairs of the company as at the end of a financial period and of the surplus or deficit for that period. 

in preparing those financial statements the trustees are required to: 

- e Select suitable accounting policies and then apply them consistently. e Make judgements and estimates that are reasonable and prudent. 

- e Prepare the financial statements on the going concern basis, unless it is inappropriate to presume that the company will continue in business. 

The trustees are responsible for keeping proper accounting records which disclose with reasonable accuracy at any time the financial position of the company and to enable them to ensure that the financial statements comply with the Companies Act 2006. They are also responsible for safeguarding the assets of the company and hence for taking steps for the prevention and detection of fraud and other irregularities. 

This report has been prepared in accordance with the Statement of Recommended Practice: Accounting and Reporting by Charities (issued in March 2005) and in accordance with the provisions applicable to companies subject to the small company’s regime.

## INDEPENDENT EXAMINER’S REPORT ON THE ACCOUNTS 

| report to the trustees/members of Noah’s Ark@CRBC, (Charity No 1112004) on accounts for the year ended 31 August 2023, set out on pages 7 to 15. 

## Respective responsibilities of the trustees and examiner 

The charity's trustees are responsible for the preparation of the accounts: The charity’s trustees consider that an audit is not required for this year under Section 144 of the Charities Act 2011 (the Charities Act) and that an independent examination is needed. it is my responsibility to: 

- e examine the accounts under $145 of the Charities Act e follow the procedures laid down in the general Directions given by the Charity Commission (under section 145(5}(b) of the Charities Act, and 

- e state whether particular matters have come to my attention. 

## Basis of independent examiner's statement 

My examination was carried out in accordance with the general Directions given by the Charity Commission. An examination includes a review of the accounting records kept by the charity and a comparison of the accounts presented with those records. It also includes consideration of any unusual items or disclosures in the accounts, and seeking explanations from you as trustees concerning any such matters. The procedures undertaken do not provide all the evidence that would be required in an audit, and consequently no opinion is given as to whether the accounts present a ‘true and fair’ view and the report is limited to those matters set out in the statement below. 

## Independent examiner's statement 

In connection with my examination, no matter has come to my attention: 

1. which gives me reasonable cause to believe that in any material respect, the requirements i) to keep accounting records in accordance with section 386 of Companies Act 2006, and ii) to prepare accounts which accord with the accounting records, comply with the accounting requirements of section 396 of the Companies Act 2006 and with the methods and principles of the Statement of Recommended Practice: Accounting and Reporting by Charities

2. to which, in my opinion, attention should be drawn to enable a proper understanding of the accounts to be reached.

For the year ended 31st August 2023, the company was entitled to exemption under section 477 of the Companies Act 2006 relating to small companies. No members have required the company to obtain an audit of its accounts for the year in question in accordance with section 476. 

The directors acknowledge their responsibility for complying with the requirements of the Act with respect to

## Notes to the Financial Statements 

## 1, Accounting Policies 

‘The accounts have been prepared in accordance with the following fundamental accounting concepts, in order to showa true and fair view. The accounts have been prepared on the going concern assumption, accruals concept and provide information that is relevant, reliable, comparable and understandable. 

‘The principal accounting policies are summarised below. The accounting policies have been applied consistently throughout the year. 

## (a) Basis of accounting 

The accounts have been prepared in accordance with the Charities Statement of Recommended Practice (Charities SORP FRS102) and with the Charities Act 2011. Noah's Ark@CRBC is a registered charity, no. 1112004 and meets the definition ofa public benefit entity under FRS102. Assets and liabilities are initially recognised at historical cost or transaction value unless otherwise stated in the relevant policy notes. The company was entitled to exemption from audit under s477 of the Companies Act 2006 relating to small companies. 

## (b) Fund accounting 

Unrestricted funds are available for use at the discretion of the trustees in furtherance of the general objectives of the charity. 

Designated funds are unrestricted funds earmarked by the Trustees for particular purposes.

Restricted funds are subjected to restrictions on their expenditure imposed by the donor or through the terms of an appcal. 

## (c) Incoming resources 

All incoming resources are included in the statement of financial activities when the charity is entitled to the income and the amount can be quantified with reasonable accuracy. The following specific policies are applied to particular categories of income: 

- « Incoming resources from charitable trading activity are accounted for when earned. 

- Incoming resources from grants, where related to performance and specific deliverables, are accounted for as the charity earns the right to consideration by its performance. 

- Voluntary income is received by way ofgrants, donations and[gifts] and[is] included[in][full][in] the Statement of | Financial Activities when receivable. Grants, where entitlement is not conditional on the delivery of a specific performance by the charity, are recognised when the charity becomes unconditionally entitled to the | grant. ;

## 2 (d) Resources expended 

Expenditure is recognised on an accrual basis as a liability is incurred. Expenditure includes VAT which cannot be recovered and is reported as part of the expenditure to which it relates: 

- © Charitable expenditure comprises those costs incurred by the charity in the delivery of its services for its beneficiaries. It includes both costs that can be allocated directly to such activities and those costs of an 

- _ indirect nature necessary to support them. 

- Governance costs include those costs incurred in the governance of the charity and its assets and are 

- ' primarily associated with constitutional and statutory requirements. 

- All costs are allocated between the expenditure categories and the SOFA on a basis designed to reflect the 

- ; use of the resource. Costs related to a particular activity are allocated directly; others are apportioned on an: | appropriate basis. ;

No employee received emoluments of more than £60,000. 

Increase in salary costs from prior year duc to Preschool now incurring cost of Preschool Manager that was previously donated to Preschool by Cairns Rd Baptist Church. ## 7. Trustee Remuneration 

As allowed for in the Memorandum and Articles of Association, trustee Mrs J Smith received remuneration of £14,521 during the year in respect of her salary as job-share Manager of the preschool. 

In the prior period, she received £13,761 from the related organisation, Cairns Road Baptist Church in respect of her salary. 

No other trustees received any remuneration during the year. 

## 8. Taxation 

As a charity, Noah’s Ark@CRBC is exempt from tax on income and gains falling within section 505 of the Taxes Act 1988 or s256 of the Taxation of Chargeable Gains Act 1992 to the extent that these are applied to its charitable objects. No tax charges have arisen in the charity.

Purposes of Restricted /Designated Funds

Ukraine grant: grant to support provision for 2 children from Ukraine 

## 13. Related Party Transactions 

The Memorandum and Articles of Association require that more than halfof the trustees shall also be members of Cairns Road Baptist Church (CRBC). 

No trustee or other person related to the charity had any personal interest in any contract or transaction entered into by the charity during the period. 

Noah*s Ark@CRBC paid an annual contribution of £NIL to CRBC (£24,936 in the prior period).

## 14, Defined Contribution Pension 

Employees are enrolled onto defined contribution pension scheme with Nest 

2023 £ Amount of Contributions recognised in SOFA as an expense 3,334 

Pension costs have been allocated against funds, based on staff activities on funding projects.
