The Trustees, who are directors for the purposes of company law, present their strategic report for the year ended 31 December 2023, in compliance with s414C of the Companies Act 2006. 

Reference and administrative information set out on page 1 forms part of this report. The financial statements comply with current statutory requirements, the Memorandum and Articles of Association and the Statement of Recommended Practice - Accounting and Reporting by Charities: SORP applicable to charities preparing their accounts in accordance with FRS 102. 

## **Achievements and performance** 

The charity's main activities and those it tries to help are described below. 

All its charitable activities focus on the care and shelter of stray, neglected and unwanted animals and are undertaken to further Bleakholt Animal Sanctuary's charitable purposes for the public benefit. 

The principal aim of the Charity remains the rescue, rehabilitation and re-homing (except equines and farm animals) of stray, neglected and unwanted animals and consequent benefit to all sectors of the public. Homing figures for 2023 were 422 dogs, 435 cats and 125 small animals making a total of 982 animals rehomed and a further 17 reunited with their owners. 

The ethos of ‘Caring for those who have No-one’ is always at the forefront of the work at the Sanctuary. Every year animals in desperate need are helped. The year continued in the same pattern as the previous year with many urgent cases where animals came to the Sanctuary in a neglected state. Just some of the desperately sad cases in 2023 included Lila, a three month old Bulldog puppy, who arrived in the most horrific condition. Lila came to Bleakholt after being handed in at a local vets as a stray. She was covered in mange which resulted in her skin being raw, she had eye infections, a hernia and was in so much discomfort. Lila had a long road to recovery but remained the sweetest natured soul. She has now recovered and is in a fantastic home where she is adored by her owners. Lila is now on Bleakholt’s new van and still comes back for visits.  Despite weeks of being treated with medicated baths and obviously in such discomfort she remained the sweetest natured girl.

Over on the cats just one of the many cases coming into the Sanctuary was Penelope. Sadly she had been abandoned in a carrier locally with her kittens. A passer-by found them and another local rescue collected them for Bleakholt, but Penelope had managed to escape and took a week to locate. On admission it was clear her health was poor, she was admitted to an emergency vets where at first she improved but then rapidly declined and required emergency surgery due to a problem with her intestine. Penelope came through the surgery well but sorrowfully her bowel ruptured hours after and she had to be put to sleep. Although Penelope is not a happy example of the work the Sanctuary does it is important to note had she not have come into our care she would have faced a very slow and painful time and most certainly suffered. 

Over in the farm a most unusual phone call was received to advise that a goat had been found on the tram tracks in Manchester City Centre. The goat, later named Thomas, was immediately collected by staff at the Sanctuary. Thomas is a friendly but cheeky chap who sadly has severe arthritis. This is managed with pain medication and he is living out his days here at the Sanctuary happily getting into mischief.

Many young dogs that were admitted to the Sanctuary in 2023 arrived due to owners not considering the long term commitments to pet ownership. Many puppies came to the Sanctuary through local vets where they had been handed in as either strays or no longer wanted. Once again the demand to take in kittens outweighed the numbers able to be helped. Not neutering is a very big local problem and this is resulting in huge numbers of unwanted and unplanned litters. Bleakholt continues to advertise and recruit foster homes to help increase the number of cats and kittens able to be helped. Sadly a large number coming into the Sanctuary came in showing signs of infectious disease, so numbers on site had to be kept to a level where barrier cleaning and isolation of infection could be maintained.

The number of animals admitted during 2023 was 956 which was an increase on the previous year. Due to the cost of living crisis many animals were coming into the Sanctuary was due to owners not being able to afford veterinary treatment. 

The stables and farm sections continued to be busy, the area with the most requests for helping being rabbits. Requests to admit rabbits saw a similar situation to the cats with a far larger number needing help then spaces available. With a focus on caring for those that have no-one, often older, vulnerable and animals in poor health are prioritised for admission. 

Several of the elderly equines passed away during the year, having lived full and comfortable lives. Other animals have arrived so that the sanctuary remains full. 

The 5-year rolling Business Strategy which was approved by Trustees in 2022 continued to be reviewed throughout its second year. This is guiding the charity’s development up to 2027. The strategy currently has 5 key aims and seeks to maintain and improve animal care/welfare, customer service, finance, reputation and facilities. This follows the previous five year strategy where not all aims could be achieved due to the pandemic.  The need to increase income and move away from reliance on legacies has been a growing concern and a key aim of the new strategy is to move away from this reliance. It was also appreciated that the need to continue to attract legacies needed further advertisement. Bleakholt joined with Octopus Legacies in a bid to try and increase future legacies. 

Alternative means of increasing income were continued in 2023 including increased attendance at external fundraising events, online auctions, increased gift aid uptake, newspaper and social media appeals. 

The additional Charity Shop which opened in September 2022 in Bacup increased opening hours in 2023 with the support of volunteers. Sales continued to be strong in 2023 raising a total of £54,148. Grant applications are made by managers and grants totalling £73,750 were secured in 2023. 

Bleakholt continues to be a full member of the Association of Dogs and Cats Homes and continues to network and share good practice. Bleakholt attended the 2023 ADCH conference in Telford in May. Staff members attending managed to find a lost cat whilst attending and with the help of other members managed to scan the cats Microchip and return the cat to the owner after he had been missing for three months. 

As always, the sincere gratitude of the Trustees goes to Bleakholt’s dedicated staff and volunteers. In particular, thanks go to the volunteer dog walkers who continue to turn out daily in all weathers, the café, shops and book shop volunteers who work tirelessly to raise much needed funds. 

## **Beneficiaries of our services** 

The sanctuary re-homed a total of 982 animals in 2023 to individuals, couples and families across Greater Manchester, Lancashire and West Yorkshire. 

Bleakholt has well established relationships with other local rescues, council organisations, vets and local police and when space is available will admit animals from other organisations.

Together with those animals permanently in residence at the sanctuary and other contacts during the year it is estimated that well over 1,000 animals were helped.  As well as the benefits to the animals themselves there is always a number of people who benefit from the adoption of each animal or a visit in one form or another to the sanctuary. If at least 4 people benefit from each animal then over 4,000 have benefitted in the year. 

Supporting the local community has always been a key value. In 2023 many tours across the Sanctuary were given to local schools and charity groups. This not only helped to promote the work that Bleakholt does but also to encourage responsible pet ownership. 

The Sanctuary provides a vital service to the local area taking in animals that can no longer be looked after. This is not only a benefit to the animal but also to the owner or family members struggling to care for the animal.

## **Financial review** 

The Trustees wish to record their gratitude to everyone who contributed to the income of Bleakholt Animal Sanctuary by way of donations, legacies and fundraising. Equally, to those who were able to contribute in kind support. 

Total income received increased from 1,548,547 (2022) to 1,585,581 (2023) and this was partially due to movements in legacy allocation. Expenditure for 2023 was £1,482,609, compared to £1,330,155 in 2022, an increase of £152,454 on the previous year. Cost of living rises affecting daily running costs have impacted this increase along with national minimum wage increases. 

During the year, Bleakholt received donations and legacies totalling £1,134,781 (2022: £1,212,073). The reduction was due to the movement of legacies received in the year into 2022.

Trading activities, which include the Ramsbottom and Bury charity shops, the new Bacup charity shop, the open days, the on-site shop and café showed an increase on previous years of £307,524 in 2023 compared to £226,839 in 2022. This is in line with the five year Business Strategy to increase trading income. Further work will be required to increase trading income to cover daily running costs. 

The Board of Trustees has long recognised that Bleakholt cannot continue to rely on legacies and is continuing to look at other sources of revenue including charity shops / commercial activity and online fundraising to increase income and reduce the reliance on legacies. This is the 1[st] item on the Strategic Risk Register and is the guiding point of the next five year Business Strategy. 

A previous cost reduction programme successfully reduced the charities expenditure. However pressure on costs such as veterinary services and increases of 9% in the National Minimum wage have seen a growth in annual running costs. 

## **Policy on reserves** 

The Trustees have reviewed, revised and established a policy whereby it designates a Reserve Fund, identified as a Contingency Fund, which will enable Bleakholt to continue for a period of time the current services of the Charity in the event of a significant drop in funding. It is obviously necessary to consider how the funding will be replaced or the activities modified should such circumstances arise. 

The Trustees have continued to keep this level at 12 months’ actual service running costs - this now equates to some £1,500,000 pa. A Development Fund has been ring-fenced for costs relating to the improvement and refurbishment of the sanctuary (through the projects programme) - this stood at £1,028,763 at the year end. 

A separate fixed assets fund is recognised by the Trustees representing the net book value of fixed assets held - £1,350,089 (2022: £1,336,861). Whilst the value of these assets is included within the total funds of the Charity they do not represent liquid/expendable amounts and should be segregated accordingly. 

## **Plans for future periods** 

## _**Aims and Key objectives for future periods     -**_ 

A new 5 year Business Strategy (2022-2027) has been developed, with a strong focus to continue to improve standards whilst increasing trading revenue to cover annual running costs, moving away from a reliance on legacies. 

Improving welfare standards across the board is consistently reviewed and low-cost programmes have been introduced across all sections such as increasing enrichment and addressing animals that might be struggling with sanctuary life more proactively. This work will continue to expand and improve to ensure all animals have the best possible quality of life whilst at the sanctuary. 

Projects were kept to a minimum in 2023 due to the completion of the tree planting project and the requirement for a new van. The H kennel block had a new roof installed after several years of being patched.

A new van was purchased in 2023 as the old van needing extensive repairs making it not financially viable to fix. The new van was purchased at a reduced rate and had graphics provided for free. Bleakholt were charity of the year with Zen Internet Group, they held fundraising events throughout the year raising a total of £21,509. 

The five year Fundraising Strategy developed in 2022 was in it’s second year. The Fundraising and PR consultant continued to launch several appeals and has increased supporter volumes with increased media coverage. 

As part of this plans were made to look to open a fourth charity shop in early 2024. The Bacup and Bury charity Shops both increased their opening hours to six days a week increasing revenue.  The shops income for 2023 was £179,043, an increase of £44,865 on 2022. 

Bleakholt participated in a project via Highways England to reduce flooding on the M66. This involved planting 8,000 trees on site as well as aerating parts of the land. This commenced in 2022 and was completed in April 2023. 

The projects programme for next year (2024) will include: 

- Completion of Poultry enclosures renovation 

- Redecoration/improvement to the toilets 

- Review plans to extend visitor area/extend café 

- Potential for new shop 

- Increase trading activity 

- Improvement of the pig/goat enclosures 

- Farm Improvement Plan – Repairing remaining fencing and dry stone walls 

- Re-tarmac yard 

- New barn roof 

- Review potential for renewable energy sources

## **Objectives and activities** 

The Charity's objectives are the provision of care and shelter for stray, neglected and unwanted animals of all kinds including dogs, cats, rabbits, guinea pigs, horses, donkeys, ponies, goats, sheep, pigs and hens and the protection of animals from ill usage, cruelty and suffering. 

To provide medical treatment and endeavour, wherever possible, to find suitable homes for the dogs, cats and small animals ensuring that they are re-homed to suitable 'forever' homes in accordance with Sanctuary Rehoming Policy. 

In re-homing unwanted dogs and cats, the number of such animals that would otherwise be abandoned by owners and become strays is reduced. A reduction in stray animals protects the public from the potential nuisance and in some cases injury and harm that can be caused by straying animals. Where possible the Sanctuary reunites lost pets with their owners. In accordance with legislation, the Sanctuary microchips all dogs and cats to be rehomed. This aids the identification of owners and reunification of animals to their owners. This micro chipping service is also available for the general public to access for a modest donation.

The Sanctuary also aims to educate the public about the protection of animals from cruelty and suffering and in the welfare and proper care of animals. Vocational training is provided to young people who are interested in a career in animal care and related industries. The Sanctuary encourages links with local schools and other organisations and regularly provides talks to provide education on animal welfare issues to include responsible and considerate pet ownership with a view to reducing the number of unwanted and neglected animals and the negative impact of such on our society. 

The Trustees review the aims, objectives and activities of the charity each year. This Report looks at what the charity has achieved and the outcomes of its work in the reporting period. The Trustees report the success of each key activity and the benefits the Charity has brought to those groups of people that it is set up to help. The review also helps the Trustees ensure the Charity's aims, objectives and activities remained focused on its stated purposes. 

## **Public benefit** 

The Trustees have referred to the guidance contained in the Charity Commission's general guidance on public benefit when reviewing the Charity's aims and objectives and in planning its future activities. In particular, the Trustees consider how planned activities will contribute to the aims and objectives that have been set. 

The Trustees confirm that they have complied with the requirements of section 17 of the Charities Act 2011 to have due regard to the public benefit guidance published by the Charity Commission for England and Wales. 

## **Structure, governance and management** 

The Charity runs an animal Sanctuary near Edenfield, Lancashire by way of employed staff and volunteers. The Trustees form a Board of Management that meets on a monthly basis to discuss and make decisions in relation to all aspects of the Sanctuary's management including: financial planning and control, staffing levels, animal care and welfare, veterinary matters, homing of animals and policies, provision and upkeep of buildings and machinery, land management, hygiene and correspondence received. An events calendar is compiled for the year. The Trustees also discuss the operational performance report covering all aspects of the Sanctuary (dog, cat, stables and farm sections). 

The Sanctuary Manager, Deputy Manager, Heads of Section and Supervisors are responsible for all aspects of the day-to-day management of the Charity. The Sanctuary Manager has a focus on supporting the Trustees and re-development and has a particular focus on the operation and improvement of the day to day running of the Sanctuary. The Sanctuary Manager takes instruction from and reports to the Trustees on a regular basis through the Chair of Trustees. 

Expert financial, legal, compliance and other advice is sought where necessary. 

The trading subsidiary of Bleakholt Shop Limited passes on the entirety of its profits to the Sanctuary each year. 

There have been no changes in policy or organisation during the year. 

Trustees are recruited based on their skill and expertise, with consideration given to existing involvement with the Sanctuary. All Trustees are required to be members of the Sanctuary. They are

elected for a 3 year term by members attending the AGM. Trustees are required to sign a declaration that states that they are not disqualified by law from acting as a charity trustee as per section 72 of the Charities Act 2011. 

New Trustees are provided with copies of the Memorandum and Articles of Association and past accounts are available to them. Any Charity Commission information is also given to new and existing Trustees. The induction of new Trustees is carried out by the Chair and the Sanctuary Manager. 

The organisation is a charitable company limited by guarantee, incorporated on 25 April 2005 and registered as a charity on 20 July 2005. The assets, liabilities and undertakings were transferred on 31 December 2005 from Bleakholt Animal Sanctuary, an unincorporated charity established under a constitution adopted 7 June 1969 and registered as a charity on 25 June 1968. 

The company was established under a Memorandum of Association which established the objects and powers of the charitable company and is governed under its Articles of Association. 

If the Charity is dissolved, each of the members is liable to contribute such sum (not exceeding £10) towards the assets of the Charity. The total number of such guarantees at 31 December 2023 was 427 (2022 was 415). The Trustees are members of the charity but this entitles them only to voting rights. The Trustees have no beneficial interest in the charity. 

All Trustees give their time voluntarily and receive no benefits from the charity. Any expenses reclaimed from the charity are set out in the accounts (2023: Nil). 

## **Related parties and relationships with other organisations** 

As mentioned, Bleakholt are proud members of the Association of Dogs & Cats Homes (ADCH) and are able to network with and share good practice with other member charities for the benefit of Bleakholt. 

## **Remuneration policy for key management personnel** 

The key management personnel include the Sanctuary Manager and Deputy Manager. The pay grade of these key management personnel is reviewed annually. The grades are set out in the approved Pay Policy and progression is subject to a satisfactory performance review. 

The pay grades are benchmarked against comparable charities periodically. 

## **Major risks and management of those risks** 

The Trustees have considered all risks to the Sanctuary and have approved a risk register. This is reviewed every 6 months and includes the following key areas: 

## 1. Financial Income 

The Trustees recognise that legacy income is critical but it is unpredictable in nature and historically has peaks and troughs. It is accepted that there is a need to maximise income from other sources and to maximise income from Event Days and other fundraising activities, the cafe, the on-site Shop and the three Charity Shops, sponsorships and membership. It is also imperative that donations are maximised using Gift Aid where possible.

## 2. Compliance - Health & Safety 

Health & Safety is of upmost importance in a working Sanctuary as the safety of the staff, volunteers, public and animals is paramount. Risk assessments are regularly carried out to identify and reduce risks. Annual meetings and regular dialogue takes place with the Sanctuary's Insurers. 

Any issues in relation to Health & Safety are reported to the Trustees and are addressed as a matter of urgency. A review of the Health & Safety and Policy & Procedures has been undertaken during the reporting period and Bleakholt engages a professional advisor (Work Nest) to assist with compliance. 

## 3. Compliance - Employment Law 

The Sanctuary Manager is responsible for the day to day aspects of employment matters with the support of the Trustees. In order to ensure that the Sanctuary is working in accordance within current Employment Law, Bleakholt engages a professional advisor to assist with compliance. 

## 4. Human Resources 

The nature of Bleakholt's work means that it relies heavily on both paid staff and volunteers to undertake a wide variety of roles. 

There is a workforce plan in place to develop the staff team and keep skills and expertise up-to-date. 

There is also a need to develop the pool of volunteers available, including Trustees, and this is being addressed. 

## **Funds held as custodian trustee on behalf of others** 

Bleakholt has not acted as custodian trustee in the reporting period. 

## **Reappointment of auditor** 

The auditors Slade & Cooper Limited are deemed to be reappointed under section 487(2) of the Companies Act 2006. 

This report has been prepared in accordance with the provisions applicable to companies subject to the small companies regime of the Company’s Act 2006.

The trustees (who are also the directors of Bleakholt Animal Sanctuary for the purposes of company

Company law requires the trustees to prepare financial statements for each financial year. Under
company law the trustees must not approve the financial statements unless they are satisfied that
they give a true and fair view of the state of affairs of the parent charitable company and the group
and of the incoming resources and application of resources, including its income and expenditure, of
the charitable group for that period. In preparing these financial statements, the trustees are
required to..
select suitable accounting policies and apply them consistentlv,-
observe the methods and principles in the Charities SORP;
make judgements and estimates that are reasonable and prudent,.
state whether applicable accounting standards, comprising FRS 102 have been followed, subject
to any material departures disclosed and explained in the financial statements- and
prepare the financial statements on the going concern basis unless it is inappropriate to presume
that the parent charitable company will continue in business.
The trustees are responsible for keeping proper accounting records that can disclose with
reasonable accuracy at any time the financial position of the parent charitable company and the
group and enable them to ensure that the financial statements comply with the Companies Act
2006. They are also responsible for safeguarding the assets of the parent charitable company and
the group and hence for taking reasonable steps for the prevention and detection of fraud and other
irregularities.
The trustees are responsible for the maintenance and integrity of the corporate and financial
information included on the charitable company's website. Legislation governing the preparation
and dissemination of financial statements may differ from legislation in other jurisdictions.

## **Opinion** 

We have audited the financial statements of Bleakholt Animal Sanctuary (the ‘parent charitable company’) and its subsidiaries for the year ended 31 December 2023, which comprise the Group Consolidated Statement of Financial Activities (including the income and expenditure account), the Group Consolidated Balance Sheet, the Charity Balance Sheet, the Group Consolidated Statement of Cash Flows, the Charity Statement of Cash Flows and the related notes. The financial reporting framework that has been applied in their preparation is applicable law and United Kingdom Accounting Standards, including Financial Reporting Standard 102 The Financial Reporting Standard applicable in the UK and Republic of Ireland (United Kingdom Generally Accepted Accounting Practice). 

In our opinion the financial statements: 

- give a true and fair view of the state of the group’s and charitable company’s affairs as at 31 December 2023 and of the group’s incoming resources and application of resources, including its income and expenditure, for the year then ended; 

- have been properly prepared in accordance with United Kingdom Generally Accepted Accounting Practice; and 

- have been prepared in accordance with the requirements of the Companies Act 2006 and the Charities Act 2011. 

## **Basis for opinion** 

We conducted our audit in accordance with International Standards on Auditing (UK) (ISAs (UK)) and applicable law. Our responsibilities under those standards are further described in the Auditor’s responsibilities for the audit of the financial statements section of our report. We are independent of the group and charitable company in accordance with the ethical requirements that are relevant to our audit of the financial statements in the UK, including the FRC’s Ethical Standard, and we have fulfilled our other ethical responsibilities in accordance with these requirements.  We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our opinion. 

## **Conclusions relating to going concern** 

In auditing the financial statements, we have concluded that the trustees' use of the going concern basis of accounting in the preparation of the financial statements is appropriate. 

Based on the work we have performed, we have not identified any material uncertainties relating to events or conditions that, individually or collectively, may cast significant doubt on the group’s or parent charitable company’s ability to continue as a going concern for a period of at least twelve months from when the financial statements are authorised for issue.

Our opinion on the financial statements does not cover the other information and, except to the extent otherwise explicitly stated in our report, we do not express any form of assurance conclusion thereon. 

In connection with our audit of the financial statements, our responsibility is to read the other information and, in doing so, consider whether the other information is materially inconsistent with the financial statements or our knowledge obtained in the audit or otherwise appears to be materially misstated. If we identify such material inconsistencies or apparent material misstatements, we are required to determine whether there is a material misstatement in the financial statements or a material misstatement of the other information. If, based on the work we have performed, we conclude that there is a material misstatement of this other information, we are required to report that fact. 

We have nothing to report in this regard. 

## **Opinions on other matters prescribed by the Companies Act 2006** 

In our opinion, based on the work undertaken in the course of the audit: 

- the information given in the Strategic Report (incorporating the directors’ report) and the Trustees’ Report for the financial year for which the financial statements are prepared is consistent with the financial statements; and 

- the directors’ report has been prepared in accordance with applicable legal requirements. 

## **Matters on which we are required to report by exception** 

In the light of our knowledge and understanding of the group and parent charitable company and its environment obtained in the course of the audit, we have not identified material misstatements in the directors’ report. 

We have nothing to report in respect of the following matters in relation to which the Companies Act 2006 and the Charities Act 2011 requires us to report to you if, in our opinion: 

- adequate accounting records have not been kept by the parent charitable company, or returns adequate for our audit have not been received from branches not visited by us; or 

- the parent charitable company’s financial statements are not in agreement with the accounting records and returns; or 

- certain disclosures of directors’ remuneration specified by law are not made; or 

- we have not received all the information and explanations we require for our audit; or 

- the trustees were not entitled to prepare the financial statements in accordance with the small companies’ regime and take advantage of the small companies’ exemptions in preparing the directors’ report.

## **Responsibilities of trustees** 

As explained more fully in the Statement of Trustees’ Responsibilities (set out on page 18), the trustees (who are also the directors of the charitable company for the purposes of company law) are responsible for the preparation of the financial statements and for being satisfied that they give a true and fair view, and for such internal control as the trustees determine is necessary to enable the preparation of financial statements that are free from material misstatement, whether due to fraud or error. 

In preparing the financial statements, the trustees are responsible for assessing the group’s and parent charitable company’s ability to continue as a going concern, disclosing, as applicable, matters related to going concern and using the going concern basis of accounting unless the trustees either 

intend to liquidate the group or parent charitable company or to cease operations, or have no realistic alternative but to do so. 

## **Auditor’s responsibilities for the audit of the financial statements** 

Our objectives are to obtain reasonable assurance about whether the financial statements as a whole are free from material misstatement, whether due to fraud or error, and to issue an auditor’s report that includes our opinion. Reasonable assurance is a high level of assurance, but is not a guarantee  that an audit conducted in accordance with ISAs (UK) will always detect a material misstatement when it exists. Misstatements can arise from fraud or error and are considered material if, individually or in the aggregate, they could reasonably be expected to influence the economic decisions of users taken on the basis of these financial statements. 

Irregularities, including fraud, are instances of non-compliance with laws and regulations. We design procedures in line with our responsibilities, outlined above, to detect material misstatements in respect of irregularities, including fraud. The specific procedures for this engagement and the extent to which these are capable of detecting irregularities, including fraud is detailed below: 

- enquiry of management and those charged with governance around actual and potential litigation and claims. 

- enquiry of the charity's staff, management and those charged with governance to identify any instances of noncompliance with laws and regulations. 

- reviewing minutes of meetings of those charged with governance. 

- reviewing financial statement disclosures and testing to supporting documentation to assess compliance with applicable laws and regulations. 

- auditing the risk of management override of controls, including through testing journal entries and other adjustments for appropriateness, and evaluating the business rationale of significant transactions outside the normal course of business. 

Because of the inherent limitations of an audit, there is a risk that we will not detect all irregularities, including those leading to a material misstatement in the financial statements or non-compliance with regulation.  This risk increases the more that compliance with a law or regulation is removed from the events and transactions reflected in the financial statements, as we will be less likely to become aware of instances of non-compliance. The risk is also greater regarding irregularities occurring due to fraud rather than error, as fraud involves intentional concealment, forgery, collusion, omission or misrepresentation.

Summary of significant accounting policies and key accounting estimates
The principal accoLJnting policies applied in the preparation of these financial statements are set out
below. These policies have been consistently applied to all the years presented, unless otherwise
stated.
Statement of compliance
The financial statements have been prepared in accordance with Accounting and Reporting by
Charities.. Statement of Recommended Practice applicable to charities preparing their accounts in
accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland IFRS
1021 second edition
October 2019 (Charities SORP IFRS 10211, the Financial Reporting Standard
applicable in the UK and Republic of Ireland IFRS 1021 and the Companies Act 2006 and UK Generally
Accepted Accounting Practice.
Basis of preparation
8leakholt Animal Sanctuary meets the definition of a public benefit entity under FRS 102. Assets and
liabilities are initially recognised at historical cost or transaction value unless otherwise stated in the
relevant accountinE policy notes.
Basis of consolidation
These financial statements consolidate the results of the charitable company and its wholly-owned
subsidiary Bleakholt Shop Limited on a line by line basis.
No statement of financial activities is presented for the charity as permitted by section 408 of
the Companies Act 2006. The charity made a surplus after tax for the financial year of £102,898

Going concern
The trustees consider that there are no material uncertainties about the group's ability to continue
as a going concern.
There were no key judgements which the trustees have made which have a significant effect on the
accounts.
The trustees do not consider that there are any sources of estimation uncertainty at the reporting
date that have a significant risk of causing a material adjustment to the carrying amount of assets
and liabilities within the next reporting period.
Income and endowments
All income is recognised when the charity has entitlement to the funds, any performance conditions
attached to the itemlsl of income have been met, it is probable that the income will be received and
the amount measured reliably.
Income from government and other grants, whether 'capital' grants or 'revenue' grants, is
recognised when the charity has entitlement to the funds, any performance conditions attached to
the grants have been met, it is probable that the income will be received and the amount can be
measured reliably and is not deferred.
For legacies, entitlement is taken as the earlier of the date on which either= the charity is aware that
probate has been granted, the estate has been finalised and notification has been made by the
executorlsl to the charity that a distribution will be made, or when a distribution is received from
the estate. Receipt of a legacy, in whole or in part, is only considered probable when the amount can
be measured reliably and the charity has been notified of the executor's intention to make a
distribution. Where legacies have been notified to the charity, or the charity is aware of the granting
of probate, and the criteria for income recognition have not been met, then the legacy is treated as a
contingent asset and disclosed if material.
Where gifts in kind have been made on trust for conversion into cash e.g. second hand goods for
resale, the value of the gift is included in the period in which it Is sold. The trustees consider that it is
not practicable to value those items awaiting sale at the balance sheet date and believe that the
value of them would not be material to the accounts.
Income received in advance of a provision of a specified service it is deferred until the criteria for
income recognition are met.
Grant5 receivoble
Grants are recognised when the group has an entitlement to the funds and any conditions linked to
the grants have been met. Where performance conditions are attached to the grant and are yet to
be met, the income is recognised as a liability and included on the balance sheet as deferred income
to be released.
Investment income
Interest on funds held on deposit is included when receivable and the amount can be measured
reliably by the charity,. this is normally upon notification of the interest paid or payable by the bank.

Expenditure
Expenditure is recognised once there is a legal or constructive obligation to make a payment to a
third party, it is probable that settlement will k)e required and the amount of the obligation can be
measured reliably. Expenditure is classified under the following activity headings:
Cost of raising funds comprise premises costs, the cost of employing charity shop staff, the cost of
goods for resale and the costs of commercial trading and their associated support costs.
Expenditure on charitable activities includes the costs undertaken to further the purposes of the
charity and their associated support costs.
Other expenditure represents those items not falling into any other heading.
Irrecoverable VAT is charged as a cost against the activity for which the expenditure was incurred.
Support costs
Support costs are those functions that assist the work of the charity but do not directly undertake
charitable activities. Support costs include back office costs, finance, personnel, payroll and
governance costs which support the charity's programmes and activities. These costs have been
allocated between cost of raising funds and expenditure on charitable activities. The bases on which
support costs have been allocated are set out in note 9.
Tangible fixed assets
Individual fixed assets costing £l,CM)O or more are capitalised at cost.
Depreciation and amortisation
Depreciation is provided on tangible fixed assets so as to write off the cost or valuation, less anv
estimated residual value, over their expected useful economic life as follows:

Fixed asset investments
Investments are a form of basic financial instrument and are intially recognised at their transaction
value and subsequently measured at their fair value as at the balance sheet date using the closing
quoted market price. The statement of financial activities includes the net gains and losses arising on
revaluation and disposals throughout the year.
The charity does not acquire put options, derivatives or other complex financial instruments.
The main form of financial risk faced by the charity is that of volatility in equity markets and
investment markets due to wider economic conditions, the attitue of investors to investment risk,
and changes in sentiment concerning equities and within particular sectors or sub sectors.
Current asset investments
Current asset investments include cash investments with a notice period of greater than one week
and deposit accounts intended to be held for the longer term.
Stock
Stock is included at the lower of cost or net realisable value. In general, cost is determined on a first
in, first out basis. Net realisable value is the price at which stocks can be sold in the normal course of
business after allowing for the costs of realisation. Provision is made where necessary for obsolete,
slow moving and defective stocks.
Trade debtors
Trade and other debtors are recognised at the settlement amount due after any trade discount
offered. Prepayments are valued at the amount prepaid net of any trade discounts due.
Cash and cash equivalents
Cash and cash equivalents comprise cash at bank and cash in hand and short-term highly liquid
investments Wlth a short maturity of three months or less from the date of acquisition or opening of
the deposit or similar account.
Trade creditors
Creditors and provisions are recognised where the charity has a present obligation resulting from a
past event that will probably result in the transfer of funds to a third party and the amount due to
settle the obligation can be measured or estimated reliably. Creditors and provisions are normally
recognised at their settlement amount after allowing for any trade discounts due.
Fund strurture
Unrestricted income funds are available to spend on activities that further any of the purposes of the
group.
Designated funds are unrestricted funds of the charity which the trustees have decided at their
discretion to set aside to use for a specific purpose.

Restricted income funds are donations which the donor has specified are to be solely used for
particular areas of the charity's work or for specific projects being undertaken by the charity.
Financial instruments
Classificotion
The charity only has financial assets and financial liabilities of a kind that qualify as basic financial
instruments. Basic financial instruments are initially recognised at transaction value and
subsequently measured at their settlement value with the exception of bank loans which are
subsequently measured at amortised cost using the effective interest method.
Pensions
Employees of the charity are entitled to join a defined contribution 'money purchase, scheme. The
charity's contribution is restricted to the contributions disclosed in note 12. There were £850
outstanding contributions at the year end.
The money purchase plan is managed by NEST and the plan invests the contributions made by the
employee and employer in an investment fund to build up over the term of the plan a pension fund
which is then converted into a pension upon the employee's normal retirement year age when
eligible for a state pension. The total expense ratio of the plan is 0.3Y¢ and this is deducted from the
investment fund annually. The trust has no liability beyond making its contributions and paying
across the deductions for the employee's contributions.

The key management personnel of the charity comprise the Sanctuary Manager and Deputy
Manager. The total employee benefits of the key management personnel of the charity were

13 Taxation
The charity is exempt from tax on income and gains falling within Chapter 3 of Part 11 of the
Corporation Tax Act 2010 or Section 256 of the Taxation of Chargeable Gains Act 1992 to the extent
that these are applied to its charitable objects. No tax charges have arisen in the charity.
The charity's trading subsidiary Bleakholt Shop Limited gift aids available profits to the parent
charity. Its charge to corporation tax in the year was £Nil12022.' Nil).

Subsidiaries
The Charitable company owns the whole of the issued ordinary share capital of Bleakholt Shop
Limited, a company registered in England, company number 3592986. The subsidiary is used for
non-primary purpose trading activities.
Available profits are gift aided to the charitable company within 9 months of the year end.
Subsequent to FRC guidance on the application of FRS102, Bleakholt Shop no longer accrues the gift
aid in the accounts in which the profit was made. A summary of the results of the subsidiary is

The specific purposes for which the funds are to be applied are as follows=
Contlnulty fund
The free reserves after allowing for all designated funds. Continuity fund is a general reserve which
will enable the charity to continue providing its services in the event of a significant drop in funding.
Bleakholt Shop
This is the working capital of the trading subsidiary.
Development fund
This fund has been ring-fenced for the development and refurbishment of the sanctuary.
Fixed asset fund
This fund represents the net book value of fixed assets already held. Whilst the value of these assets
is included within the total funds of the charity, they do not represent liquid/expendable amounts
and should be segregated accordingly.
Outdoor cattery renovation
Monies recieved from Bolton Guild of Help in February 2020 for the renovation of the outdoor
cat pens. Further grants were received in 2021 from Battersea and Pets at Home Foundation.
Donkey Roof project
An appeal was made to raise money to replace the roof on the donkey stables, the appeal
allowed for any monies remaining following completion of the new roof to be used for the
Sanctuary as general purpose funds.
Care of Cats
During the year a legacy was received for general care of cats.
ADCHIMARS
A grant received for feeding dogs and cats.
Care of Donkeys
A legacy was received in 2022 for general care of donkeys.
