The Trustees, present their annual report and financial stslemenls for the year ended 31 December 2025.
The financial stslemenls have been prepared in accordance with the accounting policies set out in note 1 to the
financial stslemenls and comply ¥Mth the charty's governing document. the Companies Act 2006, FRS 102 The
Financial Reporting Standard applicable in the UK and Republic of Ireland" and the Charities SORP "Pccounting
and Reporting by Charities.. Statement of Recommended Practice applicable to charities preparing their accounts in
accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland IFRS 1021
ObJgCtlves and actlvllles
The objectives of the charity as per ils governing document are to advance and promote the education of thè public
in the knO￿edge, understanding and appreciation of music.
The charity is dedicated lo nurturing the next generation of musical talent, whilst developing inclusivity and
a￿ssibIlItY to orchestral music. At ils heart is creativity. musicianship and innovation leading to dynamic. high-
quality perfomiances and recordings displayed through, themed programmes, arresting and professional production
values, use of non-traditional venues, immersive experiences and our community work with schools.
Strategle$ for achlevlng alms and oblectlves
2025 was the first complete year as Chromalica. Throughout 2025 we sought consultancy for Education.
Fundraising and Artistic input lo strengthen our objectives and foundations.
Public benefit
The Trustees have given due regard lo general guidance published by the Charity Commission, rdaling to public
benefit, from the activities that the trust should undertake
Activities
In 2025 we continued to perform at Battersea Arts Centre IBACI
with x2 family concerts that enabled us to
engage with the younger audien￿ in Battersea. We collaborated with Tess Jackson lone of our Emerging
Conductors), students from MISST Imusic in Secondary School Trust) and Jessie Maryon Davies IMD, Presenlerl.
In February 2025 we also performed al Wllons Music Hall wf(h the tslenled Robin Trilschler. In April the orchestra
performed In the very centre of London at Milton Court Concert Hall, Bart)Ican. We look the opportunity 10 showcase
our wind sections with Mozart Gran Partits. This was a great opportunity for the orchestra lo be flexible in terms of
being a small ensemble as well as a full size orchestra.
In May, we completed a rehearsal day for the orchestra with Charlotte Politi lone of our Emerging condLJCtorsl. We
used the day to work as an ensemble and record some footage for use during the next season marketing campaign.
One of the orchestra's aims was to take performances outside London and perform in other towns and cities, so in
June 2025 we went to Saffron Walden lo perform our last concert of the season with violinist Francesca Dego.
The start of the 25126 season look us lo Kings Place, Dorking Concert Hall, and Battersea Arts Centre. We worked
with 2 young violin soloists for the Kings Place concert- one of them part of the YCAT scheme.
Education and Outreach
We have worked on our Outreach strategy this year and worked with Andra East lo do some consultancy for us.
This was an extremely useful piece of work lo hone our focus for the next couple of years. We are I￿king al
Continuing our relationship ¥Mth MISST, Bobbi Moore Academy and also the music hubs that are local to Battersea.
We have also engaged an Education and Community Manager.

Emerglny Conductor Programme
We are still putting our Emerging Conductor Programme al the ￿ntre of our work. We are working wth Sian
Edwards and Paul Hughes to PLJt some structure into our Emerging Conductor programme, making it more robust
and meaningful for the conductors who are part of the scheme.

We had 6 performances in 2025.

Building the brand and our audiences- espeaally in Battersea.
Partnerships with educational hubs.
Broadening funding sources, building the brand profile through all year-round maikeling and bedding in the
distinctive programming lo widen audience profile, resulting in increased lickel sales and added value partnerships.
These wll all be metrics that are shared in reporting to the Trustees, in 2026.
Factors relevant to achieve objectives
Executive leadership and inspired artistic programming with longer term planning is important to the development
and achievement of objectives. A combination of inspired venue choices, arresting prDduclion values and
outstanding quality in dynamic programming content is critical lo success. Developing existing and introducing new
partnerships wll be key lo both the education and concert programmes. Early career classically trained orchestral
players and conductors with an energy and social purpose lo inspire and open doors for diverse communities
through the power of music will deliver, as the long lemi artistic, educational and financial success of the orchestra
is bu1￿.
Fundraising activities and income generation
This progress of this has been slower than anticipated due to needing to make some staff changes. Whilst we still
need to broaden the fjjndraising base, we are now in a position to focus our efforts more on strategic funding plans.
We are experimenting with a different ticketing structure at Battersea Arts Centre lo see if this makes a noticeable
difference lo our income from ticket sales.
Financial review
Golng ¢oncem
After making appropriate enquiries, the Trustees have a reasonable expectation that the charity has adequate
financial reSoUr￿S to continue in operational existence for the foreseeable future. For this reason, they continue to
adopt the going concem basis in preparing the financial slalements. Further details regarding the adoption of the
going concem basis can be found in the accounting policies.
Reserves policy
11 remains the policy of the trust that unrestricted funds which have not been designed for a specific use should be
maintained at a level between three and six month's expenditure. There are Currently no restricted fvnds, wlh total
funds carried forward as of 31 December 2025 £215,085. The Trustees consider thal reserves at this level will
ensure that, in the event of a significant drop in funding, they will be able to continue the trust's current activities,
while consideration is given to ways in which additional funds will be raised. Total income amounted to £482,548
against expenditure of £471,924.
Principal funding sources
The key funder of the charity in the current financial year was the Chair of the Board of Trustee& We did secure
another significant monitory gift from a donor which we hope will be repeated in future years.

Majorrisks
With funding secured for the 2026127 season, the Trustees have assessed any other risks as minor and are
satisfied that systems are in pla￿ to mitigate them.
Plans for future periods
The continued partnership with Musi¢ in Secondary Schools Trust IMISSTI will deepen our Education Programme
and work wi(h secondary schools. We wll also stsrt mapping projects with the Education hubs that are k*n lo work
with us.
We will continue lo grow our activity in a regional area, following learnings from the 2025126 se&on. We will build
on the relationship we already we have at BAC and learn more about the demographics in the area.
Continue to expand our Marketing and Social Media activity lo raise brand and profile of Chromalica through the
whole year.
Allocating funding and strategy to our Emerging Conducting Programme.
To work with freelance Artistic Directors lo help create exciting and impactful programmes that are on brand, and will
help encourage more audience.

Memorandum and Articles of Association on 23 November 2004 as amended on 12 Feb 2020 and 31 May 2024.
The name of the Charity was changed from B8lh Festival Orchestra to Chromalica Orchestra on 12 August 2024.

The management of the Charity is the responsibility of the Trustees who are elected and ctropted under the tems
of the Memorandum and Articles ofAssociation.
None of the Trustees. has any beneficial interest in the company. All of the Trustees, are members of the company
and guarantee lo contribute £1 in the event of a winding up.

Chromatica Orchestra Limited (formerly Bath Festival Orchestral is a charitable company limited by guarantee
incorporated in England and Wales. 11 was established on 23rd November 2004 and subsequently regist￿ed
th the charity commission on 27 May 2005. The registered office is clo BKL, 35 Ballards Lane, London, N3
1XW.
1.1 Accounting convention
The financial slalemttnls have been prepared in accordancè with the charity's governing document, the
Companies Act 2006, FRS 102 The Financial Reporting Standard applicable in the UK and Republi¢ of
Ireland" and the Charities SORP Accounting and Reporting by Charities.. Statement of Recommended
Practi￿ applicable to charities preparing their a¢¢ounls in accordance with the Financial Reporting Standard
applicable in the UK and Republic of Ireland IFRS 1021 The charity is a Public Benefit Entity as defined by
FRS 102.
The charity has taken advantage of the provisions in the SORP for charities not lo prepare a statanent of
cash flows.
The financial statements are prepared In slerfing, which is the functional currency of the charity. Monetary
amounts in these financial stslemenls are rounded to the nearest £.
The financial slalements have been prepared under the historical cost convention. The principal accounting
policies adopted are sel out below.
1.2 Going concern
Al the lime of approving the financial slatemenls, the Trustees, have a reasonable expectation that the charity
has adequate resour￿$ lo continue in operational existen￿ for the foreseeable future. Thus the Trustees,
continue to adopt the going concern basis of accounting in preparing the financial ststemenls.
1.3 Charitable funds
Unrestrictèd funds a￿ available for use al the discretion of the Trustees, in furtherance of their charitable
objectives.
1.4 Income
Income 15 recognised when the charity is legally entitled to il after any performance conditions have been met,
the amounts can be measured reliably, and il is probable that Income will be received.
Cash donations are recognised on re￿IPt. Other donations are recognised once the charity has been notified
of the donation, unless performance conditions require deferral of the amount. Income tax recoverable in
relation to donations received under GiftAid or deeds of covenant is recognised at the lime of the donation.
Grants are Included in the Statement of financial activities on a receivable basis. The balance of income
received for specific purposes but not expended during the period is shown in the relevant funds on thè
Balance sheet. Mthere income is re￿iVed in advance of enlillemenl of receipt, its recognition is deferred and
included in creditors as deferred income. Where entillemenl occurs before income is received, the income is
accrued.

1.5 Expenditure
Expenditure is recognised once there is 8 legal or constructive obligation lo transfer economic benefit lo a
third paty, it is probable that a transfer of economic benefits will be required in selllemenl, and the amount of
the obligation can be measured reliably.
Expenditure is classified by activity. The costs of each activity are made up of the total of dIr￿t costs and
shared costs, induding support costs involved in undertaking each activity. Direct costs attribLJtable to a single
activity are allocated directly to that activity. Shared costs which contribute to more than one activity and
support costs which are not attributable to a single activity are apportioned bets￿een those aclivilyès on a basis
consistent with the use of resources. Central staff costs are allocated on the basis of time spent, and
depreciation charges are allocated on the portion of the asset's use.
1.6 Intsnglble flxed a$s&ts other than goodwlll
Intangible assets acquired separately from a business are recognised at cost and are subsequently measured
al cost less accumulated amortisation and accumulated Impairment losses.
Intangible assets acquired on business combinations are recognised separately from goodwill al the
acquisition date where il is probable that the expected future economic benefits that are attributable lo the
asset wll flow to the enlily and the fair value of the asset can be measured reliably., the intangible asset arises
from contractual or other legal rights,. and the intangible asset is separable from the entity.
Amortisation is recognised so as lo write off the cost or valuation of assets less their residual values over their
useful lives on the following bases..

1.7 Impairment of fixed assets
Al each reporting end dale, the charity reviews the carrying amounts of ils tangible and intangible assets lo
determine whether there is any indication that those assets have suffered an impairment loss. If any such
indication exists, the recoverable amount of the asset is eslimaled in order lo determine the extent of the
impairment loss lif anyi.
1.8 Cash and cash equivalents
Cash and cash equivalents Indude cash in hand, deposits held at call with banks, other short-lerm liquid
investments with original malurilies of three months or less, and bank overdrafts. Bank overdrafis are shown
thin borrowings in current liabilities.
1.9 Flnanclal Instruments
The charity has elected to apply the provisions of Section 11 'Basic Financial Instruments, and Section 12
'Other Financial Instruments Issues, of FRS 102 to all of its financial instruments.
Financial instruments are recognised in the charity's balance sheet when the charity becomes party lo the
conlraclual provisions of the Inslrumenl.
Financial assets and liabilities are offset, wfth the net amounts presented in the financial slatemenls, when
there is a legally enforceable right lo set off the recognised amounts and there is an intention lo settle on a net
basis or lo realise the asset and setue the liability simultaneously.

Basic financial assets, which include debtors and cash and bank balances, are initially measured at
transaction price including transaction costs and are subsequently carried al amortised cost using the effective
interest method unless the arrangement conslilules a financing Iransaclion, where the transaction is
measured at the present value ol the ftjlure receipts di$￿Unted al a market rale of interest. Financial assets
classified as receivable within one year are not amortised.
Basic financial liabilities
Basic financial liabilities, including creditors and bank loans are initially recognised al transaction price unless
the arrangement conslilules a financing Iransaclion, where the debt instrument is measured al the present
value of the future payments discounted at a market rale of interest. Financial liabilities classified as payable
thin one year are not afflort15ed.
Debt instruments are subsequenuy carried al amortised cost, using the effective interest rale method.
Trade creditors are obligations to pay for goods or services that have been acquired in the ordinary course of
operations from suppliers. Amounts payable are classified as current liabilities if payment is due within one
year or less. If not, they are presented as non-current liabilities. Trade creditors are recognised initially al
transaction price and subsequenuy measured al amortised cost using the effective interest method.
Derecognition of financial liabilities
Financial liabilities are derecognised when the charity's contractual obligations expire or are discharged or
cancelled.
1.10 Employee benefits
The cost of any unused holiday enliuement is recognised in the period in which the employee's services are
received.
Temiination benefits are recognised immediately as an expense when the charity is demonstrably committed
lo lerminale the employment of an employee or to provide termination bènefits.
