REPORT OF THE ANNUAL GENERAL MEETING OF SALTBURN DISTRICT U3A HELD ON FRIDAY, 2[nd] MAY 2025
The meeting was presented, on behalf of the Chair, by Gaye Batiz – Secretary.
QUORUM : Fully paid-up membership at midnight on the 1[ST ] May was 580. The Secretary, after confirming that the 74 members present plus 2 attending on Zoom, 2 proxy votes and 6 email votes met the requisite quorum of 58 equalling 10% of 580 members called the meeting to order and welcomed members attending Saltburn District u3a Hybrid Annual General Meeting at 10:15am.
TRUSTEES’ REPORT
Membership/Renewals
The total membership for year ending 31[st] March 2025 was 805, made up of 775 members plus 30 affiliates. On 2[nd] May 2025 we had 564 current members and 6 affiliate members. We have noticed a slight decline in membership numbers over the last 3 years. Renewal is still in progress so more to add.
Groups
We currently have 69 groups offering 54 subjects and using 17 venues across the East Cleveland area. This also includes 5 Outdoor Groups + 2 held in member’s homes.
Website
The new website went live 28[th] November 2024. Training has been rolled out for Group Leaders during Jan/Feb, more will be offered later this year. The site is public so no personal information is on view. An overview of tabs was given and members were encouraged to check out the website as there is a lot of information available plus links to national and other u3a sites. Since going live we have seen a steady increase in views of our website, some from abroad including USA, Australia, Belgium, Andora, Benin, Faroe Islands, Portugal, France, Brazil and Hong Kong.
Update meetings
Programme for 24/25 Included group performances, resilience to fraud, Bats in the UK, Hearing Impairment, Fire Brigade – Safety in the Home and Redcar Citizen’s Advice on aging in Redcar.
Workshops
Several workshops have been held throughout the year including Polymer Clay Jewellery, Talking Hands, Christmas Willow Window, Marzipan Fruits, Line Dancing (for March Social) and Valley of Light – Lanterns. One Dementia Awareness workshop was held in 2024 and another is planned for Sept 2025.
Special Events
Our September update meeting became our 20[th] anniversary celebration with the usual group activities and entertainments.
March 2025 Social Event
Former committee members plus others have formed a group to hold regular Social Events. The first took place in March and was a huge success. More will be planned for 25/26.
Keyworkers
A big thank you was given to all who give time to SDu3a in whatever capacity, especially to our present and past Committee members for their contributions and support and huge thank you to all our Keyworkers – Refreshments, Treasury, Admission, Welcome and table support workers – without these volunteers we would not survive.
Accounts / Donations
The accounts have been externally examined and agreed by Draycott & Kirk Chartered Accountants, of Guisborough. Vote for approval carried at AGM.
A big thank you for all the Donations made to us in cash and kind that help keep our accounts in the black.
2025 COMMITTEE / NON COMMITTEE
Four Committee members stepped down. Nine committee were voted in.
One non-committee member stepped down, we now have four non-committee roles .
CONSTITIUTION
In June last year, during review of our current constitution we discovered that there was a new model that had been drawn up by u3a and the Charities Commission. After comparison, we decided to adopt the new constitution with a few tweaks.
This document is our main source of rules for running our u3a in line with legislative requirements of the Charities Commission and the u3a. It has been reviewed by both the existing committee and by a review team prior to being sent out to the Membership for review. (No comments have been received).
New constitution was proposed seconded and voted in.
The next AGM will be Friday 1[st] May 2026

Structure, governance and management
Governing document: Constitution Constitution of the charity: Associated within the Third Age Trust. Trustee selection methods: Election by members at the AGM.
Objectives
1) To advance the education of the public and in particular the education of people no longer in fulltime gainful employment who are in their Third Ages (being the period of time after the first age of childhood dependence and the second age of full time employment and/or parental responsibility) residing in Saltburn and its surrounding locality; 2) The provision of facilities for leisure time and recreational activities with the object of improving the conditions of life for the above persons in the interests of their social welfare.
Summary of the main activities undertaken for the public benefit in relation to these objectives
During the year 64 specific activites of interest in a range of educational, recreational and leisure activities, including zoom meetings have been offered to members.
The Trustees have had regard to CC/CCNI's guidance on Public Benefit.
Achievements and performance
The number of members averaged 780.
Careful management of the finances has ensured the sustainability of the charity for the coming year.
Reserves policy
The trustees consider an amount in reserve representing six months running costs is advisable and that an amount is retained in excursions to allow for the purchase of tickets in advance.
Review of financial position at the year end.
The Trustees consider the financial position at the year end to be good and that the charity should be able to operate normally in the following year.
The trustees declare they have approved the trustees' report above.

1 Accounting Policies
The financial statements have been prepared under the historical cost convention, and are in accordance with the Charities act and Charities Accounting Statement Of Recommended Practice (SORP).

a. All grants and voluntary income are accounted for gross when receivable, as long as they are capable of financial measurement.

b. All expenditure is accounted for including VAT when incurred.

c. Transfers are made from restricted funds to unrestricted funds when grants are approved.

d. Reserves policy: The trustees have considered the level of reserves needed in order to maintain the ongoing activities of the charity. The directors consider that an amount representing six months running costs are advisable.
