The trustees present their annual report and financial statements of ihe charity for the year ended 31 December 2024.
The financial statements have been prepared in accordance with (he accounting policies set out in note 2 to the accounts
and comply with ihe charity's trust deed. th¢ Charities Aci ?01 i. Ihe Companies Act ?006, The Memorandum and
Articles of Association and Accounting and Reporting by Charilies: Siatement of Recommended Practice applicable lo
charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and
Republic of Ireland (effeclive January 2019).
0￿EcriVEs AND ACTIVITIES
The objectives of the Guild are to relieve the needs of persons with visual impairnient and hearing
impairnient in particular:
Members of the Church of England ivith visual impaimient
Members of other Christian denominations with visual impairnienl
Persons with both visual and hearing impairment
Persons with hearing impairnienl and other physical disability

PU.BLIC BENEFIT
The Trustees confirm ihat ihey have referred to the guidance contained in the Charity Commission's general
guidance on public benefit when reviewing the chariiy s aims and objectives and in planning future activities.
St John's Guild meets all the costs of producing quarterly Bible Reading Fellowship notes in Braille which
serves people nationwide and internationally with readers in New Zealand. Malaysia and Africa amongst
others.
STRUCTURE, GOVERNANCE AND MANAGEMENT
Constitution
The Guild is constituted as a company limiled by guarantee which was incorporatcd in England on 14 March
2005 (Company no 05392217 and Charity no 1109399). Its activities are governed by its Memorandum and
Articles of Association which have not been amended since 14 March 2005.
Method of appoiDtmeDt or election of Trustees
The constitution provides for a Trustee body of noi less ihan four members. with no maximum. Trustees seek
to fill vacancies from the charity's existing supporter ba￿ considering the skills. experience and personal
qualities needed to maintain the balance of the Trustee body. Appoiniments may only be made ai the
recommendation of the Truslees. We review and implemeni an induciion process for new Truslees.

Organisational structure and decision making
The St. John's Guild Board of Trustees consists of a Chairnian and ai leasi 3 others, wh(Fare elected at the
AGM with the Company Secrewy being in attendance.
Decisions about the Charit), are discussed at regular meetings of the T￿￿tee5 (Board of Directors). Zoom is
available for any who are unable to aitend inJ)erson.
Branch Secrelaries- responsible for all Guild Members of their individual branches.
St John's Guild is a Church of England based organisation.
KEY MANAGEMENT
All Guild affairs are administered from the office in Birniingham. to develop and promote publications in
accessible formats if requested for churches nationwide to enhance people s participation in church worship.
RISK FACTORS
Th¢ Trustees have a risk register to identify the key risks facing the Guild and the actions required to mitigate these
risks. The register is reviewed by the Trustees io ensure thai li is current and relevanL
ACHIEVEMENTS AND PERFORMANCE
Review of activities
We seek to offer spiritual, physical and sensory assistance to people who are blind. deaflblind, visually
impaired- and io ihose with other disabilities.
The Guild offers grants 10 SUPPOrt blind / visually impaired and iheir companions to make pilgrimages or retreats. Since
2023 St John's Guild has been offering gfdnts for parishes enabling them io make worship more accessible for those with special
needs with emphasis upon those who are blind or visually impaired.
Ongoing refurbishments of Si John's Guild properties in St Raphael's Coun are un de rtaken &s necessary
to ensure maintaining a commercial sthndard for letting by a local property agency.

Investment policy and performance
In accordance with the governing document. Ihe Truslees have the power to make such investments as they
think proper and to place funds on deposit with any Bank.
The Trustees have compleled a review of iheir inveslment management polic>, and are satisfied that it still
complies with the ethical policies of the Guild. The inveslments are managed by CCLA fund managers in
London.
During the year the truslees have continued reviewing and implemenling their business plan.
FINANCIAL REVIEW
Results for the year
The net incoming resources for the year amounted to £43.547 (?0?3 £33.113. bul after net realised and
unrealised gains on investments of £41,165 (?023 - £154.660 gain) the final nel movement in funds for the
year resulted in a surplus of £84,712 (2023 £187.773 surplus).
Reserves
It is the policy of the trustees to build up adequaie reserves lo meel its running costs for twelve months. The
level of reserves is monitored and reviewed at least annually by ihe Trustees. Unrestricted reserves are
continuously monitored and reviewed.
Unrestricted funds at the year end ivere £3,Oi2.028 (2023 £2,747,316), endowments funds at the year end
were £1.241,931(2023 £1.124.931). Total funds of the Guild at the year end were £4,273.959 (2023
£4,189,247)
Going concern
With the current level of unrestricled reserves. the trustees have a reasonable expectalion that the charity has
resources to continue in operational existence for ihe foreseeable luture; therefore, the going concern basis has
been adopied in preparing these financial statements.

I report to the charity's Trustees on my examinalion of the accounts of ihe company for th¢ year ended 31.

Responsibilities and basis for report
As Trustees (and also its directors for the purposes of company law) you are responsible for the preparation of the
accounts in accordance with the requirements of the Companics Act 2006 ('the 2006 Act,).
Having satisfied myself that (he accounts of tlje Company are noi required to be audited under Part 16 of the 2006
Act and are eligible for independent examination, I report in respect of my examinalion of your charity's accounts
&s carried out under section 145 of the Charities Act 2011 {'the 201 l Act'}. In carrying out my examination I have
followed the Directions given by the Charity Commission under section 145(5) (b) of the 201 l Act.
Independent examiner's statement
I confirm that l am qualified to undertake the examination because l am a member of the Institute of Chartered
Accountants in England & Wales. I have compleied my examination. I confirni that no matters have come to my
attention in connection with the examinaiion giving me cause to believe:
l. accounting records were not kept in respect of the Company as required by section 386 of the 2006 Act. or
2. the accounis do not accord with those records- or
3. the accounts do not comply with the accounting requirements of section 396 of the 2006 Act other than any

CHARITY INFORMATION AND COMPANY STATUS
St John's Guild is an incorporated charity registered in England and Wales No. 1109399. The Registered
Office is 16 Commercial StrceL Birniingham, B I l RS.
It is a company limited by guaranle¢. The meMlE￿ are the Trustees named on page l. In the event of the
company being wound up. the liability of the guarantee is limiied to £1 O per member of the company.
ACCOUNTING POLICIES
The principal accounting policies adopted. judgements and key sources of estimation uncertainty in the
preparation of the financial staiements are as follows:
Basis of preparation on a going concern basis
The financial statements have been prepared in accordance with Accounting and Reporting by Charities:
Statement of Recommended Practice applicable lo charities preparing their accounts in accordance with the
Financial Reporting Standard applicable in th¢ UK and Republic of Ireland {FRS I O?) (effective l January
2019) - (Charities SORP (FRS 102)), the Financial Reporting Standard applicable in the UK and Republic
of Ireland (FRS 102) and the Companies Aci 2006.
The financial stalements are prepared on a going concem basis. Assets and liabilities are initially recognised
at hislorical cost or transaction value unles5 Otherwise staled in ihe relevant accounting policy note(s). The
functional and presenlational currency is GBP and the accounts are rounded to the nearesi £1.
The Guild mects the definition of a public benefil entity under FRS 102. Assets and liabilities are initially
recognised at historical cost or Irdnsaction value unless otherwise stated in the relevant accounting policy
noles.
b)
Fund accounting
General funds are unresiricted funds which are available for use at the discretion of the Truslees in
furtherance of the genernl objectives of the company and which have not been designated for other purposes.
Designated fijnds comprise unrestric*d funds thai have been set aside by the Trustees for particular purposes.
The aim and ￿Se of each designated fund is sei out in the notes to the financial slatements.
Restricted funds are funds which are to be used in accordance with specific restrictions imposed by donors
or which have been raised by the company for particular purposes. The costs of raising and administering
such funds are charged againsi the specific fund. The aim and use of each restricted fund is set out in the
notes to the financial statements.
Endowment funds comprise the proceeds of sale of part of the land vested in the charity on esthblishment
and various endowed properties. adjusied for by any changes in (he property valuation.

Income re¢ognitioD
All incoming resources are included An the Slafrment of Financial Activities when the charity has legal
entitlement to the income. the amount can be measured with sufficient reliability. and it is probable that the
income will be received.
For legacies, entitlement is the earliest of the company being notified of an impending distribution or the
legacy being received.
Donated facilities and donafrd professional ￿rViceS are recognised in income at their fair value when their
economic benefit is probable, il can be measured reliably and the charity h&s conlrol over the item. Fair value
is deterniined on the basis of the value of the gift to the charity. For example. Ihe amount the charity would
be willing to pay in the open markei for such facililies and services. A corresponding amount is recognised
in expenditure.
Investment income is earned through holding assets for investmeni purw)ses such as shares and property.
It includes dividends. interest and rent. Inierest income is recognised using the effective interest method
and dividend and reni income is recognised as the charity's right to receive payment is established.
d)
Eipenditure recognition
All expenditur¢ is accounted for on an acc￿￿lS basis and h&$ been included under expense categories that
aggregate all costs for allocation to activities. Expenditure is recognised where there is a legal or
constructive obligalion to make payments io third parties. it is probable (hat the settlement will be required
and the amounl of the obligation can be measured reliably.
Where cosls cannot be directly attributed to particular activities. they have been allocated on a basis
consistent with the use of the resources.
Tangible fixed assets and depreciation
Tangible fixed &ssets are slated at cost less depreciation. Depreciation is provided at rates calculated to
write off th¢ cost of fixed &ssets, less their estimated residual value. over their expected useful lives on the
following bases:

Investment properties
Investment propertics for which fair valu¢ can be measured reliably without undue cost or effort are
measured ai fair value al each reporting date with changes in fair value recognised in "net gain￿ (losses)
on investments" in the SOFA. The properties were revalued in 2021.
g)
Fixed 4sset investments
Investments are a forni of b&sic financial instrumeni and are inilially recognised at their transaction value
and subsequently measured at their fair value as at the balance sheet date using the closing quoted market
price. The staiement of financial activities includes the net gains and losses arising on revaluation and
disposals throughout the year.
The charity does not acquire optlons. derivatives or other complex financial instruments. The main forni of
financial risk faced by the charity is thai of volatiliiy in equiry markets and investment markets due to wider
economic condiiions, the attitude of inveslors 10 investment risL and changes in sentiment concerning
equities and within particular sectors or sub se¢lors. The investments are all UK listed investments
managed by a finn of invesimeni brokers on behaifof ihe charity.
All gains and loS￿S taken to (he Staiemenl of Fsnancial Activities as they arise. Realised gains and losses
on investments are calculated &8 the difference between sales proceeds and their opening carrying value or
their purchase value if acquired subsequent to ihe firsi day of ihe financial year. Unrealised gains and losses
are calculated &s the difference between ihe fair value ai (he year end and their carrying value. Reaiised and
unrealised investment gains and losses are combined in the Statement of Financial Activities.
h)
Debtors and treditors receivable I payable within one year
Debtors and creditors with no sthted interest rate and receivable or payable within one year are recorded
at Iransaction price. Any losses arising from impaimcni are recognised in expenditure.
Tax
The charity is an exempi charity. within Ihe meaning of schedule 3 of the Charities Act 201 l and is considered
to pass the lests set out in Pardgrdph I Schedule 6 Finance Act 2010 and therefore it meets the definition of a
charitable company for UK corporalion lax purposes.

The charity is not registered for VA T. Irrecoverable VA T is included within the relevant expense on which
il is charged.

Financial instrnn)eDts
The Charity only has financial &wts and financial liabilities of a kind thai qualify as basic financial
instruments. Basic financial instnments are initially recognised at transaction value and subsequently
measured at their settlement.
Financial assets that are measur¢d at cost and amortised cost are assessed at the end of each reporting period
for objective evidence of impairment. If objeciive evidence of impairnent is found, an impairment loss is
recognised in the SLqtement of Financial Activities. Financial assets that are measured at fair value are valued
b&sed on valuations obtained at the year-end.

Judgments ID applying Vdccounting policies and key sources of estimation uncertainty
In preparing the Financial SLqtements. the Tr￿SteeS are required to make estimates and assumptions which
affect reported income. expenses, assets, liabilities and disclosure of contingenl assets and liabilities. Use of
available infornlaiion and application of judgemenl are inherenl in the fonnalion of estimates, ￿gether with
expeclations of future events thai are believed to be re&wnable under the circumstsnces. Actual results in the
fu(ure could differ from such estimates. There are no key assumplions or other sources of estimation that
have a significant risk of causing a material adjuslm¢ni to ihe carrying values of assets and liabilities wiihin
the next ftnancial year.
