STRUCTURE, GOVERNANCE, MANAGEMENT AND ADMINISTRATIVE INFORMATION

The charity was formed as an unincorporated association by trust deed on the 20[th] February 2005. Application for registration was made to the Charities Commission on the 17[th] March 2005 and the charity was entered onto the register on the 14[th] April 2005. The constitution was last amended 19[th] January 2020.

The charity functions as a parish of the Greek Orthodox Archdiocese of Thyateira and Great Britain, which in turn is a part of the Ecumenical Patriarchate of Constantinople. As outlined in the trust constitution, the charity is under the canonical authority of the archdiocese and patriarchate and follows such relevant guidance in its activities. However the Trustees are nominated and elected by the parish members.

As the charity is a relatively small organization, at present the general day to day administration and management of the charity is carried out voluntarily by the chairman, other trustees, one volunteer admin assistant and the priest as required.

In duly organised meetings, the board of the trustees takes all major decisions and sets all policies with regards to the activities in accordance with the trust constitution of the charity.

Trustees are appointed, after election, in line with the rules set out in the trust constitution. There is no specific training policy in place for trustees but all new trustees are advised of their responsibilities under the law and relevant Charity Commission information is readily available.

The trustees have not identified any particular risks to which the charity is exposed.

FINANCIAL REVIEW

Income for the year was 30,374 and expenditure was £31,398

The charity independent financial examiners are Alina Lord, Lord Accountancy, Blackburn. The assets at 31[st] March 2025 were:

The freehold church building (1870s) and attached hall (1930s) situated at 403 Leyland Lane, Leyland, Lancashire PR25 1TA purchased in 2007. All remaining loans for the purchase and refitting were paid off in 2020. The building is not listed and is of no particular architectural merit.

15,633 ordinary shares in F&C Investment Trust PLC arising from a large donation in 2020. This donation anecdotally appeared to be under restrictions agreed between the donor and the then trustees, however the current trustees have no written evidence of any such restrictions. The donor’s solicitors (who had transferred the funds to the Trust) were contacted in November 2024 and they stated that they had no records of any restrictions. A meeting with the donor took place in August 2025 at which the donor accepted that no formal enforceable restrictions had been made in writing and that any verbal intentions that may (or may not) have been discussed at the time would (from his side) no longer be in force. The donor agreed that the funds were indeed for the sole use of the Trustees of Holy Apostles Orthodox Trust as they deem fit. The current Trustees have continued the practice (since 2020) of only withdrawing the cash value of any dividends. The current Trustees do not intend to bind themselves or their successors in this matter. There is no specific reserve policy.

OBJECTIVES AND ACTIVITIES

The charity is essentially a local Christian church parish, being a part of the Greek Orthodox Archdiocese of Thyateira and Great Britain. It carries on the normal parochial and religious activities of any Christian church but under the canonical authority, faith and traditions of the Orthodox Christian church as interpreted, preserved and taught by the Ecumenical Patriarchate of Constantinople.

ACHIEVEMENTS AND PERFORMANCE

Religious services were provided regularly on Sundays with occasional other mid-week services according to the liturgical calendar, all open to the public for their benefit.

Assistance to the poor in the form of a regular monthly donation to Leyland Food Bank together with occasional food collections on their behalf.

The age of the church building and hall means that general and structural maintenance is never ending, £10,465 having been spent during the year.

The hall that was rented by a number of voluntary groups prior to the covid restrictions is now only rented on one evening per week and on occasional days during the year. The trustees understand that there is now an over-supply of venues in the local area many of which are are more modern than ours.

There were no serious incidents during the year.

FUTURE PLANS

The trustees intend investigating the conversion of the current Charitable Trust to a Charitable Incorporated Organisation, recognising that this will mean creating a brand new charity (CIO) to continue the work of the parish and transferring the building/assets to it and then the closing of this Trust.
