During the year we have been commissioned to perform with Choral Societies, which provides us with a useful income and have worked with Queen's College on education projects as part of our current Residency with them. We were able to fund our first major concert since the pandemic, with Emma Johnson, international clarinettist and the first professional performance of Matthew Coleridge's new Requiem with the composer, which the orchestra had previously recorded with Rupert Gough and the Royal Holloway College choir. The Board's intention for the coming year is to continue to strengthen our financial base and work on expanding our music offer to a wider range of events and venues. ## **OBJECTIVES AND ACTIVITIES** Southern Sinfonia's objectives remain the same as in previous reports and are to promote, advance, develop and maintain public education in, and appreciation of, the art and science of music in all its aspects by presentation of public concerts, collaboration with other arts bodies and musical societies and through education projects. ## **ACHIEVEMENT AND PERFORMANCE** ## **Artistic Director's Report** The recovery in the musical landscape for Southern Sinfonia and our partners continues. We are working with as many of our choral societies as possible, providing reasonable rates for them following a drop off in their active membership numbers during the pandemic. During the year we performed with Choirs at the cathedrals in Exeter and Wells and at Bath Abbey and Pangbourn’s Falkland Chapel and began a new partnership with the Choir of Buckfast Abbey with a service on Easter Day. This is a prestigious collaboration and part of our aim to widen our work in the West Country. In April 2024 we gave our first major concert since Covid at Taunton Minster, St Mary Magdalene, with its wonderful ‘Father Willis’ organ. Clarinettist Emma Johnson performed Finzi’s clarinet concerto, and the orchestra and an assembled choir created the first professional live performance of Matthew Coleridge’s beautiful ‘Requiem’. The orchestra had previously recorded this glorious work with Rupert Gough conducting the Royal Holloway Choir. Our education work for the year continued with Queens College, Taunton students and participants from other schools. Southern Sinfonia continues to be committed to the future of music in all its forms and for all ages and we aim to expand our offer during 2024-25 into the wider West Country as well as eastwards. ## **FINANCIAL REVIEW** ## **Financial position** The charity incurred a deficit in this year of £1,265 compared with a surplus of £2,911 in the previous year. It received donations of £190 compared with £530 in the previous year. The trustees are satisfied with the position given the external financial pressures at the present time. Page 1 **Southern Sinfonia** **Report of the Trustees for the Year Ended 30 April 2024** ## **FINANCIAL REVIEW** ## **Reserves policy** Ideally Southern Sinfonia would wish to hold a reserve to help fund the organisation's development and to reduce the impact of any concerts generating less booking income than estimated. In practice, like many organisations operating in the Arts in the current difficult funding climate, the principal challenge is to obtain sufficient income from a range of sources to cover costs of activities, and this has resulted in a dearth of funding that could be set aside as a reserve. Moreover, if a major donor were to materialise, the use of any donation would need to pay attention to the benefactor's preferences and priorities. Nevertheless, the intention is to build up the organisation's business and reputation so that such donations become more likely, including, if possible, the creation of an endowment which would act as a reserve. ## **Going concern** After making appropriate enquiries, the trustees have reasonable expectation that the charitable company has adequate resources to continue in operational existence for the foreseeable future. For this reason, they continue to adopt the going concern basis in preparing the financial statements. Further details regarding the adoption of the going concern basis can be found in the Accounting Policies. ## **FUTURE PLANS** The coming year will be used to develop our networks and publicity and plan for performances up to three years in advance. The emphasis will be on consolidating healthy finances and delivering community and education activity and larger public performances whenever possible in line with our statement of intent . ## **STRUCTURE, GOVERNANCE AND MANAGEMENT** ## **Governing document** The charity is controlled by its governing document, a deed of trust, and constitutes a limited company, limited by guarantee, as defined by the Companies Act 2006. ## **Charity constitution** The company commenced activities on 1st May 2006, on which date the assets and liabilities of the former charity Southern Sinfonia (registered charity number 1002443) were transferred into the incorporated charity The company is registered as a charitable company limited by guarantee - charity registration number 1108066. Having satisfied myself that the accounts of the Company are not required to be audited under Part 16 of the 2006 Act and are eligible for independent examination, I report in respect of my examination of your charity's accounts as carried out under section 145 of the Charities Act 2011 ('the 2011 Act'). In carrying out my examination I have followed the Directions given by the Charity Commission under section 145(5) (b) of the 2011 Act. ## **Independent examiner's statement** I have completed my examination. I confirm that no matters have come to my attention in connection with the examination giving me cause to believe: 1. accounting records were not kept in respect of the Company as required by section 386 of the 2006 Act; or 2. the accounts do not accord with those records; or 3. the accounts do not comply with the accounting requirements of section 396 of the 2006 Act other than any requirement that the accounts give a true and fair view which is not a matter considered as part of an independent examination; or 4. the accounts have not been prepared in accordance with the methods and principles of the Statement of Recommended Practice for accounting and reporting by charities (applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102)). ACCOUNTING POLICIES** ## **Basis of preparing the financial statements** The financial statements of the charitable company, which is a public benefit entity under FRS 102, have been prepared in accordance with the Charities SORP (FRS 102) 'Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019)', Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland' and the Companies Act 2006. The financial statements have been prepared under the historical cost convention. ## **Income** All income is recognised in the Statement of Financial Activities once the charity has entitlement to the funds, it is probable that the income will be received and the amount can be measured reliably. ## **Expenditure** Liabilities are recognised as expenditure as soon as there is a legal or constructive obligation committing the charity to that expenditure, it is probable that a transfer of economic benefits will be required in settlement and the amount of the obligation can be measured reliably. Expenditure is accounted for on an accruals basis and has been classified under headings that aggregate all cost related to the category. Where costs cannot be directly attributed to particular headings, they have been allocated to activities on a basis consistent with the use of resources. ## **Tangible fixed assets** Depreciation is provided at the following annual rates in order to write off each asset over its estimated useful life. ## **Taxation** The charity is exempt from corporation tax on its charitable activities. ## **Fund accounting** Unrestricted funds can be used in accordance with the charitable objectives at the discretion of the trustees. Restricted funds can only be used for particular restricted purposes within the objects of the charity. Restrictions arise when specified by the donor or when funds are raised for particular restricted purposes.
